Joint Development Authority Work Session Monday, May 1, 2023 Arden Hills City Council Chambers Minutes 5:30 pm Present: Joint Development Authority: Chair Jon Wicklund, Commissioner Nicole Frethem, Commissioner Victoria Reinhardt, Commissioner Tom Fabel, Commissioner Tena Monson Also present: Dave Perrault (Arden Hills); Jessica Jagoe (Arden Hills); Kari Collins (Ramsey County), Rachel Tierney (Kennedy & Graven) Roll call taken. Commissioner Reinhardt asked if the JDA would be holding a Special meeting after the work session meeting. She expressed concern with the fact items would be delayed another 30 days if action was not taken. Chair Wicklund reported staff would be directed to bring items back to the June 5 JDA meeting. Commissioner Fabel stated he was concerned about the timeline as well, but noted it appears there was nothing being discussed that would require formal action. Director Collins explained staff would be bringing a draft Resolution for the JDA to consider in June regarding the Energy Committee. Public Input Donna Weiman, 1406 Arden View Drive, stated she was pleased the JDA would be discussing its communication plan. She encouraged the JDA to include Arden Hills residents in discussions regarding density, TIF financing, the coverage of deeply affordable units and other key factors. She asked that the JDA listen to residents now, rather than coming back later with plans and scenarios for them to consider. Lyle Salmela, 1480 Arden Vista Court, commented on ideas he had regarding the energy task force. He suggested the group’s main focus be to work with Xcel Energy to implement the microgrid based resiliency program that has been approved by the PUC. He recommended subcommittees focus on legal and regulatory, and another group work on education or communication. He provided further information on the benefits of a microgrid and discussed the ERIF. Commissioner Fabel thanked Mr. Salmela for speaking with him this past weekend. JDA Communications Planning Sara Swenson, Goff Public, presented the JDA with information on communications planning. The coordinated joint communication efforts between the City of Arden Hills and Ramsey County were further discussed. She explained all communications would come from the JDA versus coming from Arden Hills or Ramsey County. She noted both groups would have approval over communications. She reported communications would include press releases, websites, newsletters and social media. She commented on the types of issues regarding this project that would make the news. She provided further information on how proactive and reactive media relations would be addressed. She recommended processes, notifications and a media protocol be created by the JDA. Commissioner Reinhardt thanked Ms. Swenson for preparing a well thought out plan. She believed it made sense for the JDA to be sending out unified statements from one voice that represented both the City and the County. Commissioner Monson agreed. She asked what was meant by all statements. Ms. Swenson stated this meant all JDA statements. Commissioner Monson explained she supporting things coming through the JDA, but she anticipated the City may do things on their side. Ms. Swenson recommended knowledge sharing be done if this were to occur. Commissioner Frethem concurred it would be a benefit to have a coordinated communication effort. Commissioner Fabel agreed the JDA should be speaking with one voice. Commissioner Monson questioned if the County has implemented this type of strategy with any of its other developments. Director Collins explained the were no other developments quite like this. Commissioner Frethem reported this was a much larger project than any other joint powers agreements the County had pursued. Chair Wicklund suggested a standing item be added to all future agendas that addressed Communications in order to allow JDA members to speak about items that needed to be communicated. Commissioner Frethem supported this recommendation. Commissioner Reinhardt stated the communication efforts would not require only certain people to talk, but rather would allow the JDA to have a philosophy in place regarding communication and that there is an alignment in messaging for the City and County. Commissioner Frethem recommended the City’s website point to the Rice Creek Commons page and vice versa. Director Perrault reported this action was taken last week. Ms. Swenson reported the main website for the development going forward would be RiceCreekCommons.com. Chair Wicklund explained he has heard from the public that they would like transparency when it comes to public input and community engagement. He suggested the JDA consider holding an open house on the property. Commissioner Frethem indicated she did this last fall and stated it was not safe to have people walking around on the property, but van guided tours could be conducted. She noted a virtual tour of the site had been created as well. Director Collins reported this event was extremely well attended and noted vans could be used again. Commissioner Reinhardt recommended the virtual tour of the site be placed on the Rice Creek Commons website. Director Collins stated she could add this to the website. Commissioner Reinhardt commented on community engagement and questioned if a third party would be brought in to assist the JDA with this. She discussed how a consultant (Goff) was brought in to help Ramsey County address the Purple Line. Commissioner Frethem anticipated it would be challenging for the JDA to manage community engagement on their own and a consultant would be able to assist with gathering feedback. Commissioner Reinhardt stated members of the public spoke tonight about the importance of community engagement. She explained the benefit of having a third party involved in community engagement would be to lay out a plan, provide facts to the public while gathering quality information from the public. She believed community engagement was a specialized skill, especially on controversial matters. Chair Wicklund stated he understood the County has experience working with third party consultants for community engagement. He asked for a high level overview on what a more technical community engagement plan would be for the JDA. Director Collins explained there were two different areas of community engagement that would have to be considered by the JDA. She indicated there was communications associated with the project status and this would be an appropriate roll for Goff to undertake. She suggested community engagement events be structured around specific themes and that if a third party consultant was brought in, that they be an expert on the specific theme. Ms. Swenson commented on how it would be important for the JDA to be clear on its goals for public engagement. Commissioner Frethem noted the JDA has not yet approved a budget. She recommended a budget be considered along with a community engagement process. She suggested the JDA be considerate about the goals noting a lot of work has been done on this project already over the past decade. It was her hope the JDA could build on this, while hearing and identifying the priorities from the public for this project. Commissioner Reinhardt commented on what a great job Commissioner Frethem does with her community engagement events and suggested she be a point person for future JDA events. Chair Wicklund suggested a JDA member from the City spearhead this because there might be different goals. Commissioner Fabel stated there was a lot of enthusiasm from the Arden Hills residents to get this project moving forward. He noted the difficulty was there was only one scenario for the public to consider for this project. He indicated the JDA could lay this scenario out for the public to consider. He was of the opinion the JDA needed to consider more scenarios for the project given how the environment has changed over the past five years. Commissioner Frethem recommended the JDA start with identifying values for the project and discussed how these values would drive the development scenarios. Chair Wicklund asked if it would make sense for the JDA Advisory Committee to meet with Ms. Swenson to talk about status type events and to clarify goals from Arden Hills and Ramsey County in order to move this project forward. Director Collins stated this was a nice segue into the Roadmap conversation that the JDA would be holding at this meeting. Commissioner Frethem questioned how media requests should be addressed. Ms. Swenson suggested this be a part of the process conversations. She explained the JDA would have to determine how staff would handle requests. Director Collins discussed how Ramsey County has managed proactive media comments in the past, noting Ms. Swenson would triage the statements. Commissioner Monson stated she could support this so long as all members of the JDA were looped in the process. Commissioner Fabel indicated this sounds like a nice idea, but he questioned how JDA members should handle a call from the press. Commissioner Reinhardt explained when she receives a call, she contacts the communication staff person along with the Chair of the Board and questions how to handle the matter. She reported with JDA matters, Ms. Swenson would then be able to triage the situation. She indicated she would not come out against the Board or the JDA once they have taken action. Chair Wicklund requested staff summarize how media requests will be managed by the JDA. Director Collins stated a spokesperson would not be elected but rather that the JDA would have a media contact (Sara Swenson) for proactive press releases in order to provide a coordinated message from the JDA. She recommended JDA members let phone calls go to voicemail and that emails be forwarded onto Ms. Swenson in order to allow her to respond on behalf of the JDA in a unified manner. Commissioner Frethem asked if there could be a social media or newsletter presence for the JDA. Ms. Swenson reported a GovDelivery system could be created for residents interested in receiving information on this project. Chair Wicklund supported the JDA having a distribution list created. Director Perrault stated the communication plan would be considered by the JDA in June. He asked if the JDA was comfortable with the JDA Advisory Committee being the reviewing body for communications, until the communications plan is formalized. Commissioner Monson explained she was fine with the JDA Advisory Committee vetting the proposals for now, but suggested there also be flexibility considered. Director Collins suggested once the solicitations close, that staff make a recommendation to a selection or advisory committee. Chair Wicklund indicated he would like to be informed if any communications were sent out. He thanked Ms. Swenson for her time. Energy Advisory Committee Director Collins reported City and County staff are working on putting together an Energy Advisory Committee. They are proposing the Committee get together to start working on items, which will be brought back to the JDA for approval and formal recognition/establishment of the Committee. Director Perrault explained he would like the JDA to identify key players for this committee in order to allow them to talk about the charge, scope and mission for this subcommittee. Chair Wicklund suggested the JDA begin with addressing the scope of the committee. Commissioner Monson stated the County had an MOU with Xcel in the past. She requested further information regarding this matter. Commissioner Frethem stated the MOU was no longer in place. She explained the specific charge would be to recommend MOU terms with Xcel for the JDA Advisory Committee to approve. She questioned if this MOU should be between the JDA and Xcel or Xcel and the County. Director Collins stated she would speak with the attorney regarding this matter. Commissioner Frethem recommended the environmental benchmarks and objectives be considered by the JDA for this development. She stated her only concern with this subcommittee would be it would not be the JDA’s role to be prescriptive when it comes to specific needs. She supported high level recommendations be made along with goals for the site that were not too prescriptive. Commissioner Reinhardt reported you can’t talk about energy without talking about the environment. She understood there were environmental concerns that don’t have to do with energy sources. She indicated it would be helpful to have an energy advisory committee because they could put together scenarios for the JDA to consider. She explained this development was larger than downtown St. Paul. She stated the energy opportunities that were available were sizeable and should be considered. She supported the energy subcommittee putting together a roadmap for energy use for the site with funding sources, providing options and not prescriptions. Commissioner Fabel stated he believed the JDA was fortunate to have Commissioner Monson serving with this group, because she did this work for a living. He indicated he would be looking to Commissioner Monson for advice in this area. Commissioner Monson indicated this was a good discussion for the JDA to have. She supported the JDA considering its goals to ensure a master agreement was reached. She believed an MOU goal with Xcel was appropriate. She discussed how unique this property was, because it was totally clean and there were no physical existing constraints. She stated it would be key for funding sources to be considered along with how and when to go for these funding sources. She reported she would like to see community engagement surrounding the energy on the site. Chair Wicklund stated Commissioner Reinhardt and Commissioner Monson were interested in serving on an Energy Advisory Committee. He requested staff begin working on this matter with formal consideration to be made at the June JDA meeting. Chair Wicklund recessed the JDA meeting at 6:48 p.m. Chair Wicklund reconvened the JDA meeting at 6:52 p.m. Roadmap Directors Collins presented the Rice Creek Commons 2023 Roadmap and asked for feedback of when the JDA would like tasks to be completed and events (a public workshop, for example) to take place. Commissioner Frethem stated in addition to the real estate market, broad housing demand and the need for housing affordability should be considered. Commissioner Reinhardt agreed this was important. She indicated the master plan was basic and she understood some things have changed. She supported the JDA putting out different scenarios, including different options for housing. In addition, the jobs and transit within the development had to be considered. She explained the master plan had considered this, but she wanted to come up with more scenarios. Chair Wicklund asked if Commissioner Reinhardt wanted an over view of the old MDA at the June meeting. Director Collins stated the TRC could be reviewed in June. She clarified an executed MDA was not in place. She supported the JDA coalescing around vision, mission and goals for the project so a term sheet could be created in order to build an MDA. Commissioner Reinhardt asked if a new MDA could be built off of the old MDA. Director Collins clarified an MDA was not in place, but a regulatory code was in place. Commissioner Fabel stated a master development plan was in place, which was a detailed document that addresses density and the zoning for the areas. He explained this document has become part of the zoning code for Arden Hills and any changes would require approval from the Arden Hills City Council. He supported the JDA reviewing this information as a baseline. Commissioner Reinhardt agreed this would be valuable information. Director Perrault explained the zoning master plan was approved, which lays out density and guiding for different parcels. He stated this background information could be provided to the JDA at a future meeting. Commissioner Reinhardt supported this information being presented to the JDA. Director Collins recommended the City provide a regulatory walk through for the JDA at the June 5 meeting. Director Perrault suggested he present this information to the JDA Advisory Committee and that they make a recommendation on when this information should be brought to the JDA. Commissioner Frethem stated she supported the JDA receiving a regulatory overview as well. She reported in order to move from goals to a term sheet, the JDA would have to think in terms of goals. She understood the financial aspects of this project would have to be taken into consideration. She suggested this discussion be moved up from October. She noted the County is not in the same place that it was in 2019. Commissioner Monson asked if there was a draft term sheet for the JDA to review. She believed this would be a good foundation for the JDA to consider when moving through its goals, values and mission. Chair Wicklund questioned when the JDA should address the terms sheet and financials. Director Collins discussed how the term sheet would put goals in place and inquired if the JDA wanted to address things like density without having community engagement first. Chair Wicklund stated he was hearing the JDA was interested in seeing the basic contents of a term sheet. Director Collins stated a basic template term sheet could be prepared for the JDA to review. Commissioner Fabel reported community input should be gathered after the master development plan was drafted and again when scenarios for the project were created. Chair Wicklund questioned when a basic template term sheet could be brought forward to the JDA. Attorney Tierney reported she could have this available for the JDA to discuss at their June 5 meeting. Commissioner Fabel commented on how important it would be for the JDA to have a developer on board. Commissioner Monson suggested the JDA have quarterly goals to help prioritize tasks. She explained she liked the fact the JDA held this work session meeting. She recommended a work session meeting be held every other month. She indicated the density and affordability discussions would likely be folded into other topics. Commissioner Frethem recommended traffic, transit and all ability access be discussed at a future meeting. She anticipated information regarding these topics would be available once the updated AUAR was complete. Director Collins stated AUAR updates would be given as the project was being completed and noted this work would be conducted parallel with roadmap. Commissioner Frethem commented jobs and job creation should also be addressed at a future meeting. Commissioner Reinhardt stated the timing for the skeletal information (basic term sheet) would assist with laying out the roadmap. Commissioner Fabel recommended all members of the JDA read the master development plan. He noted this document was previously approved by the City Council and Ramsey County. He reported in order to properly modify this document all members of the JDA should be familiar with this document. Chair Wicklund asked if Commissioners were open to scheduling work session meetings in the months opposite (July, September and November) of the regular JDA meetings. Director Perrault proposed the JDA Advisory Committee work out those dates. Commissioner Monson stated this may not be enough work session meetings. Chair Wicklund questioned if this was an effective use of time and if additional work session meetings should be considered. Commissioner Monson anticipated additional work session meetings would have to be scheduled. Commissioner Reinhardt agreed. Director Collins reported the County would be hiring a Redevelopment Manager who would take the lead for this project. She discussed how the JDA would have to be sensitive to staff time. Commissioner Comments Commissioner Fabel stated an RFP has been put out for the thumb parcel. He noted this parcel was currently zoned as campus commercial and provides for multiple single tenant buildings or campuses within a business park atmosphere. He reported this does not include a retail possibility, yet he was aware of one retailer that wanted to submit a bid. He indicated this would require a Comprehensive Plan Amendment from the City. He commented further on the process that would have to be followed in order to amend the Comprehensive Plan. He questioned if the consensus of the JDA was to direct City staff to amend the Comprehensive Plan. Director Perrault reported the JDA could request City staff to move forward with this amendment and the City Council could consider this further on May 8. He stated a comp plan change would also have to be considered by the County. Director Collins reviewed the uses that would be allowed on the thumb property. She appreciated how Commissioner Fabel wanted to be as expansive as possible, she also wanted to keep in mind the JDA was not trying to steer the proposals towards a specific land use. She recommended the City consider the full range of uses that should be allowed on the thumb property and not just commercial. Commissioner Reinhardt supported this recommendation and stated she would be doing her homework on the thumb property. Commissioner Frethem agreed the full range of uses for the thumb parcel should be considered. Chair Wicklund reported the next JDA meeting would be held on June 5, 2023 at 5:30 p.m. at Arden Hills City Hall. Adjournment Meeting adjourned at 7:31 pm. Approval of Agenda Motion by Commissioner Fabel seconded by Commissioner Frethem to approve the agenda as presented. Motion carried. Approval of Minutes Motion by Commissioner Monson seconded by Commissioner Frethem to approve the April 3, 2023 JDA meeting minutes as presented. Motion carried. Public Input Brenda Holden, 1881 Beckman Avenue, stated in the minutes from last month Richard Wentzel asked what has been accomplished on TCAAP. She reviewed a complete list of all that had been accomplished which began with the creation of a Joint Powers Agreement and the JDA. She noted a master developer was selected through a joint process with Ramsey County and a JPA was approved to clean the property. She explained the City worked with Ramsey County and MNDOT to install roundabouts at County Road H. In addition, I-35W, Highway 10 and 96 were all redesigned to improve traffic flow in preparation of TCAAP. She reported the City created the Land Use Zoning Plan for TCAAP, which Ramsey County approved in 2016 and the AUAR was updated in 2014 and 2019. She indicated a road was installed through the thumb parcel which makes the property more saleable and fiber channel was installed for future use. She reported the City successfully defended the JPA from the Ramsey County lawsuit. Following the County’s direction a TCAAP development proposal was negotiated with the developer in May of 2022 which was rejected by Ramsey County in June of 2022. She reported the City worked with Ramsey County on other potential projects, such as the Vikings Stadium and Amazon headquarters. She commented further on the history of the project noting the City successfully defended the wildlife corridor during the development for Betty McCollum, while also creating a land use and comprehensive plan for TCAAP. She hoped that this summary would help clarify what the City has been doing to prepare TCAAP for development. Linda Swanson, 1124 Ingerson Road, asked Commissioner Fabel to be transparent with respect to the JDA Advisory Committee meetings. She reported this was a unique committee that would be guiding the development of TCAAP and these meetings should be allowed to be seen by all residents. She asked that this committee not remain hidden because this was not transparent. Donna Weiman, 1406 Arden View Drive, indicated it has been stated Ramsey County’s finances have changed in the last few years. She explained she would like to better understand how the County’s finances have changed and what are the reasons. She also wanted to understand what these changes mean for TCAAP and the citizens of Arden Hills. She questioned if a redevelopment director had been selected for this project. She understood the County wanted 15,000 deeply affordable housing units in Ramsey County. She requested the County provide what this income level would be for a family of four. She stated up to 740 more units were being considered for TCAAP and she inquired how this would be accommodated on the TCAAP site. She asked when the County would provide the proposed development terms to Arden Hills. She believed it was reasonable that a draft timeline was known and she believed the citizens of Arden Hills should know this too. Kathy Sukke, 1286 Karth Lake Circle, was of the opinion this committee was stacked at its reemergence by the City and beyond. She stated it was nice that Commissioner Frethem was able to attend these meetings after skipping mediation. She expressed concern with the fact Commissioner Frethem was interested in a density of 2500 units on TCAAP. She feared that Chair Wicklund replacing a citizen of Arden Hills was stacking the deck in favor of the slate. She expressed concern with the fact Commissioner Fabel and Commissioner Frethem were meeting with the developer without these meetings being open to the public. She indicated this does not bode well for Arden Hills. She feared the slate members (Councilmembers Rousseau, Monson and Fabel) were breaking open meeting laws by having an agenda approved before the Council meetings, thus blocking anything that gets in the way of their group think. She stated there is no transparency when it comes to this project and no use of existing insight when it comes to this complicated business. She believed the 8,000 residents of Arden Hills deserved better. She urged the JDA and City Council to begin respecting the taxpayers and citizens of Arden Hills. She recommended an audit function be put in place for each of the critical areas of this project in order to consider the viability of this project. She recommended all future communication with the public be open, timely and honest, not buried in a website. She recommended open houses and public comments be taken before this project moves forward. She suggested an accurate and current traffic study be completed including North Heights and newer developments surrounding TCAAP. She requested the JDA not ruin Arden Hills the way Roseville has been ruined. She discussed how the push for density was four years too late and reiterated that a judge ruled in favor of the City. She did not want to see lousy dense housing on TCAAP as a make up to Ramsey County. She was of the opinion 1200 to 1300 units would be appropriate and livable on TCAAP and would not strain the residents of Arden Hills. She understood water was polluted four feet down on TCAAP, she questioned what this meant and wanted to know how this would impact the community. She wanted to better understand how TIF would be used for this project and wanted to see real integrity used when considering the use of TIF. She recommended an audit function be put in place to review the solid numbers so each area was understood before this project becomes a government induced disaster once again. Consent Agenda None. Overview of TCAAP Redevelopment Code Director Perrault stated the JDA Commissioners requested a brief overview of the TCAAP Redevelopment Code (TRC) at a previous JDA work session. A high-level presentation was provided to the JDA on the TRC. It was noted the purpose of this presentation is to provide an overview of the zoning governing TCAAP as it exists today, which was approved in 2016 by the City of Arden Hills and Ramsey County. While the code was created following extensive work by the City, County, consultants, and many rounds of public engagement, this presentation focuses on what the current zoning allows for on the site. Staff spoke to each of the districts within the development in further detail and asked for comments or questions. It was noted the TRC was available on the City’s website. Commissioner Monson asked staff to provide the JDA with a visual example of gross density for existing neighborhoods in Arden Hills for comparison purposes. Director Perrault stated he would put this information on the JDA website and would bring this information back to the next JDA meeting. Commissioner Monson requested further information how the Town Center District would promote walkability and what tools were in place to create a more walkable and accessible community. Director Perrault reviewed the location of the proposed trails within the development and noted the goal would be to have retail businesses connected by sidewalks within the Town Center. Commissioner Monson stated she wanted to be assured that the TRC and other documents would support this vision for the Town Center area. Commissioner Fabel questioned if the TRC gave much definition for the spine road. Director Perrault stated this would not be found in the TRC, but would be within the preliminary design report for infrastructure which was drafted by Kimley Horn. b. Adopt Energy Advisory Committee Resolution Director Collins stated the Joint Development Authority discussed at the May 1, 2023, Special JDA Work Session the creation of an Energy Advisory Committee to explore and research green energy options for the Rice Creek Commons site to then bring back to the JDA Board. The JDA attorney drafted the Resolution to create this committee. The Resolution establishes that one JDA representative each from the City and County will be committee members, with support from City and County staff. Committee members may invite others, such as subject matter experts, to join committee meetings as needed. Commissioner Reinhardt stated she believed this was an incredibly important thing for the JDA to do. She believed this was more than just a committee and noted she supported this initiative moving forward. Commissioner Fabel recommended the City and County keep in mind the Primer Tracer property may be up for sale in the future, which would be a wonderful space for a solar array. Commissioner Frethem stated she loved this idea and suggested Item 3 be amended to ensure this committee focus on green infrastructure and energy goals that should be put into the master development agreement. She was concerned that technology scenarios or scenarios for green infrastructure were not the role of the JDA. Commissioner Monson explained she supported the committee and the amendment to Item 3 as proposed by Commissioner Frethem. She believed this committee would assist the JDA with pursuing energy funding for this project. Motion by Commissioner Frethem seconded by Commissioner Fabel to adopt Resolution 2023- 02, approving the Creation of the Energy Advisory Committee to the Joint Development Authority as amended. Motion carried. c. Approve JDA Communications Plan Director Collins stated Goff Public drafted the JDA Communications Plan based on the presentation and discussion at the May 1, 2023, Special JDA Work Session. It outlines at a high level the roles and responsibilities of Goff, the County, the City, and other relevant parties regarding communications about JDA activities. Commissioner Reinhardt thanked staff their efforts to put this communications plan together. Commissioner Fabel questioned what the status was of the website. Sarah Swenson, Goff Public, reported the website was update and could be viewed at RiceCreekCommons.com. She noted she was working to put together an FAQ portion for the website. Commissioner Reinhardt supported the website showing density and streetscaping examples for the project. Chair Wicklund asked if Ms. Swenson would be attending all of the JDA meetings, in order to keep the website updated. Director Collins reported Ms. Swenson’s attendance would depend on the agenda items being discussed. She noted Ms. Swenson could always review the minutes in order to keep the website updated. Commissioner Frethem recommended the second bullet point be amended to show the Chair will approve and not the advisory committee. Commissioner Monson questioned if information on Rice Creek Commons was within the City’s website. Director Perrault reported a link has been placed on the front page of the City’s website to direct visitors directly to information on Rice Creek Commons. Commissioner Monson asked if there would be an intention for the website to serve as a vehicle for public comments. Ms. Swenson explained public comment would come through JDA meetings or through a public comment period. Commissioner Monson requested further information on the vision regarding community engagement. Ms. Swenson stated a community engagement consultant would be hired to assist with this task and those consultants would be knowledgeable about the topics. Commissioner Monson inquired when the Directors would be hiring a community engagement consultant. Director Collins reported this would depend on the ask from the JDA and if they had a single ask or if they wanted to hold a series of community engagement events. She anticipated it would take six to eight weeks to hire a community engagement consultant. Commissioner Monson expressed concerns with this process and the fact that the JDA did not currently have a consultant on board to assist with community engagement. She supported the JDA having additional discussions about identifying community engagement topics. Commissioner Reinhardt recommended the JDA have a standing agenda item where the JDA is provided with a communication update. She stated this would be key to this project going forward. Chair Wicklund explained the JDA is being asked to approve a communications plan at this meeting. He noted the JDA was also discussing what a community engagement plan would look like. He stated if the JDA wanted to discuss the community engagement process further this could be done in July. Commissioner Frethem suggested the community engagement process be further addressed under the Road Map discussion. Commissioner Monson supported this recommendation. Approve 2023 JDA Budget Director Collins stated the 2023 JDA Budget is an estimate of ongoing costs related to professional services contracts for legal and communications services, as well as any meeting administration and insurance. A small contingency amount is included to cover unforeseen costs. This budget does not include other potential activities discussed by the JDA including, but not limited to, energy advisory committee expenses and real estate expert presentations. Commissioner Frethem explained for transparency purposes, the JDA has set aside a large portion of the budget for communications and community engagement. Commissioner Monson questioned if additional funds had been set aside for community engagement within the communications line item. Director Collins reported this was the case. Commissioner Frethem asked if legal costs for an MOU from the Energy Advisory Committee would require a separate line item. Director Collins stated if an MOU was with an energy party and the JDA, the costs would be legal in nature and would come out of this budget. Commissioner Fabel inquired if the City of Arden Hills would incur any out of pocket expenses within this budget. Director Collins explained the City of Arden Hills would incur no out of pocket expenses. Motion by Commissioner Reinhardt seconded by Commissioner Fabel to approve the 2023 JDA Budget. Motion carried. Administrative Director’s Report a. Review Road Map Director Collins reviewed the road map for the Rice Creek Commons project in detail with the JDA. She explained a July 3 work session meeting was not reflected on this schedule. She noted the next JDA meeting was scheduled for August 7. Commissioner Reinhardt supported the JDA holding additional discussions regarding community engagement and recommended this topic be added to the Road Map. Commissioner Fabel stated he did not see an entry for a June 9 Advisory Committee meeting on the Road Map. He explained the mass grading and spine road would be addressed at this meeting, along with updated expenditures. Commissioner Frethem indicated there was a lot of infrastructure that has to get back in place in order for this project to move forward. She reported she wanted the JDA to hold structured or meaningful community engagement because there were questions that needed answers. However, she needed these questions to be decided before community engagement should be pursued. She did not believe a July 3 work session to discuss community engagement was necessary at this time, because she was uncertain what questions should be asked of the public at this time. She hoped the JDA would be in a better place in August or September in order to further consider the term sheet. Commissioner Fabel agreed stating there was no new information on the table at this time to discuss. Commissioner Reinhardt explained it may be difficult to hold a work session meeting on July 3. However, the group could possibly meet on July 10. She indicated she would support the group discussing what major topics should be addressed in order to create a framework on how to pursue community engagement. Commissioner Monson stated she would like the JDA to hold a work session meeting in July to brainstorm and create ideas regarding community engagement. She believed this would be valuable for the JDA. Chair Wicklund questioned if there were any other dates in July to hold a JDA work session. Director Perrault reported Mondays were difficult for the City of Arden Hills, except for the first and fifth Mondays of the month. He noted July 31 could work. Commissioner Reinhardt suggested the JDA hold a work session on Tuesday, July 11 at 5:30 p.m. The JDA supported this recommendation. Development Director’s Report a. Receive JDA Advisory Committee Update Director Perrault provided the JDA with an update from the JDA Advisory Committee. He noted the JDA Advisory Committee met on April 13, April 27, May 4, May 11, and May 18 stating remediation issues were addressed. A copy of the minutes from these meetings can be found on the City’s website. He stated the infrastructure package would be addressed at the upcoming JDA Advisory Committee meeting. He commented further on the intent of the JDA Advisory Committee noting all topics would be brought to the JDA at a future meeting. Commissioner Monson recommended the remediation information be placed on the Rice Creek Commons website for the public to review. She stated she looked forward to learning more about the actual costs for this project. Director Collins introduced Ella Mitchell to the JDA noting she would be serving as one of the Redevelopment Managers for this project. She noted Larina DeWalt would be starting with the County tomorrow and would also be assisting with the project. Commissioner Updates Commissioner Frethem thanked Councilmember Holden for providing a summary of all the work that had been done in the past. She then reviewed all of the interactions she has held in Arden Hills in the past year and noted she did not attend any mediation hearings because she was not on the board at that time. She reported she represented the residents of Arden Hills and she wanted Rice Creek Commons to be a good development for the community. Public Input None. Roadmap Review Director Collins stated the Rice Creek Commons 2023 Planning Roadmap lays out meeting dates and goals through the remainder of 2023. This is a living document; it will be updated as the project progresses. The intent of beginning this work session with a review of the roadmap is to lay the groundwork for the community engagement discussion. Understanding when discussions and decisions are expected to happen will help the JDA decide when community engagement sessions may be meaningful and feasible. Staff reviewed the roadmap in further detail and requested feedback from the JDA. Commissioner Reinhardt thanked staff for their efforts on the roadmap. She appreciated having a visual in place for this project. Commissioner Fabel stated there are many indications for potential Advisory Committee meetings, but noted some may not be held. Commissioner Monson reported the first Energy Advisory Committee meeting was held in July and this group would continue to meet monthly going forward. Chair Wicklund requested a summary of the Energy Advisory Committee meetings be made available to the JDA. Director Perrault stated notes were taken at the meeting and would be posted on the website. Commissioner Monson explained the Energy Advisory Committee had a goal of having their final plan an addendum to the MDA. Chair Wicklund requested references to housing including the terms mixed housing, residential housing and affordable housing. Commissioner Monson supported the JDA having a discussion about what the market would support for housing versus how the site was zoned. She wanted the plan to be flexible and adaptable for both now and going into the future. She supported developers coming in and speaking to the JDA about how developments were evolving. Chair Wicklund stated this sounds like the JDA would have to readdress the TRC. Commissioner Monson indicated this may be the case, depending on where housing, industrial and commercial fell into the new plan. Chair Wicklund explained this could greatly change the roadmap for the development. He asked if this could be addressed at the August 7 JDA meeting under the Real Estate Market agenda item. Director Perrault indicated this was his intention. He did not anticipate staff would have financials or energy information ready for the next meeting, which meant the JDA would have time to address the Real Estate Market. He stated he would be reaching out to folks prior to this meeting. Director Collins reported she has reached out to a variety of individuals to speak to the JDA on this topic and she was finding September may be a better time than August to address the Real Estate Market. Chair Wicklund questioned if bringing in experts with disrupt the relationship the JDA was pursuing with Alatus. Commissioner Monson explained she believed Alatus would be very open to this. She was of the opinion the JDA had to bring in an expert that was not the developer to speak to market conditions. She was not excited about having to make any zoning or comp plan changes, but this may be a reality for the project. Commissioner Reinhardt and Commissioner Fabel supported the JDA bringing in subject matter expects to speak to the Real Estate Market in August or September. Director Collins explained she would work to find a subject matter expert to address the JDA on September 5. She indicated the JDA could address the topics of housing and density, land use and market conditions in September. The JDA supported this recommendation. Commissioner Monson stated affordable housing may need its own separate meeting. Commissioner Reinhardt indicated the Real Estate Market encompasses housing and density. She supported the JDA going deeper into each of these topics in September. Chair Wicklund questioned what the JDA would be discussing in August. Commissioner Monson recommended remediation information be presented in August. Commissioner Fabel supported this recommendation but asked when the financial from Ehlers would be presented. Director Perrault anticipated the financials would follow the housing and density discussion. Commissioner Reinhardt explained she could support remediation being discussed in August, but noted she believed no new information would be presented. Director Collins stated she would look to see if the experts were available to attend the August meeting. Commissioner Monson indicated another option for the August meeting would be to discuss County funding options for housing. Director Collins stated the County could speak to what has changed since 2018 on the housing front. Commissioner Fabel requested staff provide the JDA members with an updated version of the roadmap. Community Engagement Planning Director Collins stated the JDA has expressed interest in hosting community engagement sessions. The goals, topics, format, and timing of these sessions is up for discussion at this work session. The prepared document outlines a proposal for a potential fall community engagement event (September or October). This proposal is intended to be a starting point for discussion and will be revised based on feedback provided in this work session. She then read a prepared statement from Commissioner Frethem noting her thoughts regarding future community engagement events. Chair Wicklund asked what one priority or message should be sent to attendees at the community engagement events. Commissioner Reinhardt stated she clearly wanted to hear from the public, but also information should be shared with the public. She wanted to answer and address all concerns regarding the remediation of the site. She believed these events were about communication and getting data to the public in a manner in which people can consume and to better understand where this leads the JDA. She hoped that by providing new information, fears would be calmed, questions would be answered and the public would feel engaged. Commissioner Fabel stated he believed it would be important to help the public understand that the JDA was coming into a process that has been ongoing for 10 years and many decisions were made prior to the current JDA coming into existence. It was important for the public to understand this was not just starting fresh, but rather this was a JDA which has come to a process that was ongoing and some changes were going to be needed due to the five year hiatus. He saw value in the history of this project being addressed. Commissioner Monson recommended a cohesive vision be presented to the public in order to make the public aware of the good that can come out of this project. In addition, she wanted the economics of this project to be cleanly presented to the public. Chair Wicklund questioned what success would look like at these events. Commissioner Reinhardt stated she was uncertain how to define this with a number. She questioned how many people typically attend County events. Director Collins recommended success not be quantified but rather that success be articulated by the diverse thought, interest and engagement from the public. She commented further on how the County holds their community engagement events. She hoped an event would have a strong local and regional voice that was interested in the project. She hoped a diverse group of individuals would carve out the time to attend the community engagement event. Commissioner Monson questioned how many people attended Commissioner Frethem’s event. She believed the Commissioner Frethem held a very successful community engagement event. Commissioner Fabel did not anticipate the JDA would receive an enormous crowd, nor did he believe a cross representation would be in attendance. He hoped the JDA would be satisfied after the event was completed and that thorough information was provided to the public. Chair Wicklund inquired if there was any creative hook that could be used to drive people to the event. Commissioner Reinhardt stated for this type of event, professionals would be used to help assist with marketing the event in order to catch people’s attention. Chair Wicklund summarized the comments from the JDA noting the goals of community engagement events were to build relationship and trust, to provide clear data for the public, and to provide a vision with 3D renderings for the project. It was his hope that having the City and County officials standing side by side on this issue, this would help in breaking the tension. Director Collins commented on how words matter and stressed that as the JDA speaks about housing, it be referred to as housing infrastructure in order to cover all housing types and styles. She asked when this event should be held. The JDA supported holding the community engagement event in October. Commissioner Fabel commented on how the City Council was interested in holding its own open house in order to engage with the public. Commissioner Reinhardt stated it would be her hope that the JDA’s event would be enough. She noted the County would not be holding a separate community engagement event. Director Perrault anticipated that holding this open house would address the questions and concerns of residents. He indicated the City could hold its own open house after this event to further address questions from the public. Commissioner Monson recommended the City’s open house be in response to the JDA’s community engagement event. She suggested the impacts to the school district be further considered for this event, along with City costs, revenues and traffic impacts. Chair Wicklund asked if the City or County has been in communication with the school district. Director Perrault stated he met with the school district two weeks ago to reaffirm they were comfortable with the previous plan and this was confirmed. He noted they did want to take a closer look at the other scenarios that were being considered. He explained he would be meeting with the school district again in October or November to further discuss the density scenarios. Chair Wicklund commented on how a dual scenario may have to be presented to the public for what is and what is being considered. He recommended the JDA further discuss the community engagement event at the August meeting. JDA Advisory Committee Updates a. Format Discussion Director Perrault stated the JDA Advisory Committee discussed the possibility of making certain committee meetings open to the public to attend. Meetings where sensitive topics are being discussed, such as the details of real estate negotiations, would remain closed to the public. The JDA Attorney has advised that open meeting laws do not apply to JDA Advisory Committee meetings, so meetings are open to the public at the discretion of the committee. The JDA Advisory Committee would like to bring this discussion to the JDA. Commissioner Reinhardt supported keeping things open as much as possible. Commissioner Fabel commented the Advisory Committee has had limited utility. He noted this group has worked to establish relationships and mutual trust. But in terms of the work being done, he believed there was limited utility. He was of the opinion if staff believed it was useful from time to time to have these meetings open to the public, that would be fine with him. Commissioner Monson stated she supported the meetings continuing as is. However, she also had no problem with the meetings being open to the public. She anticipated that if the meetings were not proving fruitful, that the JDA Advisory Committee meetings could stop. Chair Wicklund stated the consensus of the group was to allow the JDA Advisory Committee to make a determination on whether or not to open the meetings to the public. b. June 9th Meeting Report Director Perrault stated the JDA Advisory Committee met on June 9th, 2023, to discuss updated infrastructure costs, financials and deal points of the MDA related to the Rice Creek Commons development. He explained this meeting was held between JDA Advisory Committee members, staff, members of Alatus, Ehlers and legal representatives. He explained big pictures items were discussed. The timeline of the project was further discussed and it was noted construction may not begin until 2027. He reported the County was seeking outside financing sources for the project. Director Collins reported the County requested $25 million from the State for the build out of the spine road and this would be considered in 2024. Director Perrault indicated Alatus also provided additional density scenarios at 1785, 2050 and 2360 housing units. These scenarios had increased density in the Town Center North and South as well as the possibility of the southwest corner of the development having townhomes. Chair Wicklund encouraged staff to consider building height in conjunction with increased density. Director Perrault stated the price of concrete was quite high, which has led the developer to propose townhomes in the southwest corner because the Town Center was as dense as it could be. Commissioner Monson questioned if the 1460 density could even be reached if the building heights were all reduced. Chair Wicklund asked staff to investigate this further with the developer. Commissioner Monson inquired when a term sheet would be drafted. Director Perrault stated ideally a term sheet would be drafted by the end of the year and this would set the stage for completion of the MDA for next year. Further discussion ensued regarding the process that would be followed with the MDA. Administrative Director’s Report Director Collins stated the solicitation for the thumb property would close on July 28. Commissioner Monson asked how the public could get information from the County’s Development Directors. Director Collins suggested questions be directed to her and she or staff members Larina DeWalt or Ella Mitchell could respond. Commissioner Fabel inquired if the County has had an appraisal done for the California parcel. Director Collins stated this had not been completed, but she could look into a quote. Development Director’s Report Director Perrault stated the City Council approved the TRC amendments at their June meeting and this would go to the County for final approval on August 1. He noted the JDA Advisory Committee would meet next on July 27 Commissioner Updates Commissioner Reinhardt explained in August she was looking forward to further discussing the community engagement event that would be held in October. Commissioner Fabel stated he was interested in hearing more from the County about what type of funding was available for housing.
