RESOLUTION INDEMNIFYING COUNCILMEN IN
CONNECTION WITH THEIR BEING NAMED
DEFENDANTS IN ROBERT K. CARLSON LAWSU-IT
WHEREAS, by Resolution dated ~~1U1~/.J', 1978, the Arden
Hills City Council established a pO;i;y-~f~demnifying its
Councilmen on a case by case basis, and
WHEREAS, the City of Arden Hills and Henry J. Crepeau, Jr.,
James W. Wingert, Robert L. Woodburn, Charles F. Crichton, and
Ward M. Hanson, in their individual capacities as members of the
Arden Hills City Council, have been sued by Robert H. Carlson,
and
WHEREAS, said lawsuit, as indicated in its title, involves
claims against said Councilmen arising only out of their perform-
ance of their duties as such, and
WHEREAS, the claims embodied in said lawsuit do not
involve any malfeasance in office or willful or wanton neglect of
any duty by any of the above-named Councilmen, and
WHEREAS, each of said Councilmen was acting in good faith
in performing the duties which have resulted in the claims em-
bodied in said lawsuit,

NOW, THEREFORE, BE IT HEREBY RESOLVED BY THE ARDEN HILLS
CITY COUNCIL that it is fitting and proper and in the best
interest of the City of Arden Hills--because of the facts and
circumstances set forth above--that the City of Arden Hills
indemnify, hold harmless and defend each of said Councilmen in
connection with said lawsuit commenced by Robert H. Carlson;
defray any and all attorneys' fees and costs incurred in their
behalf in defending said lawsuit~ pay any judgment which might
be rendered against each and everyone of said Councilmen at
the conclusion of said lawsuit~ and perform any obligations con- .
tained in any judgment against each and every one of said
Councilmen at the conclusion of said lawsuit.
