Public Input
Linda Swanson, 1124 Ingerson Road, stated it was apparent that the JDA has deemed Bob Lux
as the TCAAP developer. She noted the previous City Council went through the required due
diligence of identify, reviewing and accepting Bob Lux as the developer. She believed the
current JDA has been saved a tremendous amount of time and effort. She discussed how this
JDA group was traveling on the back of the previous JDA, who did all of the work. She reported
this JDA has not done any due diligence in locating or reviewing any other developer other than
Bob Lux. She stated this JDA group has not saved the Council, nor the Arden Hills residents any
time. She wanted to make the public aware of the fact that this JDA has not done any of the
due diligence work.
Steve Erler, 1704 Chatham Avenue, thanked City staff, County staff and the JDA for all of their
efforts to put this meeting together. He commented on how there was a shortage of housing in
the entire metro area and that this has been well documented. He stated there was a
tremendous need for affordable housing options and noted Rice Creek Commons provides a
unique opportunity to add significantly to the housing stock in northern Ramsey County. He
discussed how housing affordability was tied to housing density. He urged the JDA to take on
the financial and political challenges that would come with higher density and to include as
much affordable and middle income units as possible.
Lynn Diaz, 1123 Ingerson Road, stated she was in favor of the JDA including as much affordable
housing, that was owner occupied, as possible within this development. She commented on
how ADU's were becoming increasingly popular. She suggested smaller setbacks and side yards
be considered. She hoped the JDA would be considering some sort of community meeting

space within the development. She hoped the project would have senior housing, along with a
daycare and preschool.
Gregg Larson, 3377 North Snelling Avenue, commended the JDA for seeking a new density
housing number. He believed staff did a very good job providing visualizations for what density
would look like within this development and how it relates to existing neighborhoods in Arden
Hills. He stated the original AUAR that was completed in 2014 had two different development
scenarios, 1,500 units and 2,500 units. He noted the site could accommodate this range of
density. He stated the 2019 AUAR considered the same range and came to the same
conclusion. He reported the 1,460 units was a number that was pulled out of thin air and there
was no due diligence in choosing this number. He stated he appeared before the City Council
and requested documentation on why this number was chosen and no documentation was
provided to him. After repeated failures to compromise between the partners, the City, County
and developer have recognized that a new number was needed to move this development
forward. He hoped that new land uses, financial situations, environmental and transportation
considerations will guide consideration to one or more density scenarios that meets the needs
of all partners. He believed this development was a great opportunity that has waited far too
long.
Review Road Map
Director Collins reviewed the Road Map in detail with the JDA.
Commissioner Frethem asked if the community event was still slated for November 1. Director
Collins reported this was the case.
Visualizing Density Presentation
Director Perrault stated City and County staff have prepared a presentation to help visualize
housing density in a suburban setting. Housing density is often measured as units per acre, and
this presentation aims to demystify those numbers by showing images and examples of
communities nearby and their densities. This is intended to be a resource for informational
purposes. Staff reviewed slides to illustrate different densities using examples from
neighborhoods in Arden Hills and other nearby communities. It was noted these examples do
not reflect the design standards or architecture expected within Rice Creek Commons but
rather show land use and scale of development.
Ella Mitchell reviewed additional slides sharing examples of different suburban residential
developments and discussed how similar densities can look different within neighborhoods.
Chair Wicklund asked for comments or questions from the JDA.
Commissioner Frethem thanked staff for the detailed presentation.

Commissioner Monson agreed and thanked staff for providing visuals on the different types of
densities within a suburban landscape. She noted only the Town Center area would have the
look and feel of a high density residential development, while the remainder of the
development would be low density.
Commissioner Fabel asked if the multi-family housing would have underground parking or
surface parking. Ella Mitchell stated typically in an urban environment the parking was
underground while suburban developments include surface parking.
Alatus Development Scenario Presentation
Director Collins stated Alatus has prepared a presentation of proposed land uses changes that
would allow for more housing on the site.
Bob Lux, Alatus, introduced his team members to the JDA. He explained this was a complex
project and the density element was important for the JDA to consider in order to understand
what the neighborhoods would look like. He indicated he was primarily a high density
developer. He believed density was your friend for so many different reasons. He commented
on the cost for underground parking noting underground parking cost $35,000 to $40,000 per
stall. He reported his team would be presenting a concept for the development but noted he
would be looking for dialogue from the JDA. He reported some density within the development
was concentrated in the Town Center South and Southwest Corner. He reiterated that this was
only the beginning of the process.
Alex Duval, who works with Alatus, introduced himself to the JDA and described how Tom
Shaver and Todd Stutz would be contributing to the project. He reported a proposed increase
of 500 units has been recommended for the density. This would take the project from 1,460 to
1,960 units. He stated in preparation for this project there has been a demonstrated demand
for units in this region. He proposed to divide the additional 500 dwelling units into the
Southwest Neighborhood and Town Center South. He reviewed slides of what the increased
density could look like for each area of the development. The variety of housing proposed
within the development was further discussed. The affordability opportunities within the
development were addressed, noting he was hoping to find a balance on the site. He
commented on the land use modifications that would be required to support the density of
1,960 units.
Tom Shaver, Inland Development, commented on the dynamic changes that have occurred in
the commercial world since 2015.
Todd Stutz, Robert Thomas Homes, explained his focus would be on the Hill and the Creek
neighborhoods. He commented on the housing types that would be considered for this project
and stated he was looking forward to participating in this high quality development.

Chair Wicklund stated the JDA would need to have discussions surrounding density, land use,
affordability and other issues. He suggested the JDA begin this discussion with a focus on
density.
Commissioner Frethem reported less than 40 acres of the site would be six units per acre or
above. Mr. Duval reported this was the case.
Director Collins requested further comment on how many stories the buildings would be in
Town Center. Mr. Lux explained the north side of Town Center could have buildings 10 stories
high, which would allow for 100 units per acre. He stated the reality was that the ability to do
suburban high rises was non-existent right now due to construction costs. He indicated the
Town Center would be predominantly five to seven stories and the multi-family buildings in the
Southwest Neighborhood would be three stories.
Commissioner Monson requested further information regarding the Town Center South area.
Mr. Duval discussed the plans for the Town Center South.
Commissioner Fabel stated he would like to know how this density proposal compared with
other developments that were completed recently in the metro area. Mr. Lux stated the
uniqueness of TCAAP was the mix of housing unit types that could be constructed. He
commented on a project he was completing in Hopkins that included four buildings. He
reported there was a minor expansion of the density within the TCAAP development to the
Southwest Neighborhood. He described the benefits of clustering density in the Town Center in
order to make the area more walkable. Mr. Shaver commented on a development he was
working on in Minnetonka stating more density was being brought in for walkability purposes.
Mr. Stutz indicated he was seeing a trend towards smaller single family lots, which increased
the density for singly family residential developments. He discussed how affordability factors
worked into the equation for single family housing.
Commissioner Fabel inquired if this development was more or less dense than other
developments in the metro area. Mr. Lux stated this development was unique because it had all
housing types which made it difficult to compare to other developments in the metro area.
Commissioner Monson asked questions surrounding lot size and wondered if lot sizes would be
reduced to assist with affordability. Mr. Stutz commented on a development he was completing
in Lakeville that had only 35 foot wide lots. He discussed how a mixture of housing types, styles
and sizes were being proposed for this development.
Chair Wicklund requested the conversation shift to the land use modifications.
Commissioner Frethem stated she has heard that people do not want the development to be
too cookie cutter with everything the same. She indicated she appreciated the proposed plans
from the developer. She asked that the developers speak to further to the commercial market
and the reduced amount of flex commercial space. Mr. Shaver reported one of the limitations
on the California piece was the orientation of the spine road. He explained the thumb piece has
a broader depth which would assist in accommodating commercial industrial uses. He stated he
believed the development would benefit by shrinking the amount of flex space. He commented
the biggest change he was seeing in the commercial market over the past seven years was with
the corporate campus market.
Commissioner Monson requested comment on how adding density and traffic along the spine
road would impact the project. Mr. Shaver anticipated the traffic patterns and number of trips
would be downgraded by shifting to residential and away from commercial.
Commissioner Fabel asked what the traffic implications were for adding another 500 units to
the development. Mr. Lux did not believe there would be any traffic implications because traffic
would be widely disbursed due to the diversity of housing on the site.
Chair Wicklund requested the conversation now focus on affordability.
Commissioner Frethem questioned if any of the planned apartments would be condos with
opportunities for ownership. Mr. Lux stated a condo building was originally programmed for
the Town Center, but explained condos were required to be built out of concrete, which was
quite expensive. He noted a senior housing cooperative with 80 to 120 units was now being
proposed in the Town Center and these units would be owner occupied.
Commissioner Monson requested staff bring her information on the loss from ownership to
rental given the density change. She asked that the developers consider how to address this
loss. Mr. Lux commented on how there was a market for both owner occupied and for rent
units at this time.
Director Collins commented further on the affordability expectations for this development. She
stated the County would like to see 10% of the ownership units are built to accommodate a
downpayment assistance program and 20% of rental would be developed at 60% AMI or below.
She reported the County would be a partner that would be investing in the affordability.
Director Perrault asked if Alatus believed 20% of the rental units could be affordable. Mr. Lux
stated this was part of his plan for the project going forward.
Commissioner Monson inquired how Alatus would balance the type of units to ensure units
were not sitting vacant. Mr. Lux explained the affordable units would be full. He anticipated the
market rate units would also be full. He discussed how typical developments were assisted by
TIF which allowed him to build with attractive amenities for five or eight years out. He stated
this would be the challenge for this project, to build something that was forward thinking and
not just for today. He indicated he was supportive of the affordability requirements, but
wanted the numbers to work on the project to ensure it turns out really great.

Commissioner Fabel questioned if various levels of affordability would be considered. Mr. Lux
reported this was the case. He commented on the competitive tax programs (LIHTC) that were
in place to assist with constructing affordable units at 60%AMI or lower.
Commissioner Fabel asked if this development would include a LIHTC project. Mr. Lux
anticipated this development would have at least two LIHTC buildings.
Chair Wicklund requested the JDA now focus on any other comments or questions they have.
Commissioner Frethem requested comment on how the developer will assist with reaching the
proposed energy goals for this project.
Commissioner Monson stated the goal was to have this site all electric.
Mr. Lux commented he was very supportive of this initiative from the multi-family side. He
explained all of his buildings were heated and cooled through a VRF system. He indicated the
only natural gas he has been putting in buildings was for outdoor grills.
Mr. Stutz stated he cannot recall the last time he sold an electric range. He commented on how
the market was preparing for a shift to more electric appliances and solar panels. He reported
he was working to be net zero energy ready. He indicated another concern for him was that the
market was not there for electric furnaces.
Chair Wicklund commented for those serving on the Energy Advisory Committee, this may be a
tension point. He stated there would need to be more discussion around this in order to make
the residential housing work.
Commissioner Monson explained she understood the residential side of this development
would be the biggest challenge when it comes to being all electric. However, she believed a
home could be built without a gas stove. Mr. Duval stated Alatus was very keen to the energy
strategies for this development and was willing to dig deeper into the goals. He anticipated not
everybody was ready for this type of development, but he also did not want to create a
condition where opportunities were missed. He discussed how there was a lot of opportunities
around electric vehicles that could be addressed through this development and to seek funding.
Commissioner Monson indicated she was very practical when it came to this and she
understood people wanted gas stoves, but she was looking at a bigger picture issue when it
came to climate change.
Commissioner Frethem stated the real question is, are there enough folks that could support
this development being all electric and that would want to live in an energy forward
community.

Chair Wicklund explained the developer was hearing comments about energy and how this
could be handled. He stated there was a desire to make this development very, very unique,
especially in Minnesota. He asked if there were practical strategies and energy solutions that
should be understood or should be implemented at this stage in the game.
Director Collins stated in terms of timing, the market may not be ready today, but the project
required the installation of a spine road and mass grading. She commented on how it would be
a few years before vertical construction would begin. During this time, federal dollars could
flow into this project. She wondered how markets would continue to change in the next three
to five years.
Mr. Stutz commented it may be a hard sell to convince buyers to spend an additional $30,000+
more on a zero net home that was all electric. However, he anticipated there would be a
demographic that would be willing. He explained if this development were branded as an
energy leader, this may draw people to the community.
Mr. Duval stated finding a balance would be key. He encouraged the JDA to find promising
partners, such as Xcel, in order to pursue this initiative.
Commissioner Monson thanked Mr. Stutz for his comments. She indicated she does a lot of
high level policy work with top energy people from the State of Minnesota. She reported she
understood the ability to execute an all electric community was difficult given current human
behaviors. She asked if the developer would have any areas where there would be a mix of
retail with residential.
Mr. Shaver stated a retail node sits on the southeast portion of the site.
Chair Wicklund asked if the developers were seeing an increase in offices in homes.
Mr. Shaver stated working in place or working from home was on the rise. He discussed how
the collaborative spaces within multi-family developments were being utilized by tenants.
Mr. Stutz discussed how traffic patterns were changing and more residential home now had
separate offices.
Commissioner Fabel questioned if the construction and architectural standards needed to be
modified for this project.
Mr. Lux stated he did not see any need on the multi-family side.
Mr. Stutz stated he believed the current standards were fine.
Commissioner Fabel noted he recently worked on a Habitat for Humanity project in
Minneapolis. He asked if this type of project could be incorporated in this development.

Mr. Stutz reported he does not have experience with this organization.
Mr. Lux indicated he has not done a project with Habitat for Humanity but stated it would make
sense to work with them.
Further discussion ensued on how the current building standards may impact affordability of
the housing units within the development.
Director Perrault requested the developers provide the JDA with a list of building requirements
that make affordable units more difficult. Mr. Lux stated he would do this.
Commissioner Monson stated she wanted high quality homes, as well as affordable homes
within this development. She hoped the right balance could be struck.
Chair Wicklund asked that the JDA have a brief conversation on if there was consensus around
the proposed density of 1,960 units.
Commissioner Frethem stated she supported the project having 1,960 units. She noted even at
this number, the vast majority of the project would still remain low density.
Commissioner Monson questioned what would be dropped if the density were reduced to
1,780.
Mr. Lux anticipated some of the units in the flex area would be reduced.
Commissioner Monson requested Alatus provide examples for the 1,960 and 1,780 densities at
the open house.
Commissioner Fabel questioned if the developers believed the 1,960 number was the correct
density in order to create a successful development. Mr. Lux stated he believed this would be a
successful development at 1,780, 1,960 or 2,500. He was of the opinion the 1,960 number was
a good number and that the proposed layout works well on the site. He recommended the JDA
stick with 1,960 or go higher because there was a demand for housing.
Commissioner Fabel asked Mr. Lux to speak further on what he means when he said density is
your friend. Mr. Lux commented from an environmental standpoint and the enjoyment people
could have in their housing units, when higher density products are created more amenities can
be included. He explained this community was perfectly located and he believed the more
density the better.
Commissioner Monson stated when she thinks about a community and what people want
today, it includes amenities and transit options. She reported this development was not being
built for her but rather was being built for the next generation. She indicated this was attractive

to her and she understood some level of density would be necessary in order to bring in the
desired amenities/restaurants. Mr. Duval discussed how density led to a more efficient use of
infrastructure.
Chair Wicklund thanked Mr. Lux and his partners for being present at this meeting.
Administrative Director's Report
Director Collins reported the JDA would be meeting next on Monday, October 2 where the
group would be discussing Outlot A, the road map, density scenarios for the project, and the
community event scheduled for November 1.
Development Director's Report
Director Perrault stated he had no report.
Commissioner Updates
Commissioner Frethem stated Commissioner Reinhardt sent her regrets for not being able to
attend this meeting.
Commissioner Monson asked if there was a status update on the preliminary development
agreement. Director Collins reported this document was days away from being transmitted
back to Alatus. She explained this document would be between the JDA and the developer.

Approval of Minutes
Motion by Commissioner Fabel seconded by Commissioner Reinhardt to approve the August 7,
2023 and September 5, 2023 JDA meeting minutes as presented. Motion carried.
Public Input
Brad Bjorklund, 3550 Ridgewood Court, stated George Floyd was killed by Minneapolis Police
and it brought to life the term institutional racism. He believed the City of Arden Hills has
practiced institutional racism for years by not encouraging but discouraging meaningful low
income housing. He stated compared to neighboring communities, Arden Hills was a standout
dismal failure, showing just how institutional racism works. He explained if the JDA moves
forward with the 1,960 units on Rice Creek Commons this would help Arden Hills be more
human. He believed this plan speaks well for the City doing the right thing.
Mary Henry, 3521 Ridgewood Court, provided the JDA with an article from August from the
Pioneer Press. She explained this article discussed how the metro area was the first
metropolitan area to fall below 2% inflation in May. She noted this article attributed this result
to building housing in the metro area, while also pumping $320 million into rental assistance.
She indicated there was still a need for more housing in the metro area, but the Twin Cities was
not facing the same struggles as other metropolitan areas around the country. She urged the

JDA to support the 1,960 units on Rice Creek Commons, noting the entire region would benefit
from this development.
Lyle Salmela, 1480 Arden Vista Court, explained he supported the 1,960 residential density on
Rice Creek Commons. He appreciated the fact the development would have affordable housing
as well as architect designed homes. He noted he sent an email to each of the JDA members
and urged them to read it. He stated he supported the entire project being electric and net
zero. In addition, he supported the JDA hiring an energy consultant. He recommended the JDA
speak to what greenhouse gases would be saved by going all electric. He recommended the
consultant produce a video on what can be expected for Xcel and the developer.
Lynn Diaz, 1143 Ingerson Road, stated she was happy to see the JDA moving forward and
exploring ways to find a development plan that would be acceptable to both the City and the
County. She believed it was reasonable to choose something in between the outdated plan and
the AUAR maximum. She urged the JDA to find ways to incorporate affordable housing into Rice
Creek Commons both for rent and owner occupied. She anticipated younger residents would
enjoy walkable amenities. She believed climate change was the community's greatest threat
and she hoped the JDA would do all it could to embrace designs and technology that would
limit the damage we are inflicting on the planet. She urged the JDA and developer to consider
this thoughtfully in order to be a leader with this development.
Steve Ehler, 1704 Chatham Avenue, commended the JDA for expeditiously restarting the Rice
Creek Commons development project. He discussed how the JDA was building on the work of
their predecessors while adapting to the needs of the future. He stated a key decision before
the JDA was to set a number of housing units. He explained he supported the 1,960 unit. He
believed this was well within the capacity of the site and would assist in providing much needed
housing for the region.
Gregg Larson, 3377 Snelling Avenue North, urged the JDA to support the staff recommendation,
which would be to move forward with the 1,960 units for Rice Creek Commons. He stated the
development of Rice Creek Commons was a tremendous opportunity but one that has been
squandered for the past six years. He discussed how the 1,960 was the midpoint between 1,500
and 2,500 range that has been proposed for this project. He commented on how the additional
500 units would put more affordable housing units on the site. He explained if this proposal was
supported by both the City and the County the JDA could further consider the finances for this
project all in the aim of reaching a master development agreement with Alatus.
Christy Jacob, 1492 Arden Place, stated she supported the proposed 1,960 units within the Rice
Creek Commons development. She believed safe and affordable housing was foundational to a
healthy and diverse community.
Steve Scott, 4286 Norma Avenue, read a comment into the record on behalf of Councilmember
Brenda Holden. The statement read as follows: Councilmember Holden was appalled by the
JDA's action to perpetuate and allow misinformation. She explained the 1,460 units previously

proposed was not pulled out of thin air. But rather was derived after numerous public
discussions, conversations with stakeholders and multiple open houses. She reported Alatus
President Bob Lux was part of the consensus when the JDA previously established the 1,460
number as was former Councilmember now serving as Chair of the JDA,Jonathan Wicklund.
She indicated the JDA was all about transparency, but did nothing to correct the
misinformation. Historical information was provided on how the previous JDA came together to
decide on park sizes, lot sizes for the different neighborhoods, parking and street locations. She
expressed frustration with the fact the JDA did not correct the misinformation that the 1,460
number was picked out of thin air. She reported this claim was not part of the public record
and on video for all to view. She noted when the City arrived at this number, none of the
people serving on the JDA choose to attend the public meetings, except for Chair Wicklund. She
expressed frustration with the fact the JDA Advisory Committee was holding closed door
meetings and was then announcing plans, which was not transparent. She discussed how
Commissioner Frethem came to the City Council and spoke to them about all kinds of County
projects and yet the largest project facing the community, TCAAP, was not one of them. She
commented on how the Councilmembers serving on the JDA ran on a campaign that promised
transparency, that TCAAP was not to impact traffic, and that residents would be allowed to
vote on the final decision. She questioned what happened. She believed the JDA has embarked
on decisions without providing information or input from current or past Councilmembers,
without involving the public, or without considering any transportation solutions or studies. She
noted Congresswomen Betty McCullum once told her this was her city and not the county's and
it was her job to do what was in the best interest of the City. She urged the JDA to consider the
impacts of their decisions on the City.
Donna Weiman, 1406 Arden View Drive, noted the JDA were elected representatives were
closing in on a TCAAP plan without any public participation. She explained the plan was
conceived behind closed doors at JDA Advisory Committee meetings. She indicated even the
mayor was not allowed to attend these meetings. She stated a plan was being presented to the
public when it was so far along the JDA was seeking feedback instead of input. She discussed
how the TCAAP development will change the character of northern Arden Hills for decades to
come. She indicated there were currently 1,435 units in the northern part of the City and the
population was 3,730. She explained the number of units proposed for TCAAP was 1,960, which
would add 5,170 people to northern Arden Hills. She reported there were no plans for public
transportation for this area and most of the people living in the new units would need cars to
get groceries, to medical appointments, etc. She feared how traffic in northern Arden Hills
would be impacted. In addition, a big box retail store was being proposed within the
development, which would draw additional traffic to the area. She believed the proposed
density for northern Arden Hills was excessive. She asked what she could do to make the JDA
care about the people living in northern Arden Hills.
Linda Swanson, 1124 Ingerson Road, stated she was saddened and appalled that the Arden Hills
City Council, nor its residents were invited to attend the November 1 community event that has
been planned. She explained she found out about this event after visiting the Ramsey County
Rice Creek Commons website. She reported there was nothing on the Arden Hills website about

the event. She stated based upon the agenda she believed the JDA minds were already made
up, long before involving the public. She feared that Councilmembers Monson and Fabel were
not holding up to their transparency promises. She noted decisions were being made and the
public was not involved. She requested that a list be created of any and all resident
recommendations that have been included in JDA plans. She stated she was requesting this
information because it appears the only recommendations the JDA has considered have come
from Tom Fabel and Tena Monson.
Emily Carr, 4265 Norma Avenue, stated she supported the increased housing density proposal.
She indicated she was not scared by the increased density and traffic, or how this project will
impact the schools. She noted she has spoken to a lot of her neighbors and they supported this
proposal as well.
Susan Johnson, 1220 Karth Lake Drive, commended this group because TCAAP/Rice Creek
Commons was the City's future. She stated when Patty Wetterling ran for Senate, her platform
was if it was good for our children, it was good for us. She discussed how affordable housing
was the best thing the community could do for its children. She believed it was a moral
imperative, noting she fully supported the increased density. She indicated the problems
people had with increased taxes would be minor when compared to the positive impact the
new affordable housing could have on children. She supported the JDA moving this project
forward.
Esther Dant, 3511 Ridgewood Road, commented on how loneliness and depression were filling
the lives of this City, country and world. She believed the JDA had an amazing opportunity to
address this through the proposed project.
Khan Winn, 1304 Amal Road, stated she supported an increased level of affordable housing
within this project. She urged the JDA to consider how to be good citizens and good neighbors.
She indicated she came as a refugee from Vietnam and people helped her. She wanted to see
continued goodwill in this community.

a. Review Road Map
Director Collins reviewed the Road Map with the JDA. She reported the JDA would be hosting a
community event on November 1. She indicated the JDA could hold a worksession meeting on
November 6 where the community event could be debriefed. The JDA supported holding a
worksession meeting on November 6.
Commissioner Monson reported the Energy Advisory Commission met on September 28.
b. Communications Update
Director Collins provided the JDA with a communications update. She stated Goff Public worked
with Ramsey County to complete updates to the Rice Creek Commons microsite, including the
FAQ. One person submitted an inquiry through the microsite contact portal, which Ella Mitchell
from Ramsey County responded to directly. In August, Goff Public responded to a reporter
inquiry from Sahan Journal regarding the current status, funding and community engagement
timeline for Rice Creek Commons. No coverage has been published to date. Separately, the
Pioneer Press covered Rice Creek Commons as part of an article on current county and city
bonding requests with the Minnesota Legislature: St. Paul, Ramsey County ask lawmakers to
boost 26 major construction projects. Goff Public is preparing to promote a community
engagement event that will be hosted by the JDA in November. Communications will begin as
soon as event details are finalized.
Chair Wicklund stated he has had investigative reporters reaching out to him and he has been
referring these individuals to Goff.
c. Environmental Update
Director Collins provided the JDA with an environmental update. She stated County staff will
provide a brief Environmental Update for Rice Creek Commons as it relates to the former Twin
Cities Army Ammunition Plant (TCAAP). Environmental Update summary provided is based on
information obtained through staff attendance at recent TCAAP Environmental meetings
conducted by the Army and its consultants. It was noted environmental consultants will attend
the Community Engagement Event on November 1 to provide additional details and answer
specific questions.
Redevelopment Manager Larina DeWalt provided the JDA with an environmental update. She
explained as the Army continues to perform ground water remediation on the site City and
County staff was staying apprised of the situation. She reported the packet included an outline
of recent environmental updates that were provided by the Army. She noted in September, the
Army held three meetings with the Army's internal team, consultants, as well as City and
County staff. She indicated the Army announced they have a new remedial project manager for

the site, Thomas Toudouze. She reported the next meetings with the Army would be held in
February. She provided further comment on the information that was provided by the Army
regarding the ground water remediation system. She reported the new system was shrinking
the plume and clean water was being pumped, which was good news. She stated the Army
would continue to update the modeling and test the system. She provided further comment on
the compounds (PFAS) that were being studied on the site. She noted four sites on the TCAAP
property were found to have PFAS in the ground water, three of the four being within the Rice
Creek Commons area. She explained the final report was under review and would be posted on
the Army's website for the TCAAP project. She stated the next steps would involve remedial
investigation and a feasibility study that would be completed in 2024. She commented further
on the Round Lake remediation project noting this project was awarded in August and design of
the project would continue through 2024. She noted environmental specialists would be on
hand at the community event to address questions or comments.
Commissioner Reinhardt thanked Ms. DeWalt for her detailed presentation.
Commissioner Fabel requested further information regarding how the Round Lake remediation
project would be completed. He questioned why the sediment from the lake would be stored
on Rice Lake Commons property. Ms. DeWalt explained moving the material off site was looked
at within the feasibility study and was determined to be less efficient. She commented this
project would take six months to complete and the County does not believe the placement of
this material on Rice Creek Commons property would impede the overall development.
Director Collins added in conversations with the Army they have agreed to not disrupt or
impact this project. She noted the contaminants within Round Lake were not concerns for
human life, but rather were ecological contaminants that impacted plants and fish. She
reiterated that the placement of the material would not interrupt the installation of the spine
road.
Commissioner Fabel asked if the Round Lake remediation project was an Army expense.
Director Collins reported this was the case.
Commissioner Frethem thanked staff for the update and for working with the Army on the
Round Lake remediation. She recommended information regarding the cleaning and delisting
process be provided to the public at a future JDA meeting. She indicated the public needs to
know this site is not going to be provided with ground water from the site. She supported a
general environmental overview be provided at a future JDA meeting to ensure everyone was
on the same page.
Chair Wicklund suggested this information be provided on the JDA website as well. Director
Collins stated she planned to have an environmental consultant at this meeting, but they could
not attend this evening. She noted representatives would be at the community event and staff
could then build off of this event.

Commissioner Monson asked where the three PFAS sites were located on the Rice Creek
Commons property. Ms. DeWalt noted one was around the former fire station and two areas
around Site K. She explained no soil or surface water samples were taken.
Commissioner Reinhardt stated it was important to note the Army's contractor would properly
manage the remediation work on Round Lake and she looked forward to seeing how the site
looks after the work was completed. Ms. DeWalt commented further on how the Army's
contractor would be using mechanical dredging and the soils will be hauled off.
d. Recommend Proposal for Outlot A to County Board
Director Collins stated staff has prepared a presentation that reviews the evaluation process of
proposals received through the Outlot A Request for Development Interest (RDI) and provides
an overview of the proposals recommended by the evaluation team for consideration by the
J DA.
Ella Mitchell commented further on proposals that were submitted for Outlot A or the thumb
parcel. She reviewed the process that was followed for the RDI noting the request was issued
on April 24. She explained the County received six proposals for the property. On August 31 the
evaluation team discussed all proposals and the JDA Advisory Committee met on September 7
and made recommendations for the JDA. She reported the JDA would review the
recommendations from the Advisory Committee and would make a recommendation to the
County Board. The County Board would review this recommendation on (in a closed meeting)
October 10.
Ms. Mitchell discussed the evaluation criteria that was considered by the evaluation team for
the six proposals for Outlot A. She explained the top three proposals (A, E and F) would be
presented to the JDA this evening. Staff provided further comment on the proposals and it was
noted Proposal A rated the highest scores from the evaluation team.
Chair Wicklund asked what direction staff was seeking from the JDA. Director Collins explained
staff was looking for a recommendation on which proposal should be brought to the County
Board. She reported a subsequent development agreement would be brought back to the JDA
in the future.
Commissioner Fabel questioned how the evaluation team rated things, such as racial equity and
inclusion when future tenants were unknown. Ms. Mitchell reported the proposals that scored
high on this were based on their construction hiring practices and had thorough answers on
how they hired a diverse or minority workforce. Director Collins explained one of the scoring
criteria was the diverse contracting and workforce goals. She noted this language would be
found in any development agreement with the County. She commented on how these
developers have businesses waiting in the wings that were eager to find a spot in this region,
but this information was protected at this time.

Commissioner Fabel expressed concern with how the evaluation team determined how many
employees would be located on the site without knowing the nature of the final tenants. Ms.
Mitchell commented the final three proposals rated highly because of their development
experience. She reported the employee numbers were based on past development experience
as well as the proposed square footage of the space being developed.
Commissioner Monson asked if any of the proposals had a timeline for construction. Ms.
Mitchell indicated a broad range was proposed for each of the proposals, but noted this would
hinge on the approval process. She anticipated the site would not be developed until 2025 or
2026.
Commissioner Monson requested further comment on the clean energy questions that were
asked of the developers. Ms. Mitchell commented on the questions that were asked of
developers, noting they were asked if all electrical was possible. She stated Proposals A and F
said all electric would be feasible. She noted Proposals A, E and F all had good green building
practices.
Commissioner Monson stated Proposal F appeared a little tired to her. She commented on how
the JDA was working to make a unique development and she wanted to see this area of Rice
Creek Commons having walkability. She indicated she supported Proposal A moving forward to
the County Board and appreciated the fact this developer would be coming in all electric.
Commissioner Fabel asked who served as the financial consultant on the evaluation team. Ms.
Mitchell stated Bruce Kimmel from Ehlers served as the financial consultant.
Commissioner Reinhardt stated she appreciated hearing from the city representatives first
regarding this matter. She indicated the County Board had reviewed all six proposals at a closed
meeting. She explained Proposal A hits the mark the most and she supported this proposal
moving forward.
Commissioner Frethem requested staff speak to the tax base increase for the different
proposals. Ms. Mitchell stated the County Assessor's office did a high level assessment based
on the proposals. She recalled Proposals A and F were on the high end and Proposal E was hard
to determine because there was no information for the north portion of the development.
Commissioner Frethem questioned how each of the developments would impact traffic. Ms.
Mitchell noted Public Works did a broad estimate based on the information provided and noted
Proposal E would drive more traffic than the office uses. She stated Proposals A and F would
have similar traffic counts.
Commissioner Frethem indicated she appreciated the return on investment, the all electric
concept and walkability that was incorporated into Proposal A. For this reason, she supported
Proposal A moving forward.

Commissioner Fabel explained based on the recommendation of the evaluation team, he would
be supporting Proposal A.
Motion by Commissioner Monson seconded by Commissioner Reinhardt to recommend
Proposal A for Outlot A to the County Board. Motion carried.
e. Request City and County Consideration of TCAAP Redevelopment Code (TRC)
Amendments
Director Perrault stated following the presentation from Alatus to the JDA at the September 27,
2023, Special Work Session, City Staff reviewed the proposed development density scenario of
1,960 units to the City's TCAAP Redevelopment Code (TRC) in order to determine what
amendments, if any, would be necessary. As shown in the Alatus presentation, the TRC includes
as Attachment 1 the TCAAP Proposed Regulating Plan. This regulating plan illustrates the
breakdown of total acreage for all of the TRC zoning districts, as well as the gross density range
and maximum residential units by residential neighborhood/zoning district totaling 1,460 units
as currently approved under the TRC. Based on the proposed density of 1,960 units from Alatus,
Staff has confirmed that a TRC Amendment would be required to modify this table. It should be
noted that a TRC Amendment would be triggered most likely with any change to the
breakdown of acreage by zoning district and/or density as a result of the adopted Maximum
Residential Units table which is formulated to 1,460 units.
Director Perrault explained along with the TRC Amendment, staff would note that the City's
Comprehensive Plan would also need to be amended for the proposed density scenarios due to
the increase in residential units of the Town Center NR-4 zoning district and conversion of the
southwest corner of the TCAAP site from Flex Office to Residential. While regular zoning code
changes can be done on a simple majority vote, Comprehensive Plan amendments require at
least four affirmative votes by the City Council. However, per State Statute, a Comprehensive
Plan Amendment can be done on a simple majority of it allows for affordable housing, the
stipulation is that 20% of housing units in the development must be affordable at 60% of Area
Median Income. The exact language from statute is as follows:
Amendments to permit an affordable housing development are approved by a simple
majority of all of the members. For purposes of this subdivision, "affordable housing
development"means a development in which at least 20 percent of the residential units
are restricted to occupancy for at least ten years by residents whose household income
at the time of initial occupancy does not exceed 60 percent of area median income,
adjusted for household size, as determined by the United States Department of Housing
and Urban Development, and with respect to rental units, the rents for affordable units
do not exceed 30 percent of 60 percent of area median income, adjusted for household
size, as determined annually by the United States Department of Housing and Urban
Development.

Director Perrault reported this means that for approval at the City level, the proposed changes
would require at least four affirmative votes, unless the affordable housing clause is met, in
that case the proposed changes could be done with a simple majority. Upon a recommendation
of the JDA to direct City and County Staff to bring forth the proposed density of 1,960 units to
their elected officials. Staff provided a summary of the proposed review of processes and
timelines for the anticipated amendments.
Commissioner Reinhardt commented on how the world runs on compromise because not all
people run their lives the same. She appreciated the work that was done by the City on the
AUAR. She supported the proposed compromise of 1,960 units and believed this would be a
great project moving forward.
Commissioner Fabel stated density within this project was one of the most controversial items
when it came to this development. He discussed how the previous impasse led him to run for
office for Arden Hills in order to get this project moving again. He knew from the very beginning
that 1,460 was a non-starter. In addition, he believed a larger number was politically necessary
but also financially and morally necessary. He commented on how the developer was asked to
provide a range and the JDA Advisory Committee was provided a range between 1,700 to 2,200
units. He explained he appreciated the high level of consultants and the information that was
presented by the developer last week. He reported he would be supporting the density of 1,960
for the Rice Creek Commons development.
Commissioner Frethem believed it made sense to proceed forward with the proposed density
of 1,960. She supported the JDA reviewing and amending the term sheet that was previously
discussed between the City and Alatus.
Commissioner Monson stated 1,960 units would be a maximum that the developer could build.
She commented on The Heights development in St. Paul, noting this development would have
1,000 units on 112 acres. She urged residents to see the difference between an urban and
suburban development. She explained she was excited to see how the developer had the
density focused in the Town Center that would then transition to larger lots moving away from
the Town Center. She indicated the vast majority of the site would have less than five units per
acre. She appreciated how the developer was willing to work with the JDA to meet its energy
goals. She wanted to see this development built for the future, which would different from how
current neighborhoods in the City looked. She thanked staff for all of their efforts and noted
she would be supporting 1,960 units moving forward for the Rice Creek Commons
development.
Commissioner Frethem explained Rice Creek Commons was the size of downtown St. Paul. She
clarified that 40 of the 400+ acres would be at a slightly higher density than what Arden Hills
was right now. She did not believe the proposed density was out of line, but rather was
informed by experts and was in line with other developments occurring in the metro area.

Motion by Commissioner Fabel seconded by Commissioner Frethem to direct City and County
staff to bring forward TCAAP Redevelopment Code (TRC) Amendments to their elected officials
based on a density scenario of 1,960 units.
Director Perrault explained through this motion, City staff would be directed to bring forward
the administrative changes required as put forward by Alatus.
Director Collins reported the process would first start at the City level with the Planning
Commission, then the City Council and the County Board would be asked to affirm this decision.
Motion carried.
f. Approve Rice Creek Commons Energy Vision
Commissioner Monson stated the JDA Energy Advisory Committee drafted a vision statement
outlining the clean energy and sustainability goals and vision for Rice Creek Commons. This
vision reads as follows:

Rice Creek Commons will be a vibrant and unique, climate-forward development that
aligns with the goals outlined in the State of Minnesota's Climate Action Framework:
carbon neutrality, clean energy, climate resiliency, equity and innovation. Rice Creek
Commons will attract investment and partnership that will create sustainable benefits
for the community.
Guiding Principles
Develop a resilient community for energy and other utilities using clean energy
technologies, reducing consumption, and reusing local resources onsite.
Implement infrastructure solutions that are flexible and scalable over 50 years, including
developing the site to be adaptable to future technological needs.
Deliver a model of efficient energy and water usage that minimizes Rice Creek
Commons' impact on the environment.
Create an economically competitive and attractive environment for developers and
businesses to create a vibrant community with multi-modal transportation options.
Commissioner Monson explained the committee would like the JDA to approve this vision.
Commissioner Reinhardt stated she appreciated the efforts of the Energy Advisory Committee
for creating an updated vision and guiding principles for this project.
Commissioner Fabel asked if this vison has been provided to the developer.

Commissioner Monson stated the developer was aware of the vision and noted more
information would be included in the MOU.
Commissioner Frethem thanked the Energy Advisory Committee for all of their work on this.
Chair Wicklund proposed a minor language change noting the equity concept comes from the
vision and goals from the State of Minnesota Climate Action Framework.
Commissioner Monson supported this minor change.
Motion by Commissioner Monson seconded by Commissioner Reinhardt to recommend
approval of the Rice Creek Commons Energy Vision as amended. Motion carried.
g. Approve Scope of Work for Energy Consultant
Commissioner Monson stated the JDA Energy Advisory Committee (EAC) drafted a scope of
work for an energy consultant to guide the JDA and developer in creating practical strategies
for achieving the Energy Vision for Rice Creek Commons. The EAC requests that the JDA
approve this scope of work so that they may begin the process for getting a consultant on
board, including determining budget, timeline, and procurement process.
Commissioner Reinhardt stated she appreciated how this consultant would assist the EAC and
JDA with reaching its goals and visions for this project.
Commissioner Fabel asked if it was typical to have a consultant on board to work with the
developer on a project of this type.
Commissioner Monson stated the JDA would have a consultant and she anticipated the
developer would have its own energy consultant once the project begins. She commented on
how the JDA's energy consultant would be able assist the group with pursuing bonding and
grants for energy initiatives.
Motion by Commissioner Frethem seconded by Commissioner Monson to approve the Scope of
Work for Energy Consultant. Motion carried.
Administrative Director's Report
Director Collins provided an update on the community event that was scheduled for November
1 noting this event would be held in the Marsden Room at the Ramsey County Public Works
Facility in Arden Hills from 6:00 p.m. to 8:00 p.m. She explained a short presentation would be
provided and there would be topic specific stations. She indicated staff would be on hand to
field questions. She reported the County continued to engage with legislators regarding the

bonding ask. She stated a draft preliminary development agreement has been presented to the
developer for Outlot A.
Commissioner Monson recommended all of the greenspace, parks and water features be
featured during the community event. She asked that a representative from the school district
be invited to attend the community event.
Chair Wicklund asked if Arden Hills was considering an open house. Director Perrault
anticipated this would be discussed at the Council's next worksession meeting.
Development Director's Report
Director Perrault reported the JDA Advisory Committee has not met since the last JDA meeting.
Commissioner Updates
Commissioner Frethem stated there was a difference in not caring for Arden Hills residents and
not agreeing with their conclusions on certain items. She cared deeply about the residents of
Arden Hills and in her entire District. She noted she lived closer to the TCAAP development than
many residents in Arden Hills. She indicated this development would impact her personally and
she would not do anything to hurt this community. She reported she was taking time away
from her family in order for this project to more forward in a productive and transparent
manner.

Public Input
Linda Swanson, 1124 Ingerson Road, stated at the last Arden Hills Council meeting she
presented a number of questions that she would like to see answered. She presented these
same questions in hopes of receiving answers. She explained she understood TCAAP would be
developed, but she did not agree on how it was being developed. She feared residents were
misinterpreting the term "affordability" as it pertains to TCAAP housing. She understood
residents wanted housing available and affordable for the next generation. She anticipated the
TCAAP development would only have affordable units for those that qualify per AMI
requirements. However, the non-qualifying residents would not have subsidized financing and
would be forced to pay market value. She believed it was misleading for the JDA to speak about
affordability without defining what they mean. She recommended the JDA begin talking about
market rate costs. She then reviewed the estimated home values for the JDA members. She
commented on how Arden Hills was not affordable for first time homebuyers. She explained
the rental rates for the New Perspective 55+ has a one bedroom renting for $2,510 and a two-
bedroom was renting for $5,014. She reviewed further rental rates for apartments in Arden
Hills and Shoreview and noted these numbers were not affordable for first time homebuyers.
Lynn Diaz, 1143 Ingerson Road, asked that the JDA will ensure there is a large chunk of
purchased affordable housing in order to allow the future residents to build equity. She
indicated this will make for a stronger community. She hoped these units would be required to
be owner occupied with covenants in place in order to maintain affordability levels. She
recommended the apartment buildings have an adequate amount of greenspace. She also
hoped there would be more gathering and social infrastructure spaces built into TCAAP.
Kathy Sukke, 1286 Karth Lake Circle, stated she has lived in her home for 38 years. She
explained the City now a stacked body making decisions on density, which Tom Fabel has stated
is a moral imperative. She stated density was not a moral imperative, but rather it was a

mandate from an authoritative government that pretends it knows what is livable and wanted
for the long term. She reported housing is important, but should not be gained in a manner that
denies the voices of Arden Hills residents. She believed the process being followed by the JDA
was lacking civic virtue which was immoral. She explained Jon Wicklund serves on the Planning
Commission and serves on the JDA, but the Mayor and Councilmember Brenda Holmes were
denied access to the JDA, which was a group they formed. She feared this was unethical. She
urged those serving on the JDA to be wise, honest and fair. She anticipated the public would
continue to not be able to trust the actions of the JDA so long as secret meetings were being
held. She commented on how she believed Councilmember Fabel was blocking information
regarding TCAAP from getting to the public. She understood the JDA has already made up their
mind about the density for TCAAP, suggesting this project would be more dense per square
mile than any other project in Ramsey County or Hennepin County. She reported this property
only had two entrance/exit points. She feared how traffic from this development would
adversely impact Highway 96. She hoped that the JDA members could find its ethical compass
and would restore civic virtue in order to create a project that compliments the community
rather than blights Arden Hills.
Community Open House Debrief
John Slack, Perkins & Will, explained his firm was hired to assist with defining a strategy for the
open house, which was held last Wednesday. He provided the JDA with a summary of the event
noting there were seven information stations. He estimated 165+ people attended and 56
surveys were completed. He reviewed the results from the surveys that were completed, noting
there was support for parks and open space, sustainability, the development plan and densities
as well as the housing types. He noted there were also negative responses for development
plan and densities, the proposed housing types and concerns regarding traffic/congestion. He
provided further comment on the themes received from the survey stating there should be a
diversity of housing types and sizes,job opportunities and new businesses. He then reviewed
several of the positive and negative comments that were received at the event. The media
coverage that was provided for this event was further discussed.
Commissioner Fabel asked if Mr. Slack had links for the media coverage. Director Collins
explained she could provide these links to the JDA members.
Commissioner Monson questioned why only 56 surveys were completed. Mr. Slack stated this
could be because there may not have been enough space to sit down and complete the survey.
He believed those tending to the check in table did a great job handing out the surveys at the
door.
Commissioner Reinhardt stated she was thrilled to see the number of people that attended the
open house. She explained she stayed until the last 15 minutes of the event and that was when
she was finally able to view the seven stations. She thanked staff and Mr. Slack for all of their
efforts. She recommended more signage be posted at future events. She believed one of the
highlights of the event was when Bob Lux spoke about density. She commented on how

affordability does not mean cheap or poor quality, but rather comes from the work that would
be done with other funding sources. She stated she enjoyed speaking with people at the event
and hearing their comments, both positive and negative. She indicated she felt really good
about where this project was at this time. She supported the JDA hosting additional open
houses in the future. She suggested in the future that surveys be available online in order to
allow residents to fill out the survey at a later time.
Commissioner Fabel stated the presentations made by Mr. Lux and staff were effective and
useful. He explained this project would not happen next year, but rather would take 10+years
to complete. He commented on how the housing market would change in that time. He
indicated he heard repeatedly at the event that there was a need for affordable senior housing.
He stated one of the harder questions he received was if taxes would increase for Arden Hills
residents in order to complete this development. He noted he was troubled by the residents
who spoke to him on how affordable housing would bring riff-raff into the community. He
indicated these comments were troublesome.
Commissioner Frethem reported she appreciated the level of engagement from the
community. She explained she supported the JDA holding additional open house events in the
future. She suggested future events have a more formal presentation for those members of the
public that were seeking general information. She commented on the potential timeline for this
project based on the proposed density. She reported the proposed density was not chiseled in
stone, but rather was required in order to complete the traffic study and fiscal analysis. She
suggested the JDA presentations be summarized and be placed on the website. She
recommended that at future meetings the JDA directly address traffic concerns, affordability,
and other issues that have been voiced by the public. She suggested multiple methods of
feedback be considered for future open houses.
Commissioner Reinhardt commented on how expanding the tax base through this development
will benefit all residents in Ramsey County.
Commissioner Monson stated it was clear the JDA needs a more clear definition around
affordability and costs. She understood the JDA has been discussing housing diversity, but she
had questions on how the JDA would determine how many housing units would be 30%, 40%,
50%, 60%, etc. of AMI. She believed the JDA needed a stronger clean energy presence. She
stated people were very interested on what this looks like for the entire development. She
agreed a formal presentation should be given by the developer at all future open houses as well
as at the December Planning Commission meeting. She feared the messaging surrounding the
JDA needed clarification in that the JDA was not the developer. She would have preferred for
more information regarding the amount of greenspace within the development to have been
discussed with the public. She proposed future open houses be held in a gym. She noted she
was open to future open houses, so long as a formal presentation is given by the developer. She
appreciated the number of people that attended the open house, as well as the questions that
were asked by the public.

Commissioner Frethem suggested a future open house be held just on green energy in order to
gain further public engagement regarding this topic.
Chair Wicklund stated he believed the open house was a great idea. He thanked the JDA for
driving this idea forward noting he believed this was a great event. He questioned if staff had
collected emails from the individuals that attended this event. Director Collins reported this
was done and stated a follow up email would be sent to these individuals with a link to the
survey.
Chair Wicklund suggested additional information be gathered regarding density, affordability
and traffic and that this information be included in the email.
Commissioner Frethem supported this recommendation.
Commissioner Reinhardt suggested updates be given on each of the seven stations that were
covered at the open house.
Chair Wicklund stated there was consensus to send a follow up email to those who attended
the open house as well as those individuals who have requested information regarding Rice
Creek Commons.
Commissioner Fabel indicated he could support this being done, but noted a very specific
proposal for Rice Creek Commons was going to come before the Planning Commission in
December.
Chair Wicklund questioned who would be drafting the email. Director Collins reported the Goff
team and Ramsey County would be drafting the email.
Chair Wicklund suggested additional information regarding affordable housing be placed on the
Rice Creek Commons FAQ webpage. He then thanked Mr. Slack for all of his efforts on the open
house.
Term Sheet Discussion
Direct Collins explained staff was working on a draft term sheet noting she hoped to have a
document for the JDA to review in December.
Commissioner Reinhardt asked that staff consider having language within the term sheet
stating the JDA will seek City, County and federal funding for affordable housing. She thanked
staff for their efforts on this document.
Commissioner Fabel questioned what level of detail would be provided within the term sheet.
He looked forward to seeing some real numbers in order to assist the JDA in making meaningful
decisions going forward.

Chair Wicklund anticipated this document would include clear, high level starting points.
Commissioner Frethem asked if the JDA Attorney had any comments regarding what should or
should not be included in the term sheet. Attorney Boulton stated she believed this was a good
starting point for the key elements and noted this project would continue to evolve, but this list
would help the JDA to focus their attention.
Commissioner Frethem indicated it would be good for the JDA to have the term sheet
completed by January in order to align with the bonding request timeline.
Commissioner Monson asked if covenants have been thought about versus a development
agreement. She stated it may benefit the JDA to have covenants in place in order to protect
affordability, sustainability and green energy goals. She supported the JDA exploring this option
versus a development agreement. Director Collins reported there was an existing
environmental covenant on the California site for remediation aspects.
Commissioner Monson explained the developer was looking at creating a stormwater district
within the development. She anticipated the City would have to find a funding source if this
were to proceed. She commented on the proposed water feature and stated she would love to
see this completed. She recommended a timeline be written into the term sheet in order to set
expectations. She asked if the Advisory Committee would be reviewing the term sheet prior to
this document coming before the JDA. Director Perrault anticipated staff would have some
language for each of the items in the term sheet for the Advisory Committee to review and this
document would then come to the JDA in December.
Chair Wicklund asked who would be attending the November Advisory Committee meeting.
Director Perrault stated Commissioner Fabel, Commissioner Frethem, city and county staff
members and consultants would be attending this meeting. Director Collins commented on
how financial assumptions would also be discussed at this meeting.
Commissioner Reinhardt recommended the expected tax base growth information for the Rice
Creek Commons development be gathered by staff.
Administrative Director's Report
Director Collins reviewed the road map with the JDA. She explained the JDA would be reviewing
the term sheet and looking ahead to 2024 at the December meeting.
Commissioner Monson asked if a consultant has been decided for the Energy Advisory
Committee. Larina DeWalt explained staff had reviewed a list of consultants but staff has now
been determined that it would be better to go through an RFP process.

Chair Wicklund questioned if the November 30 JDA Advisory Committee meeting would be
held. Director Collins stated this was a potential meeting date.
Chair Wicklund explained he would not be available for JDA worksession meetings on January 1,
January 8, April 1 or July 1. He asked that staff put an annual report on the road map.
Commissioner Reinhardt asked where staff was at with the preliminary development
agreement. Director Collins stated staff continues to negotiate the preliminary agreement with
the developer (Alatus). She explained the JDA Attorney has been working with staff through this
process.
Commissioner Monson supported the JDA putting a deadline on the preliminary development
agreement. She suggested this deadline be set as December 4.JDA Attorney Boulton explained
the concept of a preliminary development agreement was simple. She noted the document was
short and one had been presented to Alatus. She indicated a counter proposal had been
presented to her and there were some risks that the governmental entities were concerned
about. She reported another counter proposal was being drafted with language that mitigates
those risks to the governmental entities.
Commissioner Monson asked if staff would be able to bring a preliminary development
agreement to the JDA for consideration on December 4. Director Perrault suggested the JDA
enter into a closed session on December 4 in order to discuss these documents. JDA Attorney
Bolton reported she would have to complete some research to see if this could be done.
Commissioner Monson commented she would like the JDA to have this done and for the JDA to
provide very specific direction to the developer. She also wanted to understand what the path
was to pursue an alternative developer. She indicated she was not anti-developer. She wanted
to see this project move forward, but she wanted to see movement on the preliminary
development agreement.
Development Director's Report
Director Perrault explained the JDA Advisory Committee has not met in the last month and a
half. He indicated the Advisory Committee would meet next on Thursday, November 16 and
would be discussing the term sheet. He reported the Arden Hills City Council directed staff to
consider the 1,960 density scenario as well as considering what changes would be needed to
the TCAAP Redevelopment Code. He noted this matter would be going forward at the
December Planning Commission meeting. It was noted Alatus would be making a public
presentation at this meeting.
Commissioner Monson requested staff review the set of questions that were received from the
public in order to provide answers where possible. She reported on November 2 the City
Council held a special worksession meeting and discussed the open house. She noted the
Council also discussed criteria that should be considered for affordable housing and indicated

there was a strong push for ownership options. She stated the City Council wanted the JDA to
further dive into transportation options for the Rice Creek Commons. She asked if staff had any
information regarding the traffic study. Larina DeWalt explained the baseline traffic numbers
have been received, the counts were completed and the draft report was being worked on. She
clarified that a third party consultant was hired to complete this study.
Commissioner Updates
Commissioner Reinhardt commented one of the most important things for JDA and staff
members to have is respect. She indicated she was disturbed by the comments made during
Public Input. She stated the JDA members were doing their best and encouraged the public to
remember that not all parties would agree on everything. She indicated she did not appreciate
before referred to as the ladies, stating the women on this committee were highly educated
individuals. She hoped that the public and the JDA would be able to work together respectfully
going forward in order to make the best decisions possible for the Rice Creek Commons
development.
Commissioner Fabel stated a local election would be held on Tuesday, November 7. He
commented on the election that was held last November and how that election helped move
the redevelopment of Rice Creek Commons forward and away from the density of 1,460.
Commissioner Frethem explained she would be hosting a property tax zoom meeting. She
discussed how development the Rice Creek Commons would assist in increasing the tax base
for the entire County.

In October, Goff Public responded to a reporter inquiry from Finance & Commerce regarding status
updates for the Outlot A Request for Developer Interest. No coverage has been published to date.
Six people submitted inquiries through the microsite contact portal, which Ramsey County staff
responded to directly.
Goff Public also discussed legislative communications and messaging with county staff ahead of the
2024 session and bonding request.

PRELIMINARY DEVELOPMENT AGREEMENT
THIS PR 1 111MINARY DEVELOPMENT AGREEMENT(the"Agreement") is made and entered
into this 4ti, of December, 2023, by and between the TCAAP Joint Development Authority, a
Minnesota joint powers entity("JDA"),and Alatus Arden Hills LLC,a Minnesota limited liability company
(the"Developer").
RECITALS:
First: The County of Ramsey(the "County") is the Purchaser under that certain Offer to Purchase,
as Amended (the "OTP"), by and between the County and the United States of America, by the
General Services Administration, as Seller ("GSA"), for a portion of the real property located in
the City of Arden Hills (the "City") commonly referred to as the Twin Cities Army Ammunition
Plant("TCAAP"). The real property which is the subject of the OTP contained approximately 427
acres of land at time of purchase. The real property is divided into five outlots (A, B, C, D & E)
and portions of dedicated rights-of-way. Outlot A is a 40.1 acre platted area known as the"Thumb
Parcel". Outlot C is a 372.05 acre platted area known as the"California Parcel". Outlots B, D,and
E together represent approximately 5.0 acres of platted area that will be deeded to Ramsey County
Parks and Rec. The balance of approximately 10 acres represents the dedicated rights-of-way to
MnDOT and Ramsey County Public Works,respectively.
Second: Pursuant to the Joint Powers Agreement between the City and the County(the"JPA"), the
JDA developed a developer selection process for redevelopment of Outlots A and C.The Developer
had been selected by the JDA as the developerfor redevelopment of the Outlots A and C. The
Developer and the JDA (the "Parties" or a "Party") entered into a Preliminary Development
Agreement effective June 6, 2016 ("TCAAP Site Preliminary Agreement"), which was
subsequently amended by Amendment No. I effective October 31,2016,and again by Amendment
No.2 effective May 17,2017. The TCAAP Site Preliminary Development Agreement,as amended,
expired by its terms on.March 8, 2018.
Third: Since the tennination of the TCAAP Site Preliminary Development Agreement,as amended,
the County has acquired a purchaser for the Outlot A Parcel through a public solicitation in order
to provide a revenue source for County infrastructure improvements within Outlot C, and therefore
the Outlot A Parcel is no longer intended to be a subject of this Preliminary Development
Agreement or a Final Development Agreement with Developer.
Fourth: The "Parties" wish to renew their cooperation in further analyzing the potential and
feasibility of the redevelopment of the Outlot C or the California Parcel("California Parcel Project"
or "Project") and are willing to proceed with such analysis in anticipation of reaching a more
definitive agreement regarding the Project;The legal description of the California Parcel is attached
as Exhibit A.
Fifth: The Parties acknowledge that the Developer will expend time and effort, and incur expense
in pursuing the Project;
Sixth: The Developer is willing to undertake the activities described in this Agreement only with
the reasonable assurance from the JDA and the County that each will support and cooperate with the
Developer in its efforts;
Seventh: Any resulting Project will be consistent with the TCAAP Master Plan, as amended from

time-to-time ("TCAAP Guiding Plan")', which shall guide density, location, and timing of
components of the redevelopment on the California Parcel, and the TCAAP Redevelopment Code
("the TRC"), as amended;
Eighth: The County is not a Party to this Agreement, but consistent with its obligations under the
JPA and the JDA developer selection process, has agreed to cooperate fully with Developer in
ensuring all necessary access by Developer to the California Parcel for site investigations, subject
to any reasonable subsequent agreement required by County. Further,the Developer and the County
will attempt in good faith to negotiate the terms of a purchase agreement (the "Purchase
Agreement"), which will provide the terms and conditions necessary for the County to convey the
TCAAP Site to the Developer or its assigns consistent with the Final Development Agreement
defined below. The conveyance of the TCAAP Site is solely within the discretion of the County
following all legally required proceedings;
Ninth: The JDA and the Developer have executed this Agreement to documenttheir understanding
with respect to the proposed Project.
AGREEMENT
NOW, THEREFORE, in consideration of the promises and mutual obligations of the Parties
contained herein,each of them does hereby represent,covenant,and agree with the other as follows:
1. Statement oflntent.
It is the intention of the Parties that during the term of this Agreement, on or before June 30,
2025, the Developer and the JDA will attempt in good faith to negotiate the terms of a Final
Development Agreement for private development of the California Parcel (the "Development
Agreement") which will provide the nature and timing of the public infrastructure and private
improvements to be constructed on the California Parcel and which, when executed, will supersede
this Agreement and all obligations of the Parties hereunder. The Development Agreement will contain
such additional terms as either Party believes are necessary for the transaction. To that end, it is the
intention of the Parties to work in good faith to agree on a high-level term sheet of key
elements for a definitive Development Agreement for the California Parcel Project within 90
days following the execution of this Agreement.
2. Undertaking by Developer.
During the term of this Agreement,the Developer will cooperate with the JDA(and the County)to
accomplish the activities described in paragraph 1 required to be performed by the Developer and
agrees to utilize commercially reasonable efforts to undertake and analyze the potential and
feasibility of the Project and all the activities described in paragraph 1 required to be performed by

the Developer, subject to the JDA's performance.
3. JDA's Undertakingand nd Agreement.
(a) The JDA agrees to cooperate with the Developer in the Developer's undertakings, agrees to
utilize commercially reasonable efforts, subject to the Developer's performance, to
accomplish the activities described in paragraphs 1 and 2 above.
(b) The JDA further agrees that during the term of this Agreement,the JDA will not provide or
enter into any other agreement with any other Party for development of the California Parcel.
It is the intention of this provision that, during the term of this Agreement, the Developer
shall have the exclusive right to negotiate the development of the California Parcel with
the JDA.
4. Term.
This Agreement is effective from the date hereof through June 30, 2025, unless extended by the
Parties; provided, in the event either Party, after consultation with the other Party, determines in
good faith that the Parties have not reached substantial agreement as to the terms ofthe Development
Agreement by October 31,2024 or the Developer determines,in good faith,by October 31,2024 that
the Project is not feasible,such determining Party mayterminate this Agreement upon 30 days'written
notice to the other;provided however, that the parties will continue negotiation during the 30 day
period and if no agreement has been reached by the end of the 30 day period,the termination shall be
effective as of such 30th day. The Parties each waive any claim or cause of action that they may have
against the other Party based upon the termination of this Agreement by such other Party. The
Parties may, by mutual written agreement, extend this Agreement for such further periods as
determined to be appropriate from time to time.
6 Developer Assient of Rights.
The Developer shall not assign or transfer its rights under this Agreement in full or in part without the
prior written consent of the JDA.
7. Miscellaneous.
(a) This Agreement constitutes the entire agreement between the Parties relative to these
preliminary terms relating to the proposed Project. Unless specifically described herein, no
obligation shall be inferred or construed.
(b) Redevelopment of the California Parcel will be in accordance with the Development
Agreement, the Purchase Agreement, or other agreements which the Parties shall, in good
faith,attempt to negotiate during the term of this Agreement.
(c) The Developer understands that further and separate action, for which no obligation is
created hereunder, will be required before the JDA, the County or the Developer is obligated
to take various actions with respect to the Project.
(d) The Developer further understands that many of the actions which the JDA or the County may
be called upon to take require the reasonable discretion and,in some instances,the legislative
judgment of the JDA or the County, such actions may be made only following established
procedures; and JDA and County may not, by agreement, agree in advance to any specific
decision in such matters.
(e) Notice or demand or other communication between or among the Parties shall be sufficiently

given if sent by certified or registered mail,postage prepaid,return receipt requested,national
overnight delivery service,delivered personally or by electronic mail to the email addresses
listed below; provided, that if a sender receives notice that the electronic mail is

Have you thought about leasing the Rice Creek Commons site to Heavy Metal Learning?They are an
educational program that specializes in heavy equipment operation. Their current site in Hastings is not
big enough for them to expand their offerings because heavy equipment operators are in high demand.
Because heavy equipment operators are an essential job for redevelopment, having access to a training
program can be beneficial for newcomers.
Where can I find a map of the area and plan?
Is the hope to be a new Maple Grove or Woodbury?
