RESOLUTION NO. 95-80
RESOLUTION IN THE MATTER OF SPONSORING A COMMUNITY
DEVELOPMENT APPLICATION TO ACCOMMODATE THE
CONSOLIDATION AND EXPANSION OF CPI GUIDANT
BE IT RESOLVED, that the City of Arden Hills act as the legal sponsor for project(s) contained
in the Business and Community Development Application to be submitted in December of 1995
and that the City Administrator is hereby authorized to apply to the Department of Trade and
Economic Development for funding of this project on behalf of the City of Arden Hills;
BE IT FURTHER RESOLVED, that the City of Arden Hills has the legal authority to apply
forfinRncial assistance, and the institutional, managerial, and financial capability to ensure
adequate construction, operation, maintenance and replacement of the proposed project for its
design life; and
BE IT FURTHER RESOLVED, that the City of Arden Hills has not incurred any costs, has not
entered into any written agreements to purchase property; and
BE IT FURTHER RESOLVED, that the City of Arden Hills has not violated any Federal,
State, and local laws pertaining to fraud, bribery, graft, kickbacks, collusion, conflict or interest
or other unlawful or corrupt practice; and
BE IT FURTHER RESOLVED, that upon approval of its application by the state, the City of
Arden Hills may enter into an agreement with the State of Minnesota for the above-reference
project(s), and that the City of Arden Hills certifies that it will comply with the applicable laws
and regulations as stated in all contract agreements and described on the Compliances Section
(FP-20) of Business and Community Development Application;
AS APPLICABLE, BE IT FURTHER RESOLVED, that the City of Arden Hills has obtained
credit reports and credit information from cpr Guidant and their owners upon review by the City
of Arden Hills and receiving from Peterson, Fram, and Bergman, no adverse findings or concerns
regarding, but not limited to, tax liens, judgements, court actions, and filings with state, federal
and other regulatory agencies were identified. Failure to disclose any such adverse information
could result in revocation or other legal action.

NOW, THEREFORE BE IT RESOLVED, that the Mayor of the City of Arden Hills is hereby
authorized to execute such agreements as are necessary to implement the project(s) on behalf of
the applicant.
