At the January 2i\ 2003 meeting of the City Council, the Council approved a site plan review
for Anchor Bank with the following conditions:
I, All necessary building permits shall be filed with the City Building Official.
2, That the applicant shall file all necessary signage permits with the City Planner,

3, That the number of handicapped accessible parking spaces complies with the State Building
Code requirements.
4, That th~ revised site plan from Case #03-01 prepared by Mohagen Architects Ltd., dated
January 27, 2003, and signed by the City Planner, be amended to eliminate the direct access
to County Road E, but reserviog the applicant's right to submit a revised site plan for review
at a future date, be attached to the Special Use Pennit from case #02-29.

5, If the applicant chooses to upgrade the water service to the site and access the 16" water
main, the applicant shall wet tap and repair Pine Tree Drive to its existing condition per the
approval of the City Engineer.

Traffic Study for New Anchor Bank in the City of Arden Hills
RE:
PURPOSE AND BACKGROUND
The purpose of this memorandum is to present our findings and recommendations
regarding proposed access arrangements for the Anchor Bank development in the
southwest comer of the County Road ElPine Tree Drive intersection in the City of Arden
Hills. The primary objective of this traffic study is to determine if an exit-only driveway
on County Road E is feasible in terms of providing acceptable operations.
The proposed access on County Road E would allow drive-through customers to exit the
site without driving through the parking lot. This exit would be convenient for the drive-
through customers and would reduce pedestrian/vehicle conflicts within the site.
To address the feasibility of an exit-only driveway, three main points were considered in
order to effectively respond to questions raised by City officials:
. Level of service on County Road E at Pine Tree Drive and at the proposed
driveway,
. Whether interference would be caused between the driveway and the queue of
eastbound motorists on County Road E stopped at Pine Tree Drive.
. Whether the driveway would cause any safety problems on County Road E.
Develoument Characteristics
Under the proposed development, an existing insurance claims office building will be
converted and expanded into a bank facility with four drive-through windows in the
southwest comer of the County Road E/Pine Tree Drive intersection. The expanded
building will be 6993 square feet. Currently the site's only access is onto Pine Tree
Drive. A second exit-only drive is proposed onto County Road E, 195 feet west of Pine
Tree Drive. This driveway location is as far west as possible, without disrupting the
detector for eastbound traffic on County Road E.

Originally, the proposed County Road E access was to be an angled right-turn only exit-
only drive, However, since there is no median at that point separating the eastbound and
westbound traffic on County Road E, a left turn still physically could be accomplished.
Due to the angled drive, the vehicle would be exposed to the oncoming traffic for a
longer period of time than if the driveway was at a 90 degree angle to the road.
A second difficulty with this concept of an angled right turn out only driveway is that
some exiting motorists would attempt to make a U-turn at Pine Tree Drive or other
locations along County Road E in order to proceed westbound, Due to the preceding
difficulties, we do not support an angled right turn out only driveway, Therefore, for the
purpose ofthis analysis, we have addressed the feasibility of a 90 degree driveway to
County Road E that would accommodate right and left turn exiting movements only.
Entering movements would be prohibited.
Roadwav Characteristics
In order to determine existing traffic conditions, p.m. peak period traffic counts Were
conducted at the County Road EJPine Tree Drive intersection on Tuesday, February 18,
2003 from 4:00 p.m. to 6:00 p,m. Existing traffic operations at the County Road EJPine
Tree Drive intersection were also observed at these times.
County Road E from the Highway 51 East Ramp to Lexington Avenue is an east/west
four-lane arterial roadway with a center turn lane, At Pine Tree Drive, County Road E
has a westbound left turn lane with a 100 feet of storage and a 3 foot wide median. West
of Pine Tree Drive there is a 10 foot wide, 100 feet long median. Pine Tree Drive at
County Road E is a north/south 4-lane collector. The County Road E/Pine Tree Drive
intersection is a signalized T-intersection with east, west, and south legs. The traffic
signal is part of a coordinated system along County Road E. Protected/permissive traffic
signal phasing is provided for the westbound left turn movement.
County Road E has 13 driveways between the Highway 51 East Ramp and Lexington
Avenue, The majority of these access points are full access drives. On the southeast
comer of the County Road EJPine Tree Drive intersection there is a Wells-Fargo Bank
with drive-through facilities. A right and left turn exit-only access for the Wells Fargo
Bank is located 150 feet east of the County Road E/Pine Tree Drive intersection,
TRAFFIC FORECASTS
Existing Traffic Volumes
The main purpose of the report is to determine the effect that the proposed development
will have on the surrounding area. Since the period of the busiest traffic activity is the
p.m, peak period, a traffic count at the County Road ElPine Tree Drive intersection was
conducted from 4:00 p,m. to 6:00 p.m. on Tuesday, February 18, 2003. From the data
collected, the p.m. peak hour occurs from 4:30 p.m. to 5:30 p.m,

Proiected Post Development Volumes
Trip generation was estimated for the p.m. peak hour using observations from an existing
Anchor Bank in North St. Paul. We understand that the interior functions of the bank will
close for normal business purposes at 4:00 p,m. The drive-through will remain open until
6:00 p,m, Also, the ATM machine on the site will be available for use after 4:00 p.m.
Thus, during the p,m. peak hour of 4:30 to 5 :30 p.m., traffic activities at the bank will
consist of the arrival and departure of drive-through customers and A TM users, and the
departure of bank employees who finish their work shift at about 5:00 p.m, (11 to 12
persons). Based on the experiences at the Anchor Bank in North St. Paul, and the
employee projections at the new Arden Hills Bank, we have estimated that a total of 40
trips will be entering the site and 50 trips will be exiting the site during the p,m, peak
hour. Pass-by trips are existing trips on County Road E that will include a stop at the
development in the future. From information published in the Institute of Transportation
Engineers' (ITE) 6th Edition of Trip Generation, we have estimated that 45% of the
customer trips generated by the bank will be pass-by trips. Therefore the new trips
generated are projected to be 22 entering and 33 exiting, and the pass-by trips are 18
entering and 17 exiting.
Through observations of existing traffic pattems in the surrounding area, trip distribution
percentages by route and direction were determined as follows for the net new
development trips:
· 50% to/from the west on County Road E;
· 40% to/from the east on County Road E;
· 10% to/from the south on Pine Tree Drive.
Pass-by trips were assigned only to County Road E, with 55% to/from the west and 45%
to/from the east.
The entering trips will be entering through the Pine Tree Drive access. The exiting traffic
will have a choice between the Pine Tree Drive access and the County Road E access.
Exiting onto County Road E appears to be the most convenient exit for the eastbound and
westbound traffic from the drive-through and ATM machine, and the south access will
better accommodate the southbound traffic. For employee exiting trips, we expect that
some of these motorists will use the County Road E driveway to travel eastbound or
westbound on County Road E, whereas other employees will use the Pine Tree Drive
driveway to access County Road E. We expect that all employees destined to the south
on Pine Tree Drive will use the driveway on Pine Tree Drive.
Using the preceding trip generation and directional distribution projections, we added the
development trips to the existing volumes to determine the post-development volumes for
the p.m. peak hour. Figure 1 shows the existing and projected volumes for the p.m. peak
hour.

TRAFFIC ANALYSES
Level of Service
Capacity analyses were performed using the methodology presented in the 1997 Highway ,
Capacity Manual (HCM) for the existing and proposed conditions for the County Road
E/Pine Tree Drive intersection and for the proposed exit-only drive onto County Road E.
Capacity Analysis results are presented in terms oflevel of service (LOS), which ranges
from A to F. The LOS is based on the extent of vehicle delay at the intersection. Level
of service A represents the best intersection operation, with very little delay for each
vehicle using the intersection. Level of service F represents the worst intersection
operation, with excessive delay, Level of service D or better operation is considered
acceptable in the Twin Cities area.
The capacity analyses were conducted for the p.m. peak hour. The level of service for
the County Road E/Pine Tree Drive intersection for the existing conditions is a LOS B
and does not change with the proposed site development including the exit-only drive on
County Road E. The LOS for the proposed exit-only drive is a level of service D, which
is acceptable in the Twin Cities area.
Thus, an exit-only driveway can be provided to County Road E without causing any
traffic delay difficulties.
Oueue Lenl!:th Analysis
Approximately 170 feet is available for stacking vehicles between Pine Tree Drive and
the proposed driveway, This separation is farther than the 150 feet distance between Pine
Tree Drive and the Wells-Fargo drive-through exit.
During the survey on Tuesday, February 18,2003, we noted that a maximum of eight
vehicles were stopped in one eastbound lane west of Pine Tree Drive. This translates to a
queue of 160 feet. The average longest queue length for each traffic signal cycle was 100
feet. The traffic volume increase due to the bank is very limited. Therefore, upon
completion of the bank, the worst case situation is the queue length may increase by one
vehicle, Thus, the maximum post-development queue length would be 180 feet with an
average queue length of a 120 feet. The 170 feet of queue space available with the
proposed driveway is greater than the average queue length and is almost the same length
as the maximum queue length. Thus, we have determined that only on rare occasions
will the queue of the eastbound vehicles on County Road E extend west to the proposed
driveway. Given the rare nature of this situation we believe that no serious interference
will occur between the driveway and the queue of eastbound traffic on County Road E.
Safety Analysis
Accident information for the years 2000, 2001, and 2002 was collected on County Road
E from the Highway 51 East Ramp to Lexington Avenue, including the accidents at the
intersection of Pine Tree Drive but not the intersections at the Highway 51 East Ramp or
Lexington Avenue, For the three year period, a total of 27 accidents were reported along

this study segment of County Road E, with 12 of those occurring at the County Road
E/Pine Tree Drive intersection,

For evaluation and comparison purposes the accident rates are calculated using the
equations in the 1992 edition of the (ITE) Traffic Engineering Handbook, Different rates
are used for intersections and for roadway sections. The intersection rate is measured in
accidents per million vehicles entering the intersection annually (MEV), and the section
rate is measured in accidents per million vehicle-miles of travel (MVM), Using the
average annual daily traffic volumes for the three year survey period, the intersection rate
for the County Road E/Pine Tree Drive intersection is 0.6 accidentslMEV, and the
section rate for the investigated section is 3.7 accidentsJMVM.
The Minnesota Department of Transportation conducted a study of the entire state and
developed crash data for both intersections and mid-block sections. Average accident
rate information was complied for the study years 1999 to 2001 and recorded for several
categories of roadway in eight sections of the state. Statewide averages are also provided
for each category. The average intersection accident rate for a high volume, low speed
signalized intersection in the Twin Cities metro area is 0.8 accidentslMEV, and the
statewide average is 0.9 accidents/MEV. The average section accident rate for a five-
lane road in the Twin Cities metro area is 5.7 accidentsJMVM, and the statewide rate is
5,0 accidentsJMVM.
The preceding accident statistics indicate that County Road E is functioning at a higher
level of safety than comparable roadways in the Twin Cities area. The accident rate at
the County Road E/Pine Tree Drive intersection of 0.6 accidentslMEV is 25% more safe
than the 0,8 accidentslMEV average rate in the Twin Cities area. The accident rate for
County Road E between the east ramp intersection at Highway 51 and Lexington Avenue
0[3,7 accidentsJMVM is 35 percent more safe than the 5.7 accidents!MVM average rate
in the Twin Cities area.

CONCLUSIONS AND RECOMMENDATIONS
As mentioned at the beginning of this report, the proposed exit-only driveway is needed
for two principal reasons:
a) Provide convenient service for drive-through customers-in a manner similar to
the service provided for drive through customers of the Wells-Fargo Bank to the
east.
b) Provide a higher level of safety by the bank's front door, by reducing
vehicle/pedestrian conflicts in this area.
To address whether this driveway would be feasible from a traffic perspective, we feel
consideration has been given to potential effects of the driveway on traffic capacities,
queuing on County Road E, and safety on County Road E. Two key results of the
capacity analysis are: a) the bank will not canse any significant increase in traffic delays
at the County Road E/Pine Tree Drive intersection and b) a new exit only driveway for
the bank onto County Road E will accommodate the projected p.m, peak hour volumes at

an acceptable level of service. The queue length analysis indicates that the driveway
would be a sufficient distance from Pine Tree Drive, that only on rare occasions would
the queue of eastbound traffic on County Road E back up from Pine Tree Drive to the
proposed driveway, The safety analysis indicated that County Road E has had a lower
accident experience in recent years than comparable roadways in the Twin Cities area.
Given this situation and given that the segment of County Road E between the east Ramp
intersection for Highway 51 and Lexington Avenue already has 13 private driveways, we
have concluded that construction of the proposed driveway would not cause safety
problems on County Road E.
Through our evaluation of the proposed site plan and existing traffic facilities, we
recommend the following measures be implemented to ensure that the access on County
Road E is limited to exiting traffic only.
. Limit the width of the exit-only driveway to 16 feet.
. Install "do not enter" signs at the mouth of the driveway.
Considering all the preceding points, Figure 2 illustrates our recommended driveway
plan.
Our overall conclusion is that if the measures discussed in this report are implemented,
the exit-only driveway for the proposed bank will function effectively and will not create
safety issues or other difficulties for traffic operations on County Road E.

I have reviewed the traffic study for the proposed expansion of the Anchor Bank building
located at the comer of County Road E and Pine Tree Drive with regards to the proposed "out
only" driveway. In addition to reviewing the study I have also contacted the Ramsey County
Traffic Engineer and discussed the proposed driveway.
After reviewing the traffic study it appears that the projected peak hour traffic out of the site
from the driveway is very minimal and in this circumstance should not have a noticeable effect
to the traffic on County Road E.
Given the low projected traffic out of this site and the fact that the Wells Fargo bank directly
across Pine Tree Drive has the same driveway configuration onto County Road E I do not
believe the driveway will have a negative impact on the area traffic flows. The only point of
concern with the proposed out driveway is that Anchor Bank will have to adequately sign the
driveway to prevent cars from turning into it off of County Road E.

As indicated at the Council's March 4th, 2003 meeting, Guidant has submitted a specific
financial incentive request. They have indicated that they would like to pursue a ]0 year tax
abateIhent. The request contemplates 75% of the abatement going to Guidant and 25% going to
the City. Based on a market valuation of $24 million for the proposed expansion, the following
represents the potential revenue generation:

In effect, the POO I>ermit and Development will serve as the contractual document to govern
Guidant's campus development. More specifically, the agreement outlines the nature, timing,
and security for future public improvements; satisfaction ofthe park dedication fee; and clarifies
certain facets of the Master Plan PUD approval,
With the exception of Exhibit D, the Cummings Park Drive road improvement, the Council has
seen all of the other exhibits. At this point, staff is looking to identifY any language in the
agreement that is inconsistent with previous Council decisions/direction.

I want to begin by thanking the City of Arden Hills Officials for their partnership.

As you know, we have engaged the services of Gregg Gilltllan, a Professional Site
Selection Consultant with Colliers Turley Martin Tucker, to investigate any cost-saving
incentive programs applicable to Guidant, from the State of Minnesota. City of Arden
Hills and County of Ramsey, Today's business world and competing environment
dictates that Guidant explore cost-saving measures where possible. Guidant has pumped
tens of millions of dollars into the state and local economy over the past several years
without public financial support, Guidant is a strong company; however, staying
competitive with the market is of interest to us. Guidant is often looking for the "best"
location for our expansion facilities, with "best" being described more and more as
meaning "most cost effective".
Guidant's approach through Mr. Gillman's efforts has been to seek out programs and
incentives that are legislatively possible from state and local units of government. Based
on this philosophy and Mr. Gillman's input, as well as being respectful of City Council's

· An agreement in principle that Arden Hills will provide a Tax Increment
Financing (TIF) district for future Guidant expansions that may occur and that
will meet the "but for" clause in the TIF legislation. Under any future TIF
approval with project investments by Guidant, Guidant will agree to an incentive
of only 50% of the total increment to be used for on-campus Guidant eligible
expenses. This would allow the remaining 50% of the increment for Arden Hills
to be utilized for public infrastructure improvements to alleviate traffic concems
near the Guidant campus.

This request for assistance is purely within the spirit of cooperation and hopefully
indicates our willingness to only ask for a "fair deal". This request also hlllt no
bearing on Guidant's previous commitments in the PUD development agreement of
$600,000 in public street and traffic light improvements, as well as $350,000 for a
public park structure.

PLANNED UNIT DEVELOPMENT PERMIT
AND DEVELOPMENT AGREEMENT
CITY OF ARDEN HILLS
GUIDANT CORPORATION
Parties. ThiS Agreement is dated the day of ,2003, and is
entered into by and between City of Arden Hills, a Minnesota municipal corporation
(herein "City"); and Guidant Corporation, a Minnesota corporation, its successors
and assigns (herein "Guidant").
Recitals.
A. Atlantic Financial Group Ltd. And Cardiac Pacemakers, Inc. are the record
fee owners of certain real property ("Guidant Property") located within the
City which is defined and illustrated on a Preliminary Plat attached and
incorporated as Exhibit A (the "Preliminary Plat").
Guidant, as Developer of the Guidant Property, has requested that the City
approve a planned unit development ("PUO") for the Guidant Property. The
Master Plan PUD which is labeled "Guidant Campus Master Plan - Prepared
by Guidant Corporation for City of Arden Hills, September, 2002" is attached
and-incorporated as Exhibit 8 (the "Master Plan PUO").

Guidant has proposed to develop the Guidant Property inthn~e (3) phases
between 2003 and 2018. The phasing schedule is contained in the Master
Plan PUD.
D. Subsequent to Master Plan PUD and Preliminary Plat approval, Guidant will
need to obtain Final Plan PUD approval, Final Plat approval and building
permit approvals for improvements to be constructed within ,each phase, all in
compliance with the procedures defined in the City's Development
Regulations. Upon approval by the City Council, the final plat will attached
and incorporated as Exhibit A-1 (the "Final Plat"), and the final plan PUD will
be, attached and incorporated as Exhibit 8-1 (the "Final Plan PUO").
E. On October 28, 2002, the City agreed to approve the MasterPlan PUD and
the Preliminary Plat for the Guidant Property subject to the terms and
conditions of this Development Agreement.
F, As part of the development review process, an Alternative .Urban Areawide
Review and Mitigation Plan, dated January, 2003 and was prepared by the
SRF Consulting Group, Inc. and is attached and incorporated as Exhibit C
(the "A.U.A.R. Plan"). The A.UAR. Plan was approved by the City Council
on February 24, 2003.
3.00 Terms and Conditions. In consideration of the mutual undertakings herein
expressed, the parties agree:

COnstruction of Imorovements, Building improvements shall be constructed
in compliance with building plans and specifications which have been
reviewed and approved by the City's building inspector. Traffic improvements
for Phases I, II and III, as defined in the Master Plan PUD, Final Plan PUD or
subsequent document as agreed to by the parties; shall be constructed in
compliance with plans and specifications which have been reviewed and
approved by the City's consulting engineer for each phase and, where
appropriate, by the Ramsey County engineer and/or the Minnesota
Department of Transportation engineer. The traffic improvements for Phase I
and the antidpated construction schedule for such improvements are
attached as Exhibit 0-1. The traffic improvements for Phases II and III, upon
approval by the City and other appropriate parties on a future date, will be
attached and incorporated respectively as Exhibits 0-2 and 0-3.
1. Phase I Traffic Imorovements. Except as provided herein, Phase I
traffic improvements shall be completed prior to the issuance of
occupancy permits for any Phase I buildings. The following Phase I
traffic improvements shall be completed by December 31, 2003, and
shall be subject to the following conditionS:
(a) ImorovementlEstimated Cost of Imorovement.

(b) Amount of Imorovement Security. Prior to the'City's
endorsement of approval on the Final Plat, Guidant shall
deposit security with the City Administrator in an amount equal
to 125% of the engineer's estimate of the cost of constructing
the traffic improvements, defined above, which have not been
completed and accepted by the City prior to Final Plat approval.
The security may be in the form of a cash escrow fund, a
performance bond, or a letter of credit. The form of security
shall be approved by the City attomey.
(c) Reduction of Security. Upon completion of required
improvements for the Guidant Property and acceptance by the
City, the City Council shall reduce the amount of security for
the completed improvements provided that in no case shall the .
total remaining security be equal to less than 125% of the
estimated costs of the incomplete improvements.

(d)
Inspection. The City's consulting engineer shall be permitted to
inspect the construction and installation of the traffic
improvements defined in this subdivision 3(A)(1) as deemed
appropriate by the engineer to insure compliance with
approved plans and specifications, Guidant shall reimburse the
City for its inspection costs.
2.
(e) Access, Phase I traffic improvements shall be installed in a
manner and pursuant to a construction schedule so that
continuous access from Lexington Avenue and/or from
Fernwood Street to property located adjacent to and northerly
of the Guidant Property will not be obstructed.
Phase II Traffic Improvements. A plan for the payment of Phase II
traffic improvements Shall have been approved by the parties before
the conStruction of Phase II improvements; and the Phase II traffic
improvements Shall be completed before the issuance of occupancy
permits for any Phase II building. The City acknowledges that
Guidant, as part of this Development Agreement, has not agreed to
pay for the Phase II traffic improvements. Construction of Phase II
traffic improvements by a non-public entity shall require compliance
with the provisions of Section 3.00.A.1(b), (c) and (d) by such non-
public entity.
3. Phase III Traffic Improvements, A plan for the payment of Phase III
traffic improvements shall have been approved by the parties before
the construction of Phase III improvements; and the Phase III traffic
improvements shall be completed before the issuance of occupancy
permits for any Phase III building, The City acknowledges that
Guidant, as part of this Development Agreement, has not agreed to
pay for the Phase HI traffic improvements, Construction of Phase III
traffic improvements by a non-public entity shall require compliance
with the provisions of Section 3,OO,A.1(b), (c) and (d) by such non-
public entity.
B. Public Use Dedication. Guidant's public use dedication requirement for all
phases shall be satisfied in the following manner:

1, Dedication of Public Trail, A City park trail currently crosses onto a
portion of the Guidant Property. Guidant shall define and convey an
easement to the City for the park trail prior to the issuance of
occupancy permits for Phase I buildings.
2.
Use of Internal Trail Svstem. As part of its development, Guidant will
construct a private trail system. Guidant shall permit public use of the
private trail system provided that the public's right to use the private
trail systems may be rescinded by Guidant, upon consent of the City
which shall not be unreasonably withheld, if it becomes necessary to

establish a perimeter fence around the Guidant Property in order to
protect the safety of the Guidant Property or its employees. The fonn
of the private trail system use agreement shall be approved by the
City's attomey and shall be executed prior to the issuance of
occupancy permits for Phase I buildings.
3. ConstructionlConvevance of Park Buildino. Guidant shall construct a
picnic/warming shelter ("Park Building") for Cummings Park pursuant
to plans and specifications approved by the City. The maximum cost of
the Park Building is estimated to be $350,000. The contribution of
Guidant to the Park Building shall be identified on a plaque, approved
by the City, which shall be attached to the Park Building. Upon
completion of the Park Building, it shall be conveyed to the City. The
City shall be responsible for maintenance of the Park Building.
Construction of the Park Building shall be completed by June 30,
2004.
C.
Traffic Studv Uodate. Guidant shall update the traffic study contained in the
Master Plan PUD after completion of the Phase I building construction and
traffic improvements, and after completion of the Phase II building
constructiOn and traffic improvements. If updated traffic studies indicate that
proposed traffic improvements will not be adequate to accommodate the
traffic generated by development pursuant to the Master Plan PUD,
Developer shall not be allowed to proceed with each subsequent
development phase until a revised Master Plan PUD has been approved by
the City.
D, A.UAR. Plan. No development shall occur on the Guidant Property during
the various phases of development, unless the mitigation measures identified
in the A.UAR. Plan have been satisfied within the appropriate timelines.
E. Drainaae and Utility Plan. A revised drainage and utility plan shall be
reviewed and approved by the City's consulting engineer prior to the issuance
of grading penn its for the Guidant Property, The approved drainage and
utility plan shall be attached and incorporated as Exhibit E.
F, Fernwood Street. At the present tirne, Fernwood Street is a public right-ot-
way, As part of the development of the Guldant Property, Fernwood Street
will be reconstructed and reconfigured as a private road. In order to facilitate
the transition of Fernwood Street from a public right-of-way to a private road,
the City will vacate its easement over the easterly portion of Fernwood Street
and will convey its fee interest in the westerly portion of Fernwood Street. It
is anticipated that the vacation and conveyance of Femwood Street will occur
concurrent with the approval of the Final Plat for the Guidant Property. Both
actions of the City will be subject to the following conditions:

Retention of easements, if any, for utilities which will remain within the
original Femwood Street right-of-way; and

2.
A declaration of restrictive covenants or other appropriate legal
document, on forms approved by the City Attorney, which allows
public use of the private right-of-way on weekends and between 6:00
p.m. and 6:00 a,m. on Monday through Friday, provided that Guidant
shall retain the authority to rescind or modify the hours of public use,
upon the consent of the City which shall not be unreasonably withheld,
if necessary to protect the safety of the Guidant Property or its
employees.
3. Femwood Street shall be maintained in its present condition until
Phase I traffic improvements have been completed,
G, Amendment. The Master Plan PUD and/or the Final Plan PUD may be
amended pursuant to the process defined in the City's development
regulations and shall require City Council approval. The Development
Agreement may be amended by written consent of the parties,

BindiOQ Effect. The terms and provisions of this agreement shall be binding
upon and inure to the benefit of the heirs, representatives, successors and
assigns of the parties hereto and shall be binding upon all future owners of all
or any part of the Guidant Property. This Agreement, at the option of the City,
shall be placed of record so as to give notice thereto to any subsequent
purchasers and encumbrancers of all or any part of the Guidant Property and
all recording fees, if any, shall be paid by the Guidant.

I. Incorooration bv Reference. All plans, special provisions, proposals,
specifications and contracts for the improvements furnished and let pursuant
to this Agreement shall be and hereby are made a part of this Agreement by
reference as if fully set out herein.
J. Notice, Any notices required pursuant to this Agreement shall be deemed
properly served if sent by certified mail- return receipt requested to the
following:

Default. The occurrence of any of the following shall be considered an "event
of default" in the tenns and conditions contained in this Agreement:
1. Failure of the Guidant to comply with any of the tenns and conditions
contained in this Agreement within thirty (30) days of receipt of notice
from the City.
2. The failure of the Guidant to comply with any applicable ordinance or
statute with respect to the development of the Property within thirty
(30) days of receipt of notice from the City.
L. Remedies. Upon the occurrence of any event of default, the City, in addition
to any other remedy which may be available to it, shall be pennitted to do any
of the following:
City may make advances or take other steps to cure the default, and,
where necessary, enter the Guidant Property for that purpose. The
Guidant shall pay all sums so advanced or expenses incurred by the
City, upon demand, with interest from the dates of such advances or
expenses at the rate of 10% per annum. No action taken by the City
pursuant to this section shall be deemed to relieve the Guidant from
curing any such default to the extent that it is not cured by the City or
from any other default hereunder. The City shall not be obligated, by
virtue of the existence or exercise of this right, to perform any such act
or cure any such default. The Guidant shall save, indemnify, and hold
harmless, including reasonable attomey fees, the City from any liability
or other damages which may be incurred as a result of the exercise of
the City's rights pursuant to this section.
2, Obtain an Order from a Court of competent jurisdiction requiring the
Guidant to specifically perfonn its obligations pursuant to the tenns
and provisions of this Agreement.

3. Exercise any other remedies which may be available to it including an
action for damages.
4, Withhold the issuance of any or all building permits and/or prohibit the
occupancy of all building(s) for which permits have been issued.
5, In addition to the remedies and amounts payable as set forth herein,
upon the occurrence of an event of default, the Guidant shall pay to
the City all fees and expenses, including reasonable attomey,
engineering and consulting fees, incurred by the City as a result of the
event of default, whether or not a lawsuit or other action is fonnally
taken.

At the March 10, 2003, regular council meeting, the council requested that we review the ten
proposals received in response to the city's request sent to thirteen executive search firms. The
purpose was to select three compaoies that would be interviewed at the March 17, 2003, work
session so we could make our final selection at the March 31, 2003 regular council meeting,
Process:
Prior to the March 10,2003, meeting, we had each read the proposals separately and made notes
aod rankings based on the criteria listed in Section V of the city's request, We met on March 12,
2003, to compare our individual notes, refine our rationale, and determine what our
recommendation would be to the council.
At that time we also discussed comments we had received from several cities contacted as
references for various firms, One of the questions we asked was whether interviewing the search
firms had been a helpful exercise, Responses were mixed, even from cities that had handled
these hires both ways. Based on our desire to maintain a short time line for hiring a new
administrator aod the fact that several firms indicate in their proposals that a meeting on March
17 would be difficult or not possible, we are comfortable recommending to Council that
interviewing search firms is not crucial to the process, that reliance on the contents of their
proposals and responses to multiple reference checks gives us sufficient basis to make a
recommendation for hire,
Recommendation:
Based on the results of this process, we strongly recommend that the city hire PDI (Personnel
Decisions International). The two other firms that rank as possibilities are Springsted and P AA
(Public Administration Associates). If the Council prefers interviewing these firms, we believe
there is still time to do this before making a formal decision on March 31, 2003.
