EN HILLS MEMORANDUM DATE: April 26, 2010 TO: Honorable Mayor and City Council Members FROM: Sue Iverson, Acting City Administrator Finance Director/Treasurer SUBJECT: Springbrook Software Update Back�round The City of Arden Hills, Roseville, and Little Canada purchased Springbrook software in 2001 with implementation of use in 2002. The software is updating to a new platform in a.NET version. This version will allow us to work more efficiently with new reporting enhancements and new technology. We have had this update in our capital budget since 2008. Little Canada is not upgrading at this time, however, Roseville and Vadnais Heights are upgrading in August and we can achieve savings by upgrading at the same time and sharing some of the training costs associated with this upgrade. Discussion Roseville, Vadnais Heights, and Arden Hills all share the same server for this software. IT support costs are also kept at a minimum as the three cities convert together, as there will be savings on the hardware costs. This upgrade will be done on one server which will cost about $5,000, with each city paying a third of the cost equaling about $1,700. Attached is the Migration Agreement from Springbrook. On page 9 of the agreement, we propose to do Option B— which is to continue the current maintenance agreement with the consent of the City of Roseville. However, staff has not had confirmation from Roseville at this time. Page 11 of this agreement shows the total migration price for the City of Arden Hills which is $24,108 — however we will be getting a$2,000 credit off this amount if we sign the agreement before April 30th. In addition, if we sign before April 30th we will also get a$5,000 credit on a future module. We lan on usin this p g credit as we add Human Resources to the system later this year. We have worked out a two-year financing agreement with Springbrook requiring us to pay half this year and half in 2011. City of Arden Hills, MN V7 .NET Migration Agreement March 15, 2010 Customers who chose to migrate from our client-server version (V6.On) to Springbrook Software's .NET (V7) software are provided with the base software modules that have been covered under a soft�vare maintenance agreement at no charge. However, services associated with the actual upgrade, such as consulting and training, migration management services (proj ect management, technical, programming, business analysis) and requests by client for Springbrook Software to rewrite any custom software to operate in the .NET environment are outside the scope of the customer's annual software maintenance agreement. As such, Springbrook is able to provide and invoice these services on a time-and-material . asls. A successful migration of the Springbrook application and database to V7 requires close teamvvork between each of our respective organizations. During this process you and your staff will be working with nearly every department within Springbrook's organization. This training may occur on different dates and be performed by different . �nstructors. • Proj ect Management and Business Analyst review of existing and custom f orms • Proj ect Management and Business Analyst review of existing Reports including and "Local" Reports that may have been modified using Progress Report Writer � Proj ect Management and Business Analyst review of existing Process Flow � Project Management, Programmer and Business Analyst review for Custom Code Reduction if applicable � Proj ect Management, Programmer and Business Analyst review of third- party software integration points if applicable 2 Mi�ration Consultin� & Trainin�: While work behind the scenes is a critical component to a successful migration, so too is the consulting and training your organization will receive from accredited Springbrook staff. Each migrating client will require varying degrees of consulting and training based on which version your organization is migrating from, coupled with the collection of modules actively used within your organization and how those modules are utilized. The training component will be conducted in a"train the trainer" approach so that your key staff inembers are fully versed on how to properly use the new application, which in turn �vill allow them to train occasional or infrequent users when the need arises. Additional refresher training and/or training on reporting tools is alwa s y welcome but must be requested in advance of the migration. Any additional sessions may require that the consultant/trainer remain onsite for longer period of time and must be a part of the bid proposal. While the maj ority of migration consulting and training will take place onsite, Springbrook's Training and Consulting staff �vill generally begin working with your staff weeks before they physically step foot onsite for the "go live" week. To jump- start the proj ect, trainers and/or consultants may be scheduled by Springbrook's Proj ect Manager to conduct initial telephone conf erence calls, schedule "j ump-start" webinar sessions to introduce and familiarize your staff to the new software and to secure copies of your files for initial review so they can familiarize themselves with your unique operations. Once the migration is complete, Training and Consulting staff may also augment the previously conducted onsite sessions with follow up calls and potential webinar sessions. Initial Custom Code Review for this proposal (if applicable): � If your organization has custom programs that Springbrook Software developed, our programming staff has conducted an initial high-level review of the custom code that we maintain on file for your organization. We have included budget figures as if your organization chooses to have the program(s) re-written to operate in a.NET environment. While it is our intent to continually add new standards to the application, not every piece of custom code written on behalf your organization has the potential of being eliminated. The Detailed Amts below are included in the summarized pricing on Page 8: 4 Custom Code Reduction Review Services �if applicable or requested): Springbrook understands that the customization ballpark figures presented in this proposal may not be "concrete" enough estimates for your organization to secure project and budget approval. Recognizing this, Springbrook is able to offer a full, detailed custom code review upon written notification that your organization would like to proceed with a migration to V7. There is no up-front fee for performing this service and effectively, in a good-faith effort, Springbrook is "fronting" your organization services that are part of the migration management services component of quotation. Depending on the level and complexity of customization, a significant amount of effort on both of our parts may be required for a successful outcome. For this review to be scheduled, a Springbrook Proj ect Manager will be assigned to oversee this pre-contract component of the proj ect. Depending upon the number of programs and level of customization, we may assign and schedule a pool of resources include programming staff, business analysts, trainers and consultants to completely review each custom program to determine whether or not it is standard functionality in V7 or �vhether an alternate means exists that delivers the same, or better result. There will likely be multiple conference calls, webinar demonstrations, emails required between our organizations and all communication will be funneled through Springbrook's assigned Proj ect Manager to ensure the appropriate resources are scheduled, timelines met and communication conveyed to the main point-of-contact within your organization. For each program that may need to be rewritten, a detailed statement of work and cost quote will be generated. 5 Pro�ress V10 — Explanation of Licensin�: Clients have shared with us that with the added functionality that has been introduced within Springbrook Software's Version 7(V7) which utilizes .NET technology, they'd like to deploy this version of software more widely across their organizations to "Casual users" for inquiry only access, provide them the ability to run their own reports, enter their own time, PO's etc. An optional component called "Access Agents" is now available for both Progress and SQL database users in order to deploy V7 to more employees within your organization. More information about this licensing scenario is described in the last paragraph. The migration of existing database licenses to operate in Springbrook Software's V7 .NET environment is described below. V6.00 to V6.06 Clients utilizing Progress as their database During the migration from any Springbrook Software Versions V6.00 through V6.06 to V7, the earlier purchased individual licenses for Progress will be upgraded/traded in. These two previously purchased components (Workgroup Database and Client Networking) vvill be upgraded/traded in for Progress OpenEdge 10.1B Workgroup Database and Progress OpenEdge 10.1B Application Server Enterprise at no charge. Processing of reports, calculations etc. in V7 no longer take place at the workstation. As a result, processing is faster because jobs run on the server and PC's are no longer "tied up" during processing of larger j obs. The Progress OpenEdge 10.1 B Application Server Enterprise component is installed as part of the migration and serves as a"middle-tier" that performs all the processing that used to take place on the workstation. In other words, the Client Networking component that was required in Version 6.nn is no longer required. As part of the migration management service, one of the specialists from our Technical Services group will assist your organization implement Application Server Enterprise and instruct you how to remove Client Networking from the PC's during the project. The type of licensing described in this section is for "Heavy Users "; those using the system two or more hours per week. If your organization decides to purchase additional licenses of this type as part of migrating to V7 please discuss pricing with your Springbrook Software upgrade manager. � V6.07 Clients utilizing Progress as their database During the migration from Springbrook Software Version V6.07 to V7, the earlier purchased Progress OpenEdge 10.1B Workgroup Database licenses are still utilized and there is no additional cost for this component when migrating to V7. In V7, processing of reports, calculations etc. no longer takes place at the workstation. As a result, processing is faster because jobs run on the server and PC's are no longer "tied up" during processing of larger j obs. The previously purchased Progress OpenEdge 10.1B Client Networking component is upgraded, at no charge, to Progress OpenEdge 10.1B Application Server Enterprise and is installed on the server. As part of the migration management service, one of the specialists from our Technical Services group will assist your organization implement Application Server Enterprise and instruct you how to remove Client Networking from the PC's during the project. If your organization has a quantity of ten Client Networking Licenses, an equal number of Application Server Enterprise license are required. There is no charge to . "swap out" t is component. The type of licensing described in this section is for "Heavy Users"; those using the system two or more hours per week. If your organization decides to purchase additional licenses of this type as part of migrating to V7 please discuss pricing with your Springbrook Software upgrade manager. Access Agents for both Progress and SQL databases For our clients who want/need them, we were able to negotiate a new offering from Progress called "Access Agents". Each Access Agent "covers" up to 100 "Casual Users" for $2,500 plus maintenance. (A Casual User is loosely defined as someone who uses the system for less than two hours per week). For example, if, in the example in the preceding section, your organization had ten existing licenses that "ported over" to ten licenses that now operate with V7 and you'd like to provide five new "casual" users access to the system for a few hours per week, a block of 100 licenses is available for $2,500. This is a far better value than ordering five individual "Heavy User" licenses as outlined in the preceding paragraph. Furthermore, your organization will still have 95 licenses left to distribute as you see fit. Again, this licensing structure is intended for users that require access to the system two hours or less per week whereas the licensing described in the preceding section is for "heavy" users of the system. If your organization decides to purchase an Access Agent license as part of migrating to V7, please discuss pricing with your Springbrook Software upgrade manager. 7 Summary of Project Costs The attached pricing assumes that both individualized consulting & training and well as group training will be conducted. Regardless of whether group training takes place or not, the attached pricing will be honored. Factors that are unknown and beyond Springbrook's control at this point that could impact group training events are the availability of staff from all member cities to participate based on timing of each respective city's migration. If it is determined by Springbrook's Project Manager that a group event can take place, to help reduce travel costs, a percentage of these costs can be shared among multiple cities which this proposal assumes to include Arden Hills, Roseville, Vadnais Heights and potentially a fourth city. This shared amount can be adjusted if more or fewer cities participate in any group event requiring travel is offered. Member cities will determine if the Access Agents (explained on page 5) will be shared among the three aforementioned cities and assumes that the database for each city resides on a single server. If/when a group classroom event can occur, it will take place at the City of Roseville. A group event may also consist of one or more web-based training sessions. These sessions may take place leading up to "going live" or may follow the "go live" date by even a few months if the Springbrook Project Manager and participating cities jointly determine that the curriculum or topic to be covered is not time sensitive to day-to-day operations. The City of Roseville has agreed to provide classroom facilities, equipment, IT Services and a city staff person who will serve as the single-point-of contact for Springbrook's Project Manager to help facilitate scheduling of group events requiring a facility, hardware and sample files. This appointed person will serve as the contact for each city who is able to participate in the group classroom training and will disseminate information about upcoming events to the group. For the services specific to the City of Arden Hills, MN, Springbrook will invoice the City of Arden Hills, MN directly. For the Access A�ent, Sprin�brook will invoice the entire cost of the license and associated maintenance to the Citv of Roseville when it is ordered. Group costs that are highlighted on Page 12 have been transposed to the summarized pricing presented on Page 10. s City of Arden Hills - V7 Support Maintenance Agreement Options Current Arrangement Under the current support agreement arrangement with Arden Hills, the city receives a 50% discount from the list price of the software maintenance agreement for all modules originally purchased in the initial contract because all support related questions from Arden Hills are directed through the City of Roseville. Arden Hills receives only software enhancements and service packs under this current arrangement. Option A From a monetary standpoint, Arden Hills enters into a phased-in full Support Maintenance Agreement with Springbrook Softvvare. In recognition for the assistance that the City of Arden Hills has played in leading the User Group and for helping Springbrook secure new business within the state, in this proposed model, the 50% discount would be gradually phased out over three years and during this timeframe, city staff still receives full support from Springbrook from the V7 "go live" date. Assuming a"go live" date in 2010, support calls would be directed to Springbrook with no increase in annual maintenance for 2010. In 2011 a 35% discount in maintenance would apply and in 2012 a 17.5 % discount and in 2013 the discount would be phased out entirely. The table on the following page assumes a maintenance increase of 4.25 % per year. Option B If it is desired by both the City of Arden Hills and the City of Roseville that the current arrangement remains in place, Springbrook will require that both cities submit written confirmation that this is the arrangement and the duration of this arrangement must be specified. If Arden Hills chooses to migrate to V7 prior to the City of Roseville, Springbrook reserves the right to invoice a prorated annual maintenance amount (rounded to the nearest month) until such time that both Arden Hills and Roseville submit notification that Roseville is able to provide Arden Hills with support services. If Roseville is unable to, or ceases providing support to Arden Hills, Springbrook reserves the right to invoice the then full annual maintenance amount (prorated to the end of the fiscal year). These are typically bid approximately 3 to 6 weeks prior to the scheduled migration date. • The training for each application is our best estimate. Actual costs will be based on $150 per hour. � Migrating to V7 of the application and database will allow the use of Microsoft Windows Vista operating system. • When migrating to V7, it may be necessary for us to re-write, test and review custom code currently on file for your organization for this new environment. However, in many cases some or even all custom code can be eliminated because it may now be part of the standard base application. A full review of your custom code will be conducted and documented by our Programming Dept., and a final cost estimate will be provided for any custom item(s) that need to be rewritten for V7. This will typically take place several months in advance of the migration. • There will be no increase in annual maintenance costs for the products/modules licensed to the organization when migrating to this new version of the application. However, standard increases may apply as normal . in uture years. • Migrations are managed by a Proj ect Manager. Proj ect kick-off will normally take place twelve weeks prior to the actual trainer arriving onsite and may involve, but is not limited to, revie�v of any custom software we have written, securing copies of your files for review, and ongoing communication with your Proj ect Manager. • The final 50% of the Training, Consulting and Migration Management services will be invoiced upon project completion. • Softvvare Customization. Once the proj ect is under�vay, if it is determined that a rewrite of existing custom is required, a detailed statement of work and quote is completed and �vill be presented for approval. If approved, 50% of the bid amount will be invoiced upon customer sign-off. Upon receipt of deposit, a Springbrook Software Proj ect Manager will be assigned to work with your organization to investigate dates for the onsite training. • An additional 15 % of the Training, Consulting and Migration Management services will be invoiced and due on 07/15/2010. • An additional 25 % of the Training, Consulting and Migration Management services will be invoiced and due on 10/15/2010. • The final 50% of the Training, Consulting and Migration Management services �vill be invoiced and due on 01/15/2011 or upon project completion if the proj ect is not entirely complete by then. • Software Customization. If it is mutually determined that a rewrite of existing custom is required, a detailed statement of work and quote will be completed for each custom program and be presented for approval. If approved, 50% of the bid amount will be invoiced as a deposit and due upon signoff or 10/15/2010 whichever is later. The remaining 50% will be invoiced and due on 01/15/2011 or upon project completion if the custom program has not been delivered by then. � Softvvare Customization Maintenance. Any associated maintenance on custom will be invoiced and due upon delivery of custom. The annual maintenance will be prorated to the end of your organization's fiscal year and billed as an annual amount thereafter. • Database components. If any additional database component (Access Agent, additional Progress Licenses, Application Server Enterprise licenses etc.) and associated maintenance is quoted, these will be ordered shortly before your organization's "go live" date.
