err�p[o�rees, a�er�ts, and eantr�c�ors. For the purpases of this Agreement, the act'rans and
om�ssions of s�rch e�nployees, agen�s, and contractors shal! be deemed the actions and
omissions of L'rcensee.
2.4. Agreernent To Be Avai[able At Vt�ork Site.
Licensee shafl keep a capy af this Agreement at the Work site and shall make it ava��able upon
demand by any employee or agent of CP.
3. TERM, EFFEC�'!VE �ATE, EXPtRATfOl�f & TERMtNAT1�N
3.1.

Commence at 12:01 am on the 1St day of June, 20iQS the "Comr�nencement Date;" and this
Agreement has no expiratior� da�e.
Upon agreement between CP and Licensee, the Terr� may be lengthen or shorten without
affeEting any ot�er provisic�ns of tf�is Agreer�er�t.
Ef�ective Date:
Th'rs Agreement shall be effect�ve upon the date that it has been signed by both parties.
3.3o RESERVED F4R FUTURE USE.
3.4o TERMINATlQN; EXCLUSION:
NQTHWlTHSTANDING ANY7HIt�G TQ THE CONTRARY C4NTAtNED HEREIN, this
Agreement �s termr`nable by CP prior ta the Expiration Date in the event Licensee breaches a�y
of its obli�at�ons u�der t�Es Agreement. If CP elects to �erminafe thfs Agree�nent, it s�af� give
Licensee notice af termir�at�an, which natice sha�l specify the obligation or ob[igations breached
by Licensee; and th�s Agreer�ent sha�! te�minate 30 days after such natice is given (prov�cted,
however, that �his Agreemen� sha[� nat term�nate if the breackt is c�r�ed within saict 20 day
period}. The earEy termination of this Agreement shal� not terrr�inate or Eimit any claim by CP
against LFcensee arisi�g pr�or �o such termination. �f Licensee is �n �reach o� any of �ts
oblfga�ior�s under this Agreement, any emp(oyee ar agent of CP may order Lice�see off the
Property, �n whieh case Licensee shalf immedt�te�y Feave the P�operty; moreover, Licensee
shall leave the property immediate�y �pa� receipt of a notice gfven pursuant to this pa�agraph
3.4; and in either case, Licer�see shalf not re-enter the Property unt�� such time as �he breach is
cured.
3.5e TRAIL NfAlNTENANCE.
CP is not respansible for �he maintena�ce of the peciestrian trai� as referenced in Section 2.2,
nor is CP res�ansible for mafntaining or preserving the pedest�ian trail dur�ng CP's
construction, operation and ma�ntenance of CP's facilit�es. Licensee shal! be responsible for
alf pedestrian trail restoration eost necessitated by7 or resulting from CP's constructior�,
operat'ran and maintenar�ce activities. �icensee sha!( be responsible for the rer�ovaf or
covering o� any graf�iti that acc�mulates on the new retaining walf il�ustra�ed in Exhibit B.

4. PAYMENTS
4.1. Licer�se Fee.

4.2. Ut�tities.
LE�ensee sha�f assurx�e and timel�r pay for any gas, efectr�cal, te�eph�ne, computer, sewer,
wat�r, storm water, waste or trash removal ar any other serv�ee or com�nadity Eonnected wi�h
�he Work, callectivefy "Utility Serviee." If any Ut�f�t�r Service fee is ir� comr�on with G�' or
other part�es, Licensee s�aCf be �iab�e �or its propor�ior�ate share af a�y sucf� Utifity Service Fee
and upon receipt of a bil� therefor, promptfy p�y CP ar s�ch othe� pa�ty for its s�are. lt shall
be a default in the terms o� this �ease �f it can be shown �hat Licensee has ��t made such
payments within 30 days if due to G�', ar �r�thin 64 days if �ayabfe to a�y otl�er party.
4.3. �techanics' And Materialmen's �iens:
tf any mechanics` or �naterialmen's I�en, ar simi�ar fien, is asserted aga'rnst �he Pro�erty, or any
ather property of CP, as a consequer�ce of the Work, L�censee sha�� imr�ecliately sa�isfy,
defend, or obtaEn the refease of such fien, alf a� �icer�see's expense, and Licensee sF�a�f
indemnify and defend CP a�ains� any Ctaims arising out of or connected with such �ien.
4.4. Additianat Charges.
Licensee shaf� within 3� days of receip� of a b��� therefar, pay to CP costs for �laggings t�aGk
changes or da�nage, or other such charges as may be provided by this Agreement or that CP
may reasonably impose in conr�ection �rvith Licensee's Work.
4.�. Due Dates; Pena[ties; ather Charges
4.3.1. Due Dates
Any item, submiss'ror� or payme�� required to be made shall be c�eemed �imefy made if
received by the other party on or before the spec'rfied due date, or �rior �a expiration of
the app�icab�e pe�iod for compiian�e, submissian or payment.
4.3.2� Late Fees
�� additian to any amounts payab�e by Licensee to CP, Licensee shal� pay CP a la�e fee
for any p�yment not time�y made by Licensee. The Iate fee shall be at the rate for
overdue accounts set by CP's Aceoun��r�g Department that is in ef�ect at the time that
t�at any such payment is due. Said late fee sha[I in�tialfy be an arr►aunt equal ta 1% of
the invo�ce amour�t �er mon�he
4.3.3� Fines & Service �ees
In addition to any other amour��s p�yab�e by �icensee to CP, Licensee shall pay CP for
any bank fi�es or service ir�curred �}r it in connection with ��e handling, nan-payment,
return or currency conversion incurred by CP in cannection w'rth processing of ar�y
payment mac�e by LEeensee to CP.
4.6o Work At No Cost To CP:
The Work completed by L�censee shali be performed at na cost to CP.
5o CONTACT� NOTICES, ETG.
5.1. Contact Persons; Communications:
Communications pursuant to th'rs Agreement shall be direc�ed to the con�act persans
designated in Sectian 1 or their des'rgnees. Either party may c�ange its contact person, or �he

pe�san �ar the party to wham notice is being g�ven. If notice is g'rven by faxr the notice sha�i not
be deemed effective ur�ti� received �n [egib�e form.
5.3. Notifica�ion Prfor To Beginnin� Work:
Licensee rr�ust notify CP's contact person by telep�one at Eeast �hree working days prior to
beginning any separate phase af the i�l/ark, and again prorr�ptly after such phase of the Wark
h�s been completed.
6e
PERMITTED & PROHtBITEQ USES; RIGHTS OF CP
6.1. Permitted Uses:
6.1.1. The Work:
The use of Property by Licer�see sharl be l�mited ta the corr�pEetian of the War�c set far�h
in See�io� 2.2., or such other kind of activities as may be approved by CP in w�iting.
6. i.2. Government Authorities.
License� may permit governmen�a[ authorities with jurisdic�ion over the Work �o enter the
Property far �he purpose of inspecting ar mon�toring the Work. Whenever possib�e,
LEcensee s�al[ advise CP (by teie�hone or other �neans calculated to bring the matter �o
CP`s immediate attention} prior to permitting such gavernmental authar��ies to en�e� the
Pra�erty for such pu�poses. The act�ons and omissions of such governmenta[
authorities while on the Property for sucFt inspectians ar�d rnonitoring shal� be deerned
the actions and ornrssions of L�censee. Licensee is nat authorized to permit
governmenta� autho�ities to enter the Praperty far any ather purpose.
6.2. Prohibited Uses and Activities.
The Licensee sha�[ not use, accupy ar perr��t the Property �o be used for any purpose� act�vi�y
or irrTprovement except as provided �n this Agreement or as may be approved af rn writing by
CP. Speci�icaliy, Licensee shall not:
6.2.1. Ad vertisirrg
permi� any ac�vertisements or s'rgns upon the F'raperty;
6.2.2. Use o� Nazardous Substances
without pr�or wrF�ter� disclosure to and approva[ by �P, Use or authorEZe the Use of any
Hazardous Substance on the Property, inctuding �nstaliation af any above or
underground storage �anks; su��ect thereto, �he Licensee shall arrange at its awn eost
�or the �awful transportation ancf aff-site c�isposal o� any and all Hazardous Substances
�ha� �t sha�l Use ar generate;
6.2.3. Use of Premises for waste treatmeni� or as storage or disposal facil�ty
eause or al[ow the Proper�y or any of GP's adjacent property to become a hazardo�s
was�e treatment, storage ar dispQsaE �aciEity within the meaning o�, o� to o�herwise �ring
any such p�operty within the ambit af the Resource Conservation and Recovery Act, 42
U.S.C. § 690� et seq. or any similar s�a�e statute or focaf ordinance; or

6�2.4. Subleasing is prohibi�ed.

G.3. Reservations anc� Rights of CP:
6.3.1. Raitroad Activities Take Priority over Work
AI� V11ork by Licensee sha�i a[ways and aI� times be subord'rnate to the needs of CP ir�
cor�nectior� with �he operation anc� mo�ement of �ai[road trains anc� equipr�te�ti and th�
repair of rai�road track, structures, communications and appu�en�nces thereto.
6.3s2. Reservation of p�ior and f�tur�e uses not inconsistent with Licensee's activities.
The rights herein granted to Licensee are sub�ect ta the rights granted �n a1C other
Iicenses, �erm'rts and easernents for tracks, roads, �nralkways, pofes, wires, pipelines,
sewers, bi[Iboards and other improvements that exist or may be p�aced upon, across,
above or underneat� the Property by CP, or 'r�s employees, agents, �'rcensees, grar�tees,
representat�ves o� �r�vitees. Further, CP reserves untQ itself the �ight ta place (or to give
athers the �ight to p�ace} additionaf tracks, roads? walkways, polest wires, pipeliness
sewers and bill�oards upon, across, above or ur�dernea�h the Property in any ma�ner
that does not ur�reasonably inter�ere with LFcensee's Work.
6.3.3o Mon�toring
CP may elee� to be presen� during the cor�duc� of the Work and �o monFtor same.
7e COVENANTS, CONDUCT & RESPQNSIBlLtTIES
7.1 Definitions
7.1.1 "�la�m'= or "Ctaimst' �neans any and all IEabilities, suits, c[aims, counterclaims, causes a�
action, dema�dsl penalties, debts, obligations, pro�nises, acts, fines, }udgments,
dar�tages, consequentiai darnages? losses, costs, and expenses af every kind (inc�udir�g
without IEmitatian any attorne�'s fees, consultants' fees, response costs, remedia� action
costsl cfeanup costs and exper�ses wl�fch may be re�ated to any Claims};
7.1.2 "Environmenta[ Law" or "Environmenta! Laws" means the Camprehensive
�nvErortmental Response, Compensation anct LiabilEty Act ("CERCLA"}, 42 U.S.C. § 9601
et seq., the Resaur�e Conservatior� and Recovery Act, 42 C�.S.G. § 6901 et seq.T the
Federal VI/ater Po[lution Con�rol Act, 33 U.S.C. �1251 et seq., the Cfean Water Ac�, 33
U.S.C. '§1321 e� seq., the Clean Air Act, 42 C1.S.C. § 7401 et seq., the Toxic Substances
Control Ac�, 15 �.S.C. § 2601 et seq., all as amended frorn time �o time, and any other
federal, state, lac�� or other governmental stat�te1 regufation, ru[e, law, ordinance, orde�
or decree dea��ng with t�e protect�on Qf human health, safe�y, �atura� resources or the
environme�t now ex�st�ng or �ereafter enacteds
7.1.3 "Hazardous Substance" or "Hazardous Substances" mear�s any po��u�ant,
contam'rnant, hazardous substance or waste, solid waste, petroleum product, distillate, or
fractian, radioaet`rve material, chemical known to cause cancer or reproduct�ve tox'rcity1
pofychlorinated bipheny! or any other chemical, substance ar material listed or 'rder�tifEed
in or regulated by any Environmental Law;
7.1.4 "Release" or "Released" means any actua! or threatened spiffing, feaking, purrlping,
pourings emitting, emptyir�g, dischargingT injeeting, escaprng, leaching, d�rm�ingr
disposir�g or spreadrng of any Hazardous Substance in�o the environmen�, as
"environment" is defined in CERCLA;

7.1.5 "Respor�se" or "Respond" rneans action taken in compliance with Environmenta� La�rs
ta correct, remove, remediate, cleanupr prevent, mitigate, rr�oni�or, evafuate, ir�vest`rgate,
assess or abate the Release of a Hazardous Substance;
7.1.6 "Use" means to rnanage, generate, manufacture, proeess, treat, store, use, re-use,
refine� recycfe� reclaim, bler�d or burn for energy recouery, incinerate, accum�rfate
speculative[y, transpor�r transfer, dispose of, or abandon.
7.2 investigation� Gompliance with Laws; Safet� Requirements.
7.2. � Tenants and Licensees in pvssession of Property.
Be�a�e entering tf�e Property, �icensee s�a�l secure the eonsent of all persons or erttities
wha are usin� or occupying any portian af t�e Praperty. CP wilf caopera�e �rrith Licensee
�o obtain consen� f�om any s�eh person or e�tity who unreasartably withhQ(ds cons�nt.
7.2.2 Underground Utilities And Structures:
a. Licensee sha[I be respo�sibCe fQr de�erminin� the (acation o� a!I underground
utiCities (elee�ric �ines, tefephone lines, gas I�nes, steam lines, sewer lines, water
I�nes, f�ber optic c�bles, pipess �rires, and �he fike} and undergrour�ct structures.
b. Licensee shal� calf CP "aNE CALL's at 1-888-625-8702 a r��nimum of 5 business
prior to commencEng ��y excavation or boring on the Property.
c. CP wilf cooperate with Licensee to fden�ify the locat�on af underground utiCities and
s�ructures known to CP, but such cooperation sha(f not re[ieve Licensee from its
primary responsib'r�ity �a d�termine the locatfons of such uti[ities and structures.
7.2.3 Permits �4nd Licenses; Cor�pliance With Laws:
Licensee shalf secure, at na expense to CP, any perm�ts or IEcenses required in
cor�nection with the Vtlark and shal! compfy with a�i laws app�icabfe to the Wark and the
Property, ir�cluding (but not ��mF�ed to} any Iaws, star�dardss regulat�ons, and perrr�it
requirements re(at�rtg ta environmenta! poElution or contamination or to occupationar
heaith and safety_ Lice�see shall i�demnify and defend CP against any and af! C�aims
arising out af or car�nec�ed with the viofa��on o� any law by LEcensee while on or a�out the
Property.
7.2.4 Compl�ance Wifh CP Safety Requirements; Identifjcatiort:
a. Wh�le on the Praper��r, �icensee shali comply with the safety requirements of C�',
as such requ�rements may be amended from time tQ time during the duration af �he
Work, al! at no expense �a �P. CP`s safety require�nents are set forth "Exhibit C"
titled "MtNIMUM SAFETY REQUIREMENTS FOR CONTRA�TORS WORKING
ON RAfLWAY PROPERTY" and in CP 's current sa�ety h�ndboak. One �ree copy
of the currer�t safety handbaok wi�l be provided to the Licensee b� tf�e CP contac�
person. Additional copies will be provided a� Licensee's expense. Licensee sha(I
be responsible for ensuring t�at any persan performing any o� the Work for or on
behalf of Licensee sha�l compCy with the CP safety requiremen�s that would �pply tQ
a CP employee performi�g simirar work.
b. Prior to ar�y entry onto the Property, Licensee and every em�foyee, agent or
subcontracto� who earries out any part of the Work on the Prope�ty shal�
successfully complete �he safety training ava'rlabie through the e-raflsafe prograr�t at
www.e-railsafe.com in respect to �equirements for Canadian PacifFc operations.

c. Licensee anci every employee, agent ar subcontractor who carries out any part of
the Vif ork on the Property sha�l at a�l tirnes wear and v�s'r��y display the identif'rcation
badge Essued to ther� fo�fowtng s��cessfu� eom�le�ior� of �he e-railsafe safety
tra�ning �ogether with whateve� addit�onaf identification materials tl�at CP may
reasonab�e require.
7.3 Work In GEose Proximity To Railroad Operatior�s; Drainage:
7.3.1 Interference With Railroad Operations:
Licensee shall keep CP fully apprised of �ts proposed activities on the P�aperty so as to
pre�ent any ir��er�erence with the operations of CP's tra�ns o� equipment (ar trains or
equ`rprx�ent of others� operat'rng on or near the Propert�r.
7.3.2 �learance;
No work sha�C be done or any equipment ar other abstruction plaeed over or withir� 25
�ee� lateralfy af �he centerline of any track withaut adva�ce notifica�ion �o GP pr�or to
perfarming suc� work or placing suc� equ�pme�t o� obstruction.
7.3.3 Flagging:
Lic�nsee must make arrangements with CP for such f[agging or wa�chman service as
CP deems r�ecessary for the protection of rai�road tr�ffic. A�I such flag�ing and
watchman serv'rce sha[! be provided by CP at L�censee's expense. Tl�e fact that CP
provic�es such service sha�f not relieve Lieensee from any liabili�y under thts Agreement.
GP`s labor and materia� additives are sub�ect to change without notice to Licensee, and
CP shall be reimbursed based �rpon its �abor and rr�ater�al addit'rves actually in effect as
o� the date of such service.
7.3.4 Certain Work Close To Track Not Permitted; Laterat Support:
a. �1n�ess il�ustrated 'rn the P�ans �nd Specificat'rons attached as Exhi��t B, or
otherwise agreed to in writing by GP, excavat�ans, bor'rngsr we�ls, pits, test holes,
probe site�, and the like sk�afE not be [ocated closer than 25 feet from the c�ntertine
of the nearest rai�road track an or acijacen� to the Property nor s�alE �t take or al[ow
a�ty action �pon the Property tha� would material�y 'rmpair the lateral or subadjacer�t
support of adjacent Iands or raifraad tracks.;
b. Unless i[I�strated in the Plans and Specifications attac�ed as Exhibit B, or
otherwise agreed to �n writing by GP, ciri(ling ar�c� excavating equipment and refatec�
equ�pment shalE not be located closer than 25 feet from the nearest rai� of any suc�
track;
c. �n the event that CP permits excavations, boringsr we�ls, pits, �est holes, probe
sites, or the like in clos� proximity to tracks, embankments or other features
�roviding latera! or subadjacent support to land or tracks, �hen notwithstanding
any�hing to the contrary i� this ricense, Licer�see shalE be respor�sible for designing
anci constructing at no cost to CP any measure that is required to prevent the
colfapse, erosion or impairment to sard �and or tracks.
7.3.5. Sform Water
�.icensee sha�E not, without the advance writ�en appraval of CP, rrlake any changes to the
Property that would either increase the his�oric flow rate of storm water from the P�operty
or create an impediment to the historic f[ow of storm water to the Property. Unfess
otherwfse agreed in writing, Between CP and the Licensee it is understood ancf ag�eed

7.3.6. Fencing <not applicable>
Licer�see shalls at na cast �o CP, eonst�uc� and maintain during the term hereof a fence
acceptable �o CP in the locatian(s} desrgnated an Exhibit A. Follawir�g campfe�ion �f the
Vilo�k, the L�censee sha�l remave the fencing, �e�ove ar�y post footings or concrete, and
fi�l ar�d tamp an�r post ho[es with clean f�f� rrraterial.
7.4 Conduct
7.4.1. Property clean, safe and free from nu�sances
T�e L�censee sha�[ not perm�t the existence of any nuisance upon the Property and sha[�
at a[! �imes keep th� Proper�y �n a proper, clean, safe and sanitary condition, and �ree
fror� accur��[atians of v�raste materiafs, debris or refuse.
7.4.2. f�elease of i�azardous Substances:
The Licensee sh��i not cause ar aflow �he Refease or threat of Release of any Hazardous
Substance onT toS or fram the Property.
7.4.3. Response Actions
The L�censee sk�a[� promptly take all necessary aEtian in Respo�se to any Release o�
Use of a HaZarcious Substance a� the Proper�y caused by, ar attributa��e to, any act or
omission of the Licensee (or the L�censee's employees, agents, representatives ar
�nvitees} that �ould:
a. give rEs� to �ny C�aim under any Environmenta� Law,
b. cause a public health or workplaee hazard, o�
c. ereate a nuisance.
7.5� Required NoticesiDiscEosures
7.5.1 Transportation anat Disposai Contracts
The Licensee shall, upon written request by CP, provi�e CP rrvith copies of transportation
and disposa� can�raets anct man'r�ests for Hazardous Waste, any perrr�its issued u�de�
any Environmenta� Laws, and any other documents demonstrating that the Licensee has
comp�iec� w�th a�f Enviranmenta� Laws relating to the Property
7.5.2 Refeases or Suspected Reieases
The Licensee shalE prompt�y notify GP of any ac�uaE or suspected Release o� any
Hazardous Substance on, to, or from the Property, regardfess of the cause of the
Re�ease.
7.5.3. Notices, sumrr�ons citativns, etc.
The Licer�see sha�l promptly provide CP with copies of aIC summons, citattons, d'rrectives,
infiormation inquiries o� requests, notices of potentia� responsib�lit�r, notices of violation or
defiGiency� orders or cfecrees, claims, causes af actian, complaints, investigations,
�udgments, letters, not�ces of environmentaf liens o� Response actions in progress, an�
other communiGations, wr�tten or ora�, actua� or threatened, from the United States
Environmenta! Protection Agency, the United States 4ccupatior�af Safety and Hea�th
Administ�ation, or ot�er federal, state or local agency or authority, or any other entity ar
inc�ividua[, cQncernir�g:
a. an� Release of a Hazardaus Substance ons ta or frorr� the Property,
b. the imposit�an of any lien o� the Proper�y, or

7.�.4. Other Reports <rrot appfi�able>
Licensee shafi, at CP's optior�, provide CP, at no cos� to CPi a co�y af any other report,
summary or wrEtten test results, coflectively "Report," pertaining ta the Work. If any such
Report is to be fi�ed or made �vail�b�e ta any governmental a�ency acting in a regu�atary
capaci�y, �hen Lieensee sh�l� also give CP a reasonabie time �not �ess �han 5 warking

act�on taken pursua�t �a sect�on 7.4.3, Licensee shal! noti�y CP af and pe�r�nit GP to participate
fn any and all investigat�ans, telephone canferences, settlement d'rscussions, remediatEon plans
and all o�her interactians, dire�� or �ndirect, w'rth governmental or regulatory officials, and
Licensee shall �ake alE actfon necessary to ertsure that any indernnification, release, waiver,
eavenant not to sue, or hold harrnfess agreement benefiting Licensee and arising out of such
activities, whether from a governmenta[ or regulatory entity ar from a private entityr also
benefits CP to at Ceast �he same �xtent as Licensee.
7.7. Res�oration of Property;
Upon completion of �he Wark or expiratio� or early terminatian of �his Agreementt whichever
oce�rs first, Licensee sha[� re�ove any debris �esu�ti�g therefror� and shalf restore the
Property to the condition it was in prior to the commencemer�t of the Work (or such other
condition as is satisfactary to CP}. All excavations are to �e backfitled and tamped. AtE barings
sha�f be backfifled with graut. Dri�l cuttings shall not be used as �ackfill. Licensee shall
dispose of al! ctrilf cut�ings, soi( and sediment sampCes, purge water, dev�ratering efffuent, and
water samples and a(I excess excava�ion materiaf in a rrtanner aceept�ble to CP and in
accordance with all app[icab{e �aws, a�[ a� na expense to CP.
8. C.[AB[LlTY
8.1 o Damage To Tracks, Fac�ti�ies, Ar�d Equipment:
If any tracks, faci�ities, or equiprnent ownecf, used, or mafntained by CP are damaged in
conneetia� w�th t�e Vliork, CP sha�l repair (or arrange for the repair of} sucl� damage and
Licensee sha(l pay the fuf� cost of such repair wi�hin 30 days after CP shal[ ten�er a bit!
therefor.
8.2a Assumpt'ron af Risk:
Licensee is f u�Cy aware of �he dangers of working on and about railroad pr�per�y and railroad
operations a�d knowingfy and wifl�ngly assumes the risk af harm (e.g., inj�ry to ar death of
persons and damage to or destruetion o� proper�y} that may occur whi[e on and about the
Property. Without in ar�y way Iimit�ng the scope of the preceding sente�ce, �fcensee
assumes the risk that mon�tor�ng wells, e[evat'ron bench marks, reference points, and other
instaflations [ocated on the Property may be disturbed, damaged, ar destroyed by �P or third
persons, and Licensee shall r�ot make any ciaim against CP on accaunt of same, even if such
disturbance, damage, or c�estrue�ion arises from the negiigence of C�' or its employees,
agents, or invitees. Licensee assumes fu�l responsibility for protecting its instaClations and
persona{ property fram tl�eft and vandalisr� while such installations and �ersonal property are
on the Property.

Soo Line �orpQration, Canadian �acif`rc Railway Company, any company doing business as
Car�ad�a� Pacific Railway, and any raifway eompany or cor�tractor opera�ing trains ar rail
equipment upon raifway tracks �n clase proxir�ity to the Property, together with the parent
corripaniesr subs�diaries, and aff'rliated companies of all of the foregoing.

Licer�see shal! procure and maintain in effect (or sha�l cause �ts contractor to procure and mainta�n En
�ffect), at any time when any portion of the Work is being performed, the foi[ow'rn� �nsurance:
9.1 a Comprehensive Generat Liability tnsurance:
Gomprehensive genera� liability insurance with a poCicy �imit of not less thar� $2,aao,000 �er
occurrence anc� $5,OOQ,OQO aggregate for bodily injury� death, and da�nage to or destruction
of prvperty (incl�ding �he lass of use thereof}. The policy wi�l inc�ude those po[fey exte�sEons
common{y referred to as braad forrr� completed operations, contractor's protective� coilapse,
and undergroc�nd darnage. The policy s���! by its wording or by endorse�ner�t insure those
liabi��ties and ob[igations �vhich this Agreement c�ntempfates wiEl be assumed �y Licensee,
includEng I�abilit�es and ob�igat�ons to indemnify the Indemnif�ed Parties. The policy shal� be
endorsed �o require t�at C�' be given no� �ess t�tan 30 days wrr'�ten notice in advance o�
cancelfation or termina�ion of the policy or of any change or amendment to the pQ�ic� that

�anadian Paci��c Rai[v�ray, and any railway company or contractor operating trains or raii
ec{uipmen� upon ra�lway t�acks in cfose proximity to the PrQperty, �ogether with the parent
campanies, s�rbsidiaries, and affi['rated cor�panies of a!i of the foregoing (col�eetive�y, the
Protected Parties}. The policy shal� a�so be e�dorsed to waive subrogation rights against the
Protected Parties.
9.2a Automobile L�ability and Property Damage tnsurance�
Automobile liability and property damage insurance in an amount not less than $2,000,000,
personal injury and property damage co�nbined, covering the ownership, use, and operation
af any mQtor vehicles and trailers licensed for use on pubiic highways which are owned,
�eased, or controrled by Licensee or 'rts confractor and used in connee�ion with the Work. The
policy sha![ be endorsed to require that CP be given not less than 3a days writ�en notice in

9.7. Contractuat Endorsement

to CP:
"It is agreed that the policy or policies of insurance evidenced by this
certificate covers the tiabifity assumed by the insured in connection with work
pursuant to the Right of Entry Agreement dated , 2010 by and

Railroad Company, includ�ng work upon railroad property, within raifroad right

Before Licensee enters t[�e Property, CP must receive an� approve certificates of �nsurance
evidencir�g �he cQverage's required by sections 9.1, 9.2, 9.3, 9.5, and 9.3, and endorsemen�s
9.7 and CP must also receive and apprave either the policy required by subparagrapn 9.4 or a
binder evidenc�ng that that poficy is tn effect. CP reserves the r��ht to demand a certffied copy
of any required poficy, and Licensee or its contractor shal{ provide such cop�r within 10 working
days after GP shafl give notice to Licensee demandin� such copy. ali of the requf�ed palic�es
shal[ be issued by insur�rs acceptable to CP and shafl be acceptable to CP fn both �orm and

10.1. Survivat Qf tndemnity Provisions:
The indemnfficat�on provisions Qf this Agreer�nent sha�l survive i�s expira�ion or termination.
10.2. Me�e License:
The perrn�ssions encompassed �y this Agree�nent is a�nere ficense to use the P�operty for
the specifEed purpose ane{ does r�ot create any estate or in�erest in the Proper�y.
10.3. No Warranty 4fi Title:
CP does not warrant that �� has good ti�le �o the Property.
10.4. Assignmen�s Bindin� Effect:
This Agreement may not be assigned !�y L�censee withaut the advance wrE�ten consent of CP_
Su�ject to �he preced�ng ser��ence, thEs Agreement shafl be bir�dEng upor�, and inure to the
benefit of, the parties' respective successors and assigns.
10.5. Governing Law:
This Agreement shal� be construed and interpreted in acco�dance with the laws of the state in
which the Property is �acated, without reference to the choice of �aw rules of that state.
10.6o Entire Agreeme��:
This Agreement is the fu�E, comp�ete, and ent'rre Agreemen� a� the parties with respect to the
subjects hereof, and any and a[l prior writings, representatians, and negotiations with respect
to those subjects are superseded by �his Agreernent.
10.7. Headings:
The headir�gs used �n t�is Agreement a�e provided sale�y as a cor�venient means of
reference. �hey are nat intended to, and do not, Iimi� or ex�and the purpose or ef�ect of the

Standards Associations (CSA) or by �he American Nationa� Standards I�tst�tute (ANSI},
and sha�l be in goocf condition and be properfy fitted.

5.1 Entry upon Ra��way proper�y when in possessio� of, or under tne inf�uence of intaxicants,
narcotics, controCled substances or medication whic� may in any way a�lversely affect
afertness, cancentrat�on, reactian response time ar safety Es �rohibited. CQntractors must
have appropriate �rograms and processes in place ta ensure �hat Contractor Personnel are
in compliance with th�s requirement.

8.4 Tools must be used only for the purpose for which they are designe�. Defective �oo[s
must be repaEred or �epfaced.
8.5 �l/lachinery and equ�pment must be operated and mair�tained onfy �y persons properly
