Back�round The 2010-2014 Arden Hills Capitol Improvement Plan (CIP) proposed to construct an approximately 960 foot long, eight foot wide trail along the west side of Lexington Avenue from the Canadian Paci�c Railroad crossing to the traffic signal at Grey Fox Road (Attachment A). When the proj ect was discussed in late 2009, the City Council directed staff to contact the adj acent property owner to determine if they would be willing to fund half the cost of the proj ect. The 2009 cost estimate was approximately $63,000. The proposed trail would be adjacent to two properties: the Shannon Square Shoppes and the Shannon Square Cub Foods. Both properties are owned and managed by Inland. When staff inet with the property manager to discuss the concept earlier this year, the manager expressed interest in the proj ect and recognized the beneiits to the property. After their internal review, Inland preliminarily agreed to fund up to half the cost of the proj ect, depending on final cost, with the other half funded by the City. During the discussions with the property manager, they requested the option to have their portion of the cost specially assessed to both properties. With that option, the City requested that Inland sign a waiver of their right to appeal the special assessment, which they agreed to do. Inland also requested a concrete sidewalk instead of a bituminous sidewalk because the aesthetics are more compatible with the business area. The City wi11 issue a request for quotes for engineering services to prepare plans and specifications for the project. 2. The selected engineer will prepare the plans and speci� cations. 3. If the plans and speci�cations are approved by Inland and the City, the City Council can authorize advertising for bids. 4. Once the bids are received, the City and Inland will review the bids. 5. If both the City and Inland accept the bid prices, the City can award the contract. 6e Upon completion of the project, Inland will reimburse the City for one half the proj ect cost. If Inland chooses to have the cost specially assessed, the special assessment would be repaid over three years. The proposed interest rate will be provided at the meeting. In past Pavement Management Program (PMP) proj ects, the interest rate was set at two percentage points above the City's rate of return or two percentage points above the prime rate. The City is wi�ling to undertake the construction of th� Project pursuant to t�e terms �f this Agree�ent, 3.0 Terms and �onditions. NOW THERE�ORE, in consideratio� �f �he �n�tual bene�its and obliga�ions contained herein, the City, Inland Shoppes, and Inland Cub agree as fflllov�s: � A. t�pon execution of this Agreeme�t by the parties, tl�e City vvill prepare Plans and Specif�cations for the Project fo� revievv and approval by Inland Shoppes and Inland Cu�, and if so approved, the City Wl�� obt�in bids for the co�struction of the Project based upon such �ppr�ved Plans a�d Specificat���s. 2 l B. After review of the bids b� the parties, the City will award a�ontract for the const��ction of the Project, provid�d that In�and Shoppes and Inland Cub agree, in advance, to t�e bid v�hich would be accepted b� the City. �. If afier revieWing the bids, all of the parties to this Agreeme�t do not decide to proceed witl� the construction of the Pr�ject, �hen, upfln written notice to the ot�er parties, this Agr�ement shall be null a�d void and Inland Shoppes and Inland Cub shall l�a�e no further obl�gation to th� City. �. If a�ter the review of the bids, t�e parties decide to �roceed wit� t�e Project, the City vvill awa�d the contract for the construction of the �roject. �E. �Jpon �ompletion o�the �'roject, Inland Sh�ppes and In�and Cub vvill pay �or a con�bined one-half �1/2� of the Project cost, or, in the alternative, Inland Shop�es �n� In�and Cub may request the City to specially assess s�ch cost agair�st the Cub Proper�y and Shoppes Prop�rty. Th� City, unl�ss otherwise advised in vvritir�g by Inland Shoppes and Inland Cub, wi�l speciall� assess one-fourth {1/4� of the Project cost against t�e �l�oppes Property and one- fourth �1/4� of the Project cost against the Cub �'roperty. The special assessm�nt sha�l be payable o�er a maximum flf thre� (3j years and at an interest rate determ�ned by the City's Special Assessment Resolution, which interest rat� shall not exceed %. 4,0 Acknowledgment and iNaiver, In�and Shoppes and Inland Cub eac� acknowledge that their respective parce�s will re�eive a special benefit equal to the proposed special assessment as a result of the constr�ction of the Project and, waive tl�eir rights under the provisions of Minn.
