B. Code Enforcement Services in the attached Exhibit A: Centerville will invoice Lexington for Code Enforcement services on a monthly basis for services requested. The hourly rate for this service shall be $70 per hour, billed to the quarter hour. The hourly charges may include one -way travel time to Lexington from Centerville, or two -way travel time when reporting to Court. Lexington shall pay Centerville within 30 days of receipt of an invoice from Centerville. The hourly rate shall include vehicle expense. Section 4. HOLD HARMLESS AND INDEMNITY Centerville agrees to indemnify and hold Lexington harmless from Centerville's share of liability for damages caused by negligence or willful misconduct of Centerville, its officers, agents or employees in Centerville's performance under this Agreement. Centerville's obligations under this section shall not apply to any claim, cost or liability caused in whole or in part by the negligence or willful misconduct of Lexington. Under no circumstances shall Centerville have any liability to Lexington or to any other person or entity, for consequential or special damages, or for any damages based on loss of use, revenue, profits or business opportunities arising from or in any way relating to Centerville's performance under this Agreement. Lexington shall defend, indemnify and hold harmless Centerville, its officers and employees from all claims, suits or actions of every name, kind and description brought by or on account of injuries to or death of any person or damage to property resulting from anything done or omitted to be done by Lexington, its officers, agents or employees under or in connection with this agreement or with any work, authority or jurisdiction of Lexington. Lexington shall assume the risk and responsiblies stemming from the content of its Ordinances as enforced by Centerville and its Building Official. Section 5. TERMINATION This Agreement may be terminated by either the City of Lexington or the City of Centerville, giving at least 30 days written notice thereof to the other party. Should either party be in default of the terms of this Agreement, the non - defaulting party may give written notice of such default and should such default not be occurred within thirty days after the mailing of said notice, this Agreement may then be terminated by the non - Page 2 of 5 51
