<br />15. ENTIRE AGREEMENT. This document constitutes the entire agreement <br /> <br />between the parties. No representations, warranties or promises pertaining to this Agreement or <br /> <br />the Property shall be binding on any of the parties, except as expressly stated herein. This <br /> <br />Agreement may not be changed orally, but only by an agreement signed by the parties. <br /> <br />16. HEADINGS. Headings in this Agreement are for convenience only and shall not <br /> <br />be used to interpret or construe its provisions. <br /> <br />17. GOVERNING LAW. This Agreement shall be governed by and construed in <br /> <br />accordance with the laws of the State of Minnesota, irrespective of the domicile of the parties. <br /> <br />18. SURVIVAL. The warranties and representations contained herein shall survive <br /> <br />the Closing and delivery of the Deed provided, however, that no action, in law or in equity, <br /> <br />alleging breach of the warranties and representations herein shall be commenced more than one <br /> <br />year from the date of Closing. <br />19. BINDING EFFECT. This Agreement shall be binding upon and inure to the <br /> <br />benefit of the parties hereto and their respective successors and assigns. <br /> <br />20. TIME IS OF THE ESSENCE. Time is of the essence in the performance of the <br /> <br /> <br />terms and conditions of this Option. <br /> <br />21. SAVINGS CLAUSE. If any term or condition of this Agreement is held to be <br /> <br /> <br />invalid or enforceable, such term or condition shall not be enforced but all other terms and <br /> <br /> <br />conditions of this Agreement shall be deemed in full force and effect. <br /> <br /> <br />22. COUNTERPARTS. This Agreement may be executed In any number of <br /> <br /> <br />counterparts, each of which shall be deemed to be an original but all of which, taken together, <br /> <br /> <br />shall constitute the same instrument. <br /> <br />23. NO RECORDING. Buyer shall not record this Option, or any memorandum <br /> <br />thereof, against the Property. <br /> <br />7 <br /> <br />i/ <br />
