Draft Draft Draft <br /> MEMORANDUM OF AGREEMENT <br /> The cities of Centerville, Circle Pines, Columbus, Lino Lakes, Lexington and Hugo are <br /> hereinafter referred to as "CITIES." <br /> WHEREAS, the Cities have determined that the current practice of using sand and salt <br /> mixtures on city roads is not the most effective means to control ice, and <br /> WHEREAS, the Cities have recognized that using primarily salt in the correct amounts is <br /> a better means of providing safe winter roads, and <br /> WHEREAS, transitioning to salt alone, without adopting procedures and training for staff <br /> would likely result in excessive use of salt and unnecessarily higher cost, and <br /> WHEREAS, deicing salt may accumulate in ponds and lakes, which over time could have <br /> an adverse impact on the environment, and <br /> WHEREAS, Centerville, on behalf of the cities has secured a grant from Rice Creek <br /> Watershed District (grant application attached as Exhibit A) to implement best <br /> management practices for use of road deicing salt, and <br /> WHEREAS, the Grant Agreement (attached hereto as Exhibit B), among other things, <br /> requires documentation and reporting activities for each of the cities. <br /> THE CITIES AGREE TO INDIVIDUALLY TAKE THE FOLLOWING ACTIONS: <br /> 1. Each city council will approve participation in the activities envisioned by the grant <br /> application in the same manner as if it were a direct party to the grant agreement. <br /> 2. Each city will timely pay to the City of Centerville the local share for the equipment it <br /> acquires through the grant. <br /> 3. Each city will adopt the Minnesota Snow and Ice Control Handbook as prepared by <br /> the Minnesota Department of Transportation and will direct the appropriate city staff to <br /> participate in training from the Handbook. <br /> 4. Each city will adopt any required policies and procedures to implement the grant <br /> program activities. <br /> 5. Each city will keep records of snow and ice events and its use of deicing materials as <br /> required in the grant agreement. <br /> 6. Each city shall be responsible for its own acts and omissions and those of its officers, <br /> employees and agents. However, to simplify the defense of any action the parties may <br /> consolidate liability in one or more cities. Under no circumstances, however, shall a city <br /> be required to pay on behalf of itself and another city, any amount in excess of the limits <br /> on liability established in Minnesota Statutes, Chapter 466 applicable to any one city. In <br /> such cases, the limits of liability for some or all of the cities may not be added together to <br /> determine the maximum amount of liability for any city. <br /> This agreement will be executed in multiple originals with separate signature page for <br /> each city. <br /> The balance of this page is intentionally left blank. <br /> 1 7 <br />
