<br />5.2 Additional Rights for Centennial Cities. If subsequent to the date of this <br />Agreement, a Minnesota Hockey Association sanctioned club/association is organized to <br />serve all or part of a city member of the Centennial Cities, the Centennial Cities may, at <br />their discretion, choose to assign a portion of the Priority Hours that CYHA has under <br />Section 3.2( c) to the new association. <br /> <br />5.3 Recognition for the Centennial Cities. The Centennial Cities shall receive <br />recognition in 2 locations; on the exterior of the building and inside the entrance to the <br />building. <br /> <br />5.4 Centennial City Payments. The Centennial Cities have set a goal to <br />contribute the sum of $100,000 towards the construction of the Facility. Any payments <br />made pursuant to this pledge shall be paid directly to the NSCF Construction Fund and <br />CYHA shall receive a credit for such payments. <br /> <br />a. The city of Centerville shall make a capital contribution to the project <br />of $16,000 as per the following payment Schedule. January 15, 2007 <br />$8,000 and January 15,2008 $8,000. <br /> <br />SECTION 6 <br />MISCELLANEOUS TERMS <br /> <br />6.1 Observance of Laws. NSCF and MASC will observe all applicable laws, <br />regulations, ordinances and orders of the United States, the State of Minnesota and <br />agencies and political subdivisions thereof and each department or agency thereof, <br />applicable to Facility. NSCF and MASC shall have the right to contest by appropriate <br />procedures the adoption, validity or applicability of any laws, regulations, ordinances and <br />orders referred to in this Section and to delay compliance therewith, without violating the <br />provisions of this Section, if the procedures taken by NSCF or MASC to contest the <br />validity or applicability of any such law, regulation, ordinance or order are appropriate and <br />have the effect of staying the finality and enforceability thereof against NSC or MASC. <br /> <br />6.2 Amendments. This Agreement may not be amended, changed, modified, <br />altered or terminated without the prior written consent of the NSCF, MASC and the City <br />of Centerville. <br /> <br />6.3 Waiver and Cumulative Rights. No waiver of any breach of this <br />Agreement by a party shall be considered to be a waiver of any other subsequent breach, <br />and no right or remedy herein conferred upon or reserved under this Agreement is <br />intended to be exclusive of any other right or remedy. <br /> <br />6.4 Governing Law. This Agreement shall be governed and interpreted under <br />the laws of the State of Minnesota. <br /> <br />Draft 02/22/2006 <br /> <br />4 <br />
