The cities of Ramsey's and Nowthen's memberships' shall be represented only by a <br /> representative of the Nowthen /Ramsey joint powers agreement. <br /> Each member shall be represented by one of its elected officials and its fire chief, or their <br /> designee in the fire chief's absence, and each elected official and each fire chief shall have <br /> one vote. <br /> ARTICLE VI <br /> By -laws <br /> The by -laws of the FPC shall be as set forth in Attachment A, and incorporated herein. <br /> ARTICLE VII <br /> Withdrawal and Termination <br /> 7.1 Withdrawal. <br /> A member city may withdraw from this Agreement effective on January 1, upon at least one <br /> year's written notice to the President of the FPC. In the event of withdrawal by any party, this <br /> Agreement shall remain in full force and effect as to all remaining member cities. Withdrawal <br /> shall not act to discharge any liability incurred or chargeable to any member city or township <br /> before the effective date of withdrawal. Such liability shall continue until appropriately <br /> discharged by law or agreement. <br /> 7.2 Termination. <br /> This Agreement shall terminate upon the occurrence of any one of the following events: <br /> (1) When parties withdraw pursuant to Article VIII, so that it becomes impractical or <br /> uneconomical to continue, in the judgment of the FPC as evidenced by a majority <br /> vote. <br /> (2) When necessitated by operation of law or as a result of a decision by a court of <br /> competent jurisdiction; <br /> (3) When all of the Governmental Units agree, by resolution, to terminate the <br /> Agreement; <br /> 7.3 Effect of Termination. <br /> Termination shall not discharge any liability incurred by any of the Governmental Units prior to <br /> termination of this Agreement. <br /> ARTICLE VIII <br /> Liability and Insurance <br /> 8.1 Liability <br /> Each party shall be responsible for its own acts and those of its elected officials, employees, <br /> agents, and subcontractors and the results thereof, and shall not be responsible for the acts of <br /> any other party, its elected officials, employees, agents, or subcontractors and the results <br /> thereof, except as otherwise provided in this Agreement.
