STANDARD FORM OF AGREEMENT <br /> THE CITY OF CENTERVILLE <br /> THIS AGREEMENT is by and between City of Centerville,Minnesota (hereinafter referred to <br /> as the"City") and C&L Excavating, Inc. (hereinafter referred to as the"Contractor"). City and <br /> Contractor, in consideration of the mutual covenants hereinafter set forth, agree as follows: <br /> ARTICLE 1. The Agreement <br /> 1.1. Contractor shall complete all work as specified in the following Contract Document: <br /> 1.1.1. This Agreement. <br /> 1.1.2. The Proposals dated 5/20/2014. (conformed copy) <br /> 1.2. After being reduced to writing and signed by the Contractor and the City certain documents can <br /> become Contract Documents, and are incorporated into this Agreement by reference. These are <br /> documents which may be delivered or issued on or after the Effective Date of the Agreement <br /> and are not attached hereto.These documents can include: <br /> 1.2.1. Contract Bonds <br /> 1.2.2. Insurance Certificate <br /> 1.2.3. Notice to Proceed <br /> 1.2.4. Work Change Directives <br /> 1.2.5. Change Order(s) <br /> 1.3. These are all of the documents which form this Agreement. No verbal agreements exist outside <br /> of the Contract Documents, and nothing shall modify the terms of this Agreement unless the <br /> modification is in writing and signed by all parties. <br /> ARTICLE 2. The Project <br /> 2.1. The Project for which the work under the Contract Documents is generally described as <br /> follows: <br /> Construct approximately 600 LF feet of storm sewer on Old Mill Road,north of 73rd Street <br /> together with draintile,two catch basins, 3 each- 4' diameter manholes,remove and replace <br /> 300 LF concrete curb and gutter and topsoil/sod restoration. <br /> ARTICLE 3. The Engineer <br /> 3.1. The Project will be monitored by Paul Palzer, Public Works Director(hereinafter referred to as <br /> "Engineer"), who is to act as City's representative, assume all duties and responsibilities, and <br /> will have the rights and authority assigned to Engineer in the Contract Documents in connection <br /> with the completion of the work in accordance with the Contract Documents. <br /> ARTICLE 4. Deadlines <br /> 4.1. Dates for Substantial Completion and Final Payment <br /> 4.1.1.
