Each Member shall be represented by 1) one of its elected officials and 2) its fire chief, or their <br /> designee in the fire chief's absence. Member fire departments which represent multiple jurisdictions <br /> shall designate which elected official from their participating jurisdictions shall be entitled to vote on <br /> behalf of that Member fire department. Each so designated elected official and each fire chief (or in <br /> the chief s absence, the chief's designee) shall have one vote each. <br /> ARTICLE VI <br /> By-laws <br /> The by-laws of the ACFPC shall be as set forth in Attachment A, and incorporated herein. <br /> ARTICLE VII <br /> Withdrawal and Termination <br /> 7.1 Withdrawal. <br /> A Member may withdraw from this Agreement effective January 1 of any year subsequent to the <br /> Effective Date, after having provided to the ACFPC a minimum of one year's written notice to the Chair <br /> of the ACFPC. In the event of withdrawal by any Member,this Agreement shall remain in full force and <br /> effect as to all remaining Members. <br /> 7.2 Termination of the Agreement. <br /> This Agreement shall terminate upon the occurrence of any one of the following events: <br /> (1) When any Governmental Unit withdraws pursuant to this Article VII, so that in the <br /> judgment of the remaining Governmental Units, as evidenced by a unanimous vote of its <br /> Members, it becomes impractical or uneconomical to continue. <br /> (2) When necessitated by operation of law or as a result of a decision by a court of <br /> competent jurisdiction; <br /> (3) When all of the Governmental Units agree, by resolution, to terminate the Agreement; <br /> 7.3 Termination of Member. <br /> If a Member fails to perform any material obligation as required by this Agreement or the <br /> By-laws, then the ACFPC, upon 60 days written notice, may terminate the membership of <br /> such non-performing Member. <br /> 7.4 Effect of Termination or Withdrawal. <br /> Termination shall not discharge any liability incurred by any of the Governmental Units prior to <br /> termination of 1) its membership pursuant to 7.3, or 2)this Agreement. Withdrawal shall not act to <br /> discharge any liability incurred or chargeable to any member city or township before the effective date <br /> of withdrawal. Such liability shall continue until appropriately discharged by law or agreement. <br /> 4 <br /> 15 <br />
