STANDARD FORM OF AGREEMENT THE CITY OF CENTERVILLE THIS AGREEMENT is by and between City of Centerville, Minnesota (hereinafter referred to as the"City") and Anoka County Radio Club and Emergency Services, Inc. (hereinafter referred to as the"Contractor"). City and Contractor, in consideration of the mutual covenants hereinafter set forth, agree as follows: ARTICLE 1. The Agreement 1.1. Contractor shall complete all work as specified in the following Contract Document: 1.1.1. This Agreement. 1.2. After being reduced to writing and signed by the Contractor and the City certain documents can become Contract Documents, and are incorporated into this Agreement by reference. These are documents which may be delivered or issued on or after the Effective Date of the Agreement and are not attached hereto. These documents can include: 1.2.1. Insurance Certificate 1.2.2. Written requests for services 1.3. These are all of the documents which form this Agreement. No verbal agreements exist outside of the Contract Documents, and nothing shall modify the terms of this Agreement unless the modification is in writing and signed by all parties. ARTICLE 2. The Project and Contract Term 2.1. The Project for which the work under the Contract Documents is generally described as follows: Provide logistical support for annual Fete des Lacs Community Celebration. Services may include providing radios and staff to communicate during the parade as well as providing assistance with other activities. Each year, not later than July I",the city shall issue a"Written request for services"indicating what assistance is needed and the authorized cost for the services. 2.2. The term of this agreement shall run from June 1, 2014 to December 31, 2016, but may be extended by the parties with mutual written consent. The agreement may be cancelled by either party upon 30 days written notice. ARTICLE 3. Contract Administration 3.1. The Project will be monitored by the City Administrator(hereinafter referred to as "Administrator'), who is to act as City's representative, assume all duties and responsibilities, and will have the rights and authority assigned to Administrator in the Contract Documents in connection with the completion of the work in accordance with the Contract Documents. ARTICLE 4. Deadlines 4.1. Dates for Completion and Payment 4.1.1. Contractor shall deliver the requested services during the times required.
