(i) The title insurance premium for Buyer's policy of extended coverage title <br />insurance in the amount of the Purchase Price, including endorsements <br />required by Buyer; <br />(ii) The title insurance premium for any loan policies of title insurance <br />required by Buyer's lender(s); <br />(iii) The cost of the Survey, if any, obtained by Buyer; <br />(iv) Any fees associated with recorded documents related to Buyer's financing; <br />(v) The cost of any appraisal required by Buyer or Buyer's lender; <br />(vi) One-half (1/2) of the closing fees and escrow fees charged by the Title <br />Company, and all costs and fees relating to Buyer's 1031 Exchange; and <br />(vii) Buyer's attorneys' fees. <br />13. Closing. <br />a. General, Possession. The closing of the transaction and completion of the <br />deliveries contemplated hereby (the "Closing") shall occur on April 4, 2018 or within 10 <br />days after the closing of the Exchange Property whichever shall occur later, at the office <br />of the Title Company, or at such other date, time and place as the parties shall agree in <br />writing (the "Closing Date"). Possession of the Property shall be transferred by Seller to <br />Buyer on the Closing Date. <br />b. Deliveries by Seller at Closing. At the Closing, Seller shall deliver to Buyer the <br />following: <br />(1) A Warranty Deed (the "Deed'), in recordable form, duly executed by <br />Seller, conveying good and marketable title to the Real Property to Buyer free and <br />clear of all encumbrances and restrictions except Permitted Exceptions. <br />(2) A standard form Seller's Affidavit, duly executed by Seller and completed <br />without exceptions for bankruptcy, judgments, tax liens, mechanic's liens, parties <br />in possession and other unrecorded contracts. <br />(3) An affidavit of non -foreign status, duly executed by Seller, containing <br />such information as is required by IRC Paragraph 1445(b)(2) and its regulations. <br />(4) A Certificate signed by Seller stating that Seller knows of no wells on the <br />Property or if Seiler knows of any wells, a Well Certificate in form acceptable to <br />the Buyer designating the location of any such well and the width, depth and other <br />specifications relating thereto. <br />E <br />37 <br />
