2.6 Bml1'ldlries: The area within the corporate limits of the cities Which are parties to this Joint Powers Agreement, as.adjusted in the future, whether by annexation or otherwise. 2.7 Qperations Committee: Means a COIDIDittee, made up of the administrators from each Member City and the Police Chief as an Ex-Ofticio member, that meets for the purpose of providing day to day oversight and coordination of the Police Depattment operation, supervision and support of the Police Chief: and advice and counsel to the Governing Board SECTION m ORGANIZATION 3.1 Establishment. There is hereby established the "Department" to be managed through a three (3) tier system. The marutgement tiers will be as follows: A Governing Board, Operations Committee and a Chief of Police. The Chief of Police is an appointed position. Appointment and contract require the approval of all member cities. In the event that the member cities are unable to agree on a person to till the position of Chief of Police, the Governing Board by majority vote shall appoint an acting Chief of Police. Specific personnel issues for the Chief of Police will be covered by the contract and/or Rules and Regulations Policies - Joint Powers Police Department, adopted by the Governing Board. 3.2 The Board meeting will rotate between the member cities or an agreed upon location. 3.3 Ounnun Four (4) ofsix (6) regular Governing Board members during special or quarterly meetings shall constitute a quorum, provided that at least one (1) Governing Board member shall be present from each city. In the event of financial defiwlt, the quorum will be reduced to three (3) Governing Board members present, with at least one (1) from each city not in defiwlt. Governing Board members from cities in default sball not count toward a quorum. 3.4 Vnting, Each Governing Board niember present If tlifmeet1118 sbaltbe entitled to one (l}- vote. Unless otherwise provided in this agreement, the Governing Board may take action on any issue by a majority vote of those members present and entitled to vote at a duly called meeting, subject to the quorum requirement of Section 3.3. There shall be no voting by proxy. Votes must be cast at a Governing Board meeting by a Governing Board member.
