FIRST AMENDMENT TO PURCHASE AGREEMENT THIS FIRST AMENDMENT TO PURCHASE AGREEMENT (this "Amendment") is made and entered into as of this day of March, 2018 (the "Effective Date") by and between City of Centerville, Minnesota ("Seller") and Jon R. Pederson and Sophie Pederson, husband and wife (collectively `Buyer"). RECITALS WHEREAS,Buyer and Seller entered into a Purchase Agreement dated May 28,2017(the"Purchase Agreement") wherein Seller agreed to sell to Buyer, and Buyer agreed to purchase from Seller, the Property described as Lot 2, Block 1, Clearwater Business Park,Anoka County,Minnesota; and WHEREAS, Seller and Buyer desire to amend the Purchase Agreement pursuant to the terns of this Amendment. NOW, THEREFORE, in consideration of the foregoing Recitals and other good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,Seller and Buyer agree as follows: 1. Closing. Notwithstanding anything contained in the Purchase Agreement to the contrary, Section 13.a. of the Purchase Agreement shall be deleted in its entirety and replaced with the following: a. "General,• Possession. The closing of the transaction and completion of the deliveries contemplated hereby (the "Closing") shall occur on May 4, 2018 or within 10 days after the closing of the Exchange Property whichever shall occur later, at the office of the Title Company, or at such other date,time and place as the parties shall agree in writing (the "Closing Date"). Possession of the Property shall be transferred by Seller to Buyer on the Closing Date, 2. Definitions. Except as otherwise provided in this Amendment, the terms defined in the Purchase Agreement will have the same meaning when used in this Amendment. 3. Counter arts. This Amendment may be executed by email transmission and/or in any number of counterparts. Each party may rely upon any emailed or counterpart:copy as if it were one original document. 27a 1
