City of Centerville <br />Mark Statz <br />1880 Main St. <br />Centerville,MN55038-9794 <br />September 17, 2019 <br />Re: National Lease OptimizationProgram <br />A1N0003A,7087 20Th Ave South,Centerville,MN,55038 <br />Md7, LLC has been authorized by T-Mobile to be a part of the National Lease OptimizationProgram (the <br />-Mobile in all correspondence regarding the Program. <br />Please review the following terms. Once these terms are confirmed, a draft amendment will be prepared for <br />you to review. <br />Terms <br />Term: Extend the life of the lease with up to 5 additional renewal terms (1 term is equal to 5 years) <br />Rent: Starting onDecember1, 2019,the rent under the lease will be One Thousand Five Hundred <br />and No/100 Dollars ($1,500.00)Monthly.This figure is based on regional market analysis and <br />operational performance goals. <br />Escalations: On December1, 2020aThree Percent (3%)Annuallyescalator will take effect. <br />NOTE:T-Mobile will also require the addition of language, substantially in the form of the following: <br />Termination: T-Mobile may terminate the Lease by providing Landlord at least three (3) months <br />advance written notice of termination due to technological, regulatory, or economic reasons. <br />Assignment: T-Mobileshall have the right to assign, or otherwise transfer the Lease, upon T- <br />Mobile-Mobile. T- <br />Mobileshall be relieved of all liabilities and obligations and Landlord shall look solely to the <br />assignee, or transferee for performance under the Lease. Upon receipt of a written request from <br />Tenant, Landlord shall promptly execute an estoppel certificate. T-Mobileshall have the right to <br />sublease the Lease without the need for Landlord consent. <br />MOL Recording:Landlord will execute a Memorandum of Lease at T-Mobile <br />Property is encumbered by a deed, mortgage, or other security interest, Landlord will also execute a <br />subordination, non-disturbance, and attornment agreement. <br />Rental Stream Offer:Should Landlordreceive a bona fide offer from a third party that would <br />result in an assignment of some or all of the Rent,Landlordshall immediately notify T-Mobile, and <br />T-Mobileshall have the right to match the terms of the Rental Stream Offer within forty-five (45) <br />days.
