WHEREAS, Landlord and Tenant entered into a Lease Agreement dated [[Lease Date]]; whereby Landlord leased to Tenant certain Premises, therein described, that are a portion ofthe Property located at [[Site Address I)], [[Site Address 2)], [[Site City]], [[Site State)] [[Site ZIP]] (IIAgreementll); and WHEREAS, Landlord and Tenant, in their mutual interest, wish to amend the Agreement as set forth below; NOW THEREFORE, in consideration of the foregoing and of other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Landlord and Tenant hereby agree as follows: 1. Term. All references to the Term of the Agreement shall be amended to provide that the Agreement has a New Initial Term of [[New Initial Term]] months ("New Initial Term"), commencing on [[New Commencement Date)) and the Term will be automatically renewed for up to [[New Renewal Terms]] additional [[Length of Renewal Term)) month terms (each a "Renewal Term") without further action by Tenant for additional periods of [[Length of Renewal Term]] months. 2. Modification of Rent. Commencing on [[New Commencement Date]), the Rent payable under the Agreement shall be $[[New Base Rent)] per month, and shall continue during the New Initial Term and all Renewal Terms as provided below. 3. Modification of Future Rent Increases. The Agreement is amended to provide that commencing on [[New Escalation Date]], Rent shall be (fixed, increased on an "annual/term" basis by X% ofthe then current rent. 4. Modification of Tenant's Obligation to Pay - Rent Guarantee. For a [[Rent Guarantee Period]] month period commencing [[Rent Guaranteee Commencement Date]] and ending [[Rent Guarantee End Date]], Tenant's obligations to pay rent during the New Initial Term pursuant to this Amendment will not be subject to offset or termination by Tenant (the "Rent Guarantee Period"). 5. Termination. After the Rent Guarantee Period, Tenant may terminate the Agreement at any time with thirty (30) days prior written notice to Landlord. Furthermore, notwithstanding any other provision of the Agreement or of this Amendment, Tenant may terminate the Agreement, during or after the Rent Guarantee Period, upon Landlord default, or upon casualty or condemnation of the Premises that substantially hinders Tenant's ability to use the Premises.
