<br />Cell Site #: <br />Cell Site Name: <br />Address: <br /> <br />[[Site #]] <br />[[Site Name)) <br />[[Site Address Ill, [[Site Address 2ll, [[Site City]], [[Site Statell [[Site ZIP]] <br /> <br />rrAMENDMENT#l1 AMENDMENT TO LEASE AGREEMENT <br /> <br />THIS [[AMENDMENT#)] AMENDMENT TO LEASE AGREEMENT ("Amendment") dated as of the <br />Effective Date (as defined below), by and between [[Landlord Name]], with an office/residing at [[Landlord <br />Address]] (hereinafter referred to as "Landlord") and [[TM Entity]], a Delaware corporation, having an office <br />at 12920 S.E. 38th Street, Bellevue, Washington 98006 (hereinafter referred to as "Tenant"). <br /> <br />WHEREAS, Landlord and Tenant entered into a Lease Agreement dated [[Lease Date]]; whereby <br />Landlord leased to Tenant certain Premises, therein described, that are a portion ofthe Property located at [[Site <br />Address I)], [[Site Address 2)], [[Site City]], [[Site State)] [[Site ZIP]] (IIAgreementll); and <br /> <br />WHEREAS, Landlord and Tenant, in their mutual interest, wish to amend the Agreement as set forth <br />below; <br /> <br />NOW THEREFORE, in consideration of the foregoing and of other good and valuable consideration, the <br />receipt and sufficiency of which is hereby acknowledged, Landlord and Tenant hereby agree as follows: <br /> <br />1. Term. All references to the Term of the Agreement shall be amended to provide that the <br />Agreement has a New Initial Term of [[New Initial Term]] months ("New Initial Term"), commencing on <br />[[New Commencement Date)) and the Term will be automatically renewed for up to [[New Renewal Terms]] <br />additional [[Length of Renewal Term)) month terms (each a "Renewal Term") without further action by Tenant <br />for additional periods of [[Length of Renewal Term]] months. <br /> <br />2. Modification of Rent. Commencing on [[New Commencement Date]), the Rent payable under <br />the Agreement shall be $[[New Base Rent)] per month, and shall continue during the New Initial Term and all <br />Renewal Terms as provided below. <br /> <br />3. Modification of Future Rent Increases. The Agreement is amended to provide that <br />commencing on [[New Escalation Date]], Rent shall be (fixed, increased on an "annual/term" basis by X% ofthe <br />then current rent. <br /> <br />4. Modification of Tenant's Obligation to Pay - Rent Guarantee. For a [[Rent Guarantee <br />Period]] month period commencing [[Rent Guaranteee Commencement Date]] and ending [[Rent Guarantee End <br />Date]], Tenant's obligations to pay rent during the New Initial Term pursuant to this Amendment will not be <br />subject to offset or termination by Tenant (the "Rent Guarantee Period"). <br /> <br />5. Termination. After the Rent Guarantee Period, Tenant may terminate the Agreement at any time <br />with thirty (30) days prior written notice to Landlord.
