City of Centerville, Minnesota <br />Employment Agreement <br />Amendment <br />st <br />EMPLOYMENT AGREEMENT AMENDMENT effective this 1 day of January 2022, <br />by and between the CITY OF CENTERVILLE, a Minnesota municipal corporation ("Employer"), <br />and Mark R. Statz ("City Administrator"). <br /> <br />The parties, based on mutual consideration, in real agree as follows: <br />1. AMENDMENT. This document amends the Employment Agreement between the <br />parties, effective November 27, 2017, and supersedes all other amendments to that original <br />Agreement. That Employment Agreement remains in full effect except as modified by this <br />Amendment. <br /> <br />2. TERMS AND CONDITIONS. The City Administrator will serve at the will of <br />the Council and may be terminated with or without cause at any time (an Ðat willÑ employee). Any <br />of the following will constitute termination with cause and would result in no severance: <br /> <br />a. Willful neglect of duty; <br /> <br />b. Inefficiency or incompetence in office that is not corrected after a reasonable <br />identification of deficiency during annual performance evaluation and after being given <br />appropriate opportunity to correct to the satisfaction of the majority of the City Council; or <br /> <br />c. Malfeasance or nonfeasance in office. <br /> <br />Should the City terminate the employment of the City Administrator without cause, he will <br />receive six (6) monthsÓ severance pay and benefits. Additionally, he will have the option to resign <br />and receive six (6) monthsÓ severance pay and benefits (1) if salary or benefits are cut (other than <br />as part of an across-the-board reduction for all supervisory employees), (2) if the City refuses, <br />following written notice, to comply with the terms of this Agreement, or (3) if the Council requests <br />his resignation without cause. If the City Administrator decides to terminate employment, he will <br />provide the City a minimum of 60 days' notice of his intent to terminate. <br /> <br />3. SALARY. Employer shall pay City Administrator an annual salary of $125,000.00. <br /> <br />4. BENEFITS. The City Administrator shall receive benefits (medical, dental, <br />disability insurance, etc.) equal to the CityÓs non-union employees. <br /> <br />5. OPPORTUNITY TO REVIEW WITH LEGAL COUNSEL. By executing this <br />Amendment to his Employment Agreement, City Administrator acknowledges that he has had an <br />adequate opportunity to read and understand this contract, and to seek legal assistance, if he <br />desires, to gain an understanding of the meaning thereof. <br /> <br /> <br />Version 12-30-2021 Page 1 <br /> <br />
