CITY OF CENTERVILLE REQUEST FOR COUNCIL ACTION Agenda Item # Department: Requested Council Meeting Date: March 23, 2022 Legal IX.I TITLE OF ISSUE: Project Banjo: Confidentiality And Nondisclosure Covenant ("Agreement") BACKGROUND AND SUPPLEMENTAL INFORMATION: The City Attorney recommends the Council adopt this Agreement which asks the City to maintain confidential "trade secrets" related to a potential development project. Code name, "Project Banjo" is a potential industrial development project. In order to evaluate that project, the developer, Ryan Companies, and their client feel that confidentiality and secrecy is essential for their business purposes. As a general rule, Cities must publicly disclose information in its possession. An exception to that rule requires Cities keep "trade secrets" confidential by withholding that information from the public. This Agreement sets forth the manner in which the City may store, use, and return those trade secrets to the End User. COST AND SOURCE(S) OF FUNDING: Paid for by Ryan Companies REQUESTED COUNCIL ACTION: Motion to approve the attached Confidentiality And Nondisclosure Covenant, and authorizing the City Administrator to execute the document.
