Centerville Schifsky PA version 09092022-2 for Council Packet <br />Real Property in connection with management, maintenance and operation of the <br />subject property. <br />E. Scope Of Agreement. Buyer understands and agrees that Seller is both <br />the landowner of the Real Property and a regulatory entity governing development of the <br />Real Property. Unless identified herein, the terms of this Agreement bind the Seller as <br />the landowner of the Real Property but do not bind the City in its role as a regulatory <br />entity governing development of the Real Property. <br />F. Law and Regulation. Development of the Real Property is subject to <br />law and regulation. Nothing in this Agreement is intended to subvert or change the <br />terms of existing law and regulation. Other Agreements. Development of the Real <br />Property will be subject to a Subdivision and Development Agreement, and an <br />agreement governing the terms of Tax Increment Financing between the Seller and <br />Buyer. Those agreements shall be negotiated independent of the instant Purchase <br />Agreement. The terms of this Purchase Agreement shall not be binding on the terms of <br />those agreements unless specifically stated herein. <br />G. Easements. Buyer will grant Seller perpetual rights and easements <br />allowing Seller to access and maintain public utilities, sidewalks, trails, and other public <br />facilities on the Real Property. <br /> <br />H. Character And Construction. Buyer will create a townhome project of <br />similar character and construction to that approved for Centra Homes as a result of the <br />2021 Request For Proposal process for this Real Property. Buyer affirms that its <br />development shall have full license and title to all creative works, intellectual property, <br />and copywrite. <br /> <br />I. Construction Approval. Buyer will secure approval from Seller of the <br />design and construction quality of the development of the Real Estate and the <br />construction of structures thereon; and of parties to complete all phases of the <br />development of the Real Estate and the construction of structures thereon. <br /> <br />G.J. Indemnification. Buyer representations and warranties survive <br />Closing. Buyer will defend, indemnify, and hold Seller harmless from any claims arising <br />warranties. <br />6. TITLE. <br />A. Title Insurance Commitment. The Seller will within twenty (20) days <br />after the date of this Agreement deliver to Buyer, a commitment from Land <br />Title, Inc.
