<br />Centerville Schifsky PA version 09092022-2 for Council Packet <br />EXHIBITB <br /> <br />COPY OF MEMORANDUM OF UNDERSTANDING <br />MEMORANDUM OF UNDERSTANDING <br /> <br />City of Centerville and Schifsky Companies, Inc. <br /> <br />Whereas, the City of Centerville and Schifsky Companies, Inc., desire to enter into this <br />Memorandum of Understand to further the sale and redevelopment of City-owned property known <br />as Block 7, Centerville, Anoka County, Minnesota. The parties are not bound to each other until <br />such time as a formal agreement enjoins the parties or this real property. <br />Whereas, Schifsky Companies, Inc. proposes to construct 26 units of attached <br />Townhomes on Block 7, Centerville, but may, explore more or less units of similar style within <br />the density requirements of the M-2 Zoning District; and, <br />Whereas, the City of Centerville has provided or will provide Schifsky Companies, Inc. <br />with all existing documentation related to the site, including soil borings, certificates of survey, <br />environmental reports and other similar documents and that any further information deemed <br />necessary to complete the due diligence for the site shall be the responsibility of Schifsky <br />Companies, Inc. <br />Whereas, the City of Centerville and Schifsky Companies, Inc. agree to engage in design <br />development discussions over the next six months, during which time the city will not seek or <br />entertain proposals from other developers. <br />Whereas, _the City of Centerville requires that funds be escrowed to cover the costs of staff <br />and consultants time involving the review of plans, inspection of construction, and formulating <br />legal documents for the project in question; and, <br />Whereas, the City requires certain fees to offset the cost of this development and to pay <br />for the impact of the new construction on our utility systems; and; <br />Whereas, both entities have determined and agreed the costs, fees, and land price, <br />associated with this project and the sale of this real property shall be consistent with the Response <br />to Request for Proposals (RFP) for Block 7 Redevelopment, submitted to the City by Schifsky <br />Companies, Inc., and reviewed and recommended by the Centerville Planning and Zoning <br />Commission on August 24, 2022. A copy of this document is attached; and, <br />Whereas, in addition to the terms in the Response to RFP for Block 7 Redevelopment, the <br />parties have determined and agreed as follows: <br /> <br /> Schifsky Companies, Inc. shall bear some 'off site' to develop Block 7, and these costs shall not exceed <br />$100,000. These off-site costs may include but are not limited to a proposed streetscape <br />plan, electrical service, or water irrigation systems in the vicinity of Block 7; <br /> Page 1 <br /> <br />
