E. Buyer shall have the right to an inspection of the Property. If these inspections reveal <br />conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this <br />Agreement or waive it right to do so. <br />F. Buyer shall examine said Environmental Report. If these report(s) reveal conditions <br />unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this Agreement <br />or waive its right to do so. <br />G. Buyer shall examine said Survey and make any objections thereto. If this examination <br />reveals conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall <br />cancel this Agreement or waive its right to do so. <br />H. Buyer shall have the right to obtain necessary bank or lender financing. If Buyer is <br />unable to obtain the financing needed, Buyer, in its sole discretion, shall have the right to <br />cancel this Agreement or waive its right to do so. <br />I. Buyer shall obtain any necessary government approvals, including approvals from the <br />City of Centerville. Buyer recognizes and affirms that the Seller has responsibility to <br />govern activities including but not limited to zoning, building permits, construction, etc., <br />and when doing so, the City acts independent from the responsibilities and conditions of <br />this Agreement. To the extent that the provisions of this Agreement may conflict with its <br />responsibilities as a government agency and City, those responsibility of government <br />shall supersede the provisions of this Agreement, and Buyer shall have no recourse in law <br />or equity under this Agreement. <br />With the exception of paragraph 6(l), Buyer shall have the right to unilaterally waive any <br />condition herein set forth and proceed to close. In the event Buyer desires to terminate this <br />Agreement by reason of the failure of any one or more of the conditions above set forth, it <br />shall do so by serving written notice thereof upon Seller, which written notice must be <br />received by Seller on or before the Contingency Date. <br />If such notice is not timely received by Seller, the conditions shall be deemed waived. If <br />this notice is timely received, this Agreement shall be null and void and the earnest money <br />herein paid shall be promptly refunded to Buyer by the Title Company. <br />7. Real Estate Taxes, Special Assessments and Prorations. On the Date of Closing the following <br />prorations shall be made: <br />A. Seller shall pay all real estate taxes, and any penalties and interest thereon due and <br />payable upon the Property in the year prior to the year of closing, including all deferred <br />taxes (including "Green Acres" taxes) and prior years to the year of closing. <br />B. All real estate taxes payable in the year of closing shall be prorated to the day of closing <br />between the parties with Seller paying that portion for the period of January 1 to the Date <br />of Closing and Buyer paying the balance. <br />5 <br />CORE/3527692.0002/180417462.2 <br />
