The term of this Agreement shall commence on the Effective Dateandwill continue for a <br />period of one(1) year or until terminated in accordance with this Agreement. This Agreement will <br />automatically renew for additional one (1) year termsunless terminatedby either party at least thirty (30) <br />days prior to the expiration date. <br />4.TERMINATION.This Agreement or anyindividual SOW may be terminatedwith cause by either <br />party: (a) if the other party materially breaches the terms of this Agreement and fails to cure the breach <br />within thirty (30) calendar days following written notice specifying the breach,or(b) immediately upon <br />written notice if the other party fails tocomply with applicable lawor regulation. <br />5.INSURANCE.
