<br />~ <br /> <br />~ <br /> <br />FINANCIAL ADVISORY SERVICE AGREEMENT <br /> <br />I <br /> <br />BY AND BETWEEN <br /> <br />THE CITY OF CENTERVILLE, MINNESOTA <br /> <br />AND <br /> <br />JURAN & MOODY <br /> <br />This Agreement made and entered into by and between the City ofCenterville, Minnesota <br />(hereinafter "City") and Juran & Moody, a division of Miller, Johnson & Kuehn, Incorporated <br />of St. Paul, Minnesota (hereinafter" JM"). <br /> <br />WITNESSETH <br /> <br />WHEREAS, the City desires to use the services of 1M related to the issuance of City debt as <br />described herein ("Debt"), and <br /> <br />WHEREAS, JM desires to furnish services to the City as he-einafter described, <br /> <br />NOW, THEREFORE, it is agreed by and between the parties as follows: <br /> <br />SERVICES TO BE PROV] DED BY JM <br /> <br />Debt Issuance: <br /> <br />Serve as the City's Financial Advisor for the issuance of Debt. For the issuance of the municipal <br />bonds, 1M will provide all services necessary to analyze, structure, offer for sale and close the <br />transaction including, but not limited to, the following: <br /> <br />Planning and Development <br /> <br />· Meet with the City officials and others as directed to define the scope and the <br />objectives. <br />· Assemble and analyze relevant statistical information. <br />· Prepare a preliminary feasibility study or discuss with City officials possible <br />funding options and the fiscal implications of each. <br />· Prepare details on the recommended options - information on the issue structure, <br />method of issuance, term, sale timing, call provisions, etc. <br />· Prepare a schedule of events related to the issuance process. <br />· Attend meetings of the City Council and other project and bond issue related <br />meetings as needed and as requested. <br /> <br />. <br />
