PURCHASE AGREE!IIENT <br /> <br />I ./~ ~S AGREEMENT ("Agreement'') is made as of . 2000 between <br />~- ~~e Trucking, Inc., a .Minnesota corporation (M Seller':), and the City of Centerville, a <br />:Mirmesota municipal. corporation ("Buyer"). ---:::::..... <br /> <br />In consideration of this Agreement, Seller and Buyer agree as follows: <br /> <br />1. Sale of Prcl:perty, Seller agrees to sell to Buyer, and Buyer agrees to buy from <br />Seller, the follov..ing property (collectively, 'lProperty"): <br /> <br />(a) Real Prooertv. The real property loca.ted at 7087 Twentieth Avenue, City of <br />Centenille, County of Anoka, State of Minnesota, described on the attached <br />Exhibit A ("Land") together with (1) all buildings and improvements constructed <br />or located on the Land ("Buildings") and (2) all easements and rights benefiting or <br />appurtenant to the Land (cQUectively the "Real Propertyll), <br /> <br />(b) Personal Propertv, All of the personal property situated in or about the Real <br />Property owned by Seller, including without limitation, that described on the <br />inventory attached to this Agreement as Exhibit B ("Personal Property"). <br /> <br />~(~ <br /> <br /> <br />(c) Contracts. Seller's interests in the service and maintenance contracts, equipment <br />leases and other contracts regarding the Real Property and the Personal Property <br />described on the attached Exhibit C ("Contracts"), <br /> <br />(d) <br /> <br />Permits. Seller's interests in the pexmits and licenses described on attached <br />Exhibit D ("Permits"), <br /> <br />(e) Wananties. Seller's interes~ in all warranties and guaranties given to, assigned to <br />or benefitting Seller or the Real property of the Personal Property regarding the <br />acquisition, construction, design, use, operation, management or maintenance of <br />the Real Property and the Personal Property ("Wauanties"). <br /> <br />(t) Plans. All originals and c<>pies of the as-built blueprints, plans and specifications <br />regarding the Real Property and the Personal Property, if any ("Plans"). <br /> <br />(g) Record~. All records of Seller regarding the Real Property and the Personal <br />Property, including all records regarding real estate taxes and assessments, <br />insurance, maintenance, repairs, capital improvements and services ("Records"). <br /> <br />2. Purchase Price and Manner of PaYment.
