U I.J 'IJ"--- ---r I \,: <br /> <br />earlier of the Contingency Date or the date when Buyer shall give notice to Seller that the <br />contingencies which are to have been satisfied on the Contingency Date have been v.-a.ived or <br />satisfied (the "Closing Date"). The Closing shall take place a19;OO a.m. local time at the office <br />of Title or at such other place as may be agreed to. Seller agrees to deliver possession of the <br />Property to Buyer on the Closing Date. <br /> <br />A. Seller's Closini Documents. On the Closing Date, Seller shall execute and/or <br />deliver to Buyer the following (collect.ively "Seller's Closing Documents"): <br /> <br /> <br />(1) ~. A Warranty Deed, in form reasonably satisfactory to Buyer, oonve}ing the <br />Real Propert)' to Buyer, free and clear of all encumbrances, except the Permitted <br />Encwnbrances hereafter defined. <br /> <br />(2) Bill of Sale. A Warranty Bill of Sale, in form reasonably satisfactory to Buyer, <br />conveying the Personal Property to Buyer, free and clear of all encumbrances. <br /> <br />Assianment of Contrac~. An Assignment of Contracts, in fonn reasonably <br />satisfactory to Buyer. conve;ying \\'ith \varranties the Contracts, if any, to Buyer. <br />free and clear of all encumbrances, together with the consent of all parties having <br />a right to consent to such Assignm.ent. <br /> <br />AssiiJlII1ent of Permits. An Assignment of Permits, in form reasonably <br />satisfactory to Buyer, conveying 'With warranties the Permits to Buyer, free and <br />clear of all encumbrances, together with the consent of all parties having a right to <br />consent to such Assignment. <br /> <br />Assi2l1ment of Warranties. An Assignment of Warranties, in form reasonably <br />satisfactory to Buyer, conveying 'With warranties the Warranties to Buyer. free <br />and clear of all encumbrances, together ..vith the consent of all parties having a <br />right to consent to such Assignment. <br /> <br />(6) Title Policv. The Title Policy, or a suitably marked up Commitment for Title <br />Insurance initiated by Title, in the form requited by this Agreement. <br /> <br />(7) Brin2-do~ Certificate. The Bring-down Certificate. <br /> <br />(8) Seller's Affidavit. An Affidavit of Title by Seller indicating that on the Closing <br />Date there are no outstanding, unsatisfied judgments. tax liens or bank.'11ptcies <br />against or involving Seller or the Real Property; that there has been no skill, labor <br />or material furnished to the Real Property for which payment has not been made <br />or for which mechanics' liens could be f1lOO; and that there 8J:e no other <br />unrecorded interests in the Real Property, together with v;hatever standard <br />o\vner's affidavit and/or indemnity (AL T A Form) which may be required by Title <br />to issue an Owner's Policy of Title Insurance with the standard exceptions waived. <br /> <br />4 <br />
