~ II.

Mr. John Meyer
September 30,2005
Page 2

3) Centerville's PA specifies the delivery of a Warranty Deed at closing. The Board
delivers only Quit Claim Deeds in any and all real estate transactions, and this
term was also set forth in the Board's PA.

After Mr. Tschida sent a proposed PAin July 2004, he and the Board's attorney met with
Centerville's attorney in January of 2005 to negotiate the terms of the Board's PA. Though
Centerville chose not to attend the meeting, its attorney Jim Hoeft had the opportunity to raise
any issues Centerville might have with the Board's PA. This he did, and since that time neither
Centerville nor Mr. Hoeft indicated there might be any additional outstanding terms to negotiate.
Then, whenCenterville appeared at the May 10, 2005 Board meeting, the only issue it raised was
the purchase price. The Board made its position on that price very clear, but agreed to allow
Centerville an additional six months to secure financing and execute a purchase agreement.

The six-month extension has not expired, so this letter comes to reiterate that the Board is willing
and available to discuss and negotiate payment plan options and terms of the Board's P A. The
deadline does not expire until November 8, 2005, and ifCenterville wishes to discuss these
matters, please have the appropriate Centerville staff contact Mr. Tschida as soon as possible to
complete such negotiations.

Sincerely,

Stephen P.
