<br />Section 1.1. Definitions. All capitalized terms used and not otherwise defined herein <br />shall have the following meanings unless a different meaning clearly appears from the context: <br /> <br />"Acquisition Property" means that portion of the Development Property described as <br />such on the attached Schedule A-I proposed to be acquired by the City and/or the Developer <br />pursuant to the terms of this Agreement <br /> <br />"Acf'means Minnesota Statutes, section 469.124 to 469.134. <br /> <br />"Agreemenf' means this Agreement, as the same may be from time to time modified, <br />amended or supplemented in accordance with its terms. <br /> <br />"Available Tax Increment" means with respect to any Phase or Sub-Phase a portion of <br />the Tax Increment generated with respect to the Phase or Sub-Phase and the portion of the <br />Development Property on which the Phase or Sub-Phase is located that is negotiated by the City <br />and Developer as necessary to make development of the Phase or Sub-Phase fincancially <br />feasible. <br /> <br />"City" means the City of Centerville, Minnesota. <br /> <br />"City Property" means that portion of the Development Property described as such on the <br />attached Schedule A-I that is owned by the City. <br /> <br />"Construction Plans" means the Construction Plans for any Phase or Sub-Phase and shall <br />include but not be limited to the plans, specifications, drawings and related documents of the <br />construction work to be performed by the Developer on the Phase or Sub-Phase, and the plans <br />(a) shall be as detailed as the plans, specifications drawings and related documents which are <br />submitted to the building inspector of the City, and (b) shall include at least the following: (1) <br />site plan; (2) foundation plan; (3) floor plan for each floor; (4) cross sections of each (length and <br />width); and (5) elevations (all sides). <br /> <br />"County" means Anoka County, Minnesota. <br /> <br />"Developer" means Centerville Mainstreet, LLC, a Minnesota limited liability company, <br />its successors and assigns. <br /> <br />"Development Property" means the real property identified on Schedule A-I and <br />depicted on Schedule A-2, and consisting of the City Property and the Acquisition Property. <br /> <br />"Event of Defaulf' means any of the events described in Section 9.1. <br /> <br />"Holder" means the owner of a Mortgage. <br /> <br />"Master Plan" means the Master Plan and Development Guidelines for Downtown <br />Centerville prepared by Damon Farber Associates, Benshoof& Associates and KKE Architects, <br />Inc. and adopted by the City Council of the City on January 11,2006. <br /> <br />3 <br />
