<br />CLOSING AGREEMENT <br /> <br />THIS CLOSING AGREEMENT dated this 15th day of August, 2001, by and between <br />Patricia A. Wilharber, Trustee of the W. W. Wilharber Trust Agreement dated March 6, 1996 <br />(hereinafter "Seller") and Richard S. Carlson & Associates, LLP, a Minnesota limited liability <br />partnership (hereinafter "Purchaser"). <br /> <br />WHEREAS, Seller has just sold and Purchaser has just purchased real property legally <br />described on Exhibit A attached hereto (hereinafter the "Property"). <br /> <br />WHEREAS, pursuant to the Purchase Agreement, it was agreed that Purchaser would <br />plat the property and re-convey back to the Seller, a small parcel in the northeast corner of the <br />property that is 208.71 feet by 100 feet immediately west of the I-acre parcel in the northeast <br />comer of the Property. <br /> <br />WHEREAS, this document is intended to set down in writing the intentions of the parties <br />to complete this platting and re-conveyance of the small parcel in the future. <br /> <br />NOW, THEREFORE, the parties hereto in consideration of the sale-purchase of the <br />Property described on Exhibit A, and other good and valuable consideration, hereby agree to the <br />following: <br /> <br />I. Purchaser will plat the Property legally described on Exhibit A attached hereto in <br />the next one to five years. <br /> <br />2. Immediately after obtaining the final plat approval and recording of the plat on <br />the property, the Purchaser will re-convey to Seller a small platted parcel that is 208.71 feet by <br />100 feet immediately west of the one-acre parcel in the northeast corner of the Property. <br /> <br />SELLER: <br /> <br />.
