<br />Mar. 4.2004 11:58AM <br /> <br />BARNA GUZY & STEFFEN LTD <br /> <br />No.7998 p. 2 <br /> <br />PURCHASE AGREEMENT <br /> <br />TIllS AGREEMENT ("Agreement") is made and entered into this day of <br />, 2004, between the City of Centerville, a mlUlicipal corporation (the "Seller"), <br />and Dennis Shudy, single (the "Buyer"). <br /> <br />WHEREAS, the Seller is the owner of vacant land located at , <br />Centerville, Minnesota, legally described on Exhibit A attached hereto (the "Real Property" <br />and/or "Premises"); and <br /> <br />WHEREAS, the Buyer desires to buy, and the Seller desires to sell the Real Property <br />pursuant to the terms and conditions set forth in this Agreement. <br /> <br />NOW, TIIEREFORE, in consideration of the premises and the mutual covenants, <br />agreements, representations and warranties contained herein, the parties hereto do hereby agree <br />as follows; <br /> <br />ARTICLE I <br />REAL PROPERTY ACQUISITION <br /> <br />1.1 Sale of Real Propertv bv Seller. Subject to the terms and conditions set forth in <br />this Agreement, at the Closing, the Buyer shall purchase the interest of Seller in the Real <br />Property, together with all easements, hereditament and appurtenances thereunto belonging or in <br />any way appertaining. <br /> <br />1.2 Title Examination. Buyer ackp.owledges that Seller is obtaining the Real Property <br />through tax forfeiture proceedings. No other representations are being made or relied upon as to <br />Title <br /> <br />1.3 Taxes and Assessments. Real estate taxes due and payable in the year afClasing <br />and special assessments certified to be paid with the real estate taxes due and payable in the year <br />of Closing shall be prorated between Seller and Buyer as of the Date of Closing. All levied and <br />pending special assessments as of date of Closing shall be paid by Seller. <br /> <br />1 A Utilities I ODeratin"~ Ex,p"enses.All charges for any utilities, including gas, <br />electricity, sewer and water, telephone and refuse collection, shall be paid by Seller as of Date of <br />Closing. <br /> <br />ARTICLE IT <br />PURCHASE PRICE AND PAYMENT OF REAL PROPERTY <br /> <br />2_1 Purchase l'rice; Real Property. The total consideration to be paid by Buyer to <br />Seller far the purchase of Seller's interest in the Real Property shall be $110,000.00. <br />
