<br />. <br /> <br />L_______ <br /> <br />if it is infeasible to return or destroy PHI, protections are extended <br />to such information, in accordance with the termination provisions <br />in this section. ' <br /> <br />(b) <br /> <br />Termination for Cause. - Upon the Covered Entity's knowledge of a <br />material breach of this' Business Associate Agreement by the <br />Business Associate, the Covered Entity will provide the Business <br />Associate with written notice of the existence of the alleged breach <br />and will provide the Business Associate with 30 days toture. the <br />. breach upon mutually agreeable terms. If mutually agreeable tenns <br />. cannot be reached within 5 days, the Business Associate will cure <br />. the. breach to the satisfaction of the Covered Entity within 25 days. <br />Failure of the Business Associate tQ cure the breach or violation in <br />the manner set forth above will be' grounds for' immediate <br />termination by the Covered 'Entity of the services provided by the <br />Business Associate to the Covered Entity and this Business Associate <br />Agreement. This provision is in addition to and will not limit any <br />rights of termination set forth in the documents detailing the <br />services provided by the Business Associate to the Covered Entity <br />for its self-insured employee benefit welfare plan. <br /> <br />(c) <br /> <br />Effect of Termination. <br /> <br />(i) Except as provided in subsection 4{c)(ii), upon termination of <br />this Business Associate Agreement, for any reason, the Business <br />Associate will return or destroy all PHI received from the Covered <br />Entity, or created or received by the Business Associate on behalf of <br />the Covered Entity. This provision will apply to PHI that is in the <br />possession of subcontractors or agents of the Business Associate. The <br />Business Associate will retain no copies of PHI. <br /> <br />(ii) If the Business Associate determines that returning or <br />destroying PHI is infeasible, the Business Associate will provide to <br />the Covered Entity notification of the conditions that make return <br />or destruction infeasible. The Business Associate will extend the <br />protections of this Business Associate Agreement to such PHI and <br />limit further uses and disclosures of such PHI to those purposes that <br />make the return or destruction infeasible, for so long as the Business <br />Associate maintains such PHI. <br /> <br />5. Miscellaneous <br /> <br />(a) Regulatory References. A reference in this Business Associate <br />Agreement to a section in the Privacy Standards means the section as in <br />
