<br />,> <br /> <br />A <br /> <br />Section 2.04. Vice President. The Vice President sball preside at any meeting of the EDA in the absence of the <br />President and may exercise all powers and responsibilities of the President if the President cannot exercise or perform <br />the same due to absence or other inability, <br /> <br />Section 2.05. President Pro Tern. In the event of the absence or inability of the President or Vice President at any <br />meeting, the Commission may appoint any remaining Commissioner as President pro tem to preside at such meeting. <br /> <br />Section 2.06. Treasurer. The Treasurer shall be responsible fur EOA money; the disbursement thereof (in <br />accordance with Section 3.05 herein), the accounting of all receipts and disbursements and the nature and purpose <br />relating thereto, and sball file the EOA's financial statement with its Secretary at least once a year at the Amiual <br />Meeting, and be responsible for the acts of the Assistant Treasurer. <br /> <br />Section 2.07. Assistant Treasurer. The Assistant Treasurer sball have all the powers and duties of the Treasurer if <br />the Treasurer is absent or disabled, and shall have signing authority in accordance with Section 3.05 herein. <br /> <br />Section 2.08. Secretary. The Secretary sball keep or cause to be kept minutes of all meetings of the Commission <br />and sball maintain or cause to be maintained all records of the EDA. The Secretary sball also have such additional <br />duties and responsibilities as the Commission may from time to time and by resolution prescnlJe. <br /> <br />Section 2.09. Executive Direetor. The Executive Director sball be desigoated from time to time by the EDA, shall <br />be the chief appointed executive officer of the BOA, and shall have such additional responsibilities and authority as <br />the Conunission may from time to time prescribe. The Executive Director sball serve at the pleasure of the <br />Commission. <br /> <br />Section 2.10. Resignations. Any officer may resign at any time by giving written notice ofhis or her resigoation to <br />the Commission, to the President, or to the Secretary of the EDA. A vacancy in any office because of death, <br />resignation, removal, or any other cause shall be filled for the unexpired portion of the term in the manner prescnoed <br />in these By-Laws fur election or appointment to such office. <br /> <br />Section 2.11. Advisory Connnittees. The Commission may utilize one or more advisory committees to assist it in <br />the transaction of its bnsiness. Committee Members may be members of the Commission, members of the Council, <br />or other interested individuals, The Commission shall establish each advisory committee and appoint its initial <br />members. In the event a vacancy occurs during an advisory committee member's tenD, the President shall have the <br />power to fill such vacancy for the unexpired portion of any term. <br /> <br />Every advisory committee member's term shall expire at the close of the year next following the date of appointment <br />or as soon thereafter as a successor has been appointed. The chair of each committee shall be appointed by the <br />President of the EOA The studies, findings, and recommendations ofall advisory committees shall be reported to <br />the Commission fur consideration and action except otherwise ordered by the Commission. Advisory committees <br />may adopt such rules for the conduct of business as are appropriate and consistent with these By-Laws, the Act, the <br />Resolution, or other state law.
