<br />CTIY OF COLD SPRING <br />RESOLUTION NO. 2001-32 <br /> <br />RESOLUTION ESTABUSHING AN ECONOMIC DEVELOPMENT AUTHORITY FOR THE <br />CITY OF COLD SPRING <br /> <br />WHEREAS: <br /> <br />1. The City of Cold Spring, Minnesota (the "City"), desires to encourage, attract, promote, and <br />dtlVelop economically sound industry and commerce within the City for the prevention of <br />unemployment in the City; <br /> <br />2. To these ends and for these purposes, it is necesslllY that there be established within the City an <br />entity which can undertake the activities necesslllY to encourage, attract, promote, and develop <br />economically sound industry and commerce within the City; <br /> <br />3. It is recognized that an economic development authority is a means to these ends, and that the City <br />is authorized and empowered to establish an Economic Development Authority under the <br />provisions ofMinn. Stat ~ 469.090 to 469.108 (the "Act") <br /> <br />4. The City Council for the City finds it is in the best interests of the City and its residents that the <br />City establish an economic development authority to encourage, attract, promote, and develop <br />economically sound industry and commerce within the City. <br /> <br />NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Cold Spring, <br />Minnesota, as follows: <br /> <br />1. Establishment of Commission. There is hereby established an Economic Development Authority, <br />(the "Authority") which shall consist of members appointed by the City Council. The Authority <br />sha1I consist of five members, two of whom sha1I be members of the City Council and three <br />members at large. One of the Council members appointed to the Authority shall be the member <br />appointed as the liaison between the City Council and the Planoing Commissioll, so as to ensure <br />communication between the three policy bodies. The members shaH be appointed by the Mayor <br />with the approval of the City Council. Those initially appointed shall be appointed for terms of <br />one, two, three, four, and five years respectively. Thereafter, all members shall be appointed for <br />six-year terms. <br /> <br />2. Vacancies in Office. A vacancy is created in the membership of the Authority when a City Council <br />member of the Authority ends Council membership. A vacancy for this or any other reason must <br />be filled for the balance of the unexpired term in the manner in which the original appointment was <br />made. The City Council may set the term of the members who are members of the City Council to <br />coincide with their term of office as members of the City Council. <br /> <br />3. Removal from Office. A member may be removed by the City Council for inefficiency, neglect of <br />duty, or misconduct in office. A member sha1I be removed only after a hearing before the City <br />Council, and in accordance with the provisions of the Act A copy of the charges must be given to <br />the ConuniSsioner at least ten (10) days before the hearing. The Commissioner must be given an <br />opportunity to be heard in person or by Council at the hearing. When written charges have been <br />submitted against a Commissioner, the City Council may temporarily suspend the Commissioner. <br />If the City Council finds that those charges have not been sustained, the Commissioner shall <br /> <br />Page I of4 <br />
