(3) Waive the objections and proceed to close. <br /> (c) Title Policy. Seller will furnish to Buyer at closing the title policy ( "Title Policy ") <br /> issued by Title pursuant to the Commitment, or a suitably marked up <br /> Commitment initiated by Title undertaking to issue such a Title Policy in the form <br /> required by the Commitment as approved by Buyer. <br /> 7. Qperation Prior to Closing. During the period from the date of the Seller's <br /> acceptance of this Agreement to the Closing Date (the "Executory Period "). Seller shall operate <br /> and maintain the Property in the ordinary course of business in accordance with prudent, <br /> reasonable business standards, including the maintenance of adequate liability insurance and <br /> insurance against loss by fire, windstorm and other hazards, casualties and contingencies, <br /> including vandalism and malicious mischief However, Seller shall execute no contracts, leases <br /> or other agreements regarding the Property during the Executory Period that are not terminable <br /> on or before the Closing Date, without the written consent of Buyer, which consent may be <br /> withheld by Buyer at its sole discretion. <br /> 8. Representations and Warranties by Selig. Seller represents and <br /> warrants to Buyer as follows: <br /> (a) Title to Real Property. Seller owns the Real Property, free and clear of all <br /> encumbrances except the Permitted Encumbrance identified on Exhibit F attached <br /> hereto (the "Permitted Encumbrances "). <br /> (b) Title to Personal Property. Seller owns the Personal Property, free and clear of all <br /> encumbrances. <br /> (c) Leases. Seller has made available to Buyer a correct and complete copy of each <br /> Lease and all its amendments. The information regarding the Leases contained in <br /> attached Exhibit _ is correct and complete as of the date of this Agreement. <br /> The Leases are in MI force and neither Seller, nor any tenant, is in default under <br /> the Leases. There are no other leases or possessory rights of others regarding the <br /> Real Property. <br /> (d) Contracts. Seller has made available to Buyer a correct and complete copy of <br /> each Contract and its amendments. The Contracts are in full force and neither <br /> Seller, nor any other party to the Contracts, is in default under the Contracts. All <br /> other contracts in effect regarding the Property are terminable on or before the <br /> Closing Date. <br /> (c) Utilities, Seller has received no notice of actual or threatened reduction or <br /> curtailment of any utility service now supplied to the Real Property. <br /> (f) Assessments. Seller has received no notice of actual or threatened special <br /> assessments or reassessments of the Real Property. <br /> 8 <br />
