CITY OF CENTERVILLE RESIDENTIAL REFUSE CONTRACT <br /> THISAGREEt4'NT, made and entered into this __ day of __, 1999 by and Between the City <br /> of Centerville, a municipality in the County of Anoka, State of Minnesota, hereinafter referred to <br /> as "CITY", and Waste Management of Minnesota, a Minnesota Corporation, hereinafter referred <br /> to as "CONTRACTOR ". <br /> RECITALS: <br /> WHEREAS, the CITY requires the collection and disposal of garbage and rubbish and <br /> recyclables from residences in the City of Centerville; <br /> AND WHEREAS, CONTRACTOR is engaged in the business of collecting and disposing of <br /> garbage and rubbish and recyclables; <br /> AND WHEREAS, the CITY desires to contract for the services of CONTRACTOR and <br /> CONTRACTOR desires to provide the services to the residents of the CITY; <br /> NOW, THEREFORE, it is agreed by and between the parties; <br /> 1. TERM <br /> A. Five Years. This contract shall be in full force and effect for the period beginning <br /> November 1, 1999 and ending December 31, 2005. <br /> B. Renewal. At the conclusion of this period, the parties may wish to consider <br /> renewal of this Contract for an additional five -year term. Negotiations for said <br /> renewal shall begin no later than October 1, 2005. <br /> C. Termination. The City may terminate the contract for breach of the contract, for <br /> unsatisfactory performance after written notice of concerns are addressed to the <br /> CONTRACTOR and the CONTRACTOR is given 60 days to improve service to <br /> meet the standards of the CITY. Should the CONTRACTOR fail to meet these <br /> service standards within 60 days the CITY will give a 30 -day notice of <br /> termination. <br /> 2. GENERAL DESCRIPTION OF SERVICE. <br /> CONTRACTOR shall supply all labor, materials, and equipment necessary to make a <br /> complete collection of garbage and rubbish; yard waste and recyclables from all <br /> residents. <br /> 3. DEFINITIONS. <br /> "Collection" means the aggregation of waste from the place at which it is generated and includes <br /> all activities up to the time the waste is delivered to a waste facility. <br />
