CITY OF CENTERVILLE RESIDENTIAL REFUSE CONTRACT THISAGREEt4'NT, made and entered into this __ day of __, 1999 by and Between the City of Centerville, a municipality in the County of Anoka, State of Minnesota, hereinafter referred to as "CITY", and Waste Management of Minnesota, a Minnesota Corporation, hereinafter referred to as "CONTRACTOR ". RECITALS: WHEREAS, the CITY requires the collection and disposal of garbage and rubbish and recyclables from residences in the City of Centerville; AND WHEREAS, CONTRACTOR is engaged in the business of collecting and disposing of garbage and rubbish and recyclables; AND WHEREAS, the CITY desires to contract for the services of CONTRACTOR and CONTRACTOR desires to provide the services to the residents of the CITY; NOW, THEREFORE, it is agreed by and between the parties; 1. TERM A. Five Years. This contract shall be in full force and effect for the period beginning November 1, 1999 and ending December 31, 2005. B. Renewal. At the conclusion of this period, the parties may wish to consider renewal of this Contract for an additional five -year term. Negotiations for said renewal shall begin no later than October 1, 2005. C. Termination. The City may terminate the contract for breach of the contract, for unsatisfactory performance after written notice of concerns are addressed to the CONTRACTOR and the CONTRACTOR is given 60 days to improve service to meet the standards of the CITY. Should the CONTRACTOR fail to meet these service standards within 60 days the CITY will give a 30 -day notice of termination. 2. GENERAL DESCRIPTION OF SERVICE. CONTRACTOR shall supply all labor, materials, and equipment necessary to make a complete collection of garbage and rubbish; yard waste and recyclables from all residents. 3. DEFINITIONS. "Collection" means the aggregation of waste from the place at which it is generated and includes all activities up to the time the waste is delivered to a waste facility.
