Idar. 3. 2000 9.1601 No 9645 P 2 <br /> PURCHASE AGREEMENT <br /> THIS AGREEMENT ("Agreement ") is made as of , 2000 between <br /> Richard G. Hubers and Diane Lynn Hubers, husband and wife ( "Seller "), and the City of <br /> Centerville, a Minnesota municipal corporation ( "Buyer "). <br /> In consideration of this Agreement, Seller and Buyer agree as follows: <br /> 1. Sale of Property. Seller agrees to sell to Buyer, and Buyer agrees to buy from <br /> Seller, the following property (collectively, "Property "): <br /> (a) Real Prooetty. The real property located at 7087 Twentieth Avenue, City of <br /> Centerville, County of Anoka, State of Minnesota, described on the attached <br /> Exhibit A ( "Land ") together with (1) all buildings and improvements constructed <br /> or located on the Land ( "Buildings ") and (2) all easements and rights benefiting or <br /> appurtenant to the Land (collectively the "Real Property "). <br /> (b) personal Property. All of the personal property situated in or about the Real <br /> Property owned by Seller, including without limitation, that described on the <br /> inventory attached to this Agreement as Exhibit B ("Personal Property "). <br /> (c) Contracts. Seller's interests in the service and maintenance contracts, equipment <br /> leases and other contracts regarding the Real Property and the Personal Property <br /> described on the artached Exhibit C ( "Contracts "). <br /> (d) permits. Seller's interests in the permits and licenses described on attached <br /> Exhibit D ( "Permits"). <br /> (e) Warranties. Seller's interests in all warranties and guaranties given to, assigned to <br /> or benefitting Seller or the Real property or the Personal Property regarding the <br /> acquisition, construction design, use, operation, management or maintenance of <br /> the Real Property and the Personal Property ( "Warranties "). <br /> (t) Plans. All originals and copies of the as built blueprints, plans and specifications <br /> regarding the Real Property and the Personal Property, if any ( "Plans "). <br /> (g) Records. All records of Seller regarding the Real Property and the Personal <br /> Property, including all records regarding real estate taxes and assessments, <br /> insurance, maintenance, repairs, capital improvements and services ( "Records "). <br /> 2. Purchase Price and Manner of Pavment. The total purchase price ( "Purchase <br /> Price") to be paid by Buyer to Seller for the Property shall be $375,000 and shall be payable as <br /> follows: <br /> '(a) $18,750 as earnest money ( "Earnest Money ") which Earnest Money shall be held <br /> in owner's attomey's trust account. <br />
