, II. RESPONSIBILITIES OF CITY
<br />A. The City shall assume all costs related to the installation, maintenance, operation
<br />and repair of the Irrigation System, including but not limited to the maintenance of
<br />the storm water retention pond located on the Premises.
<br />B. Prior to the installation of the Irrigation System and at all times during the term of
<br />this License Agreement, the City shall obtain and maintain all necessary permits
<br />and/or approvals from all governmental and /or quasi - governmental entities
<br />having jurisdiction over the installation, operation, maintenance and/or repair of
<br />the Irrigation System.
<br />C. After completion of the construction and installation of the Irrigation System and
<br />excepting the improvements permitted herein, the City shall at its sole cost return
<br />the Premises to the condition that it was in prior to said construction. Upon
<br />termination of this License Agreement the City shall at its sole cost remove the
<br />Irrigation System from the Premises and return the Premises to the condition it
<br />was in prior to the installation of the Irrigation System.
<br />III. COMPLIANCE WITH LAWS
<br />The City shall abide by all statutes, ordinances, rules and regulations pertaining to or
<br />regulating the construction, operation, maintenance and /or repair of the Irrigation System,
<br />including those now in effect and hereafter adopted. Any violation of said statutes, ordinances,
<br />rules, or regulations shall constitute a material breach of this Agreement and shall entitle the
<br />County to terminate this Agreement upon delivery of written notice of termination to the City.
<br />IV. INDEMNIFICATION
<br />The County shall not be liable to the City, its agents, employees, customers, contractors,
<br />patrons, visitors, invitees, vendors or guests, or any other individual, corporation, or other type
<br />of business concern or governmental body for any claim, loss, judgments, costs, injury, death or
<br />damage as a result of the construction, operation, maintenance, or removal of the Irrigation
<br />System on the Premises granted by this License Agreement. The City agrees to and shall
<br />indemnify, hold harmless, and defend the County, its elected officials, employees, and agents
<br />against any claim, loss, judgments, costs, injury, death or damages, including attorney's fees,
<br />that the County may incur as a result of or related to the placement, construction, operation,
<br />maintenance, or removal of the Irrigation System on the Premises.
