Bradley Reasonable Build-Out ➢ Additional Build-Out Based on Market Success. • Starting January 1 , 2016, CenturyLink Build-Out Commitment will increase if its penetration rate is at least 27.5% in the areas that it is offering service. • Example: if offering service to 60% of the City and CenturyLink has penetration of 30% in that area, then the Build-Out commitment will increase 15% to 75% of the City. • Additional Build-Out commitment continues until all households are served. Bradley Reasonable Build-Out ➢ Line Extension • No initial mandatory line extension, unless CenturyLink becomes the dominant cable provider. 0 The City will determine a line extension obligation similar to ComcasYs line extension if CenturyLink obtains a 50% penetration level in the City. Bradley Economic Redlining or "Cherry Picking " Prohibited ➢ Cherry Picking is prohibited by the Federal Cable Act. See 47 U.S.C. § 541 (a)(3). o ➢ Franchise prohibits Cherry Picking. ➢ CenturyLink has additional $500 per day penalty/liquidated damage for violating Build-Out and Economic Redlining provisions. . Ms.Julie Jeppson,Development Director, Stepping Stone Emergency Housing Ms. Jeppson introduced herself to Council stating that Stepping Stone Emergency Housing serves Anoka County youth and adults 18 years of age and older in a dormitory-style setting. Stepping Stone is a temporary housing facility that provides basic needs along with mentoring and life skills training to promote self-sufficiency. Ms. Jeppson formally requested funding support from the City. Council addressed Ms. Jeppson with a number of questions. Council stated that the City's preliminary budget has been set for 2016 and suggested that Stepping Stone approach local representatives regarding alternative funding sources. 2. Mr.Lou Suski, Gaughan Companies & Mr. Dan Huffman, ISD# 12 a. Purchase Offer-1737 Main Street& Abutting Property Administrator Ericson stated that this item would be addressed under New Business. IV. Motion by Council Member Paar, seconded by Council Member King, to approve the minutes of the October 28, 2015 City Council Meeting with the correction. All in favor. Motion carried. VII. Council Member Love questioned the needed cellphone provider associated with the upgraded SCADA Remote Dialer, AT & T versus who the City currently has services through. Public Works Director Palzer stated that there are proprietary issues and the ability to utilize a custom APN application. Public Works Director Palzer stated that the services would be approximately $20 per month which is reasonable. Motion carried Mayor Wilharber questioned funding for the exterior lighting proposal. Administrator Ericson stated that a portion of funding would be from the Public Works Funds and 25% each from Sewer and Water Funds respectfully. Mayor Wilharber stated that the proposal was for exterior LED lighting and motion detection lighting. Public Works Director Palzer explained that all exterior light bulbs replaced this spring have burnt out due to faulty, corroded and leaking fixtures along with employee safety concerns regarding locations of light switches and current all day lighting use throughout the building. Public Works Director Palzer stated that with the motion detection lighting in certain areas of the building, the lights would stay on for approximately 15 minutes following movement being sensed saving the City energy consumption and have an anticipated payback within 2.54 years. Motion by Council Member Fehrenbacher to approve Consent Agenda Item #6 as Presented with funding coming from the Public Works Funds and 25% from the Sewer and Water Funds. Discussion ensued regarding the usage of Water and Sewer Funds for a portion of the expenditure. Council Member Fehrenbacher made a friendly amendment to his motion "ContinEent upon the Approval of the Finance Director". This was confirmed by the Finance Director. Seconded by Council Member Love. All in favor. Motion carried VIII. OLD BUSINESS 1. None. IX. NEW BUSINESS 1. Discussion on Purchase Agreement— 1737 Main Street&Abutting Property(PIN #23-31-22-21-0058 Administrator Ericson discussed with Council that Centennial School District #12 has expressed interest in purchasing the City lots mentioned above, however a purchase offer has yet to be received. Administrator Ericson stated that the City has received condemnation proceedings from the School District for the condemnation of 1709 Main Street and that Mr. Dan Huffinan, Executive Director of Business Services Centennial School District had recently met with himself and staff regarding the District's parking lot design and future growth. Administrator Page 3 of 9 36 City of Centerville Council Meeting Minutes November 12,2015 Ericson stated at that same meeting, the City's Downtown Redevelopment design and requirements were discussed. Consensus of the Council was that 1737 Main Street and the abutting property's best use would not be a pond or parking facility, does not follow the City's Downtown Redevelopment Plan and is not in the best interest of the City to be non-property tax generating. Mr. Huffinan introduced himself to Council, stated that the School District's interest is based on long-range facility planning, taking into consideration anticipated student population growth, Rice Creek Watershed District requirements, classroom additions, etc. Mr. Huffinan stated that it is the desire of the School District to partner with the City regarding the growth of the existing facility and accommodating/complimenting the City's Downtown Redevelopment Plans. Council Member Fehrenbacher questioned whether the School District desired to acquire/condemn additional property that the City does not own within the area for utilization of a parking lot. Mr. Huffinan stated that the District would not be entering into similar condemnation proceedings unless it was necessary to facilitate their needs. 2. 1709 Main Street—Ind. School Dist.#12 Condemnation Notice Administrator Ericson stated that the City has received a Petition in Condemnation, a Notice of Intent to take title to and possession of the property in accordance with MN State Statute 117.042 for the property located at 1709 Main Street. Administrator Ericson stated that the School District's desire is to obtain the property to allow for an expansion of the existing parking lot for Centerville Elementary separating parking between staff and parents and providing a safer route for school bus traffic and student safety. Administrator Ericson stated that the City received preliminary plans during their recent meeting with Mr. Huffman on November 10, 2015. Mr. Huffinan stated during the early phases of considering school bus traffic and student safety for all five (5) elementary school sites, they considered adding additional parking in the rear of the school. However, this because increasingly cost prohibitive due to monitoring and ensuring safety to those that utilized it. District staff determined that parking should be in the front of the building and the School District purchased the property located at 7124 Centerville Road earlier this year. Mr. Huffinan stated that he has been in discussions with the property owner, Mr. Paul Steffel regarding the purchase of his property but negotiations have fallen through and in order to complete their construction plans they have exercised their rights to proceed with eminent domain/condemnation proceedings. Council Member Fehrenbacher questioned the District's needs versus desires and use of existing property compared to what is stated within the Petition of Condemnation documents. Council Member Fehrenbacher stated that there is ample room in the rear of the building to house a larger parking facility but the District believes it would be cost prohibitive. Mr. Huffman again stated that the Committee determined the optimum location for parking would be street facing. Council Member King questioned appointments to the Committee. Mr. Huffinan stated that the Committee is made up of members of the District staff. Page 4of9 37 City of Centerville Council Meeting Minutes November 12,2015 Mr. Huffman stated that while meeting with City Staff it was discussed that a possible joint meeting with Council and District Staff could be arranged to discuss mutual needs, District facility plans, etc. Attorney Glaser stated that with both entities having common goals and needs, discussions should take place. Council Member Paar questioned the City's ability to cease the condemnation proceedings of the School District. Attorney Glaser stated that the City could proceed with the same proceedings for the same reasons and compete with the School District for the property. Attorney Glaser explained that Mr. Steffel purchased the property in 2002 when the market was extremely high, now the market is slightly rebounding from being extremely low and Mr. Steffel believes that the value should be much higher than the estimated market value the County has placed on the property. Attorney Glaser stated that with the Condemnation proceedings, fair market value is what the School District will pay for it. Discussion ensued regarding working with the Council and Committee regarding mutual needs, facility plans and etc. going forward and the benefits of working together and scheduling a future meeting. Council Member Love questioned whether the City's property located at 1737 Main Street and abutting property were included in the current plan for parking requirements and Mr. Huffinan stated no. 3. Centerville Elementary Parking Lot Design Council Member King questioned installation of a loop around to the back of the school. Mr. Huffinan stated that District Staff looked at many alternatives with the proposed design working best for the needs of the facility, safety of students and staff. Council Member Love questioned with a loop around the back of the school how it would differ from Blue Heron Elementary School. Mr. Huffinan explained that at Blue Heron buses drop off/pick up students in the rear with parents utilizing the front parking lot for drop off/pick up of students. The proposed Centerville Elementary design has parents utilizing the front for drop off/pick up of students and buses would utilize the side. Council suggested arranging a meeting with Mr. Huffman and staff regarding the proposed parking lot design and whether Council should table Items #2 and #3. Attorney Glaser questioned whether Mr. Huffinan felt that the School Board should suspend the quick take of 1709 Main Street and enter into discussions with the City. Mr. Huffman stated that the item is not on the Board's agenda for their December meeting but would be willing to request that it be placed on for consideration along with alternative suggestions for plan design. Mayor Wilharber requested that Administrator Ericson extend Council's desire to meet and discuss parking lot design, plan suggestions, mutual needs and future facility endeavors with the School Board and report back to Council at their next meeting. Discussion ensued regarding the process/procedure to protect the City's interest in the Condemnation Proceedings. Attorney Glaser stated that the City could take similar action and see what happens,however, there would be associated fees. Page 5 of 9 38 City of Centerville Council Meeting Minutes November 12,2015 Attorney Glaser stated that the items were placed on Council agenda to acknowledge receipt of them, obtain Council's views on the matters and provide Council with an opportunity to render a formal objection. Motion by Council Member Fehrenbacher, seconded by Council Member King to table Items#2 and#3 as presented. All in favor. Motion carried. 4. Planning& Zoning Commission Recommendation to Adopt Chapter 155: Flood Damage Prevention Administrator Ericson stated a public hearing was held at the last Planning and Zoning meeting providing opportunity for the public to provide input on the item. Administrator Ericson also stated that slight modifications were made to the presented Ordinance and Engineer Statz has incorporated them in the provided materials. Administrator Ericson explained that the City must adopt the ordinance to participate in the FEMA Flood Insurance Program. Council Member Love stated that there was no public input at the meeting and Engineer Statz reviewed the Ordinance very well. Motion by Council Member Love, seconded by Council Member Paar, to Adopt Chapter 155: Flood Damage Prevention as presented. All in favor. Motion carried. 5. Planning & Zoning Commission Recommendation to Adopt Chapter 156.166, Second Series Amendment to Parking Requirements for other industrial or warehousing. Administrator Ericson stated a public hearing was held at the last Planning and Zoning meeting providing opportunity for the public to provide input on the item. Administrator Ericson also stated that Mr. Suski was instrumental in researching this item and providing information to staff. Motion by Council Member King, seconded by Council Member Love, to Adopt Chapter 156166, Second Series Amendment to Parking Requirements for Other Industrial or Warehousing as presented. All in favor. Motion carried. 6. Revised Grading Plan—Pheasant Marsh Third Addition Vacant Lots Administrator Ericson stated that the developer, Ground Development, desires to revise the existing grading plans relating to the remaining vacant lots within the Third Addition. Public Works Director Palzer does not believe that there will be adverse effect with the swale or runoff to abutting properties. Administrator Ericson stated that Engineer Statz had several recommended requirements that should be incorporated into an amendment to their original Developer's Agreement: Page 6of9 39 City of Centerville Council Meeting Minutes November 12,2015 1. Revised driveway grades should be shown on all lots. Grades greater than 8% should be avoided, with an absolute maximum of 10%. Lots 1, 6 & 7 of Block 2 to be near this grade. 2. All Emergency Overflow (EOF) locations should be verified in the field and if not graded properly, shall be corrected. A"record plan"of these lots should be provided to the city. 3. Lots 7 — 10 of Block 2 already have limited back yard space. Raising the grades here only make that worse. Lots 9 and 10 are only being raised a small amount, so it may still be acceptable,but if it can be avoided, it should. 4. The developer shall provide evidence that they have secured a maintenance contract for mowing, weed control, snow removal and the like on all vacant lots and their adjoining boulevards. Public Works Director Palzer stated that the City still has a letter of credit with Ground Development and felt that the adjustments were acceptable. COUNCIL &ADMINISTRATION ANNOUNCEMENTS Administrator Ericson stated that he attend the TEDX Talk in Fridley which featured Anoka County Historical Society's Executive Director Rebecca Ebnet-Mavencamp. He stated that this is a program of local, self-organized events that bring people together to share ideas. Council Member Fehrenbacher reported that the Police Governing Board officially swore in Pat Aldrich and Russ Blanc as Lieutenants, current funding for 2016 included the purchase of two (2) patrol vehicles, however only one (1) will be purchased due to maintenance cost Page 7 of 9 40 City of Centerville Council Meeting Minutes November 12,2015 determination versus replacement. Council Member Fehrenbacher stated that funds will remain in reserve for a future purchase if needs determine. Council Member Fehrenbacher stated that it is anticipated that the Centennial Lakes Police Department's 2015 will be under the approved amount. Council Member Love reported that the Planning&Zoning Commission held that two (2) public hearings that were previously discussed. PLEDGE OF ALLEGIANCE III. PUBLIC HEARING—DELINQUENT UTILITIES/NUISANCES The Mayor opened the public hearing at 6:32 p.m. Mr. Paul Quale, 11568 Fetterly Lane, Minnetonka, Minnesota stated that he and his wife are owners of lots at 7333 and 7329 Peltier Circle that are being assessed maintenance charges for grass mowing services in the amount of$930. Mr. Quale stated that he and his wife have owned the property for approximately eight(8) years and recently encountered an error on their property tax statements. Anoka County refunded the overages for only three (3) years. He further stated the lots provided open space and they allow individuals to utilize their property for fishing without complaint and have never received a complaint from neighboring property owners. Mr. Quale questioned the policing of the property due to illegal dumping of construction materials, grass clipping and garbage. Mr. Quale reported that his wife has written a letter requesting that the City forgive the charges for the reasons he has stated and that they were unaware of the City's requirements to maintain the property. The letter is part of the public record. Council Member Fehrenbacher stated that he lives across the street and has maintained one of the lots for most of the year. He noted complaints from neighbors who desire the same requirements with this development as similar developments within the City, has worked with Mr. Quale in the past with numerous issues regarding the property and concurs that the property should follow City Code requirements. 43 City of Centerville Council Meeting Minutes November 24,2015 City Clerk Bender stated that the Quale's have received letters from the City, certified and uncertified, regarding the maintenance of the grass/weeds on these lots. They were sent a registered letter prior to the cutting this year and that they would be assessed $580 not $930 in 2016 and the remainder ($350) in 2017 due to noticing requirements and timing unless they desired to pay. Ms. Bender also stated that she attempted to work with the Quale's realtor to have the property maintained and was informed that Mr. Quale had recent undergone surgery. Mr. Quale confirmed that both he and his wife had undergone surgery in the past year. Discussion ensued regarding maintenance requirements, lack of responses received from the Quale's subsequent to notification of intent to maintain grass at their expense or ceasing City grass maintenance. Both Mr. Quale and Ms. Bender stated that there had been no contact following any mailings, billing or services being provided. COUNCIL & ADMINISTRATION ANNOUNCEMENT Administrator Ericson stated that they recently held a 2016 Fete des Lacs Festival Committee meeting, several local business owners were present along with several Centerville Lion members and several parade committee members. Administrator Ericson stated that he is confident that with the leadership and experience of individuals willing to participate the upcoming celebrations will be excellent. Council Member Love stated that he received notification that the League of Minnesota Cities Insurance Trust would be disbursing dividends shortly and the City is slated to receive $7,689, the Centennial Fire District is slated to receive $11,097, Centennial Lakes Police Department $4,523, Rush Line Corridor Task Force$462 and the Anoka County Fire Protection Council $24. Council Member Love commended staff from all organizations for keeping expenditures, safety and pro-activity in mind during the past year equating to the distribution of dividends. Council Member Fehrenbacher stated that the Police Commission felt that they would be saving approximately $1,000/year. Mayor Wilharber stated that he attended a recent Rush Line Corridor (PAC) meeting and discussion was had regarding the opening of the MN Pass Lane on I-35E. Mayor Wilharber also stated that the recent issues of The Citizen and the Quad Community Press have had articles regarding the new Fire Department for the City of Lino Lakes and their operations. Administrator Larson stated that staff felt that a five (5) percent increase in water fees and a three (3) percent increase in sewer fees would allow for a more stable revenue for these enterprise funds allowing for future repairs/replacements. Staff also pointed out that there will be a slight increase to the cost of the water meters. A franchise fee is a charge imposed by the City on utility and cable providers who operate in the public right-of-way. An agreement with the City allows them to work in the right-of-way upon payment of established fees. The utility and cable providers often pass these charges on to the customer. Who pays the fee in Forest Lake? If you own a home or business in Forest Lake and receive a gas and/or electric F.A.Q bill from a utility company, a franchise fee will be included on your monthly statement beginning in May of 2013 based on the following schedule: Residential $ 4.00 Small Commercial/Industrial Non-Demand $ 2.50 Small Commercial/Industrial Demand $18.50 Large Commercial/Industrial $75.00 M Why was this fee established? In 2011, the City Council appointed a Streets task force to study the condition of the City's street inventory and recommend methods of financing street maintenance and improvements. The task force found that nearly 65% of the City's streets were in need of improvement, based on a standard ranking system recognized in the industry. Failing to maintain streets in an appropriate time frame can result in the need to reconstruct the roads at a much higher cost to the taxpayers. The task force ultimately recommended the establishment of franchise fees as a mechanism to finance needed street improvements. What benefit do I get from paying this fee? City residents will enjoy a higher level of street maintenance and improvement. If your street is improved, it is likely that little to none of the cost will be assessed to your property. The franchise fee will provide approximately $700,000 annually in revenue, which is specifically dedicated to the local street improvement fund. Following the submission of an application for a cable television franchise for each member city of the NMTC,the above-entitled matter initially came before the NMTC for a public hearing on February 18, 2015, at Spring Lake Park City Hall. Said public hearing was held open through February 27, 2015,for the purpose of allowing additional written public comments. Following the public hearing, the NMTC's Executive Director prepared a detailed report entitled "Staff Report on CenturyLink Cable Franchise Application" (the "Report"). The NMTC received and filed the Report and directed NMTC staff to a negotiate cable television franchise with CenturyLink. NMTC staff negotiated a cable television franchise with CenturyLink and presented it to the NMTC on October 21, 2015. The NMTC adopted a Findings of Fact and Recommendation on October 21, 2015, which recommended approval of the negotiated cable television franchise with CenturyLink by each member city.The CenturyLink Cable Television Franchise is now before the City Council for consideration. DISCUSSION Supporting information On February 12, 2015, the NMTC received a cable franchise application covering each member city from CenturyLink. Comcast Cable currently has a non-exclusive franchise agreement with the City, which means the City Council may grant additional franchises to provide cable service in the City. A public hearing on the application was held on February 18, 2015, and additional written comments from the public were accepted through February 27, 2015. Following the public hearing, staff prepared a Staff Report ("Report"),which recommended that the NMTC receive and file the Report and direct staff to negotiate a cable franchise with CenturyLink, consistent with the Report. On April 15, 2015, the NMTC adopted the recommendation.This action did not approve a franchise. The NMTC's outside attorney, Mike Bradley, Bradley Hagen &Gullikson, LLC, in consultation with NMTC Executive Director, Heidi Arnson, engaged in cable franchise negotiations with CenturyLink. The attached cable franchise is the product of those negotiations. In reviewing the CenturyLink cable franchise, there are two primary issues to consider. The first is whether federal law preempts Minnesota's 5-Year Build Statute. Minnesota Statues Section 238.084, subdivision 1(m) requires all initial franchises to have a provision that requires a cable operator build out its cable system at a rate of 50 plant miles per year and that its cable system be substantially complete within 5 years. As the Report indicated, CenturyLink claims that this 5-Year Build Statute is an unlawful barrier to entry and is preempted by federal law and an FCC decision referred to as the 621 Order. The Report also indicated that there is no case law in Minnesota directly addressing preemption of the 5-Year Build Statute. The Report concluded that CenturyLink has a good faith basis on its preemption claim and is willing to indemnify the City related to any litigation surrounding the grant of a franchise to CenturyLink. CenturyLink refused to incorporate the language of the 5-Year Build Statute in the proposed franchise, based on its preemption argument. As described below,the proposed CenturyLink franchise ordinance has provisions for a reasonable build-out of the city. The proposed franchise ordinance also has provision for defense and indemnification of the City and the NMTC regarding this issue. The next issue is whether the CenturyLink franchise contains a reasonable build-out schedule. The franchise ordinance recognizes that CenturyLink has already constructed a legacy communications system throughout the City, which is capable of providing telephone and internet service. The build-out provisions in the franchise are related to upgrades of the legacy system to make it capable of providing cable service to all city residents. The proposed CenturyLink Franchise addresses build-out as follows: • Complete Equitable Build-Out. Goal is to build-out the entire city over 5-year term, based on market success, with a significant investment targeted to areas below the median income in the city. • Initial Minimum Build-Out Commitment. 15%of the city over two years. o CenturyLink must make its best effort to complete the initial deployment in a shorter period of time. o Equitable Deployment to households in the City. o Must include a significant number of households below the medium income of the City. o CenturyLink permitted to serve more households than the initial commitment. • Quarterly Meetings. Starting January 1, 2016, CenturyLink must meet with the City [and/or City designee at NMTC] and show to the City's satisfaction: o Number of households capable of being served and actually served. o Compliance with anti-redlining requirements. o Maps and documentation "showing exactly where within the City the Grantee is currently providing cable service." • Additional Build-Out Based on Market Success. Starting January 1, 2016, the CenturyLink build-out commitment will increase if its penetration rate is at least 27.5%in the areas that it is offering service. o Example: If CenturyLink is offering service to 60%of the City and CenturyLink has penetration of 30%in that area,then the build-out commitment will increase by 15%, to cover 75%of the city. o Additional build-out commitment continues until all households are served. • Line Extension. No initial mandatory line extension, unless CenturyLink becomes the dominate cable provider. Then the City decides CenturyLink's build-out schedule, including a density requirement that is the same or similar to Comcast's density requirement. The City may consider whether the Initial Minimum Build-Out Commitment of 15%of the City over two years is reasonable. CenturyLink claimed in its application that it initially would be providing service to a greater portion of the City. During negotiations however, CenturyLink was concerned about having too high a commitment in the franchise ordinance and that cities in Minnesota and elsewhere would use a greater commitment as a new standard. CenturyLink refused to increase the Initial Minimum Build-Out Commitment above 15%. However, the provisions related to Quarterly Meetings and Additional Build-Out Based on Market Success are designed to quicken and increase CenturyLink's initial Build-Out Commitment. The franchise also has provisions requiring that residents of the City be included in an equitable initial build commitment and that a significant number of households below the medium income of the city also be included in the initial build-out. CenturyLink must also use its best efforts to complete its initial build faster than two years. Another issue related to the reasonable build-out is whether the penetration rate triggering additional build-out is reasonable. CenturyLink claims that it needs a penetration rate of 27.5% in order to commit to an additional mandatory build in the city. This penetration number is based on internal CenturyLink return on investment models. Given Comcast's penetration rate in the City is around 40-50%,a penetration rate of 27.5%may be difficult to obtain and, therefore, it is possible that CenturyLink may not be required to build-out more than its initial commitment. Economic redlining or "cherry picking" was identified as a concern through the public hearing process. As the Report noted, cherry picking is prohibited by the Federal Cable Act. See 47 U.S.C. § 541(a)(3). The proposed CenturyLink franchise prohibits cherry picking, identical to the Comcast franchise. To ensure compliance, CenturyLink has an additional $500 per day penalty/liquidated damage for violating the build-out and economic redlining provisions of the Franchise. The Report also described the State's level playing field statute,which requires competitive cable franchises not to be more favorable or less burdensome than an incumbent's franchise as it relates to franchise fees, support of public, educational, and governmental access television and the area served. CenturyLink is required to pay a franchise fee of 5%of its Gross Revenues (Identical to Comcast Franchise). The Franchise Area is the entire city (Identical to Comcast Franchise). The Public, Educational, and Governmental ("PEG") Access Requirements of the CenturyLink franchise meet, and in places exceed, Comcast's franchise commitments. The CenturyLink PEG commitments are summarized as follows: 0 Number of Access Channels. CenturyLink will provide 12 Access Channels (greater overall number of Access Channels as Comcast). • Format of Access Channels. CenturyLink will provide all 12 Access Channels in HD if the City sends them in HD format (Comcast will provide up to 2 Access Channels in HD over time). • Electronic Programming Guide. CenturyLink will have similar requirement as Comcast. • Channel Placement. CenturyLink will make all Access Channels accessible at Channel 16 through the "North Metro Mosaic." The Access Channels will be physically located in the 8000s (Comcast has no mosaic and is required to have all the HD Access Channels located near the broadcast channels). • Public Service Announcements. CenturyLink will allow the NMTC to air PSAs on non-Access channels during periods of unsold/unused air time (Exceeds Comcast's commitment). • Video On-Demand. CenturyLink will provide 25 hours of VOD per member city (Exceeds Comcast's PEG commitment). • PEG Support. CenturyLink will pay a PEG Fee in support of the Access Channels of$3.16 adjusted by CPI starting in 2016. (Amount of funding identical to Comcast). Overall,the CenturyLink cable franchise is substantially similar to the Comcast cable franchise in most respects. The following highlights the differences between the two cable franchises: • Term. CenturyLink's Franchise term is 5 years. Comcast's term is 15+years. • Indemnification of the Citv. CenturyLink has an additional indemnification commitment that Comcast does not have. • Access Channel Commitments. CenturyLink may provide more channels in HD than Comcast. CenturyLink is providing 175 hours of VOD programming than Comcast, while Comcast is not providing any. PEG support may be used for capital and operational support under the CenturyLink franchise. • Twin Cities Metro PEG Interconnect Network. CenturyLink will provide a network to allow cities throughout the metro area to share live programming with one another. We believe this will be the only such network in the country. • Penalties/Liquidated Damages. CenturyLink franchise has additional damages for violating the Build-Out and Economic Redlining provisions of the franchise that is not in the Comcast franchise. • Build-Out. CenturyLink Franchise has a reasonable build-out commitment based on market success. Comcast does not have a build-out provision, as it built-out the City many years ago. • Line Extension. The CenturyLink franchise does not have an immediate line extension requirement. The City will determine a line extension obligation similar to Comcast's line extension if CenturyLink obtains a 50%penetration level in the City. Comcast has a line extension requirement. Since a cable franchise is granted by ordinance, the City must hold a public hearing on the cable franchise ordinance. At a following meeting, the City should take action to approve or deny the proposed franchise ordinance and direct staff to draft findings consistent with its decision. RECOMMENDATION That the City(1) Hold a public hearing on the CenturyLink Cable Franchise Ordinance; (2) at a following Council Meeting, take action on the CenturyLink Cable Franchise Ordinance; and (3) adopt written findings of fact to support the action taken.
