From time to time, this position is expected to do work of a confidential nature and to perform job duties in a responsible and professional manner; to employ initiative, diplomacy, judgment, and to exhibit a thorough knowledge of general City policies, practices and ordinances. SUPERVISION RECEIVED: Works under the direct supervision of the City Administrator. SUPERVISION EXERCISED: Part time clerical as assigned. ESSENTIAL DUTIES AND RESPONSIBILITIES: Administrative Responsibilities • Assume the lead role for one or two Committees, including primary responsibility for the creation of agendas and meeting packets. Attend the meetings of those committees as the staff liaison, produce minutes of the meetings and follow up on action items. • Receive complaints and inquiries from residents in person and over the telephone, responding courteously and ensuring prompt, appropriate action is taken. • Research Council or Committee initiatives and prepare memoranda outlining background information, research, conclusions, costs, and proposed next steps. • Assist the City Administrator in the compilation and production of the City Council, Planning and Zoning Commission, Economic Development Authority, Parks and Recreation Committee and other meeting packets as assigned. • Responsible for the coordination and follow-through on projects as assigned by the City Administrator. The projects could include contact with residents, City Council, Appointed Committees, consultants, City Staff and the staff of other governmental agencies. • Coordinate and prepare content for newsletters, Administrator's Reports and other external communications. • Assist the City Administrator with development and zoning administration, such as ordinance revisions, comprehensive land use plan amendments, subdivisions and other planning or zoning issues. • Assist other administrative staff with duties normally assigned to them in an effort to balance workloads. These duties may include tasks in: Human Resources, Accounting, Communications, IT, filing, and others. • Share receptionist and other office management duties with all office staff. Other duties as assigned. In the absence of the City Administrator, assume day to day duties of the City Administrator. External Relationships with the Public • Establishes a good working relationship with clear respectful communications with citizens, businesses, commissions, consultants and representatives from other political subdivisions. • Represents the City to external groups in ways which enhance the image of Centerville and serve the best interest of the City. • Assures open communication, encouraging residents and businesses to be heard by the Council. • Prepares the release of information for the public as directed by the City Administrator. Statz, City Administrator/City Engineer From: Bruce DeJong, Finance Director Item: 2022 General Fund Budget and Property Tax Levy Discussion Staff are pleased to propose to the city council a 2022 levy and budget consistent with our goals and community values. The budget recommendations presented are both forward looking and responsive to the community and the city council's concerns and ensure that city services are maintained. These recommendations are built using long-term forecasts with a conservative eye to changes in the larger economy and our community circumstances. As always, the City of Centerville plans to continue providing the excellent services our residents and businesses have come to expect, at a reasonable value, both in 2022 and well into the future. As outlined in this report, staff recommends increasing the preliminary city levy for 2022 by 3%. This budget increase puts us in the bottom third of levy increases for similar sized cities. On the expense side, we have also added a new position at $75,000 per year. This will replace the 24 hour per week front desk position that is currently open. Staff updated salaries and removed the $20,000 contingency from the Council budget. To help pay for that have also removed $20,000 of professional services that were originally placed in the budget in since we did not add a public works employee. With these changes, this position adds roughly $10,000 net to the budget. We have added almost $15,000 to the election costs. We have elections every two years and so this amount tracks closely with the amount spent in 2020, excluding the Anoka County special election costs. Assessing is up $1,600 based on the contract with our new assessor group headed by Mary Wells. We now have about $60,500 budgeted for the police contract increase and about $12,000 for the fire contract increase based on the latest budget proposals for those joint powers agencies. The police budget is down almost $10,000 from the estimate in July. Staff has adjusted the allocation between Building Inspections, Public Works, and Park departments based on recent trends. The net changes in salary reflect the overall increase in public works salaries. There is a rather dramatic reduction in Workers Compensation insurance in the Public Works. I have discovered that our formula for allocating the premiums did not distribute any to the utility funds. We will correct this in coming years and reflect that in the budget. There is a $2,000 increase in engineering fees in Streets to reflect recent experience. An increase in salaries and professional services in the Recycling area is offset by the increased SCORE revenue from Anoka County. This reflects our commitment to recycling activities. We also have an increase budgeted for transfers. Based on our capital improvement plan, a $3,500 increase in transfers to the Equipment Replacement Fund is required to fund replacement equipment over the next ten years. The total equipment transfer is $83,430. The Economic Development Authority has requested a total budget of $32,900. This will increase their transfer by $3,700. Based on our previous work session, the revenue side of the budget has been adjusted back to previous year's amounts for most items. We only have a $2,000 reduction in the fines and forfeits line item based on lower estimated fine revenue from 2021 experience. We also have an increase in the SCORE revenue from Anoka County which support our recycling efforts. This is a reflection of the experience of the last several years. The overall effect of these changes is an increase to the General Fund levy of $132,994. This levy is offset by a decrease in our debt service levy of $49,391. The net increase of $83,603 represents a 3% increase in the overall levy. We don't have information from Anoka County regarding our property value increases that will offset this. Staff is attempting to make an estimate with our new assessor group to determine what effect this will have on an individual property owner. The effect on a typical home will likely be lower than 2% based on the new commercial and residential property values that have been added in the past year. The table below summarizes the expenditure and revenue changes. When we subtract the revenue increase from the expenditure increase, the resulting number is the amount that the tax levy needs to be increased. We will receive an additional $211,740 in 2022. These funds will not affect a budget surplus or deficit. They will be accounted for as a grant where revenue is only recognized when qualifying expenditures are made. The use of those funds is more restrictive than the previous relief funds. Staff is working on ideas for the use of these funds and receiving guidance from the League of Minnesota Cities as it becomes available. There may still be additional changes as we proceed with the budget through the preliminary adoption in September. Please remember that the preliminary levy is a cap on the levy for the year. In December, we are unable to increase the levy but are allowed to lower it. Staff is happy to discuss budget issues and answer questions at any time with council, property owners, and residents. At this meeting staff is looking for general feedback from the City Council regarding the proposed revenue and expenditure changes. Centennial Lakes Police Department Administrator Statz reminded the Council that one of their goals discussed at their retreat was to engage better with some of the City's partners. He stated that throughout the year they are going to try to bring in some of those partners and have them give a presentation or update on their activities. He introduced Centennial Lakes Police Chief, Jim Mork. Chief Mork gave an overview of the Centennial Lakes Police Department's annual report. He explained that their goal is to make every call better than how they found it. He noted that the department responds to over 1,000 service calls every month. He stated that he is attempting to continue the mantra started by former Chief Cohen, "If you hire the right people, provide the right training, the right equipment, and the right supervision, then the right things will happen." He reviewed the core components of the department's strategies for progressive law enforcement. He reviewed the crime statistics as compared to previous years, but noted that it was a bit difficult because of 2020 being so unusual due to the pandemic. He noted that there had not been too large of an increase overall in Class 1 crimes, but there has been a fairly significant increase in thefts. He stated that overall, Class 2 crimes decreased. He expects that this was due to the pandemic with people being home more and bars/restaurants being closed for a period of time. He reviewed the traffic stops, accident reports, and miscellaneous activity data. He stated that he is hopeful that they will be able to hold some of their events, such as Night to Unite, in 2021. He expressed his appreciation for the City's leadership and especially Administrator Statz. Mayor Love asked how the number of calls impacts how each of the cities are charged for their share of the police department. Chief Mork stated that it is an interesting formula that he is trying to get a grasp on. He stated that they take the population of the three cities along with the calls for service at each city and then those calls are also weighted depending on severity and then that is tabulated and he believes that it is average over the last 3 years. Administrator Statz confirmed that Chief Mork described the calculations correctly and noted that it is 40/40/20 which means 40% call volume, 40% population, and 20% for the final weight of the severity of the calls. The Council expressed their appreciation for the work of the Police Department in supporting the citizens. Mayor Love noted that if the simulator comes back to the department, he has asked that it be offered to the other Council Members. 2. Anoka County Sheriffs Office Administrator Statz introduced Commander Paul Lenzmeier with the Anoka County Sheriff's Office and reiterated that this presentation is in keeping with the Council's goal of engaging with partner agencies. He gave a brief overview of the divisions of the Sheriffs office: Jail; Forensic Lab Division; Justice Service Division; Civil Division; Court Security Division; Transport Division; Warrants Division; Records Division; Administration Division; Criminal Investigation Division; and the Patrol Division. He answered Council questions regarding the department, public safety, mental health options, and details about their budget. 3. Accept Resignation of P & Z Commissioner Ben Fehrenbacher and Declare Vacancy Administrator Statz explained that Commissioner Ben Fehrenbacher has resigned his position on the P & Z Commission. He stated as soon as the Council declares a vacancy, staff can begin searching for new candidates to fill that position. Mayor Love stated that he wanted to publicly thank Commissioner Fehrenbacher for his many years of service to the City on various commissions, including the City Council. He stated that he also wanted to thank him for his fabulous work with the Fete des Lacs parade and for being a valuable member of the community, a strong voice, and an advocate for the City. He stated that he also wanted to thank Mr. Fehrenbacher's wife and children for sharing him and supporting him in the time he has given to the City. Kwik Trip Site Plan Administrator Statz explained that the stie plan for Kwik Trip does not require any sort of public hearing or special zoning application. He stated that the use and the site plan have been reviewed, meet the requirements of the City's Zoning Code and staff is recommending approval. Mayor Love stated that since he had neglected to give the applicant, Mr. George, an opportunity to address the Council at the last meeting, he would like to extend that opportunity to him tonight. Mr. George stated that they are very excited to be joining the community and thanked the Council for the time they have taken to review their plans. He stated they believe they fill some holes and would be a benefit to the community. Council Member Lakso noted that she would like to explore shorter business hours than what has been requested. City Attorney Glaser noted that the only thing for the Council to review this evening is the site plan. Council Member Lakso suggested that the Council have a discussion sometime about the possible ripple effect this may have on the area. Motion by Council Member Koski, seconded by Council Member Kind, to Approve the Kwik Trip Site Plan as Presented, contingent upon approval of the Final Plat and subiect to comments detailed in the staff reports, with the Car Wash excluded until such time as the City Code may be chanted and a Conditional Use Permit issued. History Niche — Memorandum of Understanding — Anoka County Historical Society Administrator Statz introduced Ms. Rebecca Ebnet-Desens from the Anoka County Historical Society and explained that they have stepped up to essentially be the professional curators for the new History Niche in Council chambers. He gave a brief overview of some of the things included in the Memorandum of Understanding. He stated that they are hopeful that by June 1, 2021 there will be a display. Ms. Ebnet-Desens expressed her appreciation for the Council's care and keeping they have for the legacy of the City. She shared some ideas of ways that this project could involve public interaction and involvement. The Council expressed their excitement about this project. Block 7 — Centra Homes Concept Plans Ms. Carla Dunham, Centra Homes, gave an overview of the three concept plans for Council consideration and took a high level look at the pros and cons of each proposal. She reviewed some renderings of the streetscape and scale of the buildings. Administrator Statz gave an overview of the P & Z Commission discussion on the options. He stated that the Council is being asked to give direction on a concept that they would prefer. Mayor Love asked if the developers had one of the options that they felt more comfortable with or would rather have. Mr. Dave Pattberg, Centra Homes, stated that when they are working with City -owned land, they feel strongly that the City should have some say in the situation and clarified that they are very open to what the City would like to do. He stated that they had a great conversation with the P & Z Commission and actually have a fourth concept that came out of that conversation. He stated that they have confidence that they will be able to market and sell any of the options the City may select. The Council discussed the various concept plan details including parking issues, and expressed their opinion about which concept they would feel comfortable supporting and narrowed down their favorite options as #1 and #3. Motion carried 4-1. Administrator Statz noted that he thinks the Council gave great feedback and now that there is just one concept they will bring back more details for their consideration. He explained that there will be some things that will trigger a public hearing, but noted that the Council could also choose to have a public meeting as part of the process. 3. Water Tower Fence Quotes Administrator Statz explained that the City is at the point with the fence around Alex's Landscaping and the water tower, has not received a response from Alex or his representation on the construction of a fence that either the City consider legal action or it may be advantageous to construct a fence on our own. He stated that he is proposing that the City construct and owns the fence on their property so that we retain control over it and ensure easy access when necessary for maintenance. He reviewed the property location and the existing easements for access to the site. He stated that funding for the fence would come from Water Funds and noted that Attorney Glaser is reviewing the quotes from a few months ago. The Council asked questions about the easement, gate location, entry points, fence materials, driveway installation timing, fence height, and noise deflection. Motion by Council Member Koski, seconded by Council Member King, to table discussion of the Water Tower Fence until there is additional pertinent information. Council Member Lakso asked the City to consider using local vendors for the quotes or anything under State contracts that would apply. A roll -call vote was taken. Mayor Love and Council Members King, Koski, Lakso & Mosher voted in favor. Motion carried. X. NEW BUSINESS — CONTINUED..... 2. Code Enforcement Issues — 7300 Block of 20tt' Avenue. Attorney Glaser explained that the conditions on the 7300 block of 20th Avenue have been a problem for a very long time. Staff got involved in about January of 2020 and there has been a long and steady involvement with the City which has gotten gradually more intensive. He stated that the conditions today are probably as bad as they have ever been. The police have been out within the last week, there is open garbage on the site which has been that way for some time, rotting food/garbage, and fecal matter in some of the piles. He stated that the issues stem from the Page 6of8 City of Centerville Council Meeting Minutes May 12, 2021 fact that there is no electricity or water at the site. He noted that they do have garbage service available, but do not appear to be using it. There are people who are more or less squatting in the yard, in both RVs and in the house, without utilities. He stated that he has been prosecuting the property owner and had a watershed moment yesterday in court where through her attorney she said she would agree to allow the City to come in and clean up the property because his understanding is that she is incapable of doing it by herself. He stated that the problem is that it will cost the City and shared the possibility of assessing the cost of the cleanup back to the property. He stated that the cost in this situation could be substantial and shared some of the issues that the neighbors have had to deal with. Staff is asking the Council if they would be agreeable to this project and then he will enter into an agreement with the property owner that would grant the City permission to enter the property to rectify the existing nuisances. The Council discussed the legal process, longevity, details surrounding this issue, possible ways to stop it from reverting to this condition again. Motion by Council Member Lakso, seconded by Council Member Koski, to Authorize Staff to Initiate City Cleanup of the Property located at 7353 - 20' Avenue. A roll -call vote was taken. She desired that the City Council respectfully request to think about how to better our community. She stated this community needs more amenities, as this is what will drive profits. This may be the last opportunity to bring developments to the community of Centerville Mr. Jordan Qava, 2028 Diamond Lane, thanked the City Council for allowing him to speak. He requested to consider the traffic increase due to the apartment building. He was also concerned about exit 35E, and the County Road J. The addition of either of those exits should be considered for traffic and safety issues Mr. Brad Griffith, 2084 Willow Circle, is concerned with car wash -noise and the height of the apartment building. He is a real estate agent and wants Centerville to do better. He suggested that property value will decrease with a gas station and a 4-story apartment building development. Mr. Richard Nelson, 7022 Centerville Road, Apt. # 108, stated he has been a resident for 5 years and has been visiting family here for 20 years. He is concerned with the 4-story apartment building Page 2 of 12 City of Centerville Council Meeting Minutes May 26, 2021 and suggested that the City Council consider the Willow Glenn Townhomes when approving this development. Mr. Charles Reinhart, 1723 Meadow Lane, has lived in Centerville for 20 years and suggested some way to block the view. He is not against developments stating that businesses are going to go where they can make the most money. He suggested more trees, a hill, or a living wall to block the view. Mr. Jeremy Como, 7260 Watermark Way, appreciated the opportunity to speak. He does not live in Centerville but thinks it is important to let the City Council know how important it is for businesses to come in to the community and keep the property zoned commercial Also, he is wondering what it would do to the taxes if it was rezoned residential. Ms. Susan Love, 1953 Eagle Trail, stated she has witnessed apartment building development addressed multiple times and it has been previously denied for a variety of reasons. Centerville does not currently have an apartment building and if residents are not ready to buy a house or townhouse their choice is to leave Centerville. She noted other suburbs have developed apartment buildings and it has encouraged many other businesses to build there. She would also like a different location option for a gas station/car wash within Centerville. Ms. Andrea Rasmussen expressed confusion on why the apartment building is being placed on commercially zoned property. If commercial land is in such high demand, she does not think Centerville should be using 5 acres of land for a residential building. Ms. Katie Monohan, 7286 Geneva Court, expressed concern about the lack of young adults who either are not coming or staying in Centerville because there is not much here for them like jobs, restaurants, nightlife, etc. She believes Centerville needs more businesses in order to draw in more residents. Mr. Justin Johnson, 7075 21st Avenue S., is currently a Centerville business owner of Nobel Welding. He struggles with the idea of building a Kwik Trip a mile down the road from other gas stations. He questioned the loyalty of having a business here for 20-30 years and stated he would move his business if that is the case. Ms. Bridget Como, 7260 Watermark Way, stated he had talked to an overwhelming amount of Centerville residents, whom the majority did not want the car wash, some who did not want the Senior Center and some who did not want the apartment building. He believes by adding the apartment and the Senior Center will be taking away commercial property that could potentially bring in more money to Centerville. He suggested revamping the business area in order to keep the money and business in Centerville and did not appreciate being compared to cities such as White Bear Lake. He wants to keep the small-town feel. In closing, he also mentioned he was concerned about the noise and traffic surrounding the buildings. Ms. Robinson mentioned again that it is the commercial businesses that will help this community grow. She wants to make this community better and reminded the City Council of the petitions that have been received. Ordinance #113, Second Series Amendments to City Code Chapter 156 & Table 156.A-1 (Second Reading) Administrator Statz explained this item relates to changes to City Code, Chapter 156 and Table156.A-1 as it relates to car washes, vehicle sales and service. The table of allowed uses is a listing of ways to use your property. One concern is the stand-alone car wash versus a car wash that is an accessory use such as a retail fuel sales (gas station). This amendment would allow any future business to have a car wash as an accessory to retail fuel sales. Currently, it is not allowed under the City Code. Council Member King wanted information on smaller items like permits, stand-alone car washes, etc. Administrator Statz provided more information by detailing descriptions and new language of allowed uses and permitted uses regarding outdoor sales. Car lots would not be allowed under the B-2 district. Mayor Love pointed out that there was an omission of wording, and thanked him for making note of it. Council Member Koski commented that this can work if it is done correctly. He greatly appreciated all of the hard work. Once zoning rules are in place, it is very difficult to change midstream. Council Member Lakso thanked everyone who spoke. She believed the ordinance needs a lot more work and could have been sent back to the Planning and Zoning Commission. She expressed discomfort with this ordinance, wondering what else could be done. Page 5 of 12 City of Centerville Council Meeting Minutes May 26, 2021 Mayor Love and Administrator Statz realized the wording in the Ordinance was an oversight and was meant to be a stand-alone car wash not a car wash with an accessory, like a gas station. This is not a major issue to approve and can go back for further review. Staff can also review the original idea of a stand-alone car wash. Conditional Use Permit (Car Wash) Administrator Statz presented the request of Kwik Trip for a Conditional Use Permit (CUP) to construct and operate a car wash as an accessory use to their retail fuel sales operation on Lot 2, Block 1, of the proposed Rehbein Commercial plat, contingent upon revisions to the City Code allowing such use. The Planning and Zoning Commission did approve this plan with the following restriction: 7 a.m. to 9 p.m. hours of operation. He stated that the site plan and CUP along with other details are in the packet. He also shared his slideshow presentation with the recommendations from the Planning and Zoning Commission. Council Member King questioned how many houses are projected to be built. Administrator Statz estimated 870 homes in Watermark, 250 homes in North Pointe, and 70 homes on Nadeau Acres. Council Member King also had concerns about the noise of the door opening and closing at the proposed car wash along with the length of time that it would remain out during the wash cycle. He reminded Council of the increased traffic in the area. He stated that he preferred additional buffering around the Willow Glen Townhomes. He noted that many comments from the public offer loyalty to the existing small-town existing businesses, but there was no way to stop Kwik Trip from going in as it is properly zoned for that usage. Administrator Statz stated the developer will add screening to the north and west of the car wash. A noise study was conducted and found that noise dissipates over distances. Also, the doors would remain closed which would cut out a major portion of noise from the proposed car wash. Mayor Love thanked Council Member King for his comments and questioned which side is the entry and exit are on. Administrator Statz stated the entrance would be on the west and exit would be on the east which would help eliminate some of the noise. Council Member Koski is concerned with the potential for noise/light pollution and stated that steps should be taken to minimize both. He stated that the hours of operation for the car was could be 24 hours but the Planning & Zoning Commission recommended 7 a.m. — 9 p.m. Kwik Trip can build the gas station on this site and if they wanted to put in a car wash later than they could discuss Page 6 of 12 City of Centerville Council Meeting Minutes May 26, 2021 that at a later date. He noted this would also allow for other businesses to go on this property. He supports keeping this property zoned commercial and wants to help the residents that surround the property by building natural fences. Council Member Lakso wants to make sure all the boxes are checked and the Council has the ability to address all of the past issues that had been talked about, get feedback from residents, and examine the impact three (3) months after opening. Mayor Love hoped there would be another business that would go in on the corner lot, creating a natural buffer. He noted traffic patterns are driven by the increase in homes that are being built to the north. Council Member King did not know what kind of car wash would be put it in the ordinance. Mayor Love stated it would require a touchless car wash. This would create equal and fair opportunities for anyone who wants to build on property. Council Member King is in favor of a touchless car wash, if the problems are addressed. Mr. George indicated they have a single bay choice wash with either a soft touch or touch free cycle and the dryer blows as you drive through and exit. Mayor Love stated that if a business wants to run 24 hours a day, they should be able to do that. Council Member King wondered about conditions that Council talked about regarding amending the motion to reflect the changes discussed. Administrator Statz advised Council to approve the motion and then reconfigure the conditions discussed along with the Finding of Fact for the Conditional Use Permit. Motion by Council Member Mosher, seconded by Council Member Koski, to Approve the Conditional Use Permit with hours of as recommended by Planning and Zoning Commission (7 a.m. — 9 p.m.) to include natural fencing between residential noise and light pollution for a car wash as an accessory use to the retail fuel sales operation on Lot 2, Block 1, of the proposed Rehbein commercial plat, contingent upon approval of the plat and necessary Code changes. Council Member King requested a map of Kwik Trip inquiring about some kind of screening that would go from east to west. He suggested a wall or barrier that would attempt to mitigate some noise. Administrator Statz stated there is currently a retaining wall there. Mayor Love questioned if a berm would work better. Administrator Statz informed the Council there is already a retaining wall so a berm is not possible. Page 7 of 12 City of Centerville Council Meeting Minutes May 26, 2021 Attorney Glaser discussed the idea of creating a buffer that works. This would need to be sent to the Planning and Zoning Commission or engineering for specifications. Mayor Love stated if the barrier was built and it did not work, this would allow us to go back and fix or change the barrier if needed. Council Member Koski reiterated the amendment states to go with what is on preliminary site plan with the approval of the Planning and Zoning Commission or City Engineer. Attorney Glaser indicated the buffer should adhere to the conditions of the approval of the City Engineer. Administrator Statz stated the lighting plan was submitted, found to be correct and other property owners can address their lighting concerns on their own. 3. NorBella Senior Living (pg. 287) a. Ordinance 21-OXX Rezoning (B-2 Main Street Commercial to B-1 Commercial) b. Conditional Use Permit (Specialized Care Facility) c. Site Plan Review Administrator Statz presented the request of Rachel Development, Inc. (NorBella) to rezone property to allow use of a special care facility to be constructed on Block 2 which does not currently allow this. He stated this would require a rezoning to B-1, if approved, the Conditional Use Permit (CUP) would have to be approved. If the zoning changes, you can place conditions on the permit but you cannot deny the CUP. In review, this is a 40-unit, single -story, high acuity, assisted living and memory care facility with walking paths around the entire facility Review of site plan shows adequate parking coming off of the new Street A. The Planning and Zoning Commission did not approve all of the trails. The developer would direct people to cross the road at the intersection of Street A. Mayor Love clarified the dotted sidewalk that leads to 21st and would be staying in the site plan. The sidewalk to the north would not be staying and traffic from the apartment building would not go through this area. Council Member King is concerned about the lack of square footage and disappointed with a lack of masonry. He also stated concern over licensing. Attorney Glaser advised there will be many licenses for the various types of care they provide. They will have a nursing home license along with the sub divisions of the specific care units. Mr. Stratman, developer, stated this is not a continuum of care facility. This is a memory care or for assisted living facility that cares for the daily needs of their residents. More specific assisted care includes receiving meals, correct medication dosage, bathing and etc. Council Member King expressed interest in the revocation of licensing. Page 8 of 12 City of Centerville Council Meeting Minutes May 26, 2021 City Administrator Statz stated it can be put in the CUP that an annual requirement of a license is revoked or reviewed, it would be their duty to alert the City. He also showed the Council the architectural designs and what stone they used via a slideshow. Council Member King stated that he is still looking for more stone, more attention to detail, and possible brick detail on the outside of building. Administrator Statz stated veneer stone is fairly common when building this type of facility but is up for discussion. Mayor Love clarified that Council Member King is proposing real brick instead of veneer stone. Council Member Mosher inquired about the location of the closest facility that they own and operate. Mr. Stratman explained that they manage several thousand facilities throughout the State, two (2) are under construction using this model, one (1) in Prior Lake and one (1) in Savage. One will be starting construction in Apple Valley shortly. He believes this facility fills a niche in the community. Council Member Mosher wondered about the life of the buildings and how it will be maintained. Mr. Stratman commented that it would not be good business practice to allow the property to fall into despair. Council Member Koski noted he did not know what the big red arrow was pointing at on page 261. Administrator Statz explained it was shown in the public notice to make it easier for residents to understand the location. Council Member Koski discussed landscaping and green space. He is concerned about the lack of trees/shrubbery according to the graphics. Administrator Statz showed a detailed picture of the landscaping requirements. Trees and shrubbery are around the entire building. There is a patio along the northeast side of the building along with intense shrubs. There are 61 trees, 220 shrubs, 2 ponds, one is the existing pond on the property and the other would serve the apartment complex and the Senior Living facility. Council Member Koski commented about the materials (cultured stone) considered at the Planning and Zoning Commission meeting. He would like them to use quality materials and wants it to look professional. He noted page 255 made mention that cultured stone is the accents around the doors and window sills. The cultured stone is considered fake stone. Also, he noted the City should be aware of public safety services that may occur. Administrator Statz stated on page 2-3 under the CUP, plan for consumption of public safety services and the landowner being willing to compensate the City. Council Member Koski inquired if we have that covered. Attorney Glaser replied yes, it is covered. This is also why there are annual reviews of the CUP ensuring compliance with regulations. Council Member Lakso agreed that this is a reasonable development. The CUP use is just fine and she thinks this would be a great place to serve Centerville's most vulnerable population. She questioned who the SAC fee would go to and was also curious about the placement of the north side patio not receiving enough sun. Administrator Statz replied with we are losing those fees due to the City of Lino Lakes' infrastructure services these buildings as their infrastructure was placed in the roadway during the joint roadway construction project. He noted that the City is not liable for repairing that infrastructure. Mr. Stratman informed the Council that the "L" shape of the design, where most of the community activities will take place, was the best place for the patio. He also informed the Council that there would be separate, secure, outdoor spaces for memory care that is away from the north side. Council Member Lakso liked the title that included the town name of Centerville. Mayor Love wondered if there was a way to include language in the CUP for maintenance and upkeep of the building. Administrator Statz stated as part of an annual review, an inspection will keep the facility properly maintained, but the only issue would be a staffing. Mayor Love spoke about the desire to want a building that is aesthetically pleasing. He also mentioned this plat is not the only commercially zoned land in Centerville. Administrator Statz will check on commercial zoning plats, noting down Main Street, most lots are zoned commercial but there are a few still zoned residential. Motion by Council Member Koski, seconded by Council Member Lakso, to Approve Ordinance #114, Second Series - Rezoning Lot 1, Block 2, Rehbein Commercial, continent on plat approval from B-1 to B-2. A roll -call vote was taken. Mayor Love and Council Members King, Koski, Lakso & Mosher voted in favor. Motion carried. Council Member King wondered about commercial code inspections. Administrator Statz stated the City does have commercial code inspections. This can be based on a complaint or something that is seen. Inspections are not scheduled but are completed as needed. Businesses often find code inspections not business friendly. Administrator Statz stated to bring this concern to the Planning and Zoning Commission along with the site plan review. Attorney Glaser suggested to make this a condition that can be brought to the Planning and Zoning Commission. Motion by Council Member Lakso, seconded by Council Member Koski, to Approve the Conditional Use Permit and Findings of Fact for a Specialized Care Facility; NorBella Senior Living contingent on approval of associated plat and rezoning. A roll -call vote was taken. Mayor Love and Council Members King, Koski, Lakso & Mosher voted in favor. Motion carried. Mayor Love questioned the restriction on time of approval. Attorney Glaser stated if approved tonight, setting parameters are being arranged and can be modified if needed. Administrator Statz requested more detail from the Council on exact wording of conditional ideas on the exterior of the facility. Council Member King wished to integrate brick and stone together. Administrator Statz stated Council wants additional stonework and enhanced window casing Mr. Stratman stated he understands the need for a building that is structurally sound, energy efficient, and includes a robust, detailed exterior. This structure is a wood framed building. The idea is for it to look warm and comforting. He can do a mix of materials to make it look aesthetically pleasing. He wants people to have the desire to place their loved ones there. Administrator Statz read the City Code about exterior of buildings. He suggested a cautious approach when making architectural design demands. Architectural teams are trained in this area and have experience with this type of work. Mayor Love liked the look and feel of the facility in Prior Lake. Motion by Council Member Koski, seconded by Council Member Lakso, to Approve Site Plan Review for NorBella Senior Living contingent on Final Plat, Rezoning and Conditional Use Permit approval. A roll -call vote was taken. Mayor Love and Council Members Kind, Koski, Lakso & Mosher voted in favor. Motion carried. REQUEST FOR PLAT AND DEVELOPMENT APPROVAL. The Developer has asked the City to approve a preliminary plat and a final plat for the Rehbein Commercial (referred to in this Agreement as the "Preliminary Plat" and the "Final Plat"). The land ("Land") comprising the Final Plat is situated in the County of Anoka, State of Minnesota, and is legally described on the attached Exhibit A, including easements described therein. Development of the Outlots described in the Final Plat as Outlots A-D shall be commenced in the future , on a lot -by - lot basis. The Developer has received approval for a Preliminary Final Plat and a Final Plat containing what will eventually be five lots (currently two platted lots and four Outlots which Outlots will eventually comprise three additional lots. The scope of this Agreement shall serve as the master agreement for all phases of development until the Plat is fully developed. This Agreement shall also comprise the governing document for the two Lots identified in the Final Plat as Lot 1, Block 1, and Lot 1, Block 2, Rehbein Commercial (the "Lots"). Future development Version 08/20/2021 for Council packet Page 2 shall be governed by amendments or codicils to this Agreement. Future development of the four Outlots may be governed by separate development agreements entered into by the City and the future owners of those Lots. The Developer has received approval for a Final Plat for the development. The first phase ("First Phase") of this development will consist of construction of the general infrastructure to serve all the Lots and Outlots of the Final Plat, and construction on Lot 1, Block 1, containing a convenience store and gas station, and on Lot 2, Block 2, containing an assisted living facility. The remainder of the platted land will be reserved for future development. 2. CONDITIONS OF PLAT AND DEVELOPMENT APPROVAL. This Agreement serves as the master agreement for the development of the Rehbein Commercial plat. The Preliminary Plat will be developed in accordance with the development plans in successive phases of the development. The First Phase shall be developed pursuant to the Final Plat, adopted by the City on July 14, 2021, and this Agreement which includes the general infrastructure for the Lots and Outlots and the specific development conditions for the Lots. At such time as the City approves the Final Plat, land use documents such as a Conditional Use Permit, easement, or covenant, or the Development Plans for a phase of development ("Other Documents"), and the Developer receives the Right To Proceed as set forth below, the Developer may record that Final Plat or other land use documents with the County Recorder and/or the Registrar of Titles within one hundred (100) days after approval of that Final Plat. If the Final Plat or other land use documents are not recorded within the one hundred (100) days, the approval of the Final Plat or the Other Documents is void, unless a written request for an extension is submitted to the City Administrator before the one hundred (100) days expire. The extension will be approved or denied by the City Council by placement on their agenda within fifteen (15) days of request for Version 08/20/2021 for Council packet Page 3 same. Such Final Plat or Other Documents shall contain all easements required for the construction and maintenance of improvements for the development. 3. RIGHT TO PROCEED. Within the Land, the Developer may not grade (except as authorized in a Permit issued by the City) or otherwise disturb the earth, remove trees, construct sewer lines, water lines, streets, utilities, public or private improvements, or any buildings until all the following conditions have been satisfied: 1) this Agreement or subsequent amendments or codicils have been fully executed or consented to by all parties, including owners, lessors, lessees, and mortgage holders, and filed with the City Administrator and recorded against the Land, 2) the necessary security has been received by the City, 3) the Final Plat has been approved by the City Council and is in a form ready for recording with the Anoka County Recorder's Office, 4) the necessary easements, rights -of -ways, covenants or other land use documents have been recorded against the Land, and 5) the City Administrator has issued a letter that all conditions have been satisfied and that the Developer may proceed. The Final Plat will not be released to the Developer and may not be recorded until the necessary Security, as hereinafter defined, has been received and accepted by the City. The City Administrator shall issue the notice to proceed within two (2) business days after receipt and acceptance of the Security. 4. OTHER DEVELOPMENT. The conditions contained in this Agreement apply to all parcels during all phases of this development. As to the Outlots in the Final Plat which have not been approved for development at the time this Agreement is executed, the final plans for development or construction on those parcels are currently unknown to the Parties to this Agreement. At such time as development of the Outlots occurs, the owner of the Outlot and/or the Developer shall make application to the City for an Amendment to the Final Plat. Once such future Version 08/20/2021 for Council packet Page 4 plans are submitted to the City for development and site plan review process, the City, the Developer, or lot owner may request changes to the Final Plat or other documents, or to this Agreement, to facilitate orderly development of the Outlots. The City may withhold issuing permits or certifications, or withhold action or public hearings on land use applications while awaiting approval of said changes. The Developer shall sell Lots and Outlots on the Plat in such as manner as to condition their sale upon regulation of the development on those parcels subject to this Agreement, the applicable law, and subject to new individual development agreements for each Outlot. The Developer shall require those buyers to contract with the City to abide by the Developer's obligations to the City regarding the development of these parcels. These obligations shall include but are not limited to requiring each buyer to enter into a separate Development Agreement with the City requiring site plan and development review, and setting forth time of performance, development fees, and the placement of Security with the City. While the Developer may assign its obligations to those buyers, the Developer will remain primarily liable for its obligations under this Agreement and the applicable law regarding the development of these parcels. 5. CHANGES IN OFFICIAL CONTROLS. For two (2) years from the date of this Agreement, no amendments to the City's Comprehensive Plan or official controls shall apply to or affect the use, development density, lot size, lot layout or dedications of the approved Final Plat unless required by state or federal law or agreed to in writing by the City and the Developer. Thereafter, notwithstanding anything in this Agreement to the contrary, to the full extent permitted by state law the City may require compliance with any amendments to the City's Comprehensive Plan, official controls, platting, or dedication requirements enacted after the date of this Agreement. The Plans shall not be attached to this Agreement. If the Plans vary from the written terms of this Agreement, the written terms shall control. The approved Plans are as follows: A. Final Plat, Rehbein Commercial, adopted by City Council 07/14/2021. B. Preliminary Plat, Rehbein Commercial, Carlson McCain (prepared by Thomas Balluff (03/11/2021), adopted by City Council 04/28/2021. C. Sanitary Sewer, Water Main, Storm Sewer, and Street Construction Plans, Carlson McCain (prepared by Joseph Radach (06/09/2021). D. Specification, Rehbein Commercial, Centerville, Minnesota, Carlson McCain Project No.: 9238-00, (06/09/2021). E. Any "as -built" plans of public or private improvements constructed pursuant to this Agreement. F. Easements for cul-de-sac at the west end of Michaud Way. These Plans may include subsequent plan revisions approved, in writing, by the City Engineer. The Parties recognize that the Final Plat and the Plans contain undefined elements related to the Outlots subject to future development. Once those elements are defined, they shall be included as part of these Plans and the Final Plat. All current and future site development of the Lots and Outlots shall be in accordance with the plans and specifications set forth in the Preliminary Plat, except for subsequent plan revisions approved, in writing, by the City Engineer. 7. PUBLIC AND PRIVATE IMPROVEMENTS. The Developer shall install and pay for the following improvements ("Improvements") as required by the Development Plans. These Improvements are detailed in Exhibit D. All Improvements shall be installed in accordance with the City's subdivision ordinance; City standard specifications for utilities and street construction; and any other applicable law, ordinance. The Developer shall submit plans and specifications for the Improvements that have been prepared by a licensed registered professional civil engineer to the City for approval by the City Council. The Developer shall obtain all necessary permits from other agencies before Version 08/20/2021 for Council packet Page 6 proceeding with construction of the Improvements. The Developer, at its sole expense, shall instruct its engineer to provide adequate field inspection personnel to assure an acceptable level of quality control to the extent that the Developer's engineer will be able to certify, as a condition of City acceptance, that the construction work for the Improvements meet the approved City standards. The Developer, its contractors, and subcontractors, shall follow all instructions received from the City and Rice Creek Watershed inspectors, so long as in conformity with the Plans. The Developer's engineer shall provide for on -site project management. The Developer or its engineer shall schedule a pre -construction meeting at a mutually agreeable time and location with all parties concerned, including the City Engineer, inspector and/or consultants, to review the program for the construction work. Prior to the pre -construction meeting, Developer shall supply a schedule of construction activities and shall amend the schedule from time to time as necessary. Before the Security for the completion of Public Improvements is released in total, iron monuments must be installed in accordance with Minn. Stat. Chapter 505. The Developer's surveyor shall submit a written notice to the City certifying that the monuments have been installed. 8. PERMITS. The Developer shall obtain, or require its contractors and subcontractors to obtain, all necessary permits. Those permits obtained by Developer to begin work include, but are not limited to: A. Minnesota Pollution Control Agency — National Pollutant Discharge Elimination System Permit For Storm Water Discharge Related To Construction Activity B. Rice Creek Watershed District — General Permit For Development Activity C. City of Centerville - Building Permit D. City of Centerville — Grading Permit for land disturbing activities. E. City of Centerville — Right -of -Way Permits for small utilities such as gas, phone, electric, cable TV. F. Minnesota Pollution Control Agency Sanitary Sewer Extension G. Minnesota Department of Health Water Main Extension Version 08/20/2021 for Council packet Page 7 9. TIME OF PERFORMANCE. The Developer shall install all required public improvements ("Public Improvements") in the Plans with the exception of the final wear course of asphalt by December 31, 2021. Developer shall install the wear course by November 1, 2022. The Developer may, however, request an extension of time from the City. The City may exercise the power to delay installation of the wear course for a period no more than one year longer than the Developer's deadline. If the deadline is extended Security posted by the Developer shall be updated to reflect cost increases and the extended completion date. The City may only exercise the power to delay installation of the wear course for good cause shown. As Developer moves forward with future development of the Outlots, the installation of those required public improvements and their associated deadlines shall be the subject of an amendment to this Agreement using the principals governing First Phase. 10. LICENSE. The Developer hereby grants the City, its agents, employees, officers, and contractors a license to enter the Land to be platted to perform all work and inspections deemed appropriate by the City in conjunction with the Final Plat development and the Improvements. 11. EROSION CONTROL. The erosion control shall be implemented by the Developer according to the Storm Water Pollution Prevention Plan (SWPPP), and inspected under the terms of the National Pollutant Discharge Elimination System Permit For Storm Water Discharge Related To Construction Activity (NPDES permit). The City or Rice Creek Watershed District may impose additional erosion control requirements if field conditions warrant. The parties recognize that time is of the essence in controlling erosion. If the Developer does not comply with the erosion control plan and schedule or supplementary instructions received from the City, Minnesota Pollution Control Agency or the Rice Creek Watershed District, the City may take such action as it deems appropriate to control erosion. The City will designate a contact person responsible for erosion control issues. The contact person will attend the pre -construction meeting. Except in case of emergency, the City will give 48-hour notice to the Developer in advance of any proposed action by calling Matt Rehbein at 612-282-7153, but failure of the City to give Developer actual notice will not affect the Developer's and City's rights or obligations Version 08/20/2021 for Council packet Page 8 hereunder. In the case of an emergency the City shall at attempt notify Developer immediately by calling Matt Rehbein at 612-282-7153. If the Developer does not reimburse the City for any cost the City incurred for such work within thirty (30) days, the City may make a claim against the Developer's bond to pay any costs. No development, utility or street construction will be allowed and no building permits will be issued unless the Developer is in full compliance with the SWPPP. The Developer shall require all contractors and subcontractors working on the Project to comply with City's erosion control standards. Those contractors and subcontractors are to be advised of the City standards as to how they may be required to post surety to secure performance. The City will work cooperatively with the Developer in securing their compliance with erosion control standards through the building permit process. 12. GRADING PLAN. The Plat shall be graded in accordance with the Grading Plan. Within thirty (30) days after completion of the grading and before the City releases any Security, the Developer shall provide the City with an "as constructed" grading plan certified by a registered land surveyor or engineer, with elevation shots showing that all ponds, swales, emergency overflows and ditches have been constructed in accordance with the approved grading plan. Developer shall verify and submit to the City, lot corner elevations, pond depth, storm water ingress, and building pads. The City will withhold issuance of building permits until the approved certified grading plan is on file with the City and all erosion control measures are in place as determined by the City Engineer. The Developer shall be required to maintain all erosion control measures until written termination of the National Pollutant Discharge Elimination System permit. 13. DEWATERING. Due to the variable nature of groundwater levels and storm water flows, it will be the Developer's and the Developer's contractors and subcontractors responsibility to satisfy themselves with regard to the elevation of groundwater in the area and the level of effort needed to perform dewatering and storm flow routing operations. All dewatering shall be in accordance with all applicable county, state, and federal rules, and regulations. Department of Natural Resources regulations regarding appropriations permits shall also be strictly enforced. Version 08/20/2021 for Council packet Page 9 14. CLEAN UP. The Developer shall daily clean dirt and debris from streets that has resulted from construction work by the Developer, its contractors, subcontractors, agents or assigns. Prior to any construction on the Land, the Developer shall identify in writing a responsible party for erosion control, street cleaning, and street sweeping. During such times as construction is active, developer or his agent shall frequently inspect streets and make sure that they are swept of dirt and debris. 15. SITE PROVISIONS. A. Developer shall be responsible for security at the Land during construction. B. Developer shall maintain communication with the neighboring properties and address any concerns raised by the neighbors in a timely manner. C. Developer shall repair damage to the neighboring streets, curbs, trails, or other public infrastructure caused by construction of the Project, at their own expense. D. Developer shall provide traffic control for any work within the right-of-way. E. During construction of Michaud Way, Developer shall require all construction traffic to enter a construction site from an existing roadway (either 20th or 21st Avenues or Main Street) until such time as a base course is constructed, and at no time after a final wear course is installed. Temporary access to a site can occur north of the pond on 21st Avenue. 16. OWNERSHIP OF IMPROVEMENTS. Upon completion and acceptance of the work and construction required by this Agreement, the Public Improvements lying within public right-of-way and easements shall become City Property without further notice or action. Those improvements shall include but are not limited to the sanitary sewer, potable water system, storm sewer, roads, sidewalks, trails, draintile, signage and street lighting (unless owned by the utility). The extent of sewer and water service lines ownership is further defined in city code. The Developer shall retain ownership and maintain all ponds and other erosion control measures, and the Final Plat shall indicate an easement in favor of the Public for storm water use, access, and maintenance. However, the Developer shall maintain ponds and other erosion control measures until the development is complete in conformance with this Agreement, and provided that the Version 08/20/2021 for Council packet Page 10 engineer for Developer shall certify that the ponds have been cleaned and provide the designed holding capacity prior to the City certifying the ponds. All of the easements set forth in this Section must be reduced to writing and recorded on the Final Plat. 17. SUPERIOR RIGHT OF TITLE. The Developer agrees, and shall not cause any mortgage, lien, easement, covenant, or other encumbrance on title to the Land to be superior to any right or title the Developer grants to the City for an easement, this Agreement, or any feature included on the Final Plat, including covenants for the maintenance of common open space, except by an express written authorization approved by the City Council. 18. ADNHNISTRATION COSTS. The Developer shall reimburse the City for all of the City's reasonable actual out-of-pocket expenses for this development including, but not limited to expenses incurred for legal, planning, engineering services, development agreement compliance and inspection services. The Developer shall deposit $20,000 and maintain with the City a minimum of $10,000 cash escrow for payment of these accrued or future costs in the amounts listed in city code. The City shall draw against the escrow to reimburse itself for all such costs and upon request shall provide the Developer with a detailed report itemizing all costs charged to the Developer by date, hourly rate (if applicable), time in tenths of hours spent, and description of the work or services performed. The Developer agrees that the City has the right to request additional deposits from time to time based on the City's estimates of future out-of-pocket costs and replenish such escrow. All billings by the City incurred after the execution of this Agreement must be presented within 90 days of the date of service. Unless excused by the City Council, the Developer shall maintain the escrow for a period of one-year after either the termination of this agreement or completion of all construction and landscaping, whichever is a longer period. Charges against the cash escrow shall be reconciled within 90 days of the installation of the wearing course of blacktop. Upon ten days written notice to Developer, the City may halt plat development and construction for any unpaid bills until they are paid in full, and the escrow replenished to its original amount. Bills not paid within thirty (30) days shall accrue interest at the rate of six percent (6%) per year. City may at its option draw against developer security to reimburse itself for such costs. Version 08/20/2021 for Council packet Page 11 Before the City signs the Final Plat, Developer must pay or satisfy all of these costs, and any other unpaid governmental fees, assessments, judgments, or real estate taxes, plus any penalty and interest. 19. SECURITY. The amount of the Security (bond) is calculated as shown in Exhibit D. These calculations are for historical reference, and are not a restriction on the use of the Security. Security shall be calculated in an amount for features as set forth in Code Chapter of 153. The Security shall be for a term ending November 30, 2023, and automatically renewing thereafter unless notice of termination is provided to the City at least forty-five (45) days prior to the end of the tern or any renewal date. The notice given must comply with the formal Notice provisions of this Agreement. Individual security instruments may be for shorter terms provided they are replaced at least thirty (30) days prior to their expiration. The City may make a bond claim against the Security, with a written seven (7) day notice and seven (7) day right to cure by the Developer, for any violation of the terms of this Agreement or if the Security is to be allowed to lapse prior to the end of the required term or any renewal term. The notice and right to cure provisions shall be void if the Security will expire in less than seven (7) days or upon discovery that the Security will not automatically renew (if such discovery is on or after the date that is seven (7) days prior to expiration of the Security). If the required Improvements are not completed at least thirty (30) days prior to the expiration of the Security, the City may also make a bond claim. If a bond claim is paid the proceeds shall be used to cure the default or held until the Developer has completed the Improvements. The Security may be reduced from time to time pursuant to City policy regarding Security reductions. Upon receipt of proof to the City that work has been satisfactorily completed, financial obligations to the City and Developer's contractors have been satisfied, and the required "as built" plans have been received by the City, the Security may be reduced from time to time pursuant to City policy regarding Security reductions. Version 08/20/2021 for Council packet Page 12 The terms and conditions set forth in the Section are separate and distinct from security obligations to warranty improvements set forth elsewhere in this agreement. 20. CLAIMS & ACTIONS. In the event that the City receives notice of an audit or review from a governmental agency related to this Land or Final Plat, or the City receives notice of litigation regarding this Land or Final Plat, such claims will be forwarded to the Developer who shall promptly indemnify and hold the City harmless and make it whole. The Developer hereby authorizes the City to commence an Interpleader action pursuant to Rule 22, Minnesota Rules of Civil Procedure for the District Courts, and deposit the funds in compliance with the Rule, and upon such deposit, the Developer shall release, discharge, and dismiss the City from any further proceedings as it pertains to the Security or Additional Security deposited with the District Court, except that the Court shall retain jurisdiction to determine attorneys' fees pursuant to this Agreement. 21. FEES. The following fees are required by law to be included in this Agreement and shall apply as a condition of plat approval. They must be paid in full before a building permit shall issue for each Lot or Outlot. These fees may be assigned, in whole or part, by Developer to each Lot or Outlot on the Final Plat for payment by the buyer. (These fee calculations are contained in Exhibit E). A. Park Dedication Fees (City) Version 08/20/2021 for Council packet Page 13 22. FIXTURE INSTALLATION, ACCEPTANCE AND WARRANTY A. The Developer shall be responsible for the cost and installation of public improvement such as street lighting, street signs and traffic signs consistent with the Plans and specifications approved by the City. Before the City signs the Final Plat, the Developer shall , take responsibility for procurement and installation of same. The cost of street lighting, street signs, and traffic sign installation is set forth in the attached table, Exhibit D. B. Within 60 days after Developer delivers a complete set of reproducible "as constructed" plans and a set of electronic format "as constructed" plans for the Developer installed public improvements and a letter requesting acceptance by the City of such improvements, City shall review said improvements and consent to and accept the public improvements or provide Developer with a written notice of work that is unacceptable and what is required to make the work acceptable to the City. Upon completion of corrections to the unacceptable work, the developer shall, again, notify the City in writing and request acceptance of the work. The timeline above, then resets. If the City fails to provide a written notice of unacceptable work within 30 days, then the City shall be deemed to have accepted the public improvements identified in the Developer's written request for acceptance. C. The Developer warrants all Improvements required to be constructed by it pursuant to this Agreement against poor material and faulty workmanship. The warranty period for underground utilities is two years from the date of acceptance by the City. If all Improvements are installed by one contractor, the warranty period shall commence after the final wear course has been completed and the City has accepted the streets unless installation of the wear course has been delayed by the City, in which case the two-year period shall commence on the later of November 1, 2022, or the requested extension date requested by Developer pursuant to Section 9 Version 08/20/2021 for Council packet Page 14 herein. If streets and underground utilities are installed by separate contractors, the two (2) year warranty period on underground utilities shall commence following their completion and acceptance by the City. The Developer or his contractor shall post security in the amount of thirty- five percent (35%) of final construction costs to secure the warranties. The Developer or his contractor may use the existing Letter of Credit or a maintenance bond to satisfy this condition. . The City standard specifications for utilities and street construction identify the procedures for final acceptance of streets and utilities. D. The Developer shall submit the Final Plat, construction plans and "as constructed" plans in electronic format. The electronic format shall be either AutoCAD, .DWG rile or a .DXF file using Anoka County coordinates. The Developer shall also submit two (2) complete sets of the final plat and construction plans on paper (22 x 34 or 24 x 36). The Developer is responsible for supplying the county with appropriately formatted plat documents per their requirements. 23. DEVELOPER'S DEFAULT. In the event of default by the Developer as to any of the work to be performed by it hereunder, the City may, at its option, perform the work and the Developer shall promptly reimburse the City for any expense incurred by the City, provided the Developer, except in an emergency as reasonably determined by the City, is first given notice of the work in default, and given 14 days to cure. This Agreement is a license for the City to act, and it shall not be necessary for the City to seek a Court order for permission to enter the Land. When the City does any such work, the City may, in addition to its other remedies, assess the cost in whole or in part. 24. INSURANCE. Developer shall take out and maintain or cause to be taken out and maintained until six (6) months after the City has accepted the Public Improvements, public liability and property damage insurance covering personal injury, including death, and claims for Version 08/20/2021 for Council packet Page 15 property damage which may arise out of Developer's work or the work of its subcontractors or by one directly or indirectly employed by any of them. Limits for bodily injury and death shall be not less than $500,000 for one person and $1,000,000 for each occurrence; limits for property damage shall be not less than $200,000.00 for each occurrence; or a combination single limit policy of $1,000,000 or more. The City shall be named as an additional insured on the policy, and the Developer shall file with the City a certificate evidencing coverage prior to the City approving this Development Agreement. The certificate shall provide that the City must be given ten (10) days advance written notice of the cancellation of the insurance. The certificate of insurance shall substantially comply with the form attached hereto as Exhibit C. 25. BLOCK 1 — SPECIAL ISSUES. A. STREET A. The City approved the Preliminary Plat with a dedicated street between 20th Avenue North and 21st Avenue North. At the time of Plat approved, the City approved development plans for construction of this street from 21St Avenue North and ending in a cul-de-sac on Block 1, Lot 2. The parties hereto acknowledge that at the time of future sale and development of Outlots A or B, a determination shall be made regarding the necessity of extending Michaud Way westerly as a thru street to 20th Avenue North, if such extension is supported by a traffic study. If a traffic study supports the need for the extension of Michaud Way, the extension, and all associated modifications to the county road shall be required at no cost to the City. B. TORRENS PROPERTY. The City approved the Preliminary Plat subject to a condition that the Final Plat would only contain land where Title was registered as Torrens property. At the time of Preliminary and Final Plat approval, Block 1, Lot 1, was registered as a Torrens parcel and Block 1, Lot IA, was Version 08/20/2021 for Council packet Page 16 registered as an Abstract a parcel. In order to obtain approval of a Final Plat for these lands, the Developer was required to register Title to all lands on the Final Plat as Torrens property, and agreed that no development can occur on Block 1, Lot IA, unless it is registered as Torrens. 26. NHSCELLANEOUS. A. The term "Agreement" as used herein, refers to the original terms and conditions of this Agreement between the Parties and any subsequent amendments or codicils to same. B. Third parties shall have no recourse against the City under this Agreement. C. Upon a breach of this Agreement, and the breach has not been remedied within the applicable notice period, breach of the terms of this Agreement shall be grounds for denial of building permits, future phases of development, certification of occupancy, future planning or zoning applications, plats, or development contracts by or with Developer, assignees, owners of parcels within the Plat, or any party subject to this Agreement. D. If any portion, section, subsection, sentence, clause, paragraph, or phrase of this Agreement is for any reason held invalid, such decision shall not affect the validity of the remaining portion of this Agreement. E. If building permits are issued prior to the completion and acceptance of Public Improvements, the Developer assumes all liability and costs resulting in delays in completion of Public Improvements and damage to Public Improvements caused by the Developer, its contractors, subcontractors, materialmen, employees, agents, or third parties. No sewer and water connection permits may be issued and no one may occupy a unit or building for which a building permit is issued on a temporary or permanent basis until the streets needed for access are in a plowable and maintainable state and the utilities are accepted by the City. The building official, in consultation with public safety officials and the city engineer will make this determination. Version 08/20/2021 for Council packet Page 17 F. The action or inaction of the City shall not constitute a waiver or amendment to the provisions of this Agreement. To be binding, amendments or waivers shall be in writing, signed by the parties and approved by written resolution of the City Council. The City's failure to promptly take legal action to enforce this Agreement shall not be a waiver or release. G. This Agreement shall run with the land and may be recorded against the title to the Land as shown on the Final Plat. The Developer covenants with the City, its successors, and assigns, that the Developer is well seized in fee title of the subject property and/or has obtained consents to this Agreement, in the form attached hereto, from all parties who have an interest in the Land; that there are no unrecorded interests in the Land being developed except for those known purchase agreements for Lot 1, Block 1 and Lot 2, Block 2; and that the Developer will indemnify and hold the City harmless for any breach of the foregoing covenants. H. Each right, power or remedy herein conferred upon the City is cumulative and in addition to every other right, power or remedy, express or implied, now or hereafter arising, available to City, at law or in equity, or under any other agreement, and each and every right, power and remedy herein set forth or otherwise so existing may be exercised from time to time as often and in such order as may be deemed expedient by the City and shall not be a waiver of the right to exercise at any time thereafter any other right, power or remedy. L The Developer may not assign this Agreement without the written permission of the City Council. The Developer's obligation hereunder shall continue in full force and effect even if the Developer sells one or more lots, the entire Plat, or any part of it. J. The Developer shall hold the City and its officers, employees, and agents harmless from claims or audits made by it and third parties for damages sustained or costs incurred resulting from Plat development. The Developer shall indemnify the City and its officers, employees, and Version 08/20/2021 for Council packet Page 18 agents for all costs, damages, or expenses that the City may pay or incur in consequence of such claims or audits, including attorneys' fees. K. This Agreement shall terminate and be of no further force or effect on the date that all obligations of Developer (including warranty obligations) have expired, or upon such earlier date as agreed to by City and Developer. 27.
