CALL TO ORDER Mayor D. Love called the meeting to order at 5:01 p.m. ROLL CALL Not Approved PRESENT: Mayor D. Love Council Member Russ Koski Council Member Darrin Mosher Council Member Steve King Junior Council Member Rowan Shaw (Non -Voting) ABSENT: None STAFF: City Administrator, Mark Statz Assistant City Administrator, Athanasia Lewis II. ITEMS OF DISCUSSION 1. Council Candidate Interviews: a. 5:00 — Dr. Raye Taylor Dr. Taylor introduced herself to the Council, gave a brief review of her experience/background and answered the prescribed set of questions given to all candidates for the vacancy. Mayor Love thanked Dr. Taylor for her interest and attending the evening. 2. Discussion of Council Candidates Mayor Love stated that the City had received four (4) applications from interested candidates and held interviews with all of them for the vacant (2) year seat. Consensus of the Council was that all candidates were qualified for the position. It was felt that some candidates had stronger strengths in areas of government involvement than others. The majority of members felt that leaving the position vacant another two weeks may allow for additional candidates and additional decision making. Discussion ensued regarding arranging the Council's Goal Setting Session and having it without the vacant position filled. City of Centerville City Council Meeting Minutes February 22, 2023 3. American Rescue Plan Act (ARPA) Funds Allocation Administrator Statz reviewed the presented materials with Council. He stated that the materials had been prepared by Finance Director DeJong and completed the required reporting associated with the American Rescue Plan Act funding allocated to the City for lost revenue due to COVID. Administrator Statz stated that the money is being accounted for with the purchase of the Toolcat, previous paving project and payroll expenditures. Discussion ensued regarding ensure reporting, following requirements associated with the expenditures and allow ability, Street Fund balance, future allocations of funding and discussion if Council wanted, transparency to residents and the benefits received, proper accounting and reporting and the Capital Improvement Plan not including inflation. 4. Public Employee Retirement Assoc. (PERA) Defined Contribution Plan Administrator Statz reported that Council Members were eligible for the program offering and information was contained in the packet for their review and consideration. Discussion ensued as to whether employees received matching funding for their PERA contributions, a small administrative fee for operating the program and wages paid for Mayor and Council Members being minimal. 5. Development Incentives — Hotel Site w/detached Restaurant Administrator Statz stated that there was developer interested in the parcel of property north of NorBella of Centerville. He stated that the developer has inquired as to incentives that may be available for construction of a hotel with a detached restaurant. Administrator Statz stated that Tax Increment Financing is not available for a project such as this and it is not City owned property so discounting land purchase fees do not apply. He stated that some incentives that the City could consider could be discounted sewer/water connection fees, waiving of park dedication fees or tax abatement. He stated that this was a discussion item to obtain Council's direction for continued discussions with the developer. Discussion ensued that the developer was the same developer that previously wanted to construct apartments on the site, that they constructed the hotel located at Running Aces and has a background in management of similar facilities. Brief discussion also took place regarding zoning of the property, appropriate uses, tax abatement on the restaurant if it were a part of the building or detached, additional research, taxes charged to hotels that assist visitor bureaus and organizations that give marketing and advertising assisting in tourism, Xcel Energy's large addition to their training center in Hugo, the Amazon building, tie incentives to what the Council would like to see, whether a recent tax abatement project in Forest Lake was public information and the City's assessor putting information together for proposed taxes on a building for future discussion. Roll call: Mayor Love, Council Members King, Koski and Mosher in favor. Motion carried. 2. February 8, 2023 City Council Work Session, Closed Executive Session & Regular Meeting Minutes Council Member Koski stated that he felt that was discussion on reviewing what was collected at the time of subdivision versus issuance of building permit and City Code language. Administrator Statz stated that he could review the meeting but felt that the minutes appropriately reflected the discussion and action. Attorney Glaser concurred. Attorney Glaser stated that during that meeting, there was confusion regarding the City Code and language amendments to the park dedication fee requirement. Motion by Council Member Koski, seconded by Council Member Kind to approve the February 8, 2023 City Council Work Session, Closed Executive & Regular Meeting Minutes as Presented. Roll call: Mayor Love, Council Members King, Koski and Mosher in favor. Motion carried. VII. CONSENT AGENDA 1. Motion carried. VIIL OLD BUSINESS 1. Vacant Council Seat Appointment This item was discussed during the Work Session. Motion by Council Member Koski, seconded by Council Member King to Table Action on the Item until the Next Regularly Scheduled Council Meeting. Mayor Love thanked all of the candidates for coming forward, participating in interviews and being patient upon their decision. Page 4 of 6 City of Centerville City Council Meeting Minutes February 22, 2023 IX. NEW BUSINESS 1. Extension of Joint Powers Agreement with Rice Creek Watershed Dist. For Erosion Control Inspection Services Administrator Statz stated that he was proud of this agreement and elimination of duplication of services. He stated that he believed that the current program was working well and to both entities benefits. He provided some background as a requirement for operating an MS4 is inspection of construction sites for best practices and proper adherence to rules and regulations. He stated that reporting has become easier and more efficient. He recommended the extension, stated that both entities wanted to continue to work cooperatively and hoped in the future that extension would not be needed with an ongoing agreement. Motion by Council Member Koski, seconded by Council Member King to Extend the Joint Powers Agreement with Rice Creek Watershed Dist. For Erosion Control Inspection Services as Presented. Roll call: Mayor Love, Council Members King, Koski and Mosher in favor. Motion carried. X. COUNCIL/ADMINISTRATOR ANNOUNCEMENTS 1. Administrator/Engineer Report —Administrator Statz stated that his report was in Council's packet for their review and he would be happy to answer any questions they may have. He stated that he wanted to highlight several items such as vacancies on the Planning & Zoning Commission and the Parks & Recreation Committee. He stated that the Planning & Zoning Commission scheduled a public hearing for March 14 to discuss language amendments for temporary dwelling of RVs and tents along with parking regulations. He reported that the CLPD had recently swore in Officer Cole Henjum. He stated that the EDA is requesting that individuals complete a Community Survey regarding the Downtown area which is on the website and been email blasted to businesses and residents with a deadline date of March 24, 2023. He provided a brief update on the 20th Avenue corridor study, he stated that plows were deployed late last evening and early this morning gearing up for later in the evening. He reported that the Rice Creek Watershed District was offering mini -grants to citizens and organizations for a maximum of $500 for rain gardens, pollinator gardens, etc. He stated that more information was available on their website. Junior Council Member Shaw reported that the Centennial High School Girls Hockey to was going to the State Tournaments where they would be playing top -seeded Minnetonka on Thursday. Council Reports a. Vacant ■ Parks & Recreation — No update ■ Anoka County Fire Protection Council — No update Koski — Council Member Koski stated that he attended the recent NorthMetro Telecom on behalf of Mayor Love. He stated that it was his first meeting that he has had the opportunity to attend of the Commission, that their next meeting was scheduled for June 21. He noted that the February 8 minutes stated that the next meeting was March 15 which should be February 15 instead. That NMTV would be broadcasting Guns & Hoses this Friday. Mayor Love reported that subscribers are decreasing and a study is being Page 5 of 6 City of Centerville City Council Meeting Minutes February 22, 2023 completed for PEG fee placement on streaming services. He also stated that they are in the midst of a pay study which will assist in retaining staff. He stated that two (2) staff members were retiring shortly. Council Member Koski reported that the Commission has hired an accounting firm to complete their annual audit and that the City would be receiving $7,170.94 in franchise fees for 2022 shortly. ■ Planning & Zoning Commission — Council Member Koski stated that the Commission would meet on the 14t' of March. ■ Fire Steering Committee — Council Member Koski stated that the next meeting was scheduled for April 20, 2023. b. King - ■ Economic Development Authority — Council Member King deferred to Council Member Mosher for reporting. ■ Fire Steering Committee — Council Member King stated that the next meeting was scheduled for April 20, 2023. ■ Parks & Recreation Committee — Council Member King stated that the next meeting was scheduled for March 1, 2023. ■ Fire Protection Council — Council Member King stated that the next meeting was scheduled for April 27, 2023 C. Mosher — ■ Economic Development Authority — Council Member Mosher stated that two new members were sworn in, and their goals and standard procedures were reviewed. He reported that Finance Director DeJong discussed their budget with the committee. He reminded the audience to participate in the Downtown Survey either from the website or the app. He reported that Assistant City Administrator Lewis is completing an Annual Plan for presentation to Council showing their accomplishments and goals so that they could be incorporated with Council's goals. ■ Police Governing Board — Council Member Mosher stated that the next meeting was scheduled for May 8, 2023. e. Specifically, the Floodway was moved to the location of the new culvert, under 21s' Avenue, rather than through the field culvert, which previously carried the flow from the creek. This change requires a submittal to FEMA, detailing any revisions to the Flood Insurance Rate Map (FIRM). This submittal is categorized as a Letter of Map Revision (LOMR) and must be accompanied by a No Rise Certificate (a statement from an engineer that the change will not raise the flood elevation). In cooperation with the previous developers of Distribution Alternatives, and our current developers of the Amazon site, we were able to secure funds to pay for the required engineering study to facilitate the no rise certificate; a total cost of $16,900. Additionally, the completion of this process requires an application fee of $8,000, to be paid to FEMA for the review and approval of the submittal. City staff from Lino Lakes and Centerville have conferred and find it appropriate for the two cities to share in this cost, equally. Angela Marshall and Stacy Fraley are the founding owners and operators of this thriving business, each with over 20 years of experience in their trades, and are interested in relocating to Centerville, MN to expand as our current lease agreement expires in late 2023. The salon is leasing a -1,300 square foot business suite on the corner of Victor Hugo Blvd and Highway 14, with 8 rental stations for hair stylists and color technicians along with 1 room for advanced esthetician services. WITNESSETH: WHEREAS, Seller is the owner of all rights, title and interest in and to the real property consisting of approximately 0.50 acres or 21,686 square feet of land area located onl737 Main Street in the City of Centerville, County of Anoka, State of Minnesota, described on the attached Exhibit A (hereinafter referred to as "Property"), together with (1) all improvements constructed or located on the Property and (2) all easements, rights and other interests benefiting or appurtenant to the Property. WHEREAS, Seller desires to sell the Property to Buyer and Buyer desires to purchase the Property in accordance with the terms and conditions as hereinafter set forth. NOW, THEREFORE, the parties do hereby agree as follows: 1. Purchase Price. The purchase price for the Property to be paid by Buyer to Seller shall be Five Thousand and NO/100 U.S. Dollars ($5,000.00). A. Earnest Money. Earnest Money of One and No/100 U.S. Dollars ($1.00). The Earnest Money shall be deposited in the trust account of Title Company and be distributed in accordance with the terms of this Agreement; B. Cash at Closing. The balance of the purchase price of Four Thousand Nine Hundred and Ninety -Nine and No/100 U.S. Dollars ($4,999.00) shall be paid, in cash or cash equivalent, on the Date of Closing, subject to the terms and conditions set out herein. 2. Closing. Representations and Warranties of Seller. Seller does hereby covenant, warrant and represent to Buyer as follows: A. Seller has good, marketable, insurable title to the Property of record, free and clear of all liens, encumbrances, leases, claims, and charges; all material easements, rights -of -way, covenants, conditions and restrictions; and any other matters affecting title thereto, except for such matters as are approved by Buyer in writing. B. The conveyance of the Property pursuant hereto will not violate any applicable statute, ordinance, governmental restriction or regulation, or any private restriction or agreement. D. There is no litigation pending, or to the best knowledge of Seller, investigation, condemnation or proceeding of any kind threatened against the Seller which may have a material adverse affect upon the Property. E. There are no outstanding or unpaid claims, actions, or causes of action related to any transaction or obligation entered into or incurred by Seller with respect to the Property prior to the date hereof. F. Seller shall be solely responsible for the payment of commissions, fees, or other amounts owner to the Titus Commercial Real Estate. Buyer and Seller each shall indemnify the other for any finder's and consultant's fees for which they are respectively responsible. Seller is responsible to pay all brokerage claims and commissions and shall hold Buyer harmless from any claims therefore. G. Seller has not used the Property for the storage or disposal of any hazardous substance as defined in Minnesota Statutes Section 11513.02, subdivision 8 and Seller has no knowledge or belief that any other person has so used the Property; it being understood and agreed that the foregoing representation shall be recited in such recordable instrument as determined by the parties hereto. H. Seller is not a "foreign person" (as defined in Section 1445(f) (3) of the Internal Revenue Code and regulations issued thereunder). I. To Seller's knowledge, without independent inquiry, there are no wells on the Property. J. If the Property contained an underground storage tank, Seller shall provide an affidavit, which certifies as to compliance with all applicable law concerning the removal thereof. Seller hereby agrees that the truthfulness of each of said representations and warranties and all other representations and warranties herein made in a condition precedent to the performance by Buyer of Buyer's obligations hereunder; and that the said representations and warranties shall be true as of the date hereof and on the Date of closing. Upon the breach of any thereof, Buyer, prior to the Date of Closing, may declare this Agreement to be null and void, or Buyer may elect to close this sale. If Buyer elects to declare this Agreement null and void, neither party shall have any rights or obligations hereunder, except that all earnest money herein paid shall be promptly refunded to Buyer. Seller shall indemnify Buyer, its successors and assigns, against, and shall hold Buyer, its successors and assigns, harmless from, any costs, expenses or damages of any kind of nature, including reasonable attorneys' fees, which Buyer may incur because of any breach, or claim of breach, of any of the representations and warranties herein contained, whether prior to or after the Date of Closing. While Buyer will advise Seller at closing of any breach within Buyer's actual knowledge, consummation of this Agreement by Buyer with knowledge of any such Breach shall not be deemed a waiver or release by buyer of any claims hereunder due to such breach. All warranties, representations and indemnifications herein contained shall survive closing for the benefit of Buyer. 2 Centerville - Purchase Agreement 1737 Main Street - version 03032023-2 4. Obligations of Seller Prior to Closing. Within Fifteen (15) days of the Effective Date, Seller shall deliver to Buyer the following: A. A commitment for an ALTA Form B extended coverage owner's policy of title insurance as to the Property. The commitment shall be issued in the full amount of the Purchase Price by a title insurance company reasonably satisfactory to Buyer (hereinafter referred to as "Title Insurer"), by which said company commits to issue its policy of title insurance that: (i) Insures that, at closing, Buyer shall have good, marketable and insurable title of record to the Property, free and clear of all liens, encumbrances, leases, claims and charges; all material easements, rights of way, covenants, conditions and restrictions; and any other matters affecting title, except for such as are approved by Buyer in writing; (ii) Insures that the Property, including the improvements thereon, do not violate any zoning or other use restrictions; and (iii) Deletes the following standard exceptions: (a) facts which would be disclosed by a comprehensive survey of the Property, (b) rights and claims of parties in possession and (c) mechanic's, contractor's and materialman's liens and lien claims. Buyer shall be allowed twenty (20) days after receipt thereof for examination of said title commitment and making any objections thereto. Said objections are to be made in writing or are to be deemed to be waived. If any objections are so made, Seller shall be allowed one hundred twenty (120) days to make title marketable and Seller shall exercise its best efforts to correct such objections. In the event Seller is unable to eliminate such objections within said period, Buyer shall have the option to either acquire the Property subject to said objections, or to rescind this Agreement, in which latter event the earnest money herein paid shall be immediately refunded to Buyer. B. Intentionally Deleted. C. A Survey: The Existing ALTA Survey (the "Existing Survey") is included as Exhibit B. D. Phase I Environmental Site Assessment: Seller to provide a copy of any existing environmental assessments regarding the Property. 5. Buyer's Investigation. It is expressly understood by Seller that, during the term of this Agreement, Buyer intends to undertake preliminary investigation for the development of the Property. The parties hereto covenant and agree relative thereto as follows: A. From and after the date hereof, Buyer, and its representatives, shall have the right to enter upon the Property for the purpose of surveying, conduct soil tests thereon, preparing plats thereof, and making such other physical inspection thereof as Buyer deems necessary or 3 CORE/3527692.0002/180417462.2 appropriate; provided, however, that in the course of such activities, Buyer shall make no visible improvements to or changes in the Property prior to the Date of closing. In the event Buyer fails to close its acquisition of the Property, copies of the foregoing shall be made available to Seller at no cost. B. Seller shall join in the execution of any and all documents and instruments which may be required or which may be reasonably requested by buyer in order to obtain all governmental approvals which may be necessary to develop the Property, including, without limitation, plats, registration applications, rezoning petitions and environmental assessment worksheets and statements; and Seller shall cooperate with Buyer in any proceedings, whether before federal, state or local governmental units or agencies. C. Buyer shall not suffer or permit any mechanics' liens to attach to or be filed against or upon the Property or any part thereof, provided, however, that Buyer shall have the right to contest the validity or amount of any such liens, if Buyer shall give reasonable security (not to exceed one and one-half times the amount of each lien) as may be demanded by Seller to insure payment thereof and to prevent forfeiture of the Property by reason of such nonpayment. Upon final determination of such lien or liens, Buyer shall pay any judgment rendered. D. Buyer hereby agrees to hold Seller harmless from any and all liabilities of whatever nature arising out of Buyer's presence on the Property prior to the Date of Closing. Buyer further agrees to undertake immediately and defend, its sole costs and expense, any such claims or demands, whether for loss of property, injury or death to persons, or of any other nature, upon receipt of notice from Seller that such a demand or claim has been made. 6. Conditions Precedent to Closing by Buver. All obligations of Buyer under this Agreement are subject to the following contingencies, each of which must be, in Buyer's sole discretion, satisfied on or before June 15, 2023 (the "Contingency Date"). Only Buyer may waive any of the following contingencies. A. All of the representations and warranties by Seller contained in paragraph 3 hereof shall be true and correct as of the Date of Closing. B. Seller shall have fully complied with and performed the conditions and agreements on its part required by the terms hereof. C. Buyer shall have obtained all requisite consents or approvals required by any applicable statute, ordinance, governmental restriction or regulation, or private restriction or agreement to permit the zoning, subdivision and development of, as well as the construction of improvements on the Property in manner satisfactory to Buyer. D. Seller shall allow Buyer to conduct and examine said soil -engineering report(s), which establishes the condition of the soil and the subsoil. If these reports reveal conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this Agreement or waive its right to do so. 4 CORE/3527692.0002/180417462.2 E. Buyer shall have the right to an inspection of the Property. If these inspections reveal conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this Agreement or waive it right to do so. F. Buyer shall examine said Environmental Report. If these report(s) reveal conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this Agreement or waive its right to do so. G. Buyer shall examine said Survey and make any objections thereto. If this examination reveals conditions unsatisfactory to the Buyer, in its sole discretion, the Buyer shall cancel this Agreement or waive its right to do so. H. Buyer shall have the right to obtain necessary bank or lender financing. If Buyer is unable to obtain the financing needed, Buyer, in its sole discretion, shall have the right to cancel this Agreement or waive its right to do so. I. Buyer shall obtain any necessary government approvals, including approvals from the City of Centerville. Buyer recognizes and affirms that the Seller has responsibility to govern activities including but not limited to zoning, building permits, construction, etc., and when doing so, the City acts independent from the responsibilities and conditions of this Agreement. To the extent that the provisions of this Agreement may conflict with its responsibilities as a government agency and City, those responsibility of government shall supersede the provisions of this Agreement, and Buyer shall have no recourse in law or equity under this Agreement. With the exception of paragraph 6(l), Buyer shall have the right to unilaterally waive any condition herein set forth and proceed to close. In the event Buyer desires to terminate this Agreement by reason of the failure of any one or more of the conditions above set forth, it shall do so by serving written notice thereof upon Seller, which written notice must be received by Seller on or before the Contingency Date. If such notice is not timely received by Seller, the conditions shall be deemed waived. If this notice is timely received, this Agreement shall be null and void and the earnest money herein paid shall be promptly refunded to Buyer by the Title Company. 7. Real Estate Taxes, Special Assessments and Prorations. On the Date of Closing the following prorations shall be made: A. Seller shall pay all real estate taxes, and any penalties and interest thereon due and payable upon the Property in the year prior to the year of closing, including all deferred taxes (including "Green Acres" taxes) and prior years to the year of closing. B. All real estate taxes payable in the year of closing shall be prorated to the day of closing between the parties with Seller paying that portion for the period of January 1 to the Date of Closing and Buyer paying the balance. 5 CORE/3527692.0002/180417462.2 C. Seller shall pay the cost for any current assessments for streets, sidewalks, curb, gutter, and storm and sanitary sewers, and water lines to the property line whether such costs are called levied, pending or deferred special assessments, hook-up charges or anything else. D. Seller shall pay all state deed tax payable as a result of this transaction. 8. Obligations of Seller at Closing. At closing, Seller shall do the following: A. Deliver to Buyer the Warranty Deed duly executed and acknowledged by Seller, in recordable form, conveying to Buyer good and marketable title which shall be free and clear of all liens, encumbrances, covenants, conditions, restrictions, rights -of -way, easements and any other matters affecting title except for such matters as have been waived by Buyer in writing. B. Deliver to Buyer its Affidavit, duly executed and acknowledged by Seller, in customary form, relative to judgments, federal tax liens, mechanic's liens and outstanding interests in the Property. C. Pay or cause the payment of: i. the title insurance commitment fee, 1/2 of the closer's fee, and any other charge or reimbursable expense required to be paid for the issuance of the title insurance policy described in paragraph 4A, ii. the charge for the abstract or registered property abstract described in paragraph 413, iii. Deliver to Buyer and/or Title Company an affidavit of no change regarding the Existing Survey. iv. Deleted v. any other sum required to be paid by Seller pursuant to paragraph 7 hereof or any other part of this Agreement. D. Deliver to Buyer a certificate, in form and substance satisfactory to the parties hereto and their counsel, properly executed by Seller containing such information as shall be required by the Internal Revenue Code, and the regulations issued thereunder, in order to establish that Seller is not a "foreign person" (as defined in Section 1445(f)(3) of such Code and such regulations). E. Seller shall pay all brokerage claims and commissions due and payable to Titus Commercial Real Estate, LLC, at closing. 9. Obligations of Buyer at Closing. Subject to the full, complete and timely performance by Seller of its obligations hereof, Buyer shall do the following: A. Deliver to Seller the balance of the Purchase Price in the manner set forth in paragraph 1B hereof. 6 CORE/3527692.0002/180417462.2 B. Pay or cause the payment of any sum required to be paid by Buyer pursuant to paragraph 7 hereof or any other part of this Agreement. C. Pay the Title Insurance premium and'/2 of the closer's fee. D. Prior to the Contingency Date, Buyer and Seller shall negotiate a binding agreement with Seller to include the following, which shall be executed as of the Date of Closing: A construction schedule to include, but not limited to: a date to obtain a building permit, a date to commence construction, and a date to obtain a certificate of occupancy; and b. Buyer agrees to return property to Seller if it fails to obtain a building permit or commence construction by those agreed upon dates; and, Buyer agrees to define and abide by a monetary penalty or such other mechanism to ensure completion of construction if Buyer fails to obtain a certificate of occupancy by the agreed upon date. 10. Right to Nominate. Buyer shall have the right to nominate who shall take title and who shall succeed to Buyer's duties and obligations hereunder, and shall further have the right to assign all or any part of the Buyer's rights hereunder; and from and after such nomination or assignment, upon written notice of approval by Seller, whenever in this Agreement a reference is made to Buyer, such reference shall mean that such nominee or assignee shall succeed to all of the rights, duties and obligations of Buyer hereunder. Seller's right of nomination approval, as set forth in the paragraph, shall end once a principal structure has been constructed on the Property and certificate of occupancy has been issued for said principal structure. 11. Foreign Investment in Real Property Tax Act of 1980. In the event (i) Seller is a "foreign person" (as defined in Section 1445(f)(3) of the Internal Revenue Code and regulations issued thereunder), (ii) Seller fails or refuses to deliver a non -foreign certification, or (iii) Buyer receives notice from any Seller -transferor's agent or Buyer -transferee's agent (each as defined in Section 1445(d) of the Internal Revenue Code and the regulations issued thereunder) that, or Buyer has actual knowledge that, the required certification that was delivered is false, Buyer shall deduct and withhold from the Purchase Price an amount of money equal to 10% of the Purchase Price or such additional or lesser sum as shall be required by Section 1445 of the Internal Revenue Code or regulations related thereto. In the event of any such withholding, Seller's obligations hereunder, including but not limited to the delivery of title hereunder, shall not be excused or otherwise affected and Buyer shall remit such amount to and file the required form with the Internal Revenue Service. In the event of any claimed over -withholding Seller shall be limited solely to an action against the Internal Revenue Service for refund, and Seller hereby waives any right of action against Buyer on account of such withholding. The provisions of this paragraph shall survive the Closing. 12. Remedies. A. In the event Seller shall fail to consummate the sale of the Property for any reason except the default of Buyer, as otherwise stated in paragraphs 9 and 10, or related to its CORE/3527692.0002/180417462.2 governmental responsibilities un paragraph 6(I), Buyer may enforce specific performance of this Agreement within six (6) months from the time such cause of action arose, or may bring suit for damages against Seller, which damages shall be limited to losses, liabilities, costs and expenses, (excluding attorney fees), incurred by Buyer as directly related to enforcement of this Agreement. B. If Buyer defaults in the performance of this Agreement, Seller's sole and exclusive remedy shall be to cancel this Agreement by delivering written notice of such default to Buyer ("Seller's Default Notice"), in which event Buyer shall have the opportunity to cure such default within thirty (30) days after receipt of Seller's Default Notice. If Purchaser fails to timely cure such default after receipt of Seller's Default Notice, then this Agreement shall be deemed canceled without further action between the parties, and the Escrow Agent shall deliver the Earnest Money to Seller as liquidated damages, it being the understanding and agreement of the parties that it would be impractical or extremely difficult to determine the actual damages to Seller in the event of Purchaser's default, and that the Earnest Money is a reasonable estimate of the damages which Seller would incur as a result of Purchaser's default hereunder. 13. COMMUNITY DEVELOPMENT Project Map Staff has prepared a map of all active developments to help everyone get a better picture of what's happening around our community. The number you see at the heading of each item in this section corresponds to a number on the map, which is attached to the end of this report. (11) Norbella Senior Living The Norbella Senior Living facility erected a new sign to cap off their first-class development. The rooms are 42% full and their operation is fully staffed. (9) Block 7 Property (Downtown) The city approved a purchase agreement with a developer (Schifsky Companies) who continues to explore the viability of the site for a townhome style development. City staff recently met with Mr. Schifsky to look at ways to more efficiently engineer the site's stormwater infrastructure. (3)(4) Old Mill Estates 1st and 2nd Additions The developer has finished black dirt and seed work in boulevards and around ponds. They continue to work to finalize wetland and other watershed permits. Construction of the gravel base for the trail between Old Mill Court and Laramee Lane is now complete. Concrete work will be completed in the spring to ensure the base has a chance to settle over the winter. (16) Centerville Storage The facility is now open for business. The developer has made progress to address drainage issues along the north side of the facility and will continue to work on minor clean-up items. (1) Bay View Villas (Waterworks Site) The developer's landscaping crew has finished sod work near the cul-de-sac and has just a few items from the punch list remaining. (10-14) Rehbein Commercial The sidewalk on the north side of Main Street, between 20th Avenue and 21st Avenue will be graded and poured in the spring. Other punch list items remain. Record plans have been submitted and reviewed. (13) Kwik Trip Construction is complete with the exception of some punch list items and the sidewalk along Main Street, in the spring. The store is now open! (17, 19) Rehbein Industrial Record Plans for the project have been submitted and reviewed. Once permit closure is achieved, the project can be closed out. (18) Max Storage (Fairview Street) A building permit has now been issued for construction of Building 91 of 2. The developers have decided to wait until spring to begin construction. (17) Amazon Fulfillment Center The building shell is now up, including the roof trusses and superstructure for the van loading area canopy. Site work will continue in the spring. Interior work on the building continues. Work on the 21" Avenue Floodway Impacts study is now complete. Results of the modeling work will be submitted to FEMA in the next week or so. The study will supply required documentation to the Federal Emergency Management Administration (FEMA), to demonstrate that the culvert placed under 21st Avenue with the Distribution Alternatives project did not affect the flood elevation in the area. Once complete, the study and resulting paperwork will clear the way for Amazon's Flood -fringe excavations. Development Inquiries • None PUBLIC WORKS Commercial Water Connection Fee Assistance At the last City Council meeting, the Council voted to extend the program through the end of 2023. The program offers half -priced hook-up charges for businesses hooking to city water. 20th Avenue (CSAH 54) Corridor Study The latest progress meeting for the Corridor Study was held on February 13. Stakeholders were shown concept maps, laying out potential intersection treatments, access modifications, street cross sections, speed limits, and pedestrian routes. Next, the team will be reaching out to key area land and business owners along the corridor to gain their perspectives on various alternatives. Following those meetings, the concept layouts will be adjusted and readied for a broader public input phase. The study is examining 20th Avenue from Birch Street to 80th Avenue, and the intersection of 21" Ave. and Main Street, aimed at identifying improvements needed in the short and long-term to accommodate regional growth. Wellhead Protection Plan The Minnesota Department of Health held a kick-off meeting with city staff and consultants for the implementation of the city's Part-2 Wellhead Protection Plan. The group reviewed items in the documents and the timelines associated with various activities. Staff will be following up on the action items over the course of the next few months. City staff recently completed final paperwork and receive reimbursement from the Department of Health associated with a grand for sealing of a well in the downtown at no cost to the city or resident. With the completion of this grant, the city can now apply for other grants related to the Wellhead protection plan. 2022 Thin Overlay Program and City Hall Parking Lot Improvements Assessment invoices have now been mailed to all affected property owners. The invoices contain information on prepayment options, interest and an amortization schedule.
