MEETING NOT APPROVED I. CALL TO ORDER The meeting was called to order at approximately 5:30 p.m. by President Remillard. II. ROLL CALL President Remillard called the roll. PRESENT: President Mark Remillard Vice-President Chris Swenson Councilmember Raye Taylor ABSENT: Darrin Mosher VACANCY: One STAFF: Assistant City Administrator/EDA Executive Director, Athanasia Lewis III. APPROVAL OF AGENDA 1. Call for Changes to the Agenda A discussion on the display policy was added to the agenda under Old Business. Motion by Commissioner Taylor, seconded by Commissioner Swenson to approve the revised agenda. All in favor. Motion carried. IV. APPROVAL OF MINUTES The minutes were approved as presented. Motion by Commissioner Swenson and seconded by Commissioner Taylor to approve the October 16, 2024, meeting minutes. All in favor. Motion carried. V. BILLS AND COMMUNICATIONS City of Centerville EDA Meeting Minutes November 18, 2024 1. Bills a. Check List Executive Director Lewis reviewed the bills as revised. Motion by Commissioner Taylor and seconded by President Remillard to approve the bills as presented. All in favor. Motion carried. 2. Communications a. None VI. PRESENTATION 1. None VII. REPORTS 1. Partner Agency Reports a. Anoka County Regional Economic Development (ACRED) Executive Director Lewis reviewed the report as presented in the packet. 2. Year to Date Financials Executive Director Lewis reviewed the financial report as presented in the packet. Motion by Commissioner Taylor and seconded by Commissioner Swenson to approve the financial report as presented. All in favor. Motion carried. 3. Ongoing Programs: Executive Director Lewis reviewed the Ongoing Programs report as presented in the packet. 4. AdministratorÓs Report Executive Director Lewis reviewed the AdministratorÓs Report as presented in the packet. VIII. OLD BUSINESS 1. Display Policy Executive Director Lewis introduced this item as presented in the packet. Discussion ensued about broadening policy guidelines to allow residents to make requests for special events/occasions, etc. IX. NEW BUSINESS 1. Resolution Recognizing Dr. Raye Taylor Executive Director Lewis introduced this item as presented in the packet. EDA members expressed their appreciation for Dr. TaylorÓs service to the EDA and to the community. Motion by President Remillard and seconded by Commissioner Swenson to approve Resolution 24-003 recognizing Dr. Raye Taylor for her service to the EDA and the community. All in favor. Motion carried. 2 City of Centerville EDA Meeting Minutes November 18, 2024 2. December 18, 2024, EDA Meeting Cancellation Executive Director Lewis introduced this item as presented in the packet. Discussion ensued about cancelling the December 18, 2024, EDA meeting. Motion by President Remillard, seconded by Commissioner Swenson to cancel the December 18, 2024, EDA meeting. All in favor. Motion carried. 3. Resolution on Paying Bills when Meetings Exceed One Month Executive Director Lewis introduced this item as presented in the packet. Discussion ensued about delegating authority to pay budgeted expenses when the interval between meetings exceeds a month. ADMINISTRATION Welcome Mayor Golden and Council Members Rios and Kubat Mayor Elect Nancy Golden will be sworn into office at the January 8, 2025, City Council Meeting. (Shown in the image on the far left) Council Member Elect Anita Rios will be sworn in at the January 2025, City Council Meeting. (shown in the image in the middle) Council Member Elect David Kubat will be sworn in at the January 2025, City Council Meeting. (Shown in the image on the right). COMMUNITY EVENTS Centerville Lions Annual Ice Fishing Contest th Centerville Lions 40 Annual Ice Fishing Contest will be held on February 15, 2025, at 11 a.m. Please visit their Facebook page at: https://www.facebook.com/search/top/?q=Centerville%20Lions PARKS & RECREATION Name a Snowplow The Contest is still going on; Clearopathra needs to have a friend who needs a name. Please participate, you must be a Centerville resident and if you name is chosen, you win a $50 prize, a photo with you and the snowplow. The photo will be placed in all of CentervilleÓ media outlets. All Centerville employees, Committee/Commission/Council Members are excluded from receiving the $50 prize but may enter the contest. Annual Skate/Sled Night The Parks and Recreation Committee has planned it usual events with the assistance of the Wargo Nature Center; skating, sledding, kicksledding, snowshoeing, bonfire, free popcorn and cocoa on January 10, 2025, from 6-9 p.m. Come on out and join them. That new furnace will come in handy. Hiring P.T. Î Rink Attendants The city is hiring rink attendants. Attendants are responsible for opening/closing the warming house during their work shift, maintaining cleanliness of the warming house and restrooms, and shoveling of snow from walkways and rinks if minimal amounts are deposited. CENTENNIAL FIRE DISTRICT Accepting Applications If you are interested in becoming a Centennial Fire District Firefighter/EMT, please visit their webpage for more information: JOIN US | Centennial Fire ADMINISTRATION Now Hiring Î Public Works Technician The city is accepting applications for a full-time Public Works Technician. Hours are Monday-Friday, 7:30 a.m. Î 4 p.m. with the ability to be on call, Monday-Sunday. Some overtime may be needed from time-to- time. VOLUNTEER OPPORTUNITIES There are currently vacancies on two city boards and commissions. There is a vacancy on the cityÓs Planning and Zoning Commission (P&Z) and another vacancy on the cityÓs Economic Development Authority (EDA). The P&Z meetings are held on the first Tuesday of every month at 6:30p.m. at city hall in the council chambers. The EDA meetings are held on the third Wednesday of every month at 5:30p.m. at city hall in the council chambers. Applications can be submitted to: info@centervillemn.com. CENTERVILLE CARES Anoka County Library System Offers Accessibility Resources In 2023, the Anoka County Library system obtained sensory kits with items like fidget spinners and noise-canceling headphones to help make visiting the library more enjoyable for people of all abilities. The Library also started offering Sensory-Friendly Storytimes for families with young children with special needs. Based on input from families, the Library offered adaptive cooking and art classes that paired teens with disabilities with peer buddies to learn and create together this summer. CENTENNIAL LAKES POLICE DEPARTMENT SCAM Awareness Tech support scams, along with government imposter scams, were the top fraud categories affecting older adults in 2023, accounting for $1.3 billion in losses according to IC3(Internet Crimes Complaint 2 Center). These scams usually involve unsolicited offers to fix a ÐproblemÑ with your computer or software. They typically come from someone pretending to be from a legitimate software company (e.g., Microsoft or Apple). The scammer may initially reach out to you by phone, text message, or email. Or, you may get a pop-up alert while using your computer. The ÐrepresentativeÑ requests remote access to your system, which allows them to install malware or steal your information. In other cases, they pretend to repair your technical issues. Then, the scammer demands payment via gift card, money transfer via an online payment app, or another hard-to-trace method. In a newer version of the tech support scam, the scammer tells you youÓre owed a potential refund for a tech- related subscription. They request your bank information and then claim to have accidentally transferred a much larger refund than you were owed. You are asked to return the difference to them by mailing wrapped- up cash to an address they provide. A good rule of thumb, verify the information they are providing independently after disconnecting with them. ENGINEERING TH 20 Avenue (CSAH 54) Corridor Study Staff recently met with County Engineering staff to discuss the timing, funding and logistics for projects along the corridor. County staff will be sending a draft of the schedule for the various projects along with cost share estimates to the cities in the next month or two. 2025 Thin Overlay Project The City Engineer and Public Works Director have been examining streets and working with the Finance Director to scope a potential overlay project for 2025. The street fund has roughly $1 Million in available cash to spend. An overlay project was last done in 2022. For the past 10 years or so, the city has been doing bituminous (blacktop) overlays in lieu of seal coating. The overlays aim for a cycle of around 15 to 20 years, where seal coating was on a 5-to-7-year rotation. In the end, the overall cost is roughly the same, but we believe the results are better with the overlays. Homes along the route of the overlay project are generally asked to contribute a small portion of the cost (usually about 20%), through special assessments. The remaining costs come from the street fund which is supported by general levy taxes and franchise fees. However, the developer needed more time to work out wetland and power line easement issues. With some of those issues more in hand, the proposed subdivision would break up Lot 8, Block 2, into 4 lots (3 new lots). Block 7 Property (Downtown) The prospective developer again met with city staff the week of October 28 and presented some renderings of potential townhomes. Name of Authority. The name of the Authority shall be the "Economic Development Authority of the City of Centerville, Minnesota" (which may sometimes be referred to as the "EDA" or the "Authority"), and its governing body shall be called the Board of Commissioners (the "Board"). The Board shall be the body responsible for the general governance of the Authority and shall conduct its official business at meetings thereof. Section 2. Seal of Authority. As required by Minnesota Statutes, Section 469.096, Subdivision 1, the Authority shall have an official seal, which shall be in the form depicted on Exhibit A. Section 3. Office of Authority. The offices of the Authority shall be the Centerville City Hall. ARTICLE II Î OFFICERS ARTICLE II Î OFFICERS Section 1. Officers. The officers of the Authority shall be a President, a Vice- President, a Treasurer, an Assistant Treasurer and a Secretary. The President, the Vice-President and the Treasurer shall be members of the Board and shall be elected annually, and no Commissioner may be both President and Vice-President simultaneously. The Assistant Treasurer and the Secretary need not be members of the Board. Section 2. President. The President shall preside at all meetings of the Board. Except President. T as otherwise authorized by resolution of the Board, the President and the Secretary (the Vice- President, in the Secretary's absence or incapacity) shall sign all contracts, deeds and other instruments made or executed by the Authority, except that all checks of the Authority shall be signed by the Treasurer and Assistant Treasurer. At each meeting the President shall submit such recommendations and information as he or she may consider proper concerning the business, affairs, and policies of the Authority. Section 3. Vice-President. The Vice-President shall perform the duties of the Vice-President. T President in the absence or incapacity of the President; and in case of the resignation or death of the President, the Vice-President shall perform such duties as are imposed on the President until such time as the Board shall select a new President. Section 4. Secretary. The Secretary shall keep minutes of all meetings of the Board Secretary. and shall maintain all records of the Authority. The Secretary shall also have such additional duties and responsibilities as the Board may from time to time and by resolution prescribe. 1 Section 5. Treasurer. The Treasurer shall have the care and custody of all funds of Treasurer. T the Authority and shall deposit the same in the name of the Authority in such bank or banks as the Board may select. The Treasurer and Assistant Treasurer shall sign all orders and checks for the payment of money and shall pay out and disburse such moneys under the direction of the Board. The Treasurer shall keep regular books of accounts showing receipts and expenditures and shall render to the Board, at least annually (or more often when requested), an account of such transactions and also of the financial condition of the Authority. The Treasurer shall post a bond as required by Minnesota Statutes, Section 469.096, Subdivision 6. The Assistant Treasurer shall act as the Treasurer's agent and assistant to perform the above-described duties, subject to the Treasurer's approval thereof. Section 6. Additional Duties. The officers of the Authority shall perform such other duties and functions as may from time to time be required by the Board or the bylaws or rules and regulations of the Authority. Section 7. Vacancies. Should the office of President, Vice-President, Treasurer, Assistant Treasurer or Secretary become vacant, the Board shall elect a successor at the next regular meeting, or at a special meeting called for such purpose, and such election shall be for the unexpired term of said officer. Section 8. Additional Personnel. The Board may from time to time employ such personnel as it deems necessary to exercise its powers, duties, and functions. The selection and compensation of such personnel shall be determined by the Board. ARTICLE III - MEETINGS Section 1 Regular Meetings. The regular meetings of the Board shall occur according to a meeting schedule, if any, adopted or revised from time to time by resolution of the Board. Section 2. Special Meetings. Special meetings of the Board may be called by the President or any two members of the Board for the purpose of transacting any business designated in the call. The call for a special meeting may be delivered at any time prior to the time of the proposed meeting to each member of the Board or may be mailed or emailed to the business or home address of each member of the Board at least two (2) days prior to the date of such special meeting. At such special meeting no business shall be considered other than as designated in the call, but if at least four members of the Board are present at a special meeting, any and all business may be transacted at such special meeting. Notice of any special meeting shall be posted and/or published as may be required by law. Section 3. Quorum. The powers of the Authority shall be vested in the Board. Three Commissioners shall constitute a quorum for the purpose of conducting the business and exercising the powers of the Authority and for all other purposes, but a smaller number may adjourn from time to time until a quorum is obtained. When a quorum is in attendance, action may be taken by the Board upon a vote of a majority of the Commissioners present. 2 Section 4. Order of Business. At the regular meetings of the Board the following shall be the order of business: 1.Call to Order/Roll call. 2.Approval of Agenda 3. Approval of the minutes of previous meeting. 4. Bills and communications. 5 Reports. 6. Old business. 7. New business. 8. Adjournment. All resolutions shall be written or transcribed and shall be retained in the journal of the proceedings maintained by the Secretary. Section 5. Adoption of Resolutions. Resolutions of the Board shall be deemed adopted if approved by not less than a simple majority of all Commissioners present, unless a different requirement for adoption is prescribed by law. Resolutions may but need not be read aloud prior to vote taken thereon and may but need not be executed after passage. Section 6. Rules of Order. The President shall preserve order, enforce the rules of procedure herein prescribed and determined without debate, subject to the final decision of the Commission on appeal, all questions of procedure and order. The Vice-President shall support and assist the Chairperson; preside over the Commission meetings in the absence of the President; and fill the office of the President if a vacancy should arise ARTICLE IV Î MISCELLANEOUS Section 1 Amendments to Bylaws. The bylaws of the Authority shall be amended only by resolution approved by at least three of the members of the Board. Amendments to the bylaws must be approved by the City Council. Section 2. Fiscal Year. The fiscal year of the Authority shall coincide with the fiscal year of the City of Centerville, Minnesota. Section 3. Effective Date of Office for Appointed Commissioners. A term of office for each Commissioner appointed to the Authority by the City Council shall begin that term of office effective August 1st. Any Commissioner appointed to fill a seat vacated by a Commissioner who did not complete their term of office shall complete the term of office of the vacating Commissioner.
