City Attorney Glaser explained that a recount has been requested by a candidate
and the recount is scheduled for November 14,2006 at 9:00 a.m.

Mayor Capra called the November 8,2006, City Council meeting to order at 6:43 p.m.
II. PUBLIC HEARINGS
1. Hunter's Crossing, 3 rd Addition Special Assessments Public Hearing
Mayor Capra opened the hearing at 6:45 p.m.
City Administrator Larson indicated that the project is complete enough to ascertain the
costs and those have been divided amongst the lots of the projects and this hearing is to
certify the assessment roll.
Motion by Council Member Terway. seconded by Council Member Lakso. to close
the public hearine. All in favor. Motion carried unanimously.
Mayor Capra closed the public hearing at 6:47 p.m.
2. Delinquent Utilities/Garbage Public Hearing
City Administrator Larson explained that this happens every year and noted that there is a
window of time where someone can pay before next week and they would not be
certified to the taxes.

Council Member Lakso asked if someone is billed if the garbage does not go out.
City Administrator Larson explained that whether or not you place garbage at the curb
the resident is charged a monthly service fee.
Motion bv Council Member Lee, seconded by Council Member Tenvay, to close the
public hearine: at 6:50 p.m. All in favor. Motion carried unanimously.
III. SET AGENDA
Mayor Capra added November meeting schedule, acknowledging death of County
Administrator McLinden, and schedule a meeting for canvassing board.
Council Member Paar trail crossing at Centerville Road through Pheasant Marsh.
Motion by Council Member Tenvay, seconded by Council Member Lee to approve
the Ae:enda as amended. All in favor. Motion carried unanimously,
IV. APPROVAL OF COUNCIL MINUTES
1. October 25, 2006 City Council Meeting Minutes
Mayor Capra inquired whether it was the City Attorney or City Engineer who made the
comment on Page 2 of 7. City Engineer Statz indicated that it was he.
Mayor Capra asked to have the regular meeting adjournment information added
subsequent to the executive session.
Motion by Council Member Tenvay, seconded by Council Member Lakso, to
approve the October 25, 2006 City Council meetine: Minutes as amended. All in
favor, Motion carried unanimously,
Council Members Paar and Lee abstained from voting.
2. October 25,2006 Work Session Meeting Minutes
Motion by Council Member Lakso, seconded by Council Member Tenvay, to
approve the October 25, 2006 City Council Worksession minutes as presented. All
in favor. Motion carried unanimously,

Council Member Terway requested that Item 5 be removed for discussion.
Council Member Lakso requested that Claims be removed for discussion.
Mayor Capra removed Item 4.
Motion by Council Member Paar. seconded by Council Member Terway. to
approve Consent Ae:enda Items 2 and 3 as presented. All in favor. Motion carried
unanimously.
Council Member Lakso noted that the Centennial Lakes Police shows up twice and asked
for clarification.
City Administrator Larson explained that the City carries the health insurance for the
officers so that is deducted from the monthly contribution so there could be a difference
if someone changes enrollment.
City Administrator Larson indicated that Staff will verify it. Staff has verified that the
first expenditure for the CLPD was voided.
Motion bv Council Member Lakso. seconded bv Council Member Paar. to approve
Claims as presented. All in favor. Motion carried unanimouslv.
Council acknowledged the resignation of Ms. Kathy Peil from the Parks and Recreation
Committee.
Motion bv Mayor Capra. seconded by Council Member Lee. to have a Resolution to
declare Earth Day 2007 as Kathy Peil day in the City of Centerville. All in favor.
Motion carried unanimously.
Council Member Terway requested clarification regarding the requested times for the
Hockey Association usage.
Council Member Lakso asked if the lights would be on until 9:00 p.m. if they were not to
use it.
Staff explained that there is a rink attendant from 5:00 p.m. to 10:00 p.m.

approve the Parks & Recreation Committee Recommendation to Authorize the Use
of Laurie LaMotte Memorial Park Hockey Rink 2006-2007 Season to Centennial
Youth Hockev Association as reQuested. All in favor. Motion carried unanimously.

VII. OLD BUSINESS
1. Nomination to Rice Creek Watershed District Board of Managers
Mayor Capra explained that the City received a letter of interest from Mr. Dick Travis.
Motion by Council Member Lee. seconded by Council Member Lakso. to nominate
Mr. Travis for the Rice Creek Board of Manae:ers. All in favor. Motion carried
unanimously.
2. November Meeting Schedule
City Administrator Larson explained that the next meeting is scheduled for the night
before Thanksgiving and asked whether Council would like to consider rescheduling
same to November 29, 2006.
Motion by Terway. seconded by Paar. to reschedule the November 22. 2006 meetine:
to November 29.2006. at 7:00 p.m. to follow the meetine: on Truth in Taxation. All
in favor. Motion carried unanimously.
Council set Friday, November 17, at 4:00 p.m. to reconvene as the Canvassing Board.
VIII. NEW BUSINESS
1. Resolution #06-044 - Assessment Roll Hunter's Crossing, 3rd Addition
Motion by Council Member Lee. seconded by Council Member Terway. to approve
Resolution #06-044. Assessment Roll Hunter's Crossine:. 3rd Addition. All in favor.
Motion carried unanimously.
2. Resolution #06-048 - Assessment Roll Delinquent Utilities/Garbage
Motion by Council Member Terway. seconded by Council Member Lakso. to
approve Resolution #06-048. Assessment Roll DelinQuent Utilities/Garbae:e. All in
favor. Motion carried unanimously.

Council Member Paar indicated that the EDC used to contact new businesses to invite
them to be in the Business Directory. City Administrator Larson stated that staff would
be updating the directory. Council agreed to set within a mile of Centerville City limits
as the parameter for being listed in the directory.
Motion by Council Member Lee. seconded by Council Member Terwav. to approve
not to exceed $3.000 to reprint the 2007 - 2008 Business Directory and to set a
parameter of one (1) mile of the City limits for Iistin2s. All in favor. Motion carried
unanimouslv.
4. Consider Bids for Block 7 Area Utility/Grading Improvements
The City received bids for the Block 7 Area Utility/Grading improvements at 10:00 a.m.
on November 7. A listing of bids is attached. City Engineer Statz stated that Bonestroo
has not worked with the low bidder in the past and has requested references from them.
Mr. Stated also stated that the City of Woodbury has contracted with them and he is
recommending that they be awarded the contract.
Motion bv Council Member Paar. seconded bv Council Member Lakso. to approve
a contract to the low bidder. Precision Excavatin2 & Gradin2. LLc in the amount
of $124.548. for Block 7 Area Utility/Gradin2 Improvements. All in favor. Motion
carried unanimouslv.
5. Resolution Honorin~ the Late Jay McLinden, Anoka County Administrator
Mayor Capra explained that this Resolution is to recognize the dedication of the late Mr.
Jay McLinden for his years of service to Anoka County.
Council Member Lakso indicated that she interviewed him last year for a school project
and got to know him personally.
Motion bv Council Member Paar. seconded bv Council Member Terway. to
approve Resolution #06-047. Anoka County Administrator. All in favor. Motion
carried unanimouslv.
6. Trail Crossing Marking at Centerville Road
Council Member Paar said that a neighbor brought this up noting that there are trail
crossing signs and a stop sign on the west side of the trail but not on the east side and the
markings on Centerville Road are gone for designating the trail.
Staff will look into the situation.

1. City Administrator, Mr. Dallas Larson
City Administrator Larson stated that previously Council discussed placement of
"Children at Play" signage on Mill Road and had requested comments from the Police
Department regarding same. Both the Police Chief and Sergeant provided information
and agree that signage would be good for the neighborhood; however, at times it provides
a false sense of security.
Mayor Capra questioned the location of the signage.
Council Member Lee stated that he had concerns regarding the placement and did not feel
individuals would adhere to them or ensure that the area was safer.
Council Member Terway concurred and felt that many additional requests would be
placed throughout the City for additional signage. He felt that additional police coverage
of the area was needed.
Council Member Lakso concurred but desired that the residents know that Council wants
to eliminate the problem but feels that signage is not the best solution.
Mayor Capra requested that the Police Department install the speed monitor display
immediately in the area. .
Council Member Paar concurred and felt that each case should be heard individually due
to amounts of vehicle and pedestrian traffic on the roadway.
Mayor Capra stated that upon the Chief and Sargeant's recommendation to install
signage, she would desire to install two (2) signs on this roadway. One sign on the south
end of the roadway and the other on the north end. Mayor Capra felt that roads with little
shoulder and deep ditches should warrant signage.
Council Member Terway reiterated that Police enforcement ofthe area was needed.
Motion by Council Member Paar. seconded by Mavor Capra. to approve two si2ns
on Mill Road as discussed and recommended bv the Police Department. Ayes - 2.
Nays - 3{LaksolLeelTerway). Motion failed.
Council requested that Staff have the Police Department install the speed monitor display
within the next two (2) weeks.

City Administrator Larson stated that Mr. Meyer is working with the Beard Group
regarding TIF and that a scheduled meeting was forthcoming.
4. Centerville/Recycle Signage Replacement
City Administrator Larson indicated that recycling signs will be purchased with SCORE
funds.
Council Member Paar stated that he desired that Council consider upgrading the City of
Centerville sign along Main Street and Centerville Road. Mayor Capra stated that the
sesquicentennial committee is researching this issue with the historical society and may
be incorporating same with the celebration.
5. Centerville Sesquicentennial
Mayor Capra stated that the Quad Community Press recently completed a booklet that
was distributed with the White Bear Press commemorating 125 years for White Bear
Lake. The Committee is considered a similar booklet containing photos and history. The
County may also be interested.
Mayor Capra stated that the Committee is interested in making scanners available for the
public to bring in old photos, provide historical information and etc. for use in the
Sesquicentennial materials.
Council Member Paar thanked all of Council and Staff for the condolences and kind
words of support while he was dealing with his father's death. He also thanked everyone
for the donation.
Council Member Paar indicated that the Parks and Recreation Committee received
coupons for the open skate at the Super Rink and he would be obtaining additional
information regarding additional amenities individuals may receive with the coupons.
Council Member Paar stated that the Committee desired to dedicate the new park at 1601
LaMotte Drive as part of the sesquicentennial celebration and open it during Fete des
Lacs.
Council Member Paar also stated that the Committee would be forwarding
recommendations for replacement of some of the skate park equipment..
Council Member Paar stated that the owner of Lots 4, 5 and 5A, Peltier Preserve is
interested in selling the parcels to the City and the Committee has requested purchase
information from the individual. The City originally was to receive a small parcel with
the developers agreement; however, it has been deteremined that Gonyea Homes may not
have deeded the property to the City per the agreement.

Council Member Paar stated that on numerous occasions the Committee has requested
financial information from the Finance Director.
Council Member Paar also stated that the Committee is considering cost sharing lighting
with the City of Lino Lakes for Acorn Creek Park.
Council Member Paar stated that member Kevin Selander's father-in-law is an architect
and would be providing the Committee with sketches for shelters for both 1601 LaMotte
Drive and Laurie LaMotte Memorial Park at no charge.
Motion bv Council Member Lee. seconded bv Council Member Terway. to recess to
executive session. All in favor. Motion carried unanimously.
Council recessed to executive session at 8:07 p.m.

Council discussed union negotiations and the preliminary findings of the pay equity
study. Please see attached minutes.

The City Council of Centerville, Minnesota met in a closed session on Wednesday,
November 8,2006, at 7:50 p.m. in City Hall. Present were Mayor Mary Capra, Council
members Richard Terway, Tom Lee and Jeff Paar. Also present were Administrator
Dallas Larson and Kurt Glaser, City Attorney. Council member Michelle Lakso was
absent. The purpose of the closed meeting was to review employee negotiation issues.
Dallas Larson reported on the status of negotiation with Union Local 49, public works
employees.
Ann Antoneson of Springs ted, Inc. reviewed preliminary report findings of the pay equity
study. She indicated that she had reviewed the current jobs and established point values
for each. Her analysis suggested that the current pay plan would likely not pass muster
with the pay equity law. She suggested a slightly modified pay plan that will meet pay
equity requirements. The new pay plan has cost implications to the city. The Council
asked that Ms. Antoneson and the City Administrator develop an implementation plan for
2007 that minimizes impacts to the 2007 budget and report back with those
recommendations.
The meeting was reopened to the public at 8:45 p.m. This being the last item of business,
the meeting was duly adjourned at 8:50 p.m.

SabeL 1 Repeat sexual offenders. sexual offenders who use physical violeuce. and sexual
oft'eoden who ptey on children are sexual predators who preseal all C41emc threat to the
public safety. Sexual offendets are extremely likely to use physical violence and to repeat
their offenses, and most sexual oft"eodcrs commit maar ~ have many more victims
than are ever rqxxted, and are prosecuted for only a fraction of their crimes. This makes the

Subd. 2 Prohibited adiYity. It is unlawful for any designated offender to participare in a
1loIiday event involving children UDder 18 years of age, such as cIistributiDg caady or other
items to cbi1dren on Halloween. weariDg a Santa Claus costume 011 or pru-.cding CbristInas,
or wearing an Easter Buany costume on or ~ing Easler. Holiday evCIds in which the
offender is the parent or guardian of the chiIdrc:n involved, and no non-familial children are
present. are exempt from 1his paraarapb.
Subd. 3 Masuranent of distance.
A. For purposes of determiniDg the minimum distance separation. the requirement shall be
measured by following a ~ line from the outer property line of the permanent
residence or temporarY JaideDce to nearest outer property line of a lIChool. designated
public school bus stop, day care center, p;uk, playgrouDd, place of WOIShip, or ~
place wbere cbildren regularly congregate.
B. The City Clerk sball maintain an official map showina prohibited locations 83 defined
by this Ordinance. The Clerk shall update the map at least anauaDy to reflect any
changes in the locatioo of prdtibited zones.
SaW. 4 Penlltiel. A person who violates this section sba11 be punisbecl by a fiae not
exceeding $1,000.00 or by confinement for a term not exceP.di"!J 90 days, or by both such
fine and coofinemeDt. Each day a person ~M a resideDce in violation oftbis ordi1lSalln!
CODStitutes a separate violation.
Subd. 5 EsceptioDI. A _red offender residing within a prohibited aIea as dcscribecl in
(540.003 Subd. 1) does not commit a violation of this section ifaoy of tile following apply:
A. The person established the permanent residenc:e or temporaty residence and n:ported
and registered the residenc=e pursuaDl to ~i1mesda S1abJte f 243.166, f 243.161, or
successor statute. prior to February 13, 2006.
B. The person was a minor when ho'she CuJ.unitted the offense aDd was not coavicted as
an adult.
C. Tbe person is a minor.
D. The school, desiplted pub&; school bus stop or day care c::cotcr within 2,000 &et of
the persons permauent residence was opened after the pc:rson established the pcnnalleot

Planning & Zoning Commission Report and Recommendation.
The Planning & Zoning Commission met on November 14, 2006, and considered a
request of Erick Marshall to approve a lot split for Lots 8 & 13 in Block 7, Centerville.
The Planning and Zoning Commission reviewed a memo from City Attorney Kurt Glaser
outlining concerns and issues that impact the proposed split.
Findings:
1) The applicant proposed a lot split but does not show how the split will facilitate a use
that complies with the requirements of the zoning district which requires densities of
12-30 units per acre.
2) The Commission identified that adverse impacts are likely and specifically that a lot
split creating smaller parcels will frustrate the intents of the City Zoning Code and the
Master Plan and Development Guidelines for Downtown Centerville (Master Plan)
adopted by the Council on January 11, 2006.
DECISION/RECOMMENDATION:
The Planning and Zoning Commission finds that splitting the lot will not facilitate
compliance with the zoning code and the adopted Master Plan of the City and specifically
that the split will make it more difficult to accomplish the City's goals. The Planning &
Zoning Commission denies the lot split recommends that the City Council sustain their
action.

Dear Mayor Capra,
Minnesota Statues Section 469.1082 allows metropolitan counties to form county economic
development authorities. The statute allows the county to exercise this authority only if a
committee appointed by the county board to study the issue recommends that it do so.
The Anoka County Board of Commissioners will appoint an eleven member Economic
Development Exploratory Committee at the December 19, 2006 County Board meeting.
Minnesota Statutes require that at least one city official, one housing and redevelopment official
and one township official from the county shall be included on the committee. Members may
also represent school districts, political subdivisions that provide services under housing and
redevelopment or economic development authority statutes, nonprofit or for-profit housing and
economic development organizations, businesses, and labor organizations located within the
county. Political subdivision representatives will be nominated by their local governments and
must constitute at least 50 percent of the total committee membership. The county may appoint
no more than two county commissioners.
Six (6) representatives nominated by local governments are needed to serve on the eleven (11)
member Exploratory Committee. Anoka County is seeking nominations from all of the County's
cities and townships. Committee members will meet three times in the first quarter of 2007 to
complete the evaluation process. At the end of the exploratory period, the committee will issue a
report recommending one ofthe following alternatives:
. Establishment of a county economic development authority
. Requiring an existing county housing and redevelopment authority to exercise economic
development authority powers
. That the county pursue special legislation
. No change in the existing structure

In connection with your request for a license, the City has asked that
you provide information about yourself which is classified as private,
confidential, non public, or protected nonpublic under the Minnesota
Government Data Practices Act This means that this data is not
ordinarily available to the general public. Accordingly, the City is
required to inform you of the following:
1. The purpose and intended use of the information requested is to detemrine if you
are eligible for a license from the City of Centerville.

A RESOLUTION ASSESSING FEES ASSOCIATED WITH THE CITY
RECOUPING ITS COSTS FOR CLEANUP OF THE PROPERTY KNOWN AS
7111 BRIAN DRIVE, CENTERVILLE, MINNESOTA (pIN #R23-31-22-11-0059)
WHEREAS, the City requested that the property owner cut the grass (Nuisance) from
the property on September 19, 2006; and
WHEREAS, the City provided proper notification of the above requests along with the
appeal process (via certified mail); and
WHEREAS, the City provided proper notification of its right to reimburse itself for the
associated lawn maintenance costs through the 429.101 process if said violation was not
abated within its given timeframe and Council ordered its cleanup; and
WHEREAS, the owner of the property was given proper notification of an assessment of
$113.90 to be placed on the property taxes of PIN #R23-3 1-22-1 1-0059 payable in 2007.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF
CENTERVILLE, MINNESOTA:
1) That the Finance Director or the City Clerk of the City of Centerville forward this
resolution to the Anoka County Property Tax Division for the assessment of
$113.90 to be placed on PIN #R23-31-22-11-0059 payable in 2007 for
expenditures associate with the lawn maintenance at the residence in October,
2006.

DEVELOPMENT CONTRACT
JACKSON COMMERCIAL, LLC. - CENTERVILLE TOWN OFFICE PARK, PHASE I
(LOTS 1-10)
CENTERVILLE, MINNESOTA
THIS AGREEMENT, made and entered into this 27th day of October, 2004, by and between
the City of Centerville, a municipal corporation organized under the laws of the State of
Minnesota (the "City"), and Jackson Commerical, LLC., a Minnesota Limited Liability
Corporation (the "Developer").
RECITALS:
WHEREAS, the Developer has applied to the City to be allowed at the Developer's expense to
construct all surface streets, parking lots, curb and gutter, required landscaping, storm sewer,
storm water ponds, drainage facilities, water main, and sanitary sewer facilities, hereinafter
referred to as "Street and Utility Improvements"; and
WHEREAS, the Developer is to be responsible for the installation and financing of certain
private improvements within the development, hereinafter referred to as "Private
Improvements" .
NOW, THEREFORE, in consideration of the mutual promises of the parties made herein, it is
agreed by and between the parties as follows;
A. REPRESENTATIONS OF DEVELOPER. As inducement to the City's approval
and authorization to proceed with construction and entering into this Agreement,
the Developer represents and warrants to the City:
1. That the Developer is the fee owner of the property and has
authority to enter into this Agreement.
2. That the commercial development complies with all City, County,
State and Federal laws and regulations, including but not limited to
City subdivision ordinances and zoning ordinances.
3. The commercial development complies with all wetland protection
legislation and will secure all required permits.
4. Attached as Exhibit B will be a letter stating that a permit is not
needed Of that a valid permit from Anoka County for road access
onto 20th Avenue for the Development's driveway area(s) has
been secured.
B. PRIV A TE IMPROVEMENTS. The Developer will construct and install at Developer's
expense the general improvements construction according to the detailed plans submitted

The above referenced Private Improvements shall be completed by July 1, 2005.
2. Also included as items associated with the Private Improvements, the
Developer shall undertake or arrange to accomplish the tollowing:

Coordinate with the utility companies to provide for
gas main, telephone lines, cable lines, and power
lines to service the properties developed on the final
plat according to the City's joint trench policy.

Provide seeding and vegetation maintenance and
erosion control over denuded or graded areas and
mitigation area, at the City's direction.

Establish a center monument (within the center
driveway(s) entering the commercial site) within 60

days of grading completion or within 180 days after
filing the final plat, whichever is sooner, winter
weather conditions excepted. This monument will
be maintained by the association of the developer's
choice/Town Office Park Association and not the
City ofCenterville.
IV. Provide such street maintenance and control of
builder's actions to maintain roadways clear of
mud, soil, and debris to provide safe driving
surfaces. The Developer shall provide street
sweeping within 24 hours of the City's request for
such services.
The Developer shall accomplish or cause to be accomplished these actions
according to generally accepted trade standards. To the extent possible, the
construction vehicles for site grading, streets, and utilities shall access the site
from 20th Avenue.
b. Site Grading, Street Construction and Building Permits. No certificate of
occupancy shall be issued without installation of bituminous parking lot,
except buildings started in November and December of 2004. Developer
shall deposit with the City an escrow or letter of credit in the amount of
seventy-six thousand ($76,000) as security for installation of the
bituminous parking lot.
c. Erosion Control. The Developer shall control erosion ensuring:
l. The Developer shall submit an erosion control plan,
detailing all erosion control measures to be implemented
during construction.
lJ. Erosion and siltation control measures shall be coordinated
with the different stages of development. Appropriate
control measures as required by the City shall be installed
prior to development when necessary to control erosion.
Ill. Where the topsoil is removed, sufficient arable soils shall
be set aside for respreading over the developed area. The
topsoil shall be restored to a depth of at least four (4) inches
and shall be of a quality at least equal to the soil quality
prior to development.
d. Inspection. All of the work shall be under and subject to the inspection and
approval of the City, City Engineer, and where appropriate, any other
governmental agency having jurisdiction.

e. Faithful Performance of Construction Contracts and Letter of Credit. The
Developer will fully and faithfully comply with all terms and conditions of
any and all contracts entered into by the Developer for the installation and
construction of all Private Improvements and hereby guarantees the
workmanship and materials for a period of two years following the City's
final acceptance of the Private Improvements. The Developer agrees to
!:,JUaranty for a period of one year the tree plantings required as part of the
Developer's Agreement. Each specific tree guaranty period shall begin
with the planting of each specific tree. Concurrently with the execution
hereof by the Developer, the Developer will furnish to, and at all times
thereafter maintain with the City, a cash deposit, certified check, or an
Irrevocable Letter of Credit, based on one hundred fifty percent (150%) of
the total estimated cost of the Private Improvements as indicated in
Paragraph B 1. The Irrevocable Letter of Credit shall be for the exclusive
use and benefit of the City of Centerville and shall state thereon the same
is issued to guaranty and assure performance by the Developer of all the
terms and conditions of Paragraph Bl of this Development Contract. Such
Letter of Credit may be reduced upon completion and acceptance of the
Private Improvements by the City to an amount deemed adequate by the
City Engineer to cover the two year warranty period described herein. The
City shall have the right during said warrant period to draw on the Letter
of Credit for any warranty work that is necessary. The Irrevocable Letter
of Credit shall be renewed or replaced by not later than twenty (20) days
prior to its expiration with alike letter or bond.
f Reduction of Escrow Guaranty. The Developer may request a reduction
of the Letter of Credit or cash deposit based on prepayment or the value of
the completed Private Improvements at the time of the requested
reduction. The amount of reduction will be determined by the City and
such recommendation wiJl be submitted to the City Council for action.
C. RECORDING AND RELEASE. The Developer agrees that the terms of this
Development Contract shall be a covenant on this entire project site. The Developer
agrees that the City shall have the right to record a copy of this Development Contract
with the Anoka County Recorder/Registrar to give notice to future purchasers and
owners.
D. REIMBURSEMENT OF COSTS. The Developer agrees to fully reimburse the City for
all costs incurred by the City including, but not limited to, the actual costs of construction
of said improvements, engineering fees, legal fees, inspection fees, interest costs, costs of
acquisition of necessary easements, if any, and any other costs incurred by the City
relating to this Development Contract and the installation and financing of the
aforementioned improvements.
E. OWNERSHIP OF fMPROVEMENTS. Upon completion of the work and construction.

required by this Contract and acceptance by the City, all utilities (Le. sanitary sewer,
water main, and storm sewer) lying within the public easements and within the common
drainage and utility easement area of Lot II shall become City property without further
notice or action, and be maintained by the City.
F. PARK DEDICA TIONFEE
The Developer shall pay six thousand dollars ($6,000) as and for a park dedication fee.
Said fee shall be paid at the rate of six hundred dollars ($600) per unit (10 units) as a
condition precedent to, and at such time that a unit building permit is issued. Said fee
satisfies Developer's Park Dedication obligation for the entire 2.8 acre parcel (Phase I
and II).
G. MISCELLANEOUS PROVISIONS.
1. Reimbursement of Costs for Defense. The Developer agrees to reimburse
the City for all costs incurred by the City in defense of enforcement of this
Contract, or any portion thereof, including court costs and reasonable
engineering and attorney's fees.
2. Validity. If any portion, section, subsection, sentence, clause, paragraph,
or phrase in this Contract is for any reason held to be invalid by a court of
competent jurisdiction, such decision shall not affect or void any of the
other provisions of the Development Contract.
3. Waiver. The action or inaction of the City shall not constitute a waiver or
amendment to the provisions of this Agreement. To be binding,
amendments or waivers shalt be in writing, signed by the parties, and
approved by written resolution of the City Council. The City's failure to
promptly take legal action to enforce this Agreement shall not be a waiver
or release.
4. Binding Effect. The tenns and provisions hereof shall be binding upon and
insured to the benefit of the heirs, representatives, successors, and assigns
of the parties hereto and shall be binding upon all future owners of all or
any part of the Subdivision and shall be deemed covenants running with
the land.
5. Notice. Whenever in this Contract it shall be required or pennitted that
notice or demand be given or served by either party to this Contract to or
on the other party, such notice or demand shall be delivered personally or
mailed by United States mail to the addresses set forth below by certified
mail (return receipt requested). Such notice or demand shall be deemed
timely given when delivered personally or when deposited in the mail in
accordance with the above. The addresses of the parties hereto are as set
forth below until changed by notice given as per above:

Re: drainage
Dear Sirs,
My property at 7085 Progress Road has drainage problems. After
heavy rains and snow melt run-off, Sager's parking lot drains into this
backyard causing flooding in the yard, garden, and shed. This never
happened until the parking lot was installed/expanded. The parking lot
should drain into a catch basin not my backyard. The City of Centerville
should never have allowed this to happen. I am not seeking damages, but
the city must correct this problem.

Dear Mr. Montain:
We received your letter of November 10, 2006, regarding drainage problems on your
property. While we sympathize with your situation, this appears to be primarily a
problem between neighbors. Obviously we would like to help if we can, but since the
situation you describe does not involve any city drainage facilities or easements, there
isn't much we can do.
We would be open to having a discussion about doing a joint project to alleviate the
drainage issue. We would like that discussion to also consider establishing an outlet to
Sorel from the parking areas that would facilitate the removal of entrances onto Main
Street. If this is of interest to you, please let me know.
