A W ARDSIPRESENTATIONS/APPEARANCES 1. Cruef Joel D. Heckman - Proclamation Dav - Retirement Mayor Sweeney read resolution 04-047 a Resolution of Proclamation recognizing Cruef Joel Heckman and setting October 15, 2004 as a day to honor his accomplishments. Mayor Sweeney indicated there would be a reception in honor of Cruef Heckman on October 15, 2004 at 2:00 p.m. 2. Mr. Greg Kieselhorst. Centerville Lions Use of 1694 Sorel Street - Haunted House Mr. Kieselhorst appeared before Council and asked for approval to use the fanner public works facility for the haunted house again this year. Council Member Capra asked that the fire inspector do an inspection prior to opening. Motion bv Council Member Lee. seconded bv Council Member Paar to approve the Lions use of 1694 Sorel Street. the old public works site. for the haunted house as requested. Aves - 4. Navs - O. Abstain -l(Sweenev). Motion carried. 3. Mr. Paul Burke - Downtown Revitalization & Cougar Cash Mr. Burke appeared before Council and explained Cougar Cash. Cougar Cash is a check that is issued by the City for use at Centerville area businesses as a way to promote the Page 2 of 10 City of CelIterville Council Meeting Minutes October 13, 2004 businesses in town. City Staff would be responsible for accepting cash or checks for the purchase of these checks and issuing them to residents. Council Member Broussard Vickers how the bad debt would be handled should the checks issued to the City for the purchase of the checks bounce. Mr. Burke suggested that the Chamber of Commerce handle any bad debt issues. Council Member Capra indicated she is concerned with how much time this would take for Staff to administrate. Mr. Burke asked Council to authorize that plans be drawn up for a TlF district in the downtown area. Council discussed the matter and informed Mr. Burke that it costs money for a study and the City is not interested in paying for a study at this time and would not be willing to work on a plan until the plans for CSAH 14 have been finalized. The Council indicated that, if Mr. Burke and the other downtown business owners would like to contract and pay for a study to be presented to the City, they are welcome to do so. 4. Sedona Homes/Jackson Commercial Developer's Agreement - Centerville Town Office Park. Phase I (Lots I through 10) Mr. Keleher appeared before Council and asked how soon the $200,000 letter of credit could be reduced. City Attorney Hoeft indicated that the developer is free to ask at any time after there is substantial completion of the project. He then said that the work must be inspected and approved by the City and Council must authorize any reduction. Council Member Capra asked whether the recently approved commercial park dedication fees would apply to this development. Council asked Staff to determine when preliminary plat approval was given on this project and when the commercial park dedication fees were approved. Mr. Keleher indicated that he needed final plat approval before he can get a grading permit because, he cannot get a grading permit without approval from Rice Creek and, he cannot get approval from Rice Creek unless his plat has been recorded. City Attorney Hoeft indicated that this item was not on the agenda for final plat approval and said that he would need to review the final plat to make sure that all required provisions have been met before he could recommend approval. Council asked Staffto place the final plat on the October 27,2004 agenda. 5. Ms. Peil Request for Paint for Warming House Ms. Piehl appeared before Council and indicated that it has been very difficult painting the warming house and said she needs 15 more cans of paint and authorization to Page 3 oflO City of Centerville Council Meeting Minutes October 13, 2004 purchase a new Wagner sprayer as the existing one is not working properly and is very old. City Attorney Hoeft indicated that this type of request is well within the statutorily allowed expenditures that could be authorized by the City Administrator without Council approval. Motion bv Council Member Capra. seconded bv Council Member Lee to authorize the expenditure of UP to $300.00 for paint and to direct Mr. Palzer to purchase a spraver. All in favor. Motion carried unanimouslv. 6. Drew Johnson - Cub Scout Eagle Scout Proiect Drew Johnson from Troop 232 appeared before Council and explained that he is working on an Eagle Scout project and would like to build and install 30 wood duck houses within Centerville at a number of ponds. He then explained his intent to ask residents living around the ponds to adopt the houses and agree to do the once per year cleaning out and adding of fresh woodchips. Motion bv Council Member Capra. seconded bv Council Member Lee to authorize UP to $700.00 for the construction and installation of wood duck houses for the Ea!!:le Scout proiect. All in favor. Motion carried unanimouslv. Council asked Drew to work with City Staff on the placement of the houses. Council noted that the City had agreed to fund half of the project and that Drew would need to solicit funding for the remaining houses from another source. Drew Johnson asked for a letter from the City indicating that Council has approved the request. Ms. Moore-Sykes agreed to provide him with a letter. VI. PUBLIC HEARINGS 1. Intel?:ra Telecom, Mr. Jerry King- Telephone Service Ms. Moore-Sykes presented information to Council on Integra Telecom telephone systems. Council indicated that it would like a comprehensive system for all City offices not just a system for the administrative offices. 2. WaterISAC Membership Recommendation Ms. Moore-Sykes presented information to Council provided by Mr. Palzer on the WaterISAC organization. Motion bv Council Member Broussard Vickers. seconded bv Council Member Capra to approve membership in WaterISAC as reQuested bv Staff. All in favor. Motion carried unanimously. 3. Minnesota Association of Small Cities Membership (2004-2005) $1.331.90) Council briefly discussed this matter and agreed that membership to the League of Minnesota Cities is sufficient. 4. Parks & Recreation Committee Request for Funds for "Adopt a Wood Duck House" Proiect Eagle Scout Proiect - $623.25 This matter was handled under appearances. 5. Parks & Recreation Committee Request for SRF Engineering to Provide a Trail Feasibilitv Study Proposal for the Clearwater Creek TraiL Direct Staff Contact to Arrange, Future Expenditure $600 to $800 Motion bv Council Member Capra, seconded bv Council Member Lee to approve the Feasibility Study proposal and direct Staff contact to arrange as reQuested. All in favor. Motion carried unanimouslv. Ms. Moore-Sykes asked whether the motion included approval of the future expenditure. Council indicated that any future expenditure should be brought before Council for consideration of approval. 6. Parks & Recreation Committee Request for Dresel Contracting to Sub-Cut and Install Trail Base East Side of LaMotte Park Council Member Lee indicated that anyone coming from the regional trail has to go through the parking lot at LaMotte Park to get to the trail. He then said that Park and Recreation would like to extend the trail in LaMotte Park to keep people out of the parking lot as it is a safety hazard. Pay Compensation Study Council reviewed and discussed the compensation study memo provided by Ms. Paulseth and asked Ms. Moore-Sykes to determine whether the amounts in the study were included in the budget for 2005. 8. Dresel Pav Estimate Motion bv Council Member Broussard Vickers. seconded bv Council Member Paar to approve the Dresel Day estimate in the amount of $246.693.79. All in favor. Motion carried unanimously. 9. Business Directory Council Member Broussard Vickers indicated that she does not feel that it is the function of the City to fund a business directory. She further stated that this is $3,000 to $4,000 used to promote area businesses and she does not agree with it. Council discussed this matter and asked Staff to determine how much money is available in the budget. Ms. Stephan indicated that all the money in this year's budget has been spent but the Commission would like to authorize Media Junction to begin work so that the directory can come out in January of 2005. She then said that it may be possible to hold off payment until 2005 but said that there were extra budget funds returned to the general fund last year that Council was asked to make available should the Commission need them this year. Council Member Capra indicated that she feels the business directory is a great service to residents as it provides not only information about area businesses but also information on the City with telephone and contact information. Motion carried. 2. Ordinance Codification Ms. Moore-Sykes presented the codified ordinances that were received from the codification service to Council for review and consideration. Council discussed the matter and asked Staff to determine how much more work and what the costs would be to complete the project to get a manageable document for the City to review. 3. Personnel Policv Council asked that this matter be discussed at a work session and asked that Staff set work sessions for one hour ahead of the regular meetings in November. 4. nod Street Storm Sewer Improvements Motion bv Council Member Broussard Vickers. seconded Council Member Lee to aoorove $36,057. All in favor. Motion carried unanimouslv. IX. ANNOUNCEMENTSIUPDATES 1. Media Packets/Information Ms. Moore-Sykes indicated that Staff is working on a cost/time determination and will report back to Council. She then explained that Staff was able to scan the entire packet and get it out on the website in PDF format for viewing. 2. Truth in Taxation Continuation Date Council asked Staff to determine when the meeting needs to be held and determine whether December 20, 2004 will work. 3. Rice Creek Watershed District SeminarlPresentation There will be a presentation at 9:00 a.m. on Friday, October 15,2004. Page 8 of 10 City of Centerville Council Meeting Minutes October 13, 2004 4. Mr. and Mrs. Keith Okan 1841 Center Street (Drivewav Issue) Mr. Okan appeared before Council and asked for an update on the driveway situation. Ms. Moore-Sykes indicated that the information provided to Staff was dated in May of 2004. Mr. Okan indicated that he did not have any contract information dated when the concrete was installed but he does have dated warranty information that states that duracrete was used. Council discussed the matter with Mr. Okan and Mr. Okan restated the fact that his existing driveway was not restored to the way it was before construction as he was told it would be. Council agreed that the flares should be replaced but there was consensus that the City is not responsible for anything in the right of way, including driveways. And, upon the information from the City Engineer, the concrete used by the City is suitable for residential vehicle traffic and comes with a one-year warranty. Council Member Paar indicated that he thinks that ripping up this concrete and installing more expensive, higher strength concrete, opens the City up to having many, many requests for the same thing. He then said he is very concerned that this would set a precedent for the City paying to replace things in the right of way. 5. Council asked that the shoreland management ordinance be referred to the Planning Commission for consideration and recommendation of approval. 7. Eagle Pass Pond Council asked Staff to determine how much it would cost to dredge out the inlet and whether this project is more important than another project on the list. Page 9 of 10 City ofCenterville Council Meeting Minutes October 13, 2004 8, Jim Lynn Meeting The meeting with Mr. Lynn is scheduled for October 25,2004 at 5:30 p.m. City Attorney Hoeft asked that any information be provided to him for review before it is provided at the meeting. Council Member Broussard Vickers indicated that she would like to direct the City Engineer to update the feasibility study for running utilities downtown. Council Member Paar indicated that he spoke to Lyndon after the informational meeting on CSAH 14 and was told that the Metropolitan Council has transportation enhancement funds available for helping with this type of project. Council asked Staff to look into the costs to run power under ground downtown and to look into applying for transportation enhancement funds from the Metropolitan Council. Council Member Broussard Vickers indicated that she would like to send a congratulations letter to the alcohol establishments for passing the compliance check. Mayor Sweeney indicated that there is a joint Council meeting on Friday, October 15, 2004 at 6:30 and that meeting is open to the public. Council Member Paar provided an update on the EDC meeting indicating that they have begun planning for the Frozen Fete des Lacs. Council Member Lee asked whether Council would be interested in going out for bids on engineering and attorney services for 2005 as he feels it would be in the best interest of the taxpayers to ensure the City is getting a good price. Council asked Staff to request bids. Council recessed at 9:25 p.m. to discuss existing and potential new litigation with Ground Development. X. CALL TO ORDER Mayor Sweeney called the Worksession to order at 5:30 p.m. Present at the meeting were Councilmembers Broussard Vickers, Capra, Lee and Paar; City Administrator Kim Moore-Sykes; Jim Dvorak, SRF; Nathan Will, SRF; Lyndon Robjent, Anoka County; Mike Kelly, Anoka County. II. DISCUSSION ITEMS a. Jim Dvorak, SRF Engineering, presented information regarding the design process for the reconstruction of CSAH 14/Main Street. He noted various points along CSAH 14/Main Street where they will be trying to minimize the impacts of the reconstruction throughout the lakes and wetland areas. Mr. Dvorak also noted the tight 90 degree corner of Main Street by St. Genevieve poses some difficulty as the church structure is a historically significant site. He reported that it becomes tight again going through the downtown area. He stated that this is the tightest area of the project as 100' is needed for the project. Mr. Dvorak said that there are 2 -3 options for this area. The roadbed can be shifted to the north; shifted to the south; or left in the center. He indicated that the aerial photos with the street overlays indicating where the road may go are a first "shot" at this preliminary plan. Mr. Dvorak indicated that these drawings will be displayed again at the meeting on October 26, 2004 at Chomonix Golf Course. Responding to questions about the options for the placement of the roadbed, Mr. Dvorak indicated that it is possible that the County may opt to move CSAH 14 to the north, based on the property values. He indicated that it may be cheaper to go north because there are fewer properties impacted by the reconstruction project. Residents also asked how CSAH 14 reconstruction will impact other intersections in Centerville. Mr. Dvorak said that the intersection at CSAH 21 (20th Avenue) will need to be reconstructed; Centerville Road will have to be widened to 3 lanes in the downtown area to allow for parking on both sides of the road. When a resident asked about the construction schedule, Mr. Dvorak indicated that reconstruction will start Spring 2006. He said that Phase II of the project will be completed by March 2005; costs need to be determined; environmental assessments completed; easements and rights-of-way need to be determined and acquisition ofthese rights-of-way to be done. When asked about a possible change in the speed limit, Mr. Dvorak indicated that at this point it is expected to remain unchanged. A resident asked about the median at the intersection at Main Street and 20th Avenue as it looks like it will block access to Corner Express. Mr. Dvorak suggested that frontage roads may need to be constructed because the median does block left turns at 20th A venue and 21 51 Avenue. He suggested that a road could be planned south of Main Street and east of 20th that could access the Dairy Queen, Embers, and the other businesses off of 21st. He then suggested that a road could go north of Main Street off of 20th Avenue and again go east to access Mainstreet Bank. He also indicated that the County has no plans for stop lights at any intersections. Mr. Dvorak also reported that the project involves 3.5 miles of CSAH 14. Councilmember Broussard Vickers asked that Anoka County notify residents that may be involved in property acquisition sooner rather than later. Mr. Dvorak indicated that Anoka County needs to know what utilities that the City plans to replace or install in the downtown area. They are also looking for approval from the City of a Memo of Understanding (MOD) once the County has a proposed plan for the reconstruction project. He also went on to discussion the process the County is required to use to acquire property. He indicated that acquisition would involve taking only a strip of property necessary for the widening of Main Street, leaving the balance of the property intact. They also use this process to acquire temporary easements. Mr. Mike Kelly, Anoka County, reported that the authority the County uses for acquiring property is Fed. Reg. 81.646 which outlines the procedure and limitations for the taking of property. Mr. Dvorak then described the process for determining market value for the property. He reported the Anoka County has already acquired three properties using this process. Mr. Dvorak reminded those in attendance that the next public input meeting for CSAH 14 is scheduled for October 261h from 5:00 p.m. to 7:30 p.m. at Chomonix Golf Course in Lino Lakes. III. Council received a copy of the benchmark study that was done in 1998 and a worksheet of current salaries for the Receptionist/Secretary, Account Clerk 11 and City Administrator. Ellen Paulseth, former Finance Director, also provided a staffreport on the findings for the above-mentioned positions. Included with this Staff Report is also Ms. Paulseth's summary from the 2005 Budget entitled "Salary Surveys Year 2004". Since the last Council meeting, I've spoken with Ms. Paulseth about any financial provision for the proposed upgrades to salary. She indicated that the impact to the City's 2005 budget are minimal; maximum $4,000 for all three positions. Several months ago, Council requested that all job descriptions be reviewed to ensure that the descriptions adequately describe the scope of the current duties of the incumbent and that pay equity classifications were consistent with the same. Ms. Moore-Sykes and I have been working on this project and have not fully completed it. One of our goals was to meet individually with each employee to update their job description and review the classification. While we were not able to meet with each employee prior to my departure, I completed an extensive review of each position description and pay equity classification. My findings, which are awaiting the Administrator's review, are attached. In summary, I feel that three positions have changed enough to warrant a new classification. Incumbents are at varying levels of longevity with their respective cities. It appears that Centerville salaries are approximately average as compared to similar size cities, with the exception of two or three positions. Centerville contributes slightly below the average in total benefit cost as compared to similar size cities. However, Centerville does offer a full cafeteria plan which is attractive to potential applicants in that the employee has more choice in how the benefit dollars are spent. In some cases, employees are allowed to put unused contributions into a retirement plan. This has been a useful recruitment tool; however, someday the Council may want to consider "capping" that amount. Group Average .~ October 19,2004 To Whom It May Concern: We are writing this letter with great concern in regards to the proposed design concept of Road Reconstruction of County Road 14 at 20th Avenue. The placement of the Median along both County Road 14 & 20th Ave would have a devastating effect on our ability to operate our businesses in this great community. Our businesses are located on the Southwest Corner of County Road 14 & 20th Avenue. Since the Strip Center was built in 1988, Corner Express, WiseGuys Pizza, and Centerville Liquors have been serving this community for many years. Our tax contribution to this area is in excess of $24,000 annually. We provide employment for 27 employees earning a combined income of $280,000 annually. We believe the longevity of our businesses is directly related to our location and the accessibility of this property. If we lose our access, we lose our businesses. Approximately 1,200 vehicles visit our Strip Center on a daily basis. A high percentage of our business is from the Centerville Community on the North and South side of County Road 14. The proposed road design concept will critically impact our businesses. Our individual concerns are as follows: . 1200 vehicles visit the Strip Center daily. 60% of those customers enter and exit our property through our 20th Ave. entrance. . Individuals living West of 20'" Ave. will be forced to perform a U-turn at end of the median to travel Westbound on Main Street after visiting our Strip Center. . Individuals traveling north bound on 20th Street on the south side of Country Road 14 will be unable to access the Strip Center. . Exiting traffic on 20th will be diverted down to Center Street and into the neighborhoods as people try to make their way home. This will be a safety hazard for our community. . Strip Center Parking lot and pump islands will be congested, as everyone will be exiting the lot on the North side (Pump Island area) of the property. . There will be limited access to the gas pumps at Corner Express. Congestion and confusion will lead to inCidents and frustration for everyone. . The county suggested a "u" turn on Main Street or 20th could help individuals exit our property. With all the attention paid to safety, we think this is not a viable or acceptable solution. A safe alternative is to give proper access so we don't put our customers and the community in danger. . Deliveries for all three businesses will be very difficult, especially gas deliveries. Our Gasoline Transports need proper access to the Center to make safe and efficient deliveries. Transports need access to the property 365 days of the year, with or without Road Restrictions. Considering all factors we feel that a viable and fair solution would be for us to maintain our access on 20th Avenue, both North and South Bound. The safety issues associated with "U" Tums on either County Road 14 or 20th Avenue should remove that from any discussion as a solution to our dilemma. This building was built for its location and it's two access points with access to all four directions. We are making concessions in regards to County Road 14, but we need access from all directions without a "U" Turn. Please take the time to review and discuss alternative solutions to the CR 14 & 20th Avenue intersection with regards to Median placements in your design concept. The improvement project was considered at a hearing on August 27, 2003 (Res. #03-043). The total project cost is $742,108. The total amount of the proposed assessments are $725,455 and are proposed to be assessed to the above stated parcels. The City is responsible for $8,555 in oversizing. Written or oral objections will be considered at the meeting. The amount to be specially assessed against any particular lot, piece, or parcel of land is as stated above. Such assessment is proposed to be payable in equal annual installments extending over a period of _(to be determined at the hearing) years, the first of the installments to be payable on or before the first Monday of January 2005 and will bear interest at the rate of (to be determined at the hearing)%) per annum from the date of the adoption of the assessment resolution. 'F~(651)429-8629 RESOLUTION #04 - 048 A RESOLUTION ADOPTING ASSESSMENTS FOR THE HUNTERS CROSSING 2ND ADDITION, PHASE I SUBDIVISION MUNICIPAL IMPROVEMENTS WHEREAS, pursuant to proper notice duly given as required by law, the Council has met and heard and passed upon all objections to the proposed assessment for the municipal improvements for the Hunters Crossing 2nd Addition, Phase I and benefited properties known as 6882 Centerville Road, Outlot B Pheasant Marsh owned by Ground Development and 6849 Centerville Road; and NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CENTERVILLE, MlNNESOTA: 1. Such proposed assessment, a copy of which is attached hereto and made a part hereof, is hereby accepted and shall constitute the special assessments against the lands named therein, and each tract of land therein included is hereby found to be benefited by the proposed improvement in the amount of the assessment levied against it. 2. Such assessment shall be payable in equal annual installments extending over a period of years, the first of the installments to be payable on or before the first Monday in January 2005, and shall bear interest at the rate of percent per annum from the date of the adoption of this assessment resolution. To the first installment shall be added interest on the entire assessment from the date of this resolution until December 31, 2004. To each subsequent installment when due shall be added interest for one year on all unpaid installments. 3. The owner of any property so assessed may, at any time prior to certification of the assessment to the County Auditor, pay the whole of the assessment of such property, with interest accrued to the date of payment, to the City Clerk, except that no interest shall be charged if the entire assessment is paid within thirty (30) days from the adoption of this resolution; and he/she may, at any time thereafter, pay to the City Clerk the entire amount of the assessment remaining unpaid, with interest accrued to December 31 of the year in which such payment is made. . Such payment must be made before November 15 or interest will be charged through December 31 of the next succeeding year. 4. The Clerk shall forthwith transmit a certified duplicate of this assessment to the County Auditor to be extended on the property tax lists of the County. RECITALS: WHEREAS, the Developer has applied to the City to be allowed at the Developer's expense to construct all surface streets, parking lots, curb and gutter, required landscaping, storm sewer, stOml water ponds, drainage facilities, water main, and sanitary sewer facilities, hereinafter referred to as "Street and Utility Improvements"; and WHEREAS, the Developer is to be responsible for the installation and financing of certain private improvements within' the development, hereinafter referred to as "Private Improvements". No certificate of occupancy shall be issued without insta11ation of bituminous parking lot, except buildings started in January and February of 2004. The Developer shall control erosion ensuring: 1. The Developer shall submit an erosion control plan, detailing all erosion control measures to be implemented during construction. ii. Erosion and siltation control measures shall be coordinated with the different stages of development. Appropriate control measures as required by the City shall be installed prior to development when necessary to control erosion. ill. Where the topsoil is removed, sufficient arable soils shall be set aside for respreading over the developed area. The topsoil shall be restored to a depth of at least four (4) inches and shall be of a quality at least equal to the soil quality prior to development. d. Inspection. All of the work shall be under and subject to the inspection and approval of the City, City Engineer, and where appropriate, any other govermnental agency having jurisdiction. ( , e. Faithful Performance of Construction Contracts and Letter of Credit. The Developer will fully and faitbfu1ly comply with all terms and conditions of any and all contracts entered into by the Developer for the installation and construction of all Private Improvements and hereby guarantees the workmanship and materials for a period of two years following the City's :fuiaJ. acceptance of the Private Improvements. The Developer agrees to guaranty for a period of one year the tree plantings required as part of the Developer's Agreement. Each specific tree guaranty period shall begin with the planting of each specific tree. Concurrently with the execution hereof by the Developer, the Developer will furnish to, and at all times thereafter maintain with the City, a cash deposit, certified check, or an Irrevocable Letter of Credit, based on one hundred fifty percent (150%) of the total estimated cost of the Private Improvements as indicated in Paragraph BI. The Irrevocable Letter of Credit shall be for the exclusive use and benefit of the City of Centerville and shall state thereon the same is issued to guaranty and assure performance by the Developer of all the terms and conditions of Paragraph BI of this Development Contract. Such Letter of Credit may be reduced upon completion and acceptance of the Private Improvements by the City to an amount deemed adequate by the City Engineer to cover the two year warranty period described herein. The City shall have the right during said warrant period to draw on the Letter of Credit for any warranty work that is necessary. The Irrevocable Letter of Credit shall be renewed or replaced by not later than twenty (20) days prior to its expiration with a like letter or bond. ( c f. Reduction of Escrow Guarantv. The Developer may request a reduction of the Letter of Credit or cash deposit based on prepayment or the value of the completed Private Improvements at the time of the requested reduction. The amount of reduction will be determined by the City and such recommendation will be submitted to the City Council for action. C. RECORDING AND RELEASE. The Developer agrees that the terms of this Development Contract shall be a covenant on this entire project site. The Developer agrees that the City shall have the right to record a copy of this Development Contract with the Anoka County Recorder/Registrar to give notice to future purchasers and owners. D. REIMBURSEMENT OF COSTS. The Developer agrees to fully reimburse the City for all costs incurred by the City including, but not limited to, the actual costs of construction of said improvements, engineering fees, legal fees, inspection fees, interest costs, costs of acquisition of necessary easements, if any, and any other costs incurred by the City relating to this Development Contract and the installation and financing of the aforementioned improvements. E. OWNERSHIP OF IMPROVEMENTS. Upon completion of the work and construction required by this Contract and acceptance by the City, the improvements lying within the ( public easements shall become City property without further notice or action. F. MISCELLANEOUS PROVISIONS. 1. . Reimbursement of Costs for Defense. The Developer agrees to reimburse the City for all costs incurred by the City in defense of enforcement of this Contract, or any portion thereof, including court costs and reasonable engineering and attorney's fees. 2. Validity. If any portion, section, subsection, sentence, clause, paragraph, or phrase in this Contract is for any reason held to be invalid by a court of competent jurisdiction, such decision shall not affect Dr void any of the other provisions of the Development Contract. 3. Waiver. The action or inaction of the City shall not constitute a waiver or amendment to the provisions of this Agreement. To be binding, amendments or waivers shall be in writing, signed by the parties, and approved by written . resolution of the City CounciL The City's failure to promptly take legal action to enforce this Agreement shall not be a waiver or release. 4. Binding Effect. The terms and provisions hereof shall be binding upon and insured to the benefit of the heirs, representatives, successors, and assigns of the parties hereto and shall be binding upon all future owners of all or any part of the Subdivision and shall be deemed covenants running with the land. 5. Notice. Whenever in this Contract it shall be required or permitted that notice or demand be given or served by either party to this Contract to or on the other party, . such notice or demand shall be delivered personally or mailed by United States mail to the addresses set forth below by certified mail (return receipt requested). Such notice or demand shall be deemed timely given when delivered personally or when deposited in the mail in accordance with the above. It always helps to have a second pair of eyes reviewing documents. The Account Clerk job description does have this position accountable to the City Administrator in the heading, but in the body of the docwnent under "Supervision Received:", it states: "Works under the direct supervision of the Finance Director and under general direction of the City Administrator." I have changed the heading to reflect that this position is "Accountable To:" the Finance Director. Both of the Receptionist/Secretary and the City Clerk job descriptions have been changed to reflect Resolution 02-065. I do have some concerns with the City Clerk reporting directly to the Finance Director as this position works more closely with the City Administrator. She (or he) is responsible for working with the Administrator to put together the Council and the Planning and Zoning agenda packets. Currently, Teresa also helps me with my correspondence, research and ordinance re-writes. These job duties do not really have anything to do with Finance and it make more sense for the City Clerk position to be under the direct supervision of the City Administrator. It will take place from 12:01 a.m. Tuesday October 26th to, hopefully, around 6:00 a.m. Tuesday. What will happen is all channels (including your government channels) will be disconnected from the old equipment and reconnected to the new. Your channel will be down until this is accomplished. I have been told by Comcast that it should be reconnected by 6:00 a.m. If you have city channel viewers in the wee hours of the night they will be sad, I'm sure. If you could all create a page for your Scala explaining to your viewers that the channel will be off the air during that time to warn them, that would be great. We are not planning on putting anything on the channel during the cut-over. Because it is taking place over night, the amount of work to create a message source, and then wire and split it to 12 channels doesn't seem worth it. If you disagree, let me know and I'll do what I can to have something on the channel during that time. I have made Comcast aware that Blaine and Circle Pines are scheduled to have meetings that Tuesday night. They said the channels should be up and operational by 6:00 a.m. that morning.
