Eligible appointees must be elected b vials and corupliant <br />Seati'on I03B.227, which, among other things, provides thatloeal units <br />serve as a Director. <br />Appointment. Each governmental unit shall, within thirty 00Y days <br />of a Director or Successor Director, file a written notice ofswh <br />Treasurer of the Board. <br />Subdivision 6. Appoint ent,of Alternate, Director.. One Alternate Director shall'be appointed <br />by each of the Members .. this Agreement.. The Abkmate may attend the meetings. of the Board <br />of Directors, but only tht appointed Director, or the Alternate Director in the absence of the <br />Director, shall be allowei I to vote on any matters before the Board. <br />Subdivision 7. Appoint`sjment of Technical Commission. Representative. .Each Meinber to this <br />Agreement shall: appo�oi nt�one commissioner and may appoint one alternate to serve .the <br />Technical. Commission. <br />Subdivision.8. Compe'sation. Directors shall serve without corripengation and without expense <br />allowance from VLAWMO: A Director may be reimbursed for out-of-pocket expenses incurred <br />on VLAWMO business nth the approval of the Board. A Member may compensate its Director <br />or Alternate for his/her s' ice, in the. discretion ofthe Member. <br />SECTION V <br />ORGANIZATION OF THE BOARD OF DIRECTORS <br />Subdivision 1. Annual Meeting; Election of Officers: At a meeting of the Board held no later <br />than April of each. calendar year, also known as the: Annual Meeting, the. Board shall elect.frm <br />among the Directors a C a it, Vice Chair, and a Secretary -Treasurer; and such other off cers as it <br />deems necessary to fond ct its meetings and affairs ("Officers"), An.Alternate Director may not <br />serve as an officer of VLAWMO. <br />Su 4WbioO L. Duties of Officers. <br />1) The Chair shall reside over meetings -bfthe Board, and in the absence of the Chair, the <br />Vice Chair shall erforin this duty. In the absence of�the Chair or Vice Chair, the:. <br />Treasurer shall preside.
