S. GMEF;AI~ COND1TlONS a. All.services and duties performed by the Municipality pursuant to.this Agreement shall be, performed to the satisfaction oftheCounty and in accordance with all.applicable federal, state, and local laws, ordinances, rules and regulations as a condition of.payment. The Municipalitty agrees that it will complywith alffederal, State and local statutes and ordinances relating to nondiscrimination. b. The Municipality is an independent contractor and shall not be the employee-ofthe-(ounty for any purpose. The Bounty shall not be responsible for the payment-of-anytaxes, either federal.or State; on behalf of the Municipality, nor shall the:County be responsible far anyfringe benefits. No Civil Service-ot-other rights of employment will be:acquired by virtue of the Municipality's services. c. The Municipality and Couhty eachagree to defend, hold 'harrniess and indemnify the:otheit party, its officials, agents, and .ernployees.from anyliabiIity, loss-ordamageit may suffer as a result of demands,,claims; juclgrnents or costs arising -out of or ea.usod by reason of the indemnifying party's..perforrnanae-6f its respective obligations under the.provisions of this Agreement..
