agrees to defend and indemnify the CITY for any claims related to its responsibilities <br />underthis Agreement. <br />At all times during the term, including any renewal term; the CITY shall keep in full force <br />and effect a policy or policies of liability insurance with respect to the use of and reliance <br />upon CITY documents and materials by TOWN employees in the provisions of services <br />described in this Agreement, with companies licensed to do business in the State of <br />Minnesota. The. CITY shall name the TOWN as an additional named insured and shall <br />provide adequate coverage. under reasonable limits of .liability of not less than the <br />statutory limits for municipalities. The CITY agrees to hold the TOWN harmless and. <br />agrees to defend and indemnify the TOWN for any Maims related to the use of or reliance <br />upon CITY documents and materials by employees of the TOWN performing duties <br />pursuant to this Agreement. <br />The Municipal Services Agreement shall be renewed on a per annum basis, and the TOWN <br />shall provide the CITY in September the estimated prevailing hourly rate of the individuals <br />that will service this Agreement. The CITY, before approving the Agreement, shall have .a <br />set hourly rate from the TOWN. <br />The TOWN or the CITY may terminate this.
